PURPOSE: To consider renewing the agreement between the Health Department and the UNC
School of Dentistry and UNC Hospitals for dental resident services.
BACKGROUND: The Orange County Health Department (OCHD) annually contracts with the
UNC School of Dentistry and UNC Hospitals for the services of ane full-time equivalent dental
resident for four and one-half days a week. The residents provide services at both the
Hillsborough and the Carrboro dental clinics. The total cost of the contract for July 1, 2000
through June 30, 2001 is $41,745. This was included in the 2000-2001 departmental budget
that was approved in June 2000. This agreement is always executed in the fall since the
University waits until the state legislature passes the budget before the University executes
student contracts.
FINANCIAL IMPACT: The total cost of the contract for July 1, 2000 through June 30, 2001 is
$41,745. This is a 4% increase over the previous yeas contract, due to a 4% cost of living
increase for dents! residents. This was included as part of the approved 2000-2001
departmental budget..
RECOMMENDATION: The Manager recommends that the Board approve the contract subject
to review by the county attorney.

THIS AGREEMENT, made and entered into this the 1st day of July, 2000, by aad between The University of
North Carolina at Chapel Hill, School of Dentistry, hereinafter referred to as "The School of Dentistry", for its
Department of Dental Ecology; and The Orange Cou~jv Health Department hereinafter referred to as "'The Heahh
Department" for its Ambulatory Care Dental Service, and The University of North Carolina Hospitals, hereinafter
referred to as "The University of Notttt Carolina Hospitals".

WHEREAS, The Health Departmt ent desires the services of one resident at the postgraduate year one level in
the Ambulatory Care Dental Service fiat the academic year 2000-2001;
WHEREAS, The Health Department desires to reimburse The School of Dentistry for the salary phis fringe of
one resident at the pale year one level;
WHEREAS, The School of Dentistry end The University of North Carolina Hospitals wish to provide the
services of one resident da "The Health. Depaairnent;
NOW, THEREFORE, in consideration of the premises and of the following mutual promises, covenants, and
conditions, The School of Dentistry, The Univeisity ofNo;th Carolina Hospitals and The Health Department agree as
follows:
. ~ 1. The Health Department will reimburse the School of Dentistry at the close of each quarter for 1/4 the total
salary and fringe: S 10,436.00. Total annual amount is $41,'145.00.
2. The School of Dentistry will provide the services of one postgraduate year one resident to The Health
Department for the purpose of rendering comprehensive dental services of 4 1!Z days/wk. The School of

Dentistry will provide attending dentist supervision to the resident providing services under this Agreement. _
3. School of Dentistry will bill The Health Departrrrent at the close of each quarter far the salary/fringe of one
postgraduate year one resident.
4. The Cooperating Institution must provide HIV and HBV testing for the cni~mP patient In the event of a
bloodborne pathogen exposure. In the event the student is exposed to blood or body fluids, the
Cooperating Institution will be respansrble for providing an initial response, according to the Institution's
Blood-Borne Pathogens Standard. The student will be required to return to University of North Carolina
.Hospital's Occupational Health Service for post incident testing and counseling if feasible. In the event the
student is unable to do so in a timely manner, the Cooperating Institution will provide access to testing and
counseling for the student. The trainee will be responsible for the payment of services. UNC will
reimburse trainee for testing and counseling only but not for any emergency treatment or medication
administered.
S. The person whose services are to be provided pursuant to the Agreement is, for all purposes, an employee
of The University ofNorth Carolina Hospitals.
6. While the University of North Carolina Hospitals resident is on rotation at the Orange County Health
Department, their professional liability ;n~,~,~„~e coverage will be provided by the School of Dentistry
with coverage of at least $1 million, per incident, $3 million per year.
7. This Agreement shall run for a period of one year, from the 1st day of July, 2000 to the 30th day of June,
2001, and shall be renewable thereafter.
8. This Agreement or its renewaL9 maybe terminated at any time without penalty by either Party provided that
written notice of such termination is ftunished ~ the other parry at least 90 days prior to termination. In
the event of such termination any payment due shall be prorated to the date of termination.
9. In compliance with 42 U.S.C. 1395x (v)(1x1) and implementing regulations, The School of
Dentistry and the Health Department agree, until the expiration of four years after the services are
famished under this contract, to allow the Secretary of the Department of Health and Human Services and
the Compti+oper General access to this contract and to the books, docturrents and records of The School of
Dentistry and The Health Department necessary to verify the nature and extent of this contract. The
School of Dentistry and The Health Department further agree that if any of the duties of this contract are

carried out by a subcontractor of The School of Dentistry or The Health Department such subcontract
shall contain a clause to the effect that, until the expiration of four years after the services aze furnished
under such subcontract, the Secretary of the Department of Health and Human Services and the
Comptroller General shall have access tip such subcontract and to the books, documents and records of the
subcontractor necessary to verify the nature and extent of the casts of such subcontract..
10. The Health Department and The University of North Carolina Hospitals hereby agree with The School of
Dentistry that, in its educational and/or employment practices The Health Department will comply with
such non-discrimination laws as may be applicable to it in the perfonnaace of this Agreemern.
11. The Agreement contains the entire understanding of the parties and shall not be altered, amended or
modified, except by an agreement in writing executed by the duly authorized officials of both parties.
12. The laws of North Carolina shall govern the validity and interpretation of the provisions, terms and
conditions of this Agreement.
