PURPOSE: To enter into a Memorandum of Agreement with the UNC School of Dentistry for
the services of a Children's Dental Care Coordinator.
BACKGROUND: The Health Department has traditionally received funds from the Orange
County Partnership for Young Children for a preschool dental screening program for day care
and family child care homes in the county. The program usually begins in April and runs
through June and last year reached approximately 1900 preschoolers. For this cunent year,
the Partnership has made supplemental funds available for this program to implement a "Tooth
Time" dental education module for preschool children. The module teaches proper oral care for
children and includes a variety of activities to reinforce the educational content. This module
has already been developed and is being utilized successfully in Catawba and Guilford
Counties. The Dental Care Coordinator from the School of Dentistry will work with the Health
Department staff to implement this new part of the preschool screening program.
FINANCIAL IMPA~'T: The cost of the Dental Program Coordinator with the UNC School of
Dentistry will be $15,000 and will be covered by the grant from the Partnership. County match
far the entire project is calculated on an in-kind basis.
RECOMMENDATION(S): The Manager recommends that the Baard approve the Memorandum
of Agreement with the UNC School of Dentistry and authorize the Chair to sign the agreement.

L PURPOSE
Tlvs document is a Memorandum of Agreement between The University of North Carolina at Chapel Hill,
for its Department of Dental Ecology in the School of Dentistry, hereafter referred to as the "University,"
and Orange County Health Department, hereafter referred to as the "OCHD", for the purpose of providing
a Children's Dental Care Coordinator.
IT. EFFECTIVE DATES
This agreement shall be e$ective as of April 1, 2000 and shall remain in effect until June 30, 2000 unless
ternunated as set forth below. Either party may request a change in the tern~.s of this agreement. Any
change to this agreement must be approved by both parties' written endorsement thereto. Either party may
terminate this agreement by giving the other party 30 days written notice in advance of the desired
termination date.
III. WITNESSETH
WHEREAS, The Health Department desires the services of one adjunct faculty to serve as Children's
Dental Care Coordinator in the Dental Service of the Orange County Health Department for the academic year
1999-20D0;
WIIIrREAS, The Health Department desires to reimburse the School of Dentistry far the adjunct faculty's
time commitment;
WIlEREA5, The School of Dentistry wishes to provide the services of one adjunct faculty to the Health
Department;
NOW, THEREFORE, in consideration of the premises and of the following mutual promises, covenants,
and conditions, the School of Dentistry and the Health Department agree as follows:
1. The Health Departtrrent will reimburse The School of Dentistry by June 30, 2000, $15,OD0.00.
2. The School of Dentistry will provide the services of one adjunct faculty to the Health Department
for the purpose of serving as the Children's Dental Care Coordinator, and the Coordinator will:
a. Organize the screexting assessment program in all the daycare centers and family child care
homes in Orange County as time permits.
b. Coordinate a comprehensive dental education program for parents and caregivers (i,e.
pediatricians, daycare staff, health department staff] of children ages 0-5.
c. Implement the "Tooth Time"' dental education module for preschool children which has
already been developed and is being utilized in other counties (Catawba, Guilford).
d. Coordinate a plan of treatment for incQme~ligible children.
3, School of Dentistry will bill The Health Department X15,000.00 by Tune 15, 2000 for the
salary/fringe of one adjunct faculty.
4. The person whose services are W be provided pursuant to the Agreement is, for all purposes an
employee of the University of North Carolina School of Dentistry.

5. While the School of Dentistry's faculty is on rotation at the Orange County Health Department,
professional liability insurance coverage will be provided by the School of Dentistry with
coverage of at least $1 million, per incident, $3 million per year.
6. 'T'his Agreement or its renewals may be terminated at any time without penalty by either party
provided that written notice of such termination is ftunished to the other party at least 90 days
prior to termination. In the event of such termination any payment due shall be prorated to the
date of termination.
7. In compliance with 42 U.S.C. 1395x (v)(1)(1) and implementing regulations, the School of
Dentistry and the Health Department agree, until the expiration of four year after the services are
futnished under this contract, to allow the Secretary of the Department of Health and Human
Services and the Comptroller General access to this contract and to the books, documents and
records of The School of Dentistry and The Health Department necessary to verify the nature and
extent of this contract The School of Dentistry and The Health Department further agree that if
any of the duties of this contract are carried out by a subcontractor of The School of Dentistry or
The Health Department Such subcontract shall contain a clause to the effect that, until the
expiration of four years after the sen+ices are furnished under such subcontract, the Secretary of
the Department of Health and Human services and the Comptroller General shall have access to
such subcontract and to the books, documents and records of the subcontractor necessary to verify
the nature and extent of the costs of such subc:ontzact
8. The Health Department and The University of North Carolina hereby agree with The School of
Dentistry that, in its educational and/or employment practices The Health Department will
comply with such non-discrimination laws as may be applicable to it in the performance of this
Agreement
9. The Agreement contains the entire understanding of the parties and 5ha11 not be altered, amended
or modified, except by an agreement in writing executed by the duly authorized official of both
parties.
The laws of North Carolina sl-all govern the validity and interpretation of the provisions, terms and conditions of
this Agreement.
IN WITNESS WHEREOF, the parties have hereunto signed this Agreement in thetr official capacities on the day
and year listed below.
