Sample Agreement Jerry Passmore, ext. 2009 TELEPHONE NUMBERS: Hillsborough 732.8181 Chapel Hill 968-4501 Durham 688-7331 Mebane 336-227-2031 PURPOSE: To approve entering into agreements with certified nurse aide providers to support operation of the new Central Orange Day Health Care Program. BACKGROUND: The renovation and planning tasks to establish the new Adult Day Health Care Program at the Central Orange Senior Center at Meadowlands in Hillsborough were completed last fiscal year. This Program was one of the top priorities (Goal III-A, cl-3) in the , Master Aging Plan for Orange County. For this fiscal year, the Board of County Commissioners set aside $40,000 in "seed money" to implement the Program initiative. Other community partners made financial commitments as well –specifically, UNC Health Care - $20,000; Carol Woods - $18,400; and Home and Community Block Grant Program -$9,054. Sliding scale participant fees are estimated at an additional $58,464, for a projected Program total of $145,918. The Friends of the Senior Center will cover the utility costs. The new Central Orange Adult Day Health Care Program will provide health and social services to frail, disabled and isolated older adults. It will also provide respite and education for the participants' families and caregivers. Before the program can begin operation in October, Orange County is required to secure nurse aides who will be supervised on site by the nurse provided by the UNC School of Nursing. The nurse aides will attend to the health needs of program participants. After consulting with the Health Department and Central Services, the decision was made to contract with private providers to secure nurse aide services. In order to maintain the flexibility necessary for successful service delivery, it is also prudent to use several providers contingent upon their availability. Therefore, the Board is requested to authorize the Manager to sign agreements with Home Health Solutions, Inc. and other service provider agencies as may be needed. y 2 The County will continue to contract with only qualified service providers pursuant to both State- mandated requirements and criteria established by the County. The contracts will also provide backup liability coverage for the certified nursing aides. A sample agreement is attached for review and reference. FINANCIAL IMPACT: Funding for the purchase of this service is included in the current approved Department on Aging budget. The service cost will not exceed $16.00 per aide hour. Expenditures under the service provider agreements are projected to be $48,515.00. Total Program costs are projected at$145,918: County - $40,000; UNC Health Care- $20,000; Carol Woods - $18,400; and Home and Community Block Grant Program - $9,054; Estimated . participant fees - $58,464. The Adult Day Health Care Program is to be transferred for operation to a new non-profit agency being formed and scheduled to occur by July 2003. RECOMMENDATION(S): The County Manager recommends that the Board authorize the Manager to sign agreements for certified nurse aide providers. f 3 Orange County Department on Aging Vendor Agreement This Vendor Agreement is entered into this 1 st day of October,2002 between Home Health Solutions, hereinafter known as the Vendor, and Orange County on behalf of the Department on Aging,hereinafter known as the Department.The period and duration of the Agreement shall be from October 1,2002 to June 30,2003. WITNESSETH: WHEREAS,the Department desires to engage the Vendor to render certain technical and professional services,hereinafter described,now therefore the parties hereto mutually agree as follows: 1) DEPARTMENT AGREES AND MAINTAINS THE RIGHT: 1. To assist in conducting interviews for potential nurse aides,and to uphold each candidate to the certified nurse aide job description(see attachment). 2. To determine eligibility of prospective clients for adult day health services in accordance with federal and state guidelines. 3. To amend this agreement as needed at any time to ensure that Orange County is in compliance with the N.C.Division of Aging Adult Day Center standards,and to provide notice of such amendments as quickly as practicable to the Vendor. 4. To employ an on site Nurse supervisor from the UNC School of Nursing to oversee the vendor's nurses aides in carrying out the clients care plan. 5. To provide a current copy of the clients care plan to the vendor for coordinated service provision. 6. To not employ directly a nurse aide of the vendor for the Central Orange Adult Day Health Center. 2) THE VENDOR HEREBY AGREES: 1. To provide Nursing Assistants(NA1 or NA2),certified by the N.C.Division of Facility Services, to provide nursing assistant care for participants enrolled in the Central Orange Adult Day Health Center. 2. To have an adequate number of aides hired and available to work in Orange County on the date this agreement is signed,as recruited and hired. 3. To provide at least one substitute nurse aide for each aide who will be staff at the center,in accordance with the N.C. State Standards for adult day centers. 4. To provide consistent aide assignment over the service period stipulated by the Department. 5. To provide the services of nurse's aides during the hours of operation of the Central Orange Adult Day Health Center. 6. To provide bi-weekly timesheets, signed by the day center's program manager and the aide which show hours worked and the actual billable hours worked at the center.If timesheets are 4 not provided,if timesheets do not include required signatures,the corresponding bills will not be paid. 7. To make every effort to promptly communicate by phone to the program manger of the Central Orange Adult Day Health Center any aide changes, interruptions in aide services, or problems with clients' services. 8._ To maintain appropriate client care plan and personnel files at the Vendor's licensed office,and to ensure that such records that fully disclose the extent of the service provided to recipients are kept for three years from the first service date for each client and are available for inspection. 9. To make every effort to help clients understand the relationship between the Vendor and the Department in providing services to them. 10. To keep confidential any information about a client,which is shared by the Department or the client. Such information shall be shared only among other Department and Vendor staff who need to know in order to coordinate,manage,or deliver services to the client. 11. To have the nurse aide(s)assist in the development of a plan of care for each participant of the day center,as well as assist in the delivery of the activity programming. 12. In the absence of the on-site nurse,the vendor will have an on-call nurse for the vendor's nurse aides to contact for emergencies. 13. To submit a bill weekly for services rendered,payable within 30 days of receipt. 14. To be available to meet with the Department staff at their request to discuss service provision. The Vendor agrees to indemnify and save harmless Orange County and the Department,their agents and employees from and against any and all loss, cost,damages, expense and liability caused by the failure of the Vendor to fully perform its obligations under this agreement and in accordance with its terms; or by an accident or other occurrence causing bodily injury,including death,sickness,products or services rendered under this agreement.The County will indemnify the Vendor to the extent permitted by law and to the extent of insurance policies owned by the County, for losses,costs,damages,expenses and liability caused by the negligent acts or omissions of the County in performance of obligations under this agreement. The Department will reimburse the Home Health Solutions at the rate of $15.50 per hour for each certified nurses aide. This agreement may be extended for an additional period if mutually agreed to by both parties.The Department may immediately suspend this Agreement for violations by the Vendor of the rules or regulations agreed to herein. Job Description To assist participants with activities of daily living as well as program activities and services. Assistance should be in a manner that encourages participation and fosters independence and freedom of choice for the participant. Duties • Provide assistance with activities of daily living,which can include: dressing and undressing, personal hygiene; monitoring of safe transfer ambulating techniques; care of personal appliances such as eyeglasses, contact lenses, dentures and hearing aids • Observe and provide feedback to nurse and program manager of participant's changing needs and assist in carrying out program changes in accordance with those needs • Work as a team player with other program personnel and community volunteers • Assist nurse or health care coordinator with administration of medications • Maintain quality and accurate records of participants and ensure confidentiality • Encourage, supervise and engage participants in the social and therapeutic activities of the program • Supervise the provision of transportation,meals and maintenance of the center • Other duties as appropriate Qualifications • Possession of certification of nursing assistant and/or medical technician • Commitment to health and social services • Excellent communication and organizational skills • Knowledge of the physical,mental, emotional and social needs of disabled adults and seniors • Experience working with the older populations preferred • Be able to safely lift up to 50 lbs. • Possess a negative TB test,and current CPR and first aid training
