SUBJECT: Approval of an Amendment to the County Attorney's Employment Agreement

PURPOSE: To approve an amendment to the employment agreement of the County Attorney.
BACKGROUND: In June 2026, the Board of Commissioners met with the County Attorney to
conduct the annual review of the County Attorney's work performance. Subsequent to the review,
the Board of Commissioners agreed to amend the employment agreement as follows.
Modify Section 14.A.
From: "During the Employee's employment as County Attorney, the Employee shall reside in and
maintain a residence within Orange County."
To: "During the Employee's employment as County Attorney, the Employee shall reside and
maintain a residence either within Orange County or within 15 straight line miles of any point on
the Orange County boundary line."
FINANCIAL IMPACT: There is no financial impact associated with this item.
ALIGNMENT WITH STRATEGIC PLAN: This item supports:
• MISSION STATEMENT — Orange County is a visionary leader in providing governmental
services valued by our community, beyond those required by law, in an equitable,
sustainable, innovative and efficient way.
RECOMMENDATION(S): The Chair recommends that the Board approve and authorize the Chair
to sign the amendment to the employment agreement of the County Attorney.

TENTH EMPLOYMENT AGREEMENT AMENDMENT
NORTH CAROLINA
THIS AMENDMENT, made and entered into this the 91" day of July 2026 by and between Orange County, a political
subdivision of the State of North Carolina, hereinafter called "County," party of the first part, and John Roberts,
hereinafter called "Employee," party of the second part:
WITNESSETH:
WHEREAS, the County and Employee entered into an Employment Agreement dated August 17, 2010 for the
management and provision of legal services to the Board of Commissioners and County government (hereinafter the
"Original Agreement"); and
WHEREAS, the County and Employee desire to amend the Original Agreement, while keeping in effect all terms and
conditions of the Original Agreement, as amended, not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, and for good and
valuable consideration, the receipt of which is acknowledged, the parties agree to amend the Original Agreement by
deleting Section 14.A. in its entirety and replacing it with a new Section 14.A. as follows:
During the Employee's employment as County Attorney, the Employee shall reside and maintain a residence
either within Orange County or within 15 straight line miles of any point on the Orange County boundary line.
IN TESTIMONY WHEREOF, this Amendment has been executed by the parties hereto and is effective the date first
above recorded.
