PURPOSE: To approve an amendment to the County's 2022 contract with Lumos to extend
broadband service to an additional 105 households with adjustments to the project scope,
timeline, and payment schedule.
BACKGROUND: In April 2022, the Orange County Board of Commissioners approved a $10
million American Rescue Plan Act (ARPA)-funded agreement with North State Communications
Advanced Services, LLC (operating as Lumos/T-Fiber) to deploy fiber-optic broadband service to
6,370 unserved locations in Orange County.
Construction delays and cost increases during 2024 required an amendment to the original
agreement that reduced the required number of passings from 6,370 to 5,852. The amendment
also reduced the total payment to Lumos from $10 million in ARPA funds to $9.2 million, leaving
a balance of $800,000 in ARPA funds that could be used to support additional broadband
deployments. As of December 31, 2025, Lumos has installed 740 route miles of fiber in Orange
County, making the network currently available to 15,000 homes and businesses, including 5,859
previously unserved and underserved locations identified in the 2022 agreement.
In Fall 2025, the Board of Commissioners reconvened the Broadband Task Force to review
project progress and identify opportunities to maximize the impact of the remaining ARPA funds.
In addition to the 5,859 passings that Lumos completed, the Task Force reviewed the awards
made under two (2)other programs funded by the State of North Carolina—the Stop Gap Program
and the Broadband Equity, Access, and Deployment (BEAD) program. The Stop Gap award will
fund broadband extensions to 402 unserved locations (including 242 locations not included in the
original contract scope of 6,370), and the BEAD program will serve an additional 18 unserved
locations in the ARPA grant areas.
Following the implementation of these State and Federally funded programs, approximately 198
households in Orange County will still lack access to broadband connections.

Based on this information, the Broadband Task Force recommended amending the Lumos
contract to extend service to the remaining unserved areas, focusing on the most densely
populated areas in order to maximize the investment of the remaining $800,000 in ARPA funding.
Staff worked with Lumos to identify two (2) unserved areas or polygons that contain a total of 105
locations.
Under the proposed contract amendment, Lumos will extend service into polygons 82 and 83
which are highlighted in orange on the map (Attachment A3 in the attached amendment). These
extensions will serve an additional 105 locations, increasing the total number of locations funded
under the Lumos contract from 5,859 to 5,964. The completion deadline to serve the additional
passings will be November 1, 2026, as Federal regulations require all ARPA-funded work and
expenditures to be completed by December 31, 2026.
The proposed amendment would allocate the remaining $800,000 in ARPA funds in three (3)
installments based on performance. Lumos will be paid $300,000 once conduit is installed in
polygon 82, an additional $300,000 when conduit is installed in polygon 83, and the remaining
$200,000 upon final completion when service is available in both polygons. These milestones will
result in a total of 5,964 locations passed or approximately 93.63% of the 6,370 locations in the
original contract.
FINANCIAL IMPACT: The contract amendment will utilize the remaining $800,000 in available
ARPA funding to expand broadband infrastructure to an additional 105 locations.
ALIGNMENT WITH STRATEGIC PLAN: This item supports:

training, tools, technology, and other resources needed to thrive.

of the community (e.g., recreation and public open spaces, arts, etc.).
RECOMMENDATION(S): The Manager recommends that the Board approve the amendment to
the County's 2022 contract with Lumos to extend broadband service to an additional 105
households with adjustments to the project scope, timeline, and payment schedule and authorize
the Manager to execute the amendment and any other related documents.

SECOND AMENDMENT TO NETWORK DEVELOPMENT AGREEMENT AND ARPA SUBRECIPIENT
AGREEMENT BETWEEN ORANGE COUNTY AND NORTH STATE COMMUNICATIONS ADVANCED
SERVICES, LLC
This Second Amendment (the "Second Amendment") is made and entered into as of the last date of
signature below, by and between Orange County, a political subdivision of the State of North Carolina
(hereinafter referred to as the "County"), and North State Communications Advanced Services, LLC
(hereinafter referred to as the "Provider"). County and Provider may be referred to as the "Parties" in
this Second Amendment.
WHEREAS,the Parties entered into a Network Development Agreement (hereinafter referred to as the
"ND Agreement") and an ARPA Subrecipient Agreement(hereinafter referred to as the "Subrecipient
Agreement"), both dated April 26, 2022 (hereinafter collectively referred to as the "Agreements"),for
the development of broadband infrastructure in unserved and underserved areas of Orange County,
using funds from the Coronavirus Local Fiscal Recovery Fund (part of the American Rescue Plan Act of
2021, Pub. L. No. 117-2) with an award of up to$10,000,000.00; and
WHEREAS,the Parties amended that ND Agreement on or about September 24th, 2025 to extend project
timelines due to construction delays and to ensure compliance with ARPA deadlines, while clarifying the
allocation of risks and responsibilities for compliance and other issues; and
WHEREAS,the Parties wish to further amend their agreement for similar purposes of extending
timelines and deadlines.
NOW,THEREFORE,the Parties agree to amend the Agreements as follows:
1. Extension of Timeline for Project Completion
The following sections of the ND Agreement are hereby amended as follows:
• Section 7(e)—Concealed or Unknown Conditions:The last sentence of subsection 7(e)shall be
replaced with "If County determines that the conditions differ materially and will cause a
material increase in time required by Provider to perform any part of the work, and that
Provider could not have identified the conditions by exercising commercially reasonable due
diligence prior to executing the Agreement, County will review and approve an equitable
adjustment to the time necessary to complete a milestone, as applicable, provided such
adjustment does not require obligation of County funds after December 31, 2026, or completion
of work after November 1, 2026."
• Section 15—Project Closeout, Subsection a. Final Expenditures: Section 15(a) is replaced in its
entirety with: "All Project costs must be incurred by November 1, 2026, and all Work must be
completed no later than November 1, 2026. Provider shall deliver reimbursement requests and
any invoices, receipts, hours, payroll information and any other supporting documentation for
any work completed or to be completed,to the maximum extent feasible, by November 1, 2026.
The County shall have no obligation to prioritize or expedite the processing of payment requests
beyond its normal operational procedures. If the Provider fails to comply with the deadlines,
documentation requirements, or any provisions of this Agreement,the County reserves the
right to withhold or recoup ARPA funds and shall have no obligation to disburse funds after the

December 31, 2026, deadline.The Provider acknowledges that any delay in submitting required
documentation may result in nonpayment, and the County shall not be liable for any financial
losses incurred by the Provider due to noncompliance."
2. Revised Disbursement Schedule: The Parties acknowledge and agree that the initial five milestones
payments were reached and proper payment made pursuant to Section 13 of the ND Agreement. The
Parties seek to add three milestones.
The final unexpended $800,000.00 payment shall be divided by three milestones and restoring the total
amount of up to $10,000,000. The chart depicting the disbursement schedule shall be replaced in whole
by the following:

3. Replacement of Attachments A/A2&C/C2—Service Area Map&Construction Plan and Timeline
Attachment A2 ("Revised Service Area Map") (having replaced Attachment A("Service Area Map")), and
Attachment C2 ("Revised Construction Plan and Timeline") (having replaced Attachment C
("Construction Plan and Timeline")) shall be replaced in its entirety and in all instances by the new
Attachment A3 ("Final Service Area Map"), and Attachment C3 ("Final Construction Plan and Timeline").
4.Addition of Attachment B3—Final Mutually Agreed Service Sites
There shall be a new Attachment B3 ("Final Mutually Agreed Service Sites") for the purposes of
identifying the remaining locations to be served and marked by the revised payment milestones. Within
the new Attachment B3 ("Final Mutually Agreed Service Sites"),there shall be two divisions of the
addresses identified as "Polygon 82" and "Polygon 83" which shall be based upon the polygons depicted
in the new Attachment A3 ("Final Service Area Map") and correspond to the revised disbursement
schedule in Section 13.
5. Definitions
The definition of"Location" in Section 3 Definitions shall be replaced with the following:
• "Location" means the site of a potential or current Customer found in the Mutually Agreed
Service Sites (Attachment B), the Remaining Mutually Agreed Service Sites (Attachment 132), or
the Final Mutually Agreed Service Sites (Attachment 133).
The definition of"Placing Conduit" shall be added to Section 3 Definitions as the following:
• "Placing Conduit" means the all conduit have been placed in the ground, including all required
bores,trenching activities, and conduit placement activities.To qualify as"Placing Conduit" it
must have been installed in accordance with applicable engineering specifications and industry
standards. Furthermore, such installation must have been certified by Provider and verified by
County that the installed conduit is ready for subsequent fiber placement activities, subject only
to routine testing, inspections, permitting closeout, or other activities that do not require
additional conduit construction.
6. Network Description
The Parties hereby agree to amend Section 6 of the ND Agreement to include 48 fiber distribution hubs,
750 miles of fiber, and no less than 5,964 locations along the route (the "Mutually Agreed Services
Sites").

7. Limitations on Expenditures
The Parties hereby agree to amend Section 6(b) of the Subrecipient Agreement to replace the first
sentence with: "The County will not reimburse or otherwise compensate the Subrecipient for any
expenditures incurred or services provided prior to the ND Agreement Effective Date nor for work
performed after December 31, 2026."
8. Remainder of Agreements Unchanged
Except as expressly modified by this Second Amendment, all other terms and conditions of the ND
Agreement and the Subrecipient Agreement remain unchanged and in full effect.
