Review and approve the final design of the Crisis Diversion Facility; 2.) Review and approve the Guaranteed Maximum Price for the Construction of the Crisis Diversion Facility as submitted by Gilbane; 3.) Review and approve an amendment to the existing Gilbane Contract for Construction Manager-at-Risk services to incorporate the Guaranteed Maximum Price as well as other changes; 4.) Approve Budget Amendment #12-A; and 5.) Authorize the County Manager to execute the Gilbane contract amendment, subject to final review by the County Attorney, and any subsequent amendments for contingent and unforeseen requirements up to the approved budget amount on behalf of the Board of County Commissioners. BACKGROUND: The County has been developing a plan to build a Crisis Diversion Facility since 2019. These plans culminated in the selection of the architecture firm CPL to design the facility in 2024 and the selection of Gilbane Construction Company to provide Construction Management at Risk Services in 2025. Initial design and cost estimates showed that the final project would exceed the original budget. of $26,053,350. In October 2025, the Board reviewed a series of design options to reduce the overall project budget. The Board approved Option C, a design with an estimated construction cost of$27,180,542. The total estimated project cost, including land aquistion, design, and other construction costs, based on Option C, was $30,749,007. This would have required an additional $4,695,657 in funding. In April 2026, Gilbane completed the formal bid process for the project and proposed a Guaranteed Maximum Price ("GMP") of $22,906,906. Including project costs already spent or encumbered for professional services and land acquisition, the new project budget will be $29,412,035. To address the increased cost, the the Board will need to approve $3,358,685 in 2 additional funding. While the intention had been to provide the Board with a series of additional construction options, including more daylighting and solar installation, due to the tremendous cost savings achieved through the bidding process, these elements have already been incorporated into the GMP. Project Schedule Schedule for the Construction of the Crisis Diversion Facility Board Approval of GMP June 2026 Start of Construction August 2026 Construction Completed Winter 2028 Occupancy Spring 2028 FINANCIAL IMPACT: Budget Amendment #12-A allocates $3,358,685 in additional funding to cover the increased cost for the construction of the facility over the original project funded in the FY 2025-35 Capital Investment Plan. Staff also worked with Alliance and confirmed that $1,100,000 of the Cardinal Reserve could be dedicated towards the Crisis Diversion Facility. This will result in decreasing the anticipated tax increase in FY 2028 to fund debt service by 0.18 cents. ALIGNMENT WITH STRATEGIC PLAN: This item supports: • GOAL 2: HEALTHY COMMUNITY OBJECTIVE 1. Improve harm reduction, prevention, and support services for adults and children experiencing behavioral health issues, substance use disorder, and intellectual or developmental disability. OBJECTIVE 4. Reduce impacts and barriers for justice-involved children and adults through deflection, diversion, therapeutic interventions, and re-entry support, including housing. RECOMMENDATION(S): The Manager recommends that the Board: 1.) Approve the final design of the Crisis Diversion Facility; 2.) Approve the Guaranteed Maximum Price for the Construction of the Crisis Diversion Facility as submitted by Gilbane; 3.) Approve an amendment to the existing Gilbane Contract for Construction Manager-at-Risk services to incorporate the Guaranteed Maximum Price as well as other changes; 4.) Approve Budget Amendment #12-A which increases the authority in the County Capital Fund by $3,358,685; and 5.) Authorize the County Manager to execute the Gilbane contract amendment, subject to final review by the County Attorney, and any subsequent amendments for contingent and unforeseen requirements up to the approved budget amount on behalf of the Board of County Commissioners. 4 Attachment 1 NORTH CAROLINA CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT ("Amendment") is made and entered into this_day of 120 by and between ORANGE COUNTY(hereinafter referred to as "County") and Gilbane Building Company(hereinafter the "Construction Manager at Risk"or"CM"or"CMAR"). WITNESSETH: THAT WHEREAS, the County and CMAR entered into a contract dated April 22, 2025 (hereinafter the "Original Agreement"), for the procurement of hardware and provision of services and WHEREAS, the County and CMAR desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. Section 2.6. The "Total Construction Budget" is first described in the RFQ Data Sheet, and consists of the Cost of the Work, as more fully defined in section 4 below, the CMAR-GMP Contingency, as more fully defined in section 5 below, the Early Completion Bonus Fund, if offered and made part of this Contract, as more fully defined in section 24 below, the CMAR General Conditions, as more fully defined in section 3 below. Upon approval by the Owner of the Total Construction Budget as presented on June 16th, 2026, the Total Construction Budget will not be allowed to exceed the agreed upon Total Construction Budget ("TCB"). The Owner reserves the right to adjust the Total Construction Budget at any time prior to agreement on the final GMP. 2. Section 3.2. Provided that the Total Construction Budget remains $22,906,906, the CMAR Fee shall not exceed $850,820, subject to modification and limitation as set forth herein. If the Owner changes the Total Construction Budget, the CMAR Fee shall not exceed three percent (3.75%) of the sum of(i) the Cost of the Work, (ii) the CMAR-GMP Contingency, and (iii) the CMAR General Conditions, (but not including the Early Completion Bonus Fund) all as more fully defined in this Contract, as of the date when the final GMP is established and approved by the Owner, subject to modification and limitation as set forth herein. The CMAR Fee will include all CMAR home office personnel costs, including officers as well as home office and local office support staff not included in General Conditions below, together with all other CMAR overhead costs and profit. This Fee shall also include all home office quality control and safety reviews, as well as all required services of a home office Project executive, by whatever name called. CMAR costs which are not to be included in the CMAR Fee are the costs of all Subcontracts, on-site field staff, General Conditions costs (as provided below), and the CMAR-GMP Contingency described below. 3. Section 3.4. In addition to the foregoing Fee, an allowance for the General Conditions on a "not-to-exceed" basis will be submitted by the CMAR with each GMP for the Owner's approval.No costs associated with the CMAR's main office or its main office or other off-site personnel, including the costs associated with the use of items or equipment of the main office, are covered under the General Conditions allowance. All such costs are deemed to have been included in the CMAR Fee. Subject to approval by the Owner's Representative, each GMP may include special designated allowances for defined expenses. Each GMP shall contain an allowance for General Conditions fixed as an estimated lump sum for each GMP. The entire General Conditions allowance shall be fixed based on the Total Construction Budget at the time of the final GMP, after which the General Conditions shall not be adjusted unless an amount is negotiated with Owner-requested Change Orders to the Work of the Project. The sum of the entire General Conditions at the time the final GMP is 5 fixed, including all allowances for General Conditions for each GMP for a defined phase of Work, shall not exceed $1,214,194, subject to approval by the Owner and modification and limitation as further set forth herein. Owner reserves the right to inspect and/or audit all General Conditions services cost documentation. 4. Section 4.4. At no time shall the CMAR Fee, General Conditions, CMAR-GMP Contingency, or the Early Completion Bonus Fund exceed the amounts for these respective items within the Total Construction Budget. The sum of all GMP must not exceed the Total Construction Budget, including CMAR Fees, overhead, and escalation as set forth on the RFQ Data Sheet, unless and to the extent that the Total Construction Budget is increased or decreased by the Board. 5. Section 5.6.Unless otherwise agreed by the Owner, and provided that the Total Construction Budget remains TCB, the total CMAR-GMP Contingency for the Project shall not exceed$752,099. If the Owner changes the Total Construction Budget, the CMAR-GMP Contingency shall not exceed four percent (4.0%), as a value line item of the sum of the Cost of the Work and the CMAR General Conditions, all as more fully defined in this Contract, as of the date when the final GMP is established and approved by the Owner, subject to modification and limitation as set forth herein. When each GMP is fixed, the CMAR-GMP Contingency for that GMP shall be converted to a lump sum. The entire CMAR Contingency shall be fixed in the final GMP, based on the Total Construction Budget at the time of the final GMP, after which the CMAR Contingency shall not be adjusted unless an amount is negotiated with Owner requested Change Orders to the Work of the Project. 6. Section 7.3. Owner will bear the reasonable cost of reproduction and distribution of drawings, sketches, specifications and other Construction Documents for use on the project development and by the CMAR and its Subcontractors for bidding and administrative purposes, up to an allowance of$5,000. The CMAR shall receive clean sets of black line prints on white paper of all drawings provided by the Owner, the CMAR shall clearly and legibly record in redline all work-in-place that is at variance with the Contract Documents. 7. Section 24.1.Paragraphs 24.1.1 through 24.1.19 are stricken. a. 24.1.20. Board approval of GMP#5 June 16th, 2026 24.1.21. Substantial Completion November 30th,2027 24.1.22. Punch List Completion December 31St, 2027 24.1.23 Project Final Completion January 30th,2027 24.1.24. Completion of Closeout and Warranty November 30th,2028 8. Section 47.1.1 - Commercial General Liability: The CMAR shall ensure that it shall provide commercial general liability insurance with a limit of not less than $3,000,000 per occurrence and $6,000,000 aggregate. All Subcontractors shall provide commercial general liability insurance with a limit of not less than $1,000,000 per occurrence and $2,000,000 aggregate. Coverage must be in a form providing coverage not less than the standard Insurance Services Office Form CG 00 01 and include products and completed operations,property damage,bodily injury,and personal&advertising injury. The products-completed operations coverage shall be provided for a minimum of six (6)years following final acceptance of the work. The liability limits required under this Agreement for the primary Commercial General Liability insurance, Business Automobile Liability insurance and Umbrella/Excess Liability insurance may be satisfied through any combination of limits contained on either the primary or excess liability or combined policies of insurance. 9. Section 47.1.2 - Commercial Automobile Liability: The CMAR shall ensure that it and all Subcontractors shall provide commercial automobile liability insurance of not less than $1,000,000 per occurrence for any vehicle. 6 10. Section 47.1.4-Professional Liability: The CMAR shall ensure that it and all professional service providers under this contract provide professional liability insurance with a limited of not less than $5,000,000 per occurrence or claim, and $5,000,000 aggregate. All professional service providers in contract with CMAR will follow tier system requirement within CMAR Trade Contract where minimum professional liability required limits are $2,000,000 per occurrence or claim and $2,000,000 per aggregate. There shall be an extended reporting period of not less than six(6)years. 11. Section 47.1.5 - Builders Risk: Builder's Risk: The CMAR shall purchase and maintain property insurance during the life of this Contract,upon the entire Work at the site in amount equal to the completed value of the project with no coinsurance penalty provisions utilizing an "All Risk" (Special Perils) coverage form. This insurance shall include the Owner and CMAR as Named Insured, the Subcontractors and sub-subcontractors as Additional Insureds, in the Work. If the Owner is damaged by failure of the CMAR to purchase or maintain such insurance, then the CMAR shall bear all reasonable costs properly attributable thereto; the CMAR shall effect and maintain similar property insurance on portions of the Work stored off the site when request for payment per articles so includes such portions.The builders risk insurance shall provide coverage, insurance against perils of fire (with extended coverage) and physical loss or damage including, without duplication of coverage, for direct physical loss or damage, and shall not exclude the risks of fire, explosion, theft,vandalism,malicious mischief, collapse, earth movement, subsidence, earthquake, flood,named and un- named windstorm, wind-driven rain, release of water steam or fluid, falsework, hot and cold testing and startup, resulting loss from faulty workmanship and/or faulty design, equipment breakdown, . The insurance shall also provide coverage for ensuing loss or resulting damage from error, omission, or deficiency in construction methods, design, specifications, workmanship, or materials. The property insurance shall also include coverage for expediting expenses, soft costs, foundations, underground pipes, site preparation, and excavation. This property insurance shall cover portions of the Work stored off the site, and also portions of the Work in transit. If the property insurance requires deductibles, the Contractor shall be responsible as a Cost of the Work for costs not covered due to such deductibles, except that Owner shall be solely responsible for any and all costs not covered due to deductibles arising out of any loss due to flood(including inundation, seepage and sewer back-up), earthquake, named and un-named windstorm, hail, volcanic eruption or terrorism. 12. Section 47.1.6 - Pollution Legal Liability: The CMAR shall ensure that it and Subcontractors whose scope of work includes providing pollution services shall provide Pollution legal liability insurance in an amount not less than$5,000,000 per occurrence or claim and$5,000,000 aggregate. 13. Section 47.1.8 - Public Liability and Property Damage: The CMAR shall ensure that it and all Subcontractors provide and maintain, during the life of the Contract, comprehensive general liability insurance, including coverage for premises operations, completed operations, products and contractual exposures. Such insurance shall protect the CMAR and the Subcontractors from claims arising out of any bodily injury, including accidental death, and claims for property damages which may arise from operations under this Contract, whether such operations are by the CMAR or by any Subcontractor, or by anyone directly or indirectly employed by either of them. The minimum limits of such insurance shall be $1,000,000 for each occurrence and $2,000,000 aggregate, or such lower limits as may be agreed to by the Owner on a case-by- case basis. Such coverage for completed operations must be maintained for at least two (2) years following final acceptance of the Work performed under the Contract. 14. The attached "Orange County Crisis Diversion Center GMP Deliverable Rev 0 Dated June 3rd, 2026" is attached as Exhibit A to this amendment. 7 15. Signatures. This Agreement, together with any amendments or modifications, may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article I IA and Article 40 of North Carolina General Statute Chapter 66. 16. Except for the changes made herein,the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original Agreement and the terms of this Amendment,this Amendment shall control. "Product Data" Shall mean illustrations,standard schedules,performance charts,instructions, brochures,diagrams and other information furnished by the Trade Contractor to illustrate a material,product or system for some portion of the Work; "Provide",or"Perform" Shall mean to supply,install and connect,complete and ready for safe and regular operation of particular work referred to unless specifically noted otherwise; "RFI" Shall mean a written request to obtain information not contained,or inferable from, the Contract Documents.An RFI form will be used to obtain clarifications of the content or intent of drawings or specifications issued by the Architect; "Samples" Shall mean physical examples,which illustrate materials,equipment or workmanship and establish standards by which the Work will be judged,but not used in the actual Work; "Site Safety Officer" Shall mean the person designated by the Construction Manager who has been designated as the person responsible for implementing the field activities and ensuring that activities are conducted in strict accordance with the approved Safety Plan; "Site Supervisor" Shall be the person designated by the Construction Manager to supervise the construction activites on site.; "Specifications" Shall mean the portion of the Contract Documents consisting of the written requirements for materials,equipment,systems,standards and workmanship for the Work,and performance of related services; IIl -35- J10327.000-0032-000 • EXHIBIT B—INSURANCE The following supplements Article 5 of the Agreement: 1. TRADE CONTRACTOR'S INSURANCE OBLIGATIONS. Prior to the commencement of the Work,Trade Contractor shall obtain and maintain insurance,in a form and amount satisfactory to the Construction Manager,according to the limits(denominated in US Dollars)and terms identified below for the duration of the Project and as required after completion,covering Worker's Compensation and Employer's Liability,Automobile Liability,Comprehensive General Liability, Excess Liability and Professional Liability/Errors and Omissions,and Pollution Liability,Contractor's Equipment,Riggers Liability,Cyber Liability,and Aviation Insurance(only as applicable as set forth below). The liability limits required by Trade Contractor under this Agreement for the primary Commercial General Liability insurance,Business Automobile Liability insurance and Umbrella/Excess Liability insurance may be satisfied through any combination of limits contained on either the primary or excess liability or combined policies of insurance. Except for Professional Liability coverages,all insurance must be provided on an occurrence basis.Except as otherwise set forth below,Trade Contractor shall maintain all required insurance under this Agreement during the term of this Agreement and through the Statue of Repose period in the State in which the Project is located,or if no Statute of Repose applies,for a period of ten(10)years following Trade Contractor's fulfillment of all obligations hereunder.No work shall be commenced by Trade Contractor,and no payment due,until satisfactory evidence has been provided that the insurance required by this Agreement is in force.Insurance shall be provided by a company with an A.M.BEST,rating of"A-"or better and financial ratings not lower than"VII"in the Best's Insurance Guide,latest edition in effect as of the date of this Subcontract,and which is licensed to do business in the state in which the Project is located. Should the Trade Contractor engage a subcontractor or consultant,the Trade Contractor shall ensure that such entity(ies)maintain insurance in the same forms and amounts as would apply if such entity was the"Trade Contractor"under this Agreement. 1.1 Controlled Insurance Programs: If the Project is insured by a Contractor Controlled Insurance Program(CLIP),and/or Owner Controlled Insurance Program(OCIP),the Trade Contractor shall refer to both the Project Manual and any insurance- related addendum to the Prime Contract(incorporated herein as a Contract Document)for any additional or alternate insurance obligations. If the CCIP or OCIP requires additional coverage or higher limits from the Trade Contractor than outlined in this Exhibit,Trade Contractor shall provide such additional coverage and/or limits as applicable. Unless specifically listed as an excluded party,Trade Contractor and its lower-tier Trade Contractors must follow the enrollment procedures set forth and comply with the amounts and terms of coverage as defined in the Project Manual. Trade Contractor and any lower-tier Trade Contractors are not allowed on site until enrollment has been completed. For Enrolled Trade Contractors and as applicable per the terms of the Controlled Insurance Program,the General Liability,Umbrella Liability,and Worker's Compensation requirements(if provided by the CIP)of this Exhibit will apply to off-site activities only. In the event any provision of this Agreement or any other Contract Document conflicts with the Controlled Insurance Program Insurance Policy,the provisions of the Policy shall govern. 2. COVERAGE LIMITS AND REQUIREMENTS 2.1 Worker's Compensation/Employers Liability: Trade Contractor shall provide Workers Compensation and Employer's Liability insurance in any jurisdiction(s)where the work is being performed or where benefits maybe applied. The Workers'Compensation insurance shall include a Voluntary Compensation Coverage Endorsement. If applicable,ISO endorsement CG 24 17 shall be attached to the policy • Defense costs must be in addition to,and not deplete,policy limits; • Must not contain any exclusions or limitations of coverage because of Wrap-up exclusions or project specific exclusions. • Must not contain any exclusion for or limitation applicable to residential work,or any prior work exclusion. • Must not contain any exclusions for or limitation applicable to heights,or any similar exclusion limitation. • Must not contain any exclusions for or limitations applicable to labor law,or any similar exclusion/limitation. • Must not contain any exclusions for or limitations applicable to 3rd party over action claims,or any similar exclusion/limitation. • Must not contain any exclusions for or limitations applicable to Exterior Insulation Finish Systems,Synthetic Stucco,Direct Applied Finish Systems,or any similar system. 2.3 Business Automobile Liability:Trade Contractor shall provide Business Automobile Liability insurance on the most recent ISO form for claims for damages due to bodily injury or property damage arising out of the ownership,maintenance,or use of any land motor vehicle (including trailer or semitrailer)used in connection with the Work,including,without limitation,loading and unloading. • Limits: -37- J10327.000-0032-000 • $1,000,000 Combined Single Limit—each accident • $1,000,000 Hired&Non-owned Auto Liability limit • Coverage shall be provided for all Owned,Non-Owned,Leased and Hired vehicles • This insurance shall also include contractual liability coverage. • Any statutorily required"No-Fault"benefits and uninsured/underinsured motorist coverage shall be included. • If Trade Contractor's Work includes hauling or transporting of hazardous or regulated materials,substances,or waste,as defined in Section 2.6 below,then the required limit shall be$5,000,000,and the policy shall include the most current version of the ISO CA 99 48 Broadened Pollution Liability and MCS 90 endorsements Coverage can be provided through a Pollution Liability policy in lieu of the above. • If Trade Contractor's work is to be performed within fifty(50)feet of any railroad property or affecting any bridge or trestle, tracks,roadbeds tunnels,underpass or crossing,then the most current version of ISO CA 20 70(or its equivalent)shall be attached to the auto policy. 2.4 Umbrella/Excess Liability: Trade Contractor shall provide occurrence-based Umbrella/Excess Liability insurance providing coverage in excess of the required Employer's Liability,Commercial General Liability and Business Automobile Liability policies.The policy shall be follow-form to the underlying policies and have no exclusions broader than the underlying coverage. Umbrella/Excess policy shall provide a priority of coverage endorsement or its equivalent and shall"drop down"for defense and indemnity in the event of exhausting of the underlying policies. • Limits: • $5,000,000 Each Occurrence • $5,000,000 Aggregate • If the Trade Contractor's Work requires it to provide a crane used to hoist,lower and horizontally move a suspended load then: • $25,000,000 Each Occurrence/$25,000,000 Aggregate for tower cranes(If New York,then limit shall be$80,000,000 Each Occurrence/$80,000,000 Aggregate,or as required by the local authority,whichever is greater) • $10,000,000 Each Occurrence/$10,000,000 Aggregate of other cranes 2.5 Professional Liability: If the Trade Contractor's scope of work(including the scope of any of its subcontractors or subconsultants) includes providing professional services that include,but are not limited to, preparing or approving maps,opinions,reports,surveys,field orders, engineered shop drawings,and/or drawings and specs;and also supervisory,inspection,quality control,architectural and engineering activities by the Trade Contractor or by Trade Contractor Lower-Tier Contractors on behalf of the Trade Contractor,the Trade Contractor shall provide Professional Liability insurance. • Limits: • $2,000,000 per claim/$2,000,000 aggregate for Design Assist Work,where Trade Contractor is not providing any calculations, ■ engineering,surveying,signing or stamping of documents. n • $2,000,000 per claim/$2,000,000 aggregate for Delegated Design OR Design Builder work where the Contract Sum is less than $10,000,000. However,if the scope of work involves curtainwall,then the required limit shall instead be$5,000,000 per claim/ $5,000,000 aggregate. • $5,000,000 per claim/$5,000,000 aggregate for Delegated Design OR Design Build work where the Contract Sum is greater than$10,000,000 but less than$25,000,000. However,if the scope of work involves curtainwall,then the required limit shall i instead be$10,000,000 per claim/$10,000,000 aggregate. ■ • $10,000,000 per claim/$10,000,000 aggregate for Delegated Design OR Design Build work where the Contract Sum is greater than$25,000,000 but less than$50,000,000. However,if the scope of work involves curtainwall,then the required limit shall instead be$15,000,000 per claim/$15,000,000 aggregate. -38- J10327.000-0032-000 • For Delegated Design OR Design Build work where the Contract Sum is greater than$50,000,000,then the insurance limit shall instead be defined in Article 13 of this Agreement. 2.6 Pollution Liability: If the Trade Contractor's scope of work(including the scope of any of its subcontractors or subconsultants) includes providing pollution services that include,but are not limited to,work involving water or wastewater,(including without limitation fire suppression,pool installation,HVAC,plumbing,underground utilizes and sewers)as defined in applicable law,regulation,ordinance or code,or performing:testing,investigation and characterization of contamination of land,groundwater or structures,demolition of structures,abatement, replacement,repair,enclosure,encapsulation of hazardous or regulated materials(Hazardous or regulated materials shall include,but are not limited to,asbestos,petroleum products,lead,mold,mercury or polychlorinated biphenyls("PCBs")),remediation of contaminated soil or groundwater including transportation and disposal of contaminated media,installation or removal of underground storage tanks,or any storage, transportation or disposal of materials that are hazardous or regulated under environmental laws by the Trade Contractor or by subcontractors on behalf of the Trade Contractor,the Trade Contractor shall provide Contractor's Pollution Liability Insurance • Limits: • $5,000,000 Each Occurrence • $5,000,000 Aggregate • The policy shall include coverage for bodily injury and property damage liability,remediation,defense costs,and clean-up costs arising from pollution events or conditions on,at,under or migrating from the Work site,and from transportation and disposal of pollutants and/or contaminated by pollution and shall provide non-owned off-site disposal coverage if hazardous or regulated materials will be transported to a disposal site. • If Trade Contractor's scope of work includes mold/fiangus remediation or the Project involves any residential,health care,custodial care or educational occupancy,then the contractor's pollution liability insurance shall include mold/fungus liability coverage for the full amount of the limits required herein. • If Trade Contractor is subcontracting out its entire scope of pollution services,Construction Manager may accept proof of the pollution liability insurance required in this Article from each person or entity who is performing the pollution services on behalf of F Trade Contractor. • The retroactive date on all pollution liability policies provided by Trade Contractor or any of its subcontractors shall precede the start of any work. L 2.7 Contractor's Equipment/Property Coverage II Trade Contractor shall procure and maintain all-risk property insurance necessary for protection against loss of owned,borrowed,or rented equipment or tools(including mechanical heavy equipment)including any tools owned by employees,and any tools,equipment,staging towers, and forms and other property,the capital value of which is not intended to be incorporated into the Work. The Trade Contractor shall be responsible to provide insurance for any purchased material while in off-site storage and/or in transit. If Trade Contractor's Work includes move management services such that it is responsible for: moving of personal property from one location to another(or within a single location),storage of personal property at one or more locations and/or installation of personal property then it shall provide an installation floater covering such exposures for the full replacement cost of such property. Failure of the Trade Contractor to secure such insurance or to maintain adequate levels of insurance shall not obligate Construction Manager or the Owner or any other Additional I I I Insured/Indemnitee for any losses.Policy shall include a Waiver of Subrogation in favor of all Additional Insureds. P 2.8 Crane Utilization Requirements/Riggers Liability: All Trade Contractors operating,hiring or contracting others to use,operate or hire a crane will be required to supply Construction Manager with an updated crane certification and adhere to all current OSHA Standards, including OSHA Standard#1926.1427,and any subsequent revisions. The crane certification shall be kept on the job site at all times. • Trade Contractor will maintain or cause to be maintained property damage insurance sufficient for the value of the crane. -39- J10327.000-0032-000 • The policy must contain a Riggers Liability endorsement with minimum limits equal to the value of the most expensive hoist intended in the Trade Contractor's Scope of Work and provide coverage for loss or damage to all property,including not only property in operator's care,custody and control but also consequential damage to all other property arising from all Crane and/or Rigging operations. • The insurance coverages will be the broadest form available including,Boom Overload and Collapse,Over-the Road Liability,Debris Removal,Preservation of Property and if applicable,Property in Transit. The policy will name the Construction Manager,Owner and other entities as may be reasonably requested as Additional Insureds and Loss Payees. • All damages to the crane are the sole responsibility of the Trade Contractor and the Trade Contractor waives and shall cause all applicable insurance carriers providing physical damage insurance on the Crane to also waive all right of recovery against the Construction Manager,Owner,parties required of the Prime Contract and all other parties with interest in the Project for all damages to the crane. 2.9 Cyber Liability Insurance: If the Trade Contractor's scope of work for the Agreement involves working on Building Information ' Systems,Security/Access Control Systems or Tel/Data Systems,handling personally identifiable information of Construction Manager ori Owner,the Trade Contractor shall provide Cyber Liability Insurance. • Limits: • $2,000,000 Each Occurrence • $2,000,000 Aggregate • Coverage shall be sufficiently broad to respond to the duties and obligations as is undertaken by Vendor in this agreement and shall include,but not be limited to,claims involving:infringement of intellectual property(including but not limited to infringement of copyright, trademark,and trade dress),invasion of privacy violations,information theft,damage to or destruction of electronic information,release of private information,alteration of electronic information,extortion,and network security.The policy shall provide coverage for breach response costs as well as regulatory fines and penalties as well as credit monitoring expenses with limits sufficient to respond to these obligations. 2.10 Aviation Liability Insurance: In the event any fixed aircraft,rotary aircraft,or Unmanned Aerial Vehicles("drones')are used in the execution of the Work,whether owned,leased,or borrowed,Aviation Insurance is required. • Limits: • $5,000,000 Each Occurrence for drones • $25,000,000 Each Occurrence for helicopters,plus Aircraft Hull Insurance for the full replacement value of the aircraft • Insurance shall provide coverage for all claims,suits,obligations,liabilities and damages(including attorneys'fees)arising out of actual or alleged Bodily hijury,Property Damage,and/or Personal and Advertising Injury 2.11 Other Coverages: To the extent that the Trade Contractor's work requires any additional insurance coverage,including but not limited to Marine Coverage,Construction Manager reserves the right to require the Trade Contractor to maintain such additional coverage as applicable. To the extent that the Prime Contract requires additional insurance or coverage with higher limits than required in this Exhibit B,then Trade Contractor shall provide additional coverage and/or higher limits. 3. GENERAL INSURANCE REQUIREMENTS 3.1 Additional Insureds: For purposes of this Article"Additional Insureds"shall mean(1)the Construction Manager(and its partners or members if Construction Manager is a joint venture or LLC),(2)Owner,(3)both Owner and Construction Manager's officers,directors and employees,(4)any person or entity requested by Construction Manager or Owner,and(5)any other person or entity required to be added as an additional insured by the Contract Documents or you have agreed to in writing. The Additional Insured parties shall be granted such status on the Trade Contractor's Commercial General Liability,Commercial Automobile Liability,Umbrella/Excess Liability,and Pollution policies. Each policy shall state that the insurance provided to the Additional Insured is Primary and Non-Contributory to any other insurance(including primary,excess,self-insurance,or on any other basis)available to the Additional Insured. The policies provided under this Exhibit shall not eliminate or restrict coverage for claims or suits between Named Insureds and Additional Insureds. To the fullest extent permitted by law,the -40- J10327.000-0032-000 • coverage provided to the Additional Insureds must be at least as broad as that provided to the first Named Insured on each policy. In the event that any policy provided in compliance with this Exhibit states that the coverage provided to an Additional Insured shall be no broader than that required by contract,or words of similar meaning,the parties agree that nothing in this Exhibit is intended to restrict or limit the breadth of such coverage. With respect to the Commercial General Liability policy,Additional Insured status must be provided on I.S.O.forms CG 20 10 11 85 (Additional Insured—Owners,Lessees or Contractors)OR CG 20 10 10 01 (Additional Insured—Owners,Lessees or Contractors—Sched. Person or Organization)AND CG 20 37 10 01 (Additional Insured—Owners,Lessees or Contractors—Completed Operations),or their collective equivalent that has been approved by Construction Manager prior to the Trade Contractor entering the site. The Additional Insured parties shall be granted such status on the Completed Operations endorsement through the Statute of Repose period. 3.2 Minimum Limits: The limits of insurance stated above for each type of insurance are minimum limits only;in the event Trade Contractor's policy provides greater limits,this Exhibit shall be deemed to require such limits,and the Additional Insureds shall be entitled to,or to share in,the full limits of such policy. 3.3 Waiver of Subrogation: Trade Contractor agrees to waive any right of action against Construction Manager(and its partners if Construction Manager is a joint venture or its members if an LLC),Owner,and any others required to be provided a waiver by the Contract Documents and/or the Prime Contract(collectively the"Waiver Parties")for recovery of loss and/or damages to the extent covered,or that should have been covered,by the insurance required of Trade Contractor in the Contract Documents or any other insurance provided by Trade Contractor which is applicable to the Project. Such waivers shall be provided by specific endorsement if the policy itself does not otherwise provide the required language.Trade Contractor will require its sub-Trade Contractors,agents and employees,by appropriate agreements, written where legally required for validity,to provide similar waivers in favor of the parties enumerated herein.A waiver of subrogation shall be effective as to a person or entity even though that person or entity would otherwise have a duty of indemnification,contractual or otherwise,did not pay the insurance premium directly or indirectly,and whether or not the person or entity had an insurable interest in the property damaged. 3.4 Deductibles and Self-Insured Retentions: Trade Contractor shall be responsible for payment of all deductibles and/or self-insured retentions for all insurance policies it provides in compliance with this Exhibit. The coverage afforded to the Additional Insureds shall not be conditioned on the Additional Insureds'payment of any deductible or self-insured retention. The policies Trade Contractor furnishes in compliance with this Section shall not be subject to any deductible or self-insured retention in excess of$250,000 unless approved in writing by Construction Manager. 3.5 Certificates of Insurance: Within five(5)days following the execution of this Contract,and prior to the commencement of the Work,and prior to any personnel coming onto the Site,and within three(3)days of any renewal,change in coverage,or replacement of coverage,Trade Contractor shall provide a Certificate of Liability Insurance(Acord form 25 2016/03). The Certificate shall: • State the Project name and number,list the Additional Insured,Primary and Non-Contributory and Waiver of Subrogation coverages as being provided in the Description of Operations section. • Any schedule required in such endorsements shall include all parties as Additional Insureds including any and all indemnities as specified in the Prime Contract. Acceptable language for an annual blanket certificate of insurance shall include"for whom you have agreed in a written contract,Agreement,or Work Order." • Include evidence of any self-insured retentions. • Include as an attachment hard copies of the Additional Insured(for both Ongoing and Completed Operations),Primary Non- Contributory,and Wavier of Subrogation endorsements. Trade Contractor shall continue to provide COIs to Construction Manager upon renewal,and at the time of any change in insurer,limits,or coverage,through the duration for which such insurance is required under this Exhibit. A Trade Contractor's failure to provide COIs shall not relieve it of its responsibility to carry and maintain the required insurance.Construction Manager's failure to demand or inspect a Trade Contractor's COI,and/or Construction Manager's failure to identify or object to any discrepancy therein,is not a waiver of any insurance requirement. If Trade Contractor fails to comply with its insurance obligations Construction Manager may be considered a material breach of this Agreement and Construction Manager may withhold monthly progress payments and exclude Trade Contractor from the Project site until -41 - J10327.000-0032-000 such time as it complies with its obligations.
