Purpose. The purpose of this Agreement is to establish CPRC as the administrator and implementor of the Electrify the Triangle project. This effort is a multi-jurisdictional approach to electrifying residential units throughout the region, with the goal of supporting the County's sustainability goals as well as its desire to reduce the energy cost burden of its residents. NOW, THEREFORE, in consideration of the mutual covenants and conditions hereinafter expressed, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto covenant and agree as follows: 2. Services Rendered by CPRC. a. See Exhibit A attached hereto and herein incorporated by reference (“Scope of Services"). Work will be completed in a timely manner in full compliance with the terms and conditions of this Agreement, including proper documentation of work completed. 3. Funding. The County shall pay CPRC in one lump sum in the amount of $5,115 after execution of this Agreement to be used in accordance with the terms of this Agreement. 4. Term. This Agreement shall become effective upon execution by both CPRC and the County and shall expire on June 30, 2027, unless extended by an amendment. 5. Amendments-Waiver. Any amendment to or modification of this Agreement and any waiver of any provision hereof, shall be in writing and shall require the prior written approval of CPRC and the County. 6. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina applicable to contracts made and to be performed therein. Each Party hereby agrees to submit to the nonexclusive jurisdiction of the court in and of the State of North Carolina and to the courts to which an appeal of the decisions of such courts may be taken and consents that service of process with respect to all courts in and of the State of North Carolina may be made by registered mail to such address set forth on page 1 hereof. 8. No Third-Party Beneficiaries. This Agreement is not intended to confer any rights or remedies upon any Person other than the parties hereto and their successors and permitted assigns. 9. Severability. If any provision of this Agreement, or any portion hereof, is found to be invalid, illegal or unenforceable, under any applicable statue of law, then such provision or portion thereof shall be deemed omitted and the validity, legality and enforceability of the remaining provision shall not in any way be affected or impaired thereby. 10. Termination. This Agreement may be terminated by either CPRC or the County upon thirty (30) days written notice without penalty. In the event of such termination, CPRC will only reimburse for portions of the project that have not yet been completed. 11. Successors and Assigns. Neither of the parties shall have the right to assign this Agreement to its successors and assigns, including all covenants and agreements hereunder, without the prior written consent of either CPRC or the County. 12. Entire Agreement. This Agreement constitutes the full and entire understanding and agreement between the parties hereto with regard to the subject hereof, and supersedes all prior agreements and understandings, whether oral or written, with respect hereto. The Triangle Sustainability Partnership, made up of staff from participating local governments, will focus on strategic design and planning that is most relevant for this region, vendor engagement, community education, and trust-building with local leaders. This Triangle Sustainability Partnership specifically focuses on enhancing resources and expertise that eases the navigation process for residents (homeowners, renters, or other residential property owners), as they seek guidance while embracing their electrification journey. Using shared resources and vendors, the Electrify the Triangle Sustainability Partnership will create a platform that can offer local communities, homeowners, renters, and other residential property owners the ability to navigate various program offerings, provide education and outreach opportunities, and find vetted and qualified contractor(s) to support the electrification of residential units. This will be coupled with oversight into how homeowners can capitalize maximizing the usage of various grants, rebates, tax credits, and energy savings that may be applicable. This will allow homeowners to make informed decisions in a more cost-effective way – while also promoting climate, social, and economic benefits throughout the region. There is an interest in strategizing how the Triangle Sustainability Partnership may be able to increase access to electrification and clean energy technologies for moderate income households (and low-to-moderate income, if possible). Triangle Region Model The Triangle Sustainability Partnership has identified the list of priority electrification and clean energy technologies below to focus on for the first phase of implementation. This list is not exhaustive and there is the opportunity to expand at the recommendation and approval of the Triangle Sustainability Partnership. Additional work may include increased support for low-to- moderate income qualifying residents. Any changes or additions to the Scope of Services must be approved in writing by both parties prior to implementation. If such changes materially affect the cost or schedule, the parties shall negotiate an adjustment to the contract price and/or schedule before the additional work begins. Triangle Sustainability Partnership Coordination Schedule, organize, and facilitate Triangle Sustainability Partnership meetings. Triangle Sustainability Partnership members are local governments who are paying to be a part of Electrify the Triangle. There may be a need to engage additional stakeholders. Stakeholders can be defined as representatives from state agencies, community-based organizations, or other entities that will help advance the work of Electrify the Triangle. Central Pines (lead) Maintain meeting agendas, meeting notes, and follow-up actions. Central Pines (lead) b. Program Design and Facilitation Facilitate collaboration around the design phase of Electrify the Triangle, tailored to meet local and regional needs of the Triangle Sustainability Partnership. Align program goals with the Triangle Sustainability Partnership’s priorities. Central Pines (lead) with input from participating local governments (supporting role) Incorporate engagement into the planning and implementation process and leverage related stakeholders, sectors, and departments, including home repair specialists, planning staff (permitting), among others. Central Pines (lead) with input from participating local governments (supporting role) Work through local government partners to engage community leaders to foster trust and program credibility. This will include creating an approach for how to reach out to community leaders, which may look different for each Triangle Sustainability Partnership member. *A community leader can be defined as someone who has influence within Central Pines and the navigation vendor (lead) with input from participating local governments (supporting role) Docusign Envelope ID: FE7591C6-F85F-8EB3-812A-D3E9FE0DF997 a community, and/or serves as a liaison for community members. Work through local government partners to incorporate community feedback into program design and outreach. Participating local governments (lead) with assistance from Central Pines (supporting role) c. Community Education and Outreach Standardize communication materials for shared marketing tools, including the development of messaging around how the Electrify the Triangle program differs from and builds upon other programs. Coordinate outreach efforts targeting residents and contractors. This will be during both the planning and implementation phase. Central Pines and the navigation vendor (lead) with input from participating local governments (supporting role) Central Pines and the navigation vendor (lead) will facilitate at least one regional event in each jurisdiction with input from participating local governments (supporting role) d. Coordination of Incentives from Vendors Assess opportunities for bulk purchasing of electrification and clean energy technologies, propose options within this program’s scope, and facilitate innovative incentives offered by vendor(s). Central Pines and the navigation vendor (lead) with input from participating local governments (supporting role) Facilitate procurement of bulk purchasing. Central Pines (lead) with input from participating local governments (supporting role) *This may be led by the navigation vendor if that is the preferred path identified in the future. e. Vendor Engagement Develop a model that leverages gap financing tools and partners, such as the Clean Energy Fund of the Carolinas Central Pines and the navigation vendor (lead) with input from participating local governments (supporting role) Develop applicable tools such as permitting checklists to help streamline processes that benefit contractors and Triangle Sustainability Partnership members. *Develop other beneficial checklists as desired. Manage vendor selection and contracting processes. This includes developing contracts with the contractors and overseeing invoicing and payment schedules. Central Pines (lead) will facilitate a contract with the navigation vendor. The navigation vendor may choose to execute contracts with the participating electrification and clean energy vendors. f. Accessibility Develop strategies to increase access to electrification and clean energy technologies for renters, moderate income households, and potentially, low-income households. This may include identifying gap financing tools and partners (as referenced above). Contract amendments may be made to support implementation of these strategies. Central Pines and the navigation vendor (lead) with input from participating local governments (supporting role) Identify barriers and propose solutions to improve participation. g. Contractor Recruitment and Education Engage HVAC, plumbing, electrical, and other related contractors, including both new and legacy local businesses, to generate interest in the program – and ensure that proper skillsets are being learned to install these types of technologies. Navigation vendor (lead) Deliverables – Central Pines: • Create meeting schedules, agendas, and summaries. • Complete and compliantly issue RFPs and collect vendor selection documentation. • Create and execute engagement strategy – like outreach materials and event plans. • Plan and support community events, in person and online, focused on electrification and clean energy awareness. • Create program design framework and implementation roadmap. • Report on low- and moderate-income level engagement and access strategies. • Coordination of bulk purchasing (if the opportunity presents itself) and coordination of incentives from vendors (i.e. extended periods of warranty). Timeline • Project Start: October • November/December 2025 – Issue contracts and invoicing • Phase 1 (Coordination, Program Design, and RFPs): October 2025 – March 2025 Docusign Envelope ID: FE7591C6-F85F-8EB3-812A-D3E9FE0DF997 • Phase 2 (Education & Outreach): January 2026 – June 2027 • Phase 3 (Implementation): June 2026 – June 2027; noting that program design will continue to take place throughout the implementation process (as needed) • Project End: June 2027*At this time, Triangle Sustainability Partnership members may decide to extend to program for an additional timeframe, which would continue to offer the program to residents. Changes to the timeline require written approval between both parties. This contract may be amended to allow for a program extension. Reporting • Biweekly to monthly Triangle Sustainability Partnership convenings. Progress reports to Triangle Sustainability Partnership leadership. • Written quarterly reports for Triangle Sustainability Partnership members to include status on recent accomplishments in the past quarter, upcoming planned work in the next quarter, timeline, budget, and any risks. • Two report outs each year – including a comprehensive overview of inquiries and contractor engagement by community. Communities may request up to two more reports each year, for a total of four. Central Pines understands that part of the intent is to allow constituents to remain up to date on project impact. • Identified demographic data. • Aggregated data for each community identifying how many households come to the navigation site versus how many make a purchase (conversion rate). • With permission, inclusion of testimonials and storytelling from participating households. • The navigation vendor will also be tasked with reporting on certain items such as (but not limited to): o Reduction in greenhouse gas emissions o Financial impacts (anticipated energy bill savings) o Energy usage pre- and post-electrification o Appliance preferences o Common reasons for not pursuing certain electrification technologies (i.e. not a priority, cost, etc.) Invoicing Invoicing will be issued quarterly to align with the quarterly reports.
