BACKGROUND: The County has leased space at Carr Mill Mall for the Health Department clinics since March 1979. In September 1979, the County received grant funds from the Robert Wood Johnson Foundation to operate a primary care dental clinic. An additional 1,444 square feet was leased for this purpose. The total amount of square footage leased at this location is 5, 580. The lease was renewed in 1998 with a revised floor plan that accommodated an expanded Dental Clinic and the Public Defender's office. Both tenants are expected to occupy the space throughout this renewal period through June 30, 2008. The Landlord has agreed to renew the lease for an additional five-year period with no increase in the base rent for the entire renewal period. The lease rate is $96,363.48 per year. Taxes are assessed separately and are billed based on the actual tax obligation for Carr Mill Mall. Any increase in the tax liability over the five-year period would be paid by the County as additional rent. The lease includes utilities, cleaning and all maintenance to the facility. FINANCIAL IMPACT: There is no increase in the base rent for the entire five-year renewal period. The lease rate is $96,363.48 per year, and these funds will be included in each fiscal year's budget request. RECOMMENDATION(S): renewal for Carr Mill Mall Board. z The Manager recommends that the Board approve the lease space as presented; and authorize the Chair to sign on behalf of the STATE OF NORTH CAROLINA COUNTY OF ORANGE AMENDMENT TO LEASE THIS AMENDMENT TO LEASE, made and entered into this the 20th day of May 2003, by and between Carr Mill Mall Limited Partnership, a North Carolina Domestic I:imited partnership, hereinafter referred to as "LANDLORD", and, Orange County, a politic subdivision of the State of North Carolina, hereinafter referred to as "TENANT"; WITNESSETH: THAT, WHEREAS, the parties hereinto entered into a Lease Agreement dated October 4, 1985 and renewed on March 3, 1991, November 2, 1993, May 14, 1996 and Mary 6, 1998, (the "Lease"), containing 5580 square feet of leasable area, in the Carr Mill Mall, and identified as space # D-15. WHEREAS, the parties hereto have mutually agreed as herein set forth; NOW, THEREFORE, in consideration of the sum often dollars ($10.00) in hand, paid by each of the parties hereto, and for other good and valuable consideration, the receipt and adequacy of is hereby mutually acknowledge, the parties hereby agree as follows. 1. The Lease term is hereby renewed for a period commencing on July 1, 2003 and continuing through June 30, 2008. 2. Section 2 (a) of the Lease will be modified as follows: During the term of this renewal period, Tenant shall pay to Landlord rent in the amount of $96,363.48 per year, in monthly installments of $8,030.29. Payable in advance, on the first of each month. 3. Sections 2 (b), (c), (d) and (e) are deleted. 4. Tenant accepts premises "as is". 5. During this renewal, all other terms and conditions of the lease will remain the same. Except as expressly modified herein, all of the terms, covenants, and conditions of the lease are hereby ratified and confirmed to be in full force and effect.
