WITNESSETH: THAT WHEREAS, the County and Provider entered into a contract dated November 1, 2024, with an internal designation of 2024-674 (hereinafter the “Original Agreement”), for the provision of services for Professional Engineering Services for the Lake Orange Intake Tower Rehabilitation-Replacement Project; and WHEREAS, the County and Provider entered into a contract amendment dated February 28, 2025, with an internal designation of 2025-094 (hereinafter “Contract Amendment 1”), for the provision of a no-cost time extension for Professional Engineering Services for the Lake Orange Intake Tower Rehabilitation-Replacement Project; and WHEREAS, the County and Provider entered into a contract amendment dated January 16, 2026, with an internal designation of 2026-027 (hereinafter “Contract Amendment 2”), for the provision of a no-cost time extension for Professional Engineering Services for the Lake Orange Intake Tower Rehabilitation-Replacement Project; and WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. Section 3(a)(ii) is replaced in its entirety with the following: The Basic Services will be performed by the Provider in accordance with the following schedule: (Insert milestones task list, dates and fees. The term of this Agreement shall be from March 11, 2026 to January 31, 2027. 3. Section 5(a) is replaced in its entirely with the following: Compensation for Basic Services. Compensation for Basic Services shall include all compensation due the Provider from the County for all services satisfactorily (as determined by the County) performed pursuant to this Agreement. The maximum amount payable for Basic Services is THREE HUNDRED TWENTY FOUR THOUSAND ONE HUNDRED AND 00/100 Dollars ($324,100). In the event the amount stated on an invoice is disputed by the County, the County may withhold payment of the disputed portion of the amount stated on an invoice until the parties resolve the dispute. Payment for Basic Services shall become due and payable in direct proportion to satisfactory services performed and work accomplished. Payments will be made as Project milestones as set out in Section 3(a)(ii) are achieved up to the corresponding milestone fee. (For example, Provider may invoice for the amount listed as the milestone fee corresponding to the first milestone task upon County’s acknowledgement of the satisfactory completion of Task one. Upon the County’s acknowledgement that the second Task has been satisfactorily completed Provider may invoice for that corresponding milestone fee.) Milestone fees shall be the maximum amount payable for its corresponding milestone task which shall not be altered except by written amendment. 4. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original Agreement and the terms of this Amendment, this Amendment shall control. (Schnabel) is pleased to submit this proposal to provide coordination, observation, and review of a geotechnical exploration program for the Intake Tower at Lake Orange Dam. It is our understanding the geotechnical subsurface exploration will be performed by Catawba Valley Engineering and Testing (CVET), under separate contract to the County. The services proposed by CVET include a geotechnical exploration program to better characterize the subsurface conditions (depth to rock and stiffness of overburden soils) around the existing intake tower to aid in the design of a temporary cofferdam for the construction of the replacement intake tower. The drilling will also include a boring in the dam crest to provide soils data for the evaluation of construction loads on the dam and to install an open-standpipe piezometer with a flush-mount cover that is rated for traffic loads. 1.0 PROJECT DESCRIPTION AND BACKGROUND Lake Orange Dam (ORANG-005, NC-00773) is located in Cedar Grove, North Carolina, and impounds the East Fork of the Eno River. The dam and reservoir are owned and maintained by Orange County, and the reservoir is used primarily for public water supply and water management within the East Fork of Eno River. A secondary use of the reservoir is private recreation. The dam is regulated by North Carolina Department of Environmental Quality (NCDEQ) Dam Safety as a medium-size, high hazard structure. The existing intake tower is in poor condition and Schnabel performed an alternatives analysis to evaluate the merits of rehabilitating the existing tower and gates or replacing the existing tower and gates. Orange County selected replacing the existing tower and Schnabel is under contract to perform design services for the new tower. 2.0 SCOPE OF SERVICES Our scope of services for the geotechnical exploration are divided into three tasks. These services will be performed under the supervision of a Professional Engineer or Geologist registered in North Carolina. Task 1 – Planning and Coordination Schnabel will work with the County to develop and review the scope of the geotechnical exploration to be performed by CVET. We will also assist the County with the development of a specification for drilling and sampling for the work by CVET. We have assumed CVET will contact the appropriate public utility location service (NC 811) and coordinate with the County to mark their private utilities on the project site at least 72 hours before any drilling occurs. Task 2 – Geotechnical Exploration Observation The geotechnical investigation is anticipated to include four borings performed around the existing intake tower from a barge and one boring in the crest of the dam. The proposed depths and sampling frequencies for each boring to be performed by CVET are summarized in Table 1. Schnabel proposes to have one staff member on-site during the geotechnical explorations. We have assumed drilling will take seven days to complete not including time to move between borings. The staff member’s responsibilities will include observing drilling operations, and collecting and describing soil and rock samples, and confirming test boing locations with a submeter accurate Trimble GPS. It is our understanding that CVET will perform the laboratory testing of samples collected during the subsurface investigation. Schnabel will assist CVET with selecting which samples will be tested and assigning the laboratory testing. It is anticipated that the soil testing will generally consist of moisture content, gradations, and plasticity testing. The actual quantities and type of tests will be determined based on the findings and obtained samples from the geotechnical exploration. Task 3 – Geotechnical Data Report This task includes the preparation of a Geotechnical Data Report (GDR) to summarize results and key findings from the efforts performed under this scope of services and the geotechnical exploration by CVET. Detailed quality control/quality assurance review of the field and laboratory test data will be performed to support the development of the GDR. The report will include descriptions of the site and regional geology, findings of the geotechnical exploration program, soil laboratory test results, and supporting tables and figures. 3.0 ASSUMPTIONS AND EXCLUSIONS The following assumptions apply to the scope of services described herein. • CVET will complete the geotechnical exploration in seven to ten days of field work. • Work will be generally performed between the hours of 7:00 AM and 5:00 PM. • The field exploration will include up to 7 days of drilling, grouting, and observation well installation. • The scope of services herein will be performed as additional services under the agreement executed for our previous scope of services on November 1, 2024, and amended February 28, 2025. 4.0 TENTATIVE SCHEDULE Upon Notice to Proceed (NTP), Schnabel will begin coordination with the County and CVET. A kick-off meeting with all parties to discuss and review the drilling plan and scope of work will be performed one to two weeks prior to mobilization to the site. Schnabel will coordinate coverage of the geotechnical exploration with CVET and the County. It is our understanding the geotechnical exploration work will be voted on at the March 5, 2026 County Commissioners’ Meeting, and the work, if approved, is expected to begin approximately two weeks following this meeting. It is our understanding that the geotechnical exploration and laboratory testing is planned to be completed by April 24, 2026. Schnabel will begin preparation of the GDR following the field work, but the laboratory testing will need to be completed prior to finalizing the document. As such, it is anticipated that the report will be submitted to Orange County within two weeks of receiving the laboratory test results. In total, the scope of services described herein is anticipated to be completed within three (3) months from NTP. Our current Schedule of Personnel Fees is included as Attachment 3. The fees were estimated for the specific scope of services detailed herein. The fees for work requested beyond the scope of services provided herein will be based on our current unit prices at the time the work is authorized.
