PURPOSE: To review proposed revisions to the by-laws of the Orange County Human
Services Transportation Advisory Board.
BACKGROUND: The Transportation Advisory Board by-laws have not been revised since
March 9, 1992. Over the years several issues have occurred: (1) the Board size proved to be
too large, especially with the inclusion of alternates ;(2) some of the permanent agency
appointments were felt to be no longer needed on the Board, while other agencies such as
(Triangle Transit Authority) TTA and EMS were judged to be necessary.
The existing Transportation Advisory Board membership reviewed the by-laws on May 23, 2000
and recommended the following changes: (1) drop Human Services in the board name to reflect
its broader concern with public transportation; (2) reduce the Board size from 21 to 19 members
with no alternates; and, (3) expand community representation on the Board.
Additionally, a revised Transportation Board structure would be of greater benefit in working on
the updating of the Community Transportation Improvement Plan (CTIP), and assisting in the
selection of the consulting firm to conduct the plan update.
FINANCIAL IMPACT: There is no financial impact associated with the proposed changes.
RECOMMENDATION(S): The Manager recommends that the Board review the proposed by-
laws revisions and provide direction and feedback to staff. Staff intends, with any modifications
made, to bring the item back to the Board for formal action at its meeting on May 6.

Article I-NAME
The name of the board established by the Orange County Commissioners is the Orange
County u,,,,.,,,,, c°~~~~°° Transportation Advisory Board (T.A.B.)
ARTICLE II-POWERS AND DUTIES
The Transportation Advisory Board shall be responsible for the following duties:
(1) Serve as a liaison between the residents of Orange County and the County
Government concerning transportation issues.

(3) Recommend policy to the Board of County Commissioners, particularly with
respect to a comprehensive, coordinated, cost effective approach to the delivery
of transportation services for human services agencies.
(4) Work to stimulate and promote needed transportation services and programs for
Orange County residents.
(5) Assist public and voluntary agencies in providing transportation services to their
clients.

ARTICLE III -COMPOSITION
1. Number and qualifications
The Orange County Transportation Advisory Board is composed of t~~e

2. Terms and Replacement of At Lame Members
At Large members of the Transportation Advisory Board shall serve tie-ye~a~
three year terms, but no more than two consecutive three year terms.
3. Vacancies
All vacancies on the Transportation Advisory Board shall be filled by
appointment by the County Board of Commissioners, or the agency appointee.
The person appointed shall serve for the unexpired portion of the term.
4. Attendance
Any member of the Board who misses more than three meetings any twelve
month period, shall lose his/her status as a member of the Board and shall be
replaced by the Orange County Board of Commissioners or the Agency
appointing them. Absences due to sickness, death of an immediate family
member shall be considered approved absences and shall not affect the member's
status. Following the second absence, the secretary will notify the member in
writing of the attendance policy.
ARTICLE IV - REULAR MEETINGS
1. Dates and Locations
Regular meetings of the Orange County Transportation Advisory Board will hold

maximum time limit of two (2) hours. Location of meetings and specific times
will be established by the Transportation Advisory Board.

2. uorum
A majority of the Board then in office shall constitute a quorum for the
transaction of business for any meeting of the Board.
ARTICLE V -OFFICERS
1. Number and Title
The principle officers of the Board shall be a chairperson, vice-chairperson and
secretary. The office of secretary will be held by the Director of the Orange
County Department on Aging or another appointee of the County Manager.
2. Election
The chairperson and vice-chairperson shall be elected by the Board for a term of
one year at its first meeting in the County fiscal year or until his/her successor
shall be duly elected and qualified.
3. Vacancies
Any vacancy in any office elected by the Board may be filled by the Board for the
unexpired portion of the term.
4. Chairperson
The chairperson shall preside at all meetings of the Board and shall represent the
Board in approved activities on its behalf.
5. Vice-Chairperson
In the absence of the Chairperson, the Vice-Chairperson shall perform the duties
of the Chairperson.
6. Secretary
The Director of the Department on Aging or another appointee as Secretary
shall:
(a) record and keep a file of the minutes of the board meetings,
(b) see that all notices of meetings are duly given and,
(c) in general perform all duties incident to the office of secretary.

ARTICLE VI -COMMITTEES
The Board may designate one or more Committees as it shall determine, persons other
than Board members may be named to committees, but they may not serve as
chairperson.
ARTICLE VII -RULES OF ORDER
At all meetings of the Board and of such committees as may be established by it,
parliamentary procedure shall be governed by the latest edition of Roberts Rules of
Order, and as modified by the rules of the Board.
ARTICLE VIII -AMENDMENTS
These by-laws may be adopted, altered or appealed by the affirmative votes of a majority
of the members in office at any regular or special meeting of the Board, but only if the
written notice of such meeting shall have contained a copy or an accurate summary and
explanation of the proposed by-laws amendment, alteration, or repeal as the case may be.
The written notice of the proposed by-law change must be mailed at least 7 days prior to
the meeting. Amended by-laws shall then be submitted to the Orange County Board of
Commissioners for final approval.

reflect the services provided by a rural public transit service.
Article II-Powers and Duties: #6. Change the name of the Development plan to reflect
the NCDOT Community Transportation Improvement Plan (CTIP).
