ORANGE COUNTY BOARD OF COMMISSIONERS
Resolution Approving Conveyance of Property to a Nonprofit Organization
WHEREAS, Orange County owns a 2005 Dodge Caravan (the "Property"); and
WHEREAS, North Carolina General Statute §160A-279 authorizes a county to convey real or
personal property by private sale to a nonprofit corporation if the county is authorized by law to
appropriate money to the corporation; and
WHEREAS, North Carolina law provides that counties may expend funds so long as (1) the
expenditure is for a public purpose, (2) the activity supported is one in which the local
government has statutory authority to engage, and (3) the expenditure is not inconsistent with
the laws of the state constitution; and
WHEREAS, Orange County has engaged in discussions with Grow Your World, a North
Carolina Nonprofit Corporation (the "Nonprofit") related to the sale of the Property, in order that
Grow Your World may utilize the Property to provide transportation for youth to afterschool
programming, summer camp, project-based learning experiences, tutoring, and academic
support which use will benefit the residents of Orange County and assist the County in meeting
the needs of its residents.
NOW THEREFORE, BE IT RESOLVED THAT:
1. The County Manager is authorized to execute all documents necessary to convey title to
the Property, 2005 Dodge Caravan (VIN number 1 D4GP24R45B428263), to the Nonprofit.
2. The consideration for the conveyance is the following set of conditions, covenants,
requirements, and restrictions, which shall be incorporated in a contract executed by between
the County and the Nonprofit:
a. For the functional life of the Property the Nonprofit will utilize the Property for youth
transportation.
b. The Nonprofit shall submit an annual written report to the County summarizing its use of
the Property.
c. The Nonprofit shall notify the County in writing upon its cessation of use of the Property
and the reasons therefor.
3. The Clerk to the Board shall publish a notice summarizing the contents of this resolution,
and the property may be sold at any time after 10 days after publication of the notice.
