ARTS COMMISSION
2025-26 GRANT
AGREEMENT
THIS AGREEMENT, entered into this 5 day of September, 2025, by and between Orange County
("County"), by and through the Orange County Arts Commission ("Arts Commission") and
("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds
from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department
of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive
the annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant
Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration
and under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds are provided under this Agreement for the project
(“Project”) described in the Grant Recipient’s Grant Application, attached hereto and
incorporated herein as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed

have been awarded by the Arts Commission to the Grant Recipient for the approved Project.
The Recipient shall be required to match funds at least dollar-for-dollar with cash from the
Grant Recipient’s funds not derived from either Orange County appropriations or the North
Carolina Arts Council, as outlined in the attached Exhibit A.
3. Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4. Responsibilities of the Grant Recipient

A. Implementation. The Project implementation shall take place between July 1, 2025
and June 30, 2026. The Project shall be implemented in the manner described in
Exhibit A. Time is of the essence in the implementation of the Project.
B. Modifications to project. Grant Recipient shall present major changes to the original
proposal, including but not limited to changes in design, implementation schedule
and increase in Project budget by more than 10%, in writing to the Arts Commission
for approval. Arts Commission shall approve or disapprove Grant Recipient’s
request for modifications within seven (7) days of receipt thereof. Consent to
project modifications shall not be unreasonably withheld. Arts Commission’s
decisions shall be in writing. In the event the Arts Commission fails to approve or
disapprove the requested modifications within the time stated herein, the
modifications shall be deemed approved.
C. Non–assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D. Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E. Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the purpose
described in the attached Exhibit A.
F. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 10, 2026. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of the
Final Report, for any reason, shall be grounds for denial and/or cancellation of grant
funds for the Project and future grant proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$ to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts Commission
and/or the North Carolina Arts Council using the proper logo(s) and credit
line in brochures, news releases, programs, and all other printed and online
publications. Copies of such printed materials must accompany the evaluation
report. Official Orange County Arts Commission and North Carolina Arts Council
logos may be downloaded at www.artsorange.org/grantee-resources and may not
be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: “This program is supported by the
Orange County Arts Commission.”
ii. North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: “This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources.”
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must add
a link to www.artsorange.org (Orange County Arts Commission logo preferred) to
their main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees that
he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the
County or the Arts Commission and has no authority, expressed or implied, to obligate or
make representations on behalf of the County or the Arts Commission. In addition, Grant
Recipient agrees to maintain his or her own worker's compensation insurance for
himself/herself and his or her employees for the duration of the art work's installation.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice of
default or allow the grant recipient the opportunity to cure the default. This clause
shall not be interpreted to limit the County’s or the Arts Commission’s remedies in
law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and entire
understanding of the parties with respect to the subject matter of this Agreement.
All modifications and amendments to this Agreement shall be in writing. This
Agreement shall be binding upon the parties, their heirs, successors and assigns.
B. Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy
(each policy is incorporated herein by reference and may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party may
initiate litigation to resolve the dispute. Should either party initiate litigation to
settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Organization
Description
Calico Makers is a new 501-c3 non-profit organization whose mission is to
provide an outlet to promote art through community engagement. It started
as an idea to bring artists and the community together in a safe way at the
beginning of 2021. Originally presented by Calico Studio, the Calico
Makers Market is now about to celebrate its tenth biannual event. In 2024,
Calico Makers was formed to take over the market and expand
engagement via additional opportunities. Our goals for the future include
launching an emerging artist program, sponsoring arts classes onsite and
further expanding our participatory offerings at the market. W e believe that
art belongs to everyone, and exposure is the gateway to building a diverse
and vibrant community.
W hile still in the early stages of our development, Calico Makers strives to
meet our mission through our market, which is free, open to everyone and
publicized throughout Orange County. The Calico Makers Market features
local artisans and food trucks. At each event we have a free art tent where
we offer two hands-on activities for people to try. Overseen by
professional artists and volunteers, this aspect of the market is always
very popular. Both children and adults enjoy having their own creations to
take home. Some examples of past activities are making clay pinch pots,
haunted houses from scrap materials, bugs from geometric shapes,
Egyptian jewelry and splatter paintings. In addition to visual arts, we have
hosted performances from local musicians such as: Rhonda Robichaux,
Reese McHenry, Rooster Logic, Joel Keel and more.This Grassroots
Grant will help us increase our capacity to present workshops and
performances to engage attendees in the performing arts as well.
Our board consists of five members. Heather W ashburn is a licensed
architect, visual artist, small business owner, gardener and visionary. It is
her dream to increase access to art to everyone in her community-at-large.
She not only wants people to witness art but also to experience it first-hand
through doing. Ric Harber is a leatherworker who has been involved with
the market since its inception, vending at each event and offering feedback
and advice throughout the growing process. He was a mentor in the former
emerging artist partnership program between Calico Studio and Chatham
Artists Guild. Katherine Occhipinti has a Master of Social W ork and
experience working for nonprofits and in event management. As a former
employee of Calico Studio and a long-time friend of Heather’s, she also
has a deep understanding of the goals for Calico Makers. Roberta
Marasca is an artist and member of the Orange County Artists Guild. She
was also Heather’s mentor and brings big picture skills and a solid
understanding of markets and marketing. Roberta has vended at the market
since its onset. Greg Bell has a long history of working with local
organizations and has expertise in orchestrating outdoor festivals. His
knowledge was instrumental in making the first market happen and has
been a guiding resource in the formulation of the nonprofit and our plans for
it.

Our community is rich in multicultural backgrounds, and Calico Makers
actively pursues programming that reflects this diversity. By tapping into
local talent from a wide range of cultural traditions, we ensure that our
offerings represent the dynamic and varied voices of our community.
W e invite people from different backgrounds to participate on our jury, who
determines all artisans participating in the market. W e ask that they be
conscientious to include artists from different backgrounds. W e solicit
musicians from different backgrounds and multicultural genres. W e also
strive to make the market accessible to all by offering it to the community
for free. W e are committed to reaching underserved populations by
promoting our events in schools and through other community
organizations, ensuring that people of all backgrounds have the opportunity
to participate and benefit from our offerings.
Calico Makers recognizes the importance of listening to our guests and
artists. Based on multiple suggestions, we began to consider adding a
dance component to our performing arts program. The idea was developed
further by insightful input from Calico staff, including a Hispanic intern who
recommended Latin dancing and an African American staff member who
suggested Black Line Dances. These ideas have led to our contract with a
Latin dance instructor for the fall market and research into other
participatory dance options for the spring.
Through these efforts, we aim to create a welcoming and inclusive
environment where all voices are valued and celebrated. By continuing to
listen to and learn from our community, we will ensure that our organization
remains a space that is truly representative of the diversity, equity,
inclusion, and accessibility principles we uphold.

Deficit/Surplus Past surpluses have been the result of the unexpected value of in-kind
donations of design services. There was no resulting cash surplus.
All future surpluses will be used to support the Calico Makers Market -
through our hands-on art tent, our performance art programming or future
endeavors to continue providing an outlet to promote art through
community engagement.

W e want to increase our reach through the purchase of radio time, which is
an expensive investment for us. The expectation is an increased reach will
lead to more attendees which will in turn allow us to charge higher booth
fees, creating more profit to put back into the organization.
To date, we have been lucky enough to rely on favors from musical artists
who support our cause and play for below-market rates. In order to retain
our current roster of performers and seek out new and more participatory
acts, we need to spend more funds. The expectation is this improvement to
our music program will also lead to more attendees, higher booth fees, and
more profit.
Our hope is to use the Grassroots Arts grant to make these increases to
our budget this year, thus allowing us to gain traction in generating
sufficient funds to expand the market and our services.

Summary
Board President Heather W ashburn launched the Makers Market in the
spring of 2021 as a way to safely celebrate art and encourage community
by providing a market for artisan vendors, participatory art activities and
local music. Since then we have hosted nine markets, adding food trucks to
our amenities and expanding our number of artisan booths and musical
acts. W e enlist volunteers to run all aspects of the market allowing it to
remain free and engage the community through attendance and
volunteerism.
Our visual arts program has proven successful, showing itself to be both
sustainable and recognizable. All artisan vendors go through a jury, who is
very conscientious to include local artists from diverse backgrounds and
genres. Each market the program also offers two hands-on activities where
visitors get to try their skills at creating art. This has been popular among
children and adults alike.
As Calico Makers begins its nonprofit journey, we aim to build on the
success Calico Studio has already achieved with the visual arts program
and expand it to our friends in performing arts. W e historically recruit
musical acts who play diverse genres of music - from blues and jazz to soul
and Americana. In addition to continuing to offer this wide range, we want
to add workshops and music to our program. To this end, we have already
contracted with Annie Velez, a local dance instructor, to teach a session on
Latin dance at our fall market.

Project Goals Our goals for the Calico Makers Markets this year are to increase overall
attendance, bolster our performing arts programming and increase
individual engagement in the arts by the attendees. By expanding our
publicity efforts, we hope to reach a broader audience and gain more
recognition and attract more attendees. W e hope to expand our musical
offerings by using grant funds to rent equipment and hire multicultural and
participatory acts. By improving our musical offerings, we in turn hope to
attract more attendees. W ith more attendees and the addition of dance
lessons, we expect to have greater individual engagement. And with
greater individual engagement from more attendees, the end result is more
art exposure for the community.
Audience Description The Calico Makers Markets are presented free to the public and open to all
members of the community, with our marketing focused on Chapel Hill,
Carrboro and surrounding counties.
Based on historic numbers we project about 1400 attendees for the current
grant cycle. W e anticipate the improved publicity and enhanced performing
arts offerings will lead to an increase in that number. Of those 1400,
approximately 1100 will be from Orange County. Of the 1400,
approximately 132 will be Asian, 60 Black, 60 two races or more, 29
Hawaiian or Pacific Islander, 29 Hispanic or Latino, 731 W hite, 14
identifying as other and 374 declining to say. W e expect Part of our
marketing strategy this next year is determining how to attract a more
varied audience.
Location Description The Calico Makers Market will take place on our board president’s family-
owned field that is especially well-suited to host large outdoor events.
Heather donates the space for each market.
The market site is surrounded by Calico Studio’s studio space, Calico
Creates’ makerspace, Heather’s modernist home, a bungalow currently
housing a family member, a greenhouse and a large outbuilding used for
storage. In the center of it all, and the market itself, is the family garden.
W e provide free parking onsite and have an agreement in place with an
immediate neighbor for overflow parking.
W hile the market does take place in a field, we make every effort to make
it accessible. W e rent an ADA port-a-john, provide accessible parking

How will the
project/program be
publicized and
promoted to reach
intended
participants?
A press release will be designed and sent to various local media outlets,
including print, television and radio. W e will also submit calendar entries to
free online calendars (like INDY week and Triangle on the Cheap). In
previous years, News of Orange has allowed us to write an article, so we
plan to do so again.
W e will ask local guilds, councils, galleries and shops to hang posters and
hand out postcards. W e will hire the Poster Guys to hang flyers throughout
Chapel Hill, Carrboro and Hillsborough. Volunteers will hang posters and
flyers throughout Pittsboro.
Calico Studio will update and install the billboard sign at the front of the
market site. Calico Studio will donate intern time to install yard signs within
a two-mile radius of the market.
Calico Studio will use its website, e-newsletter and social media to
increase awareness and drive traffic to the event. W e will encourage
participating vendors, artists, volunteers and staff to do the same.
W e also hope to invest in a package from W CHL during this grant cycle.
How will you
evaluate the success
of the program?
To measure success, we will track attendance numbers for the two days of
the fall and spring markets. A volunteer is assigned to both entrances to
track those numbers.
Additionally, we will encourage visitors to submit surveys by offering a free
ticket for a prize drawing for their completion. Information collected in the
survey will include demographics, the guest’s reason for attending, what
activities they participated in, what they most enjoyed about the market
and what they would like to see included in the future.
By comparing our results with results from previous markets, we can
determine if our numbers have increased, if the new activities are having
an impact on attendance and participation, and if we are attracting a more
diverse audience.
