PURPOSE: To approve and authorize the Manager to sign contract documents with
Environmental Systems Research Institute (ESRI) to expand the County's existing GIS software
agreement to a county-wide enterprise license agreement.
BACKGROUND: Orange County currently utilizes ESRI GIS software under a limited licensing
model. To support broader departmental access, facilitate cross-agency collaboration, and
enhance county-wide GIS capabilities, staff is proposing an upgrade to a full Enterprise License
Agreement (ELA) with ESRI.
The ELA offers unlimited deployment of core ESRI products and provides flexibility and scalability
for GIS operations across all County departments. Transitioning to an enterprise agreement
aligns with the County's technology modernization efforts and enhances support for Planning and
Inspections, Emergency Services, Transportation Services, Environment, Agriculture, Parks and
Recreation (DEAPR), and other mission-critical functions.
This proposed expansion includes a net increase in costs for FY 2025 and establishes fixed
annual costs for the three (3) subsequent fiscal years. The contract documents are being finalized
in coordination with ESRI and the County Attorney's Office.
On August 29, 2023, the County entered a service contract with ESRI for annual ArcGIS Pro
software licenses and maintenance at a current annual cost of $54,453 which included:
• Three (3) server licenses
• Fourteen (14) mobile worker licenses
• Three (3) Network Analyst License Extensions
• Three (3) 3D Analyst License Extensions
• Three (3) Spatial Analyst License Extensions
• Fifty-one (51) ArcGIS desktop licenses
• Fifty-one (51) ArcGIS online (AGOL) licenses contracted with Tax Administration

Why is an Enterprise licensing purchase proposed?
The proposed purchase transitions the County to ESRI's Enterprise version, providing increased
GIS software access, scalable deployment, and premium support at a predictable cost, enabling
county-wide GIS integration and efficiency. The Enterprise version includes:
• 190 ArcGIS Pro Desktop Licenses, distributed as follows:
y Forty (40) ArcGIS Professional Plus (replacing eleven (11) Advanced Desktop
Licenses)
➢ Forty (40) ArcGIS Professional (replacing 5 Standard Desktop Licenses)
One hundred and fifty (150) Creator Licenses (replacing thirty-five (35) Basic
Desktop Licenses)
➢ unlimited server licenses and extensions
The transition will enhance the County's GIS capabilities by increasing the number of available
licenses and providing a scaleable, County-wide solution aligned with operational needs.
Additionally, it results in significant cost savings:
• Avoids the cost of four (4) new server licenses, which would require an upfront payment of
$188,400 due before June 2025.
• Preempts an increase in annual maintenance costs of approximately $10,000 for the
Emergency Services Hexagon Project.
• Enables branch versioning for external organizations to edit the new Parks and Trails
Application that GIS will be hosting for the Department of Environment, Agriculture, Parks
and Recreation (DEAPR), saving approximately $2,000 per additional license beyond the
current limit.
• Locks in a fixed price for three (3) years through July 14, 2028, ensuring predictable
budgeting and cost control.
The original contract amount of $54,453, plus the additional cost for this proposed contract
expansion, exceeds the County Manager's $90,000 contract services threshold. Staff is therefore
presenting this item for Board approval.
FINANCIAL IMPACT: The purchase of ArcGIS Pro Enterprise software will result in an additional
cost of up to $35,000 for this fiscal year 2025 and an additional cost of up to $93,437 to the quoted
total cost of $150,000 in each fiscal year 2026, 2027, and 2028. There are funds available in the
Information Technologies Software Maintenance/Licensing GASB96 budget to cover this contract
amendment without requiring additional appropriations.
ALIGNMENT WITH STRATEGIC PLAN: This item supports:
• GOAL 1: ENVIRONMENTAL PROTECTION AND CLIMATE ACTION
OBJECTIVE 6. Protect water supply/watersheds.
OBJECTIVE 7. Conserve and protect high-priority open spaces, including Natural
Heritage sites, nature preserves, watershed riparian buffers, and prime/threatened
farmland.
OBJECTIVE 8. Include environmental stewardship objectives in the Comprehensive Land
Use Plan.
The expanded GIS resources will improve the County's ability to analyze and monitor
environmental changes, support land conservation efforts, and enhance climate action
planning.

• GOAL 4: MULTI-MODAL TRANSPORTATION
OBJECTIVE 1. Identify priorities and resources necessary to implement the Orange
County Transit Plan.
OBJECTIVE 4. Coordinate transit investments with municipal and county land use
planning to reduce vehicle miles travelled and provide more equitable access to key
destinations.
OBJECTIVE 6. Update transportation-related plans to provide more multi-modal options,
including for rural Orange County.
GIS tools will assist in transit planning, infrastructure development, and road safety analysis,
helping to create a more connected and accessible transportation network.
• GOAL 5: PUBLIC EDUCATION/LEARNING COMMUNITY
OBJECTIVE 1. Foster collaborative relationships with formal and informal educational
organizations and agencies to provide opportunities for community members to meet,
connect, and learn together.
OBJECTIVE 3. Provide support for workforce development through training, tools,
technology, and other resources.
Expanded GIS access supports data-driven learning opportunities for County staff and
community members, enabling informed decision-making and workforce skill development.
• GOAL 6: DIVERSE AND VIBRANT ECONOMY
OBJECTIVE 3. Streamline and digitize business processes to facilitate efficient
interactions between employers and County departments.
OBJECTIVE 5. Increase access to and awareness of resources and assistance available
to residents and businesses.
By modernizing GIS accessibility, the County enhances business and economic development
opportunities through improved land use planning, zoning analysis, and resource allocation.
This transition to an Enterprise Agreement aligns with the County's commitment to efficiency,
innovation, and sustainability, ensuring that departments have the tools needed to support
strategic decision-making and long-term planning.
RECOMMENDATION(S): The Manager recommends that the Board approve and authorize the
County Manager to execute all contract documents, subject to final review by the County Attorney,
and any subsequent amendments on behalf of the Board, for the purchase of a county-wide
enterprise license agreement from ESRI in the following amounts:
1) A net increase of up to $35,000 in FY 2025; and
2) A total cost to cover FY 2026, FY 2027, and FY 2028 of up to $150,000 per year.

SERVICES AGREEMENT NO RFP/RFQ

This Agreement (hereinafter "Agreement"), made and entered into this 29th day of August,
2023, ("Effective Date") by and between Orange County, North Carolina a political subdivision
of the State of North Carolina (hereinafter, the "County") and Environmental Systems Research
Institute, Inc. (ESRI) having offices at 380 New York Street, Redlands, CA 92373-8100,
(hereinafter, the "Provider").
WITNESSETH:
That the County and Provider, for the consideration herein named, do hereby agree as
follows:
1. Commercial off-the-shelf(COTS) Software and Maintenance
a. This Agreement is for commercial off-the-shelf(COTS) software subscriptions and
maintenance ("Software and Maintenance") as further described and designated in the
attached Exhibit 1 Esri Renewal Quotation# 26128476 dated 07/31/2023 (the "Quote") to
be rendered by Provider to County.
b. By executing this Agreement, the Provider confirms and agrees that Provider is qualified
to provide the Software and Maintenance described and designated in the Quote in a fully
competent, professional and timely manner.
2. Responsibilities of the Provider
a. Software and Maintenance to be provided. The Provider shall provide the County with
all Software and Maintenance described and designated in the Quote.
b. Maintenance provided herein consists of technical support, new version software, self-
paced e-learning access, hot fixes, patches, software updates, beta programs, and/or Esri
International User Conference registration, as more specifically described on the Esri
Maintenance and Support Program web page located at
http://www.esri.com/—/media/Files/Pdfs/legal/pdfs/standard-maintenance.pdf. Products
that are eligible for maintenance can be found at
http://www.esri.com/software/maintenanceibenefits ("Qualifying Products").
Maintenance and Software are provided subject to the terms and conditions of the master
agreement found at http://www.esri.com/legal/software-license, which is incorporated by
reference, and this Agreement.
c. Standard of Care.
i) Provider will provide Maintenance as described on the Esri Maintenance and Support

Program web page referenced in Section 2 b. above.
ii) Provider is an independent contractor of County. Any and all employees of the
Provider engaged by the Provider in the provision of Software and Maintenance
required of the Provider under this Agreement, shall be considered employees or
agents of the Provider only and not of the County, and any and all claims that may
or might arise under any workers compensation or other law or contract on behalf
of said employees while so engaged shall be the sole obligation and responsibility
of the Provider.
iii) If activities related to the performance of this Agreement require specific licenses,
certifications, or related credentials Provider represents that it or its employees,
agents and subcontractors engaged in such activities possess such licenses,
certifications, or credentials and that such licenses certifications, or credentials are
current, active, and not in a state of suspension or revocation.
iv) Should any documents, exhibits, or addenda be attached to this Agreement, the
terms of this Agreement shall have priority in any conflict with or among the terms
of such referenced documents, exhibits.
3. Duration of Agreement
Term. Subject to the County ' s payment of all fees detailed in
the Quote, the term of this Agreement shall be from August 31, 2023 to August 30,
2024.
4. Compensation
Compensation for Software and Maintenance. Compensation shall include all compensation
due the Provider from the County for all Software and Maintenance described and
designated in the Quote and that are provided pursuant to this Agreement. The total amount
payable for Software and Maintenance is Fifty-Five Thousand Six Hundred Seventy-Four
Dollars and Twenty-Seven Cents ($55,674.27). Payment for Software and Maintenance
shall become due and payable within thirty(30) days of execution of this Agreement.
5. Responsibilities of the County
Cooperation and Coordination. The County has designated(Nancy Freeman, Tax
Administrator) to act as the County's representative with respect to this Agreement who shall
have the authority to render decisions within guidelines established by the County Manager
or the County Board of Commissioners and who shall be available during working hours
as often as may be reasonably required to render decisions and to furnish information.
6. Insurance
a. General Requirements. Provider shall obtain, at its sole expense, Commercial General
Liability Insurance with a minimum coverage of$1,000,000.00 (US dollars) combined
single limit per occurrence for bodily injury, including death, and property damage
liability to include the following:

1. Premises and operations;
2. Blanket contractual liability;
3. Broad form property damage;
4. Independent contractors;
5. Personal injury, with employee exclusion deleted; and
6. Completed operations.
b. Workers' Compensation Insurance with waiver of subrogation in an amount that
complies with statutory limits.
7. Amendments to the Agreement
Changes to Software and Maintenance. Changes to the Software and Maintenance and
entitlement to additional compensation or a change in duration of this Agreement shall be
made by mutual agreement of the parties and by a written Amendment to this Agreement
executed by the County and the Provider. The Provider shall proceed to provide the
modified Software and Maintenance required by the Amendment only after receiving a fully
executed Amendment from the County together with any associated fees.
8. Termination
Termination for Material Breach. The Provider may terminate this Agreement based upon
the County's material breach of this Agreement; provided, the County has not taken all
reasonable actions to remedy the breach. The Provider shall give the County thirty (30)
days'prior written notice of its intent to terminate this Agreement for cause.
9. Additional Provisions
a. Limitation and Assignment. The County and the Provider each bind themselves, their
successors, assigns and legal representatives to the terms of this Agreement. The County
shall not assign or transfer its interest in this Agreement without the written consent of the
Provider.
b. Governing Law. This Agreement and the duties, responsibilities, obligations and rights
of respective parties hereunder shall be governed by the laws of the State of North
Carolina, excluding the choice of law principles.
c. Non-Discrimination. Provider shall at all times remain in compliance with all applicable
local, state, and federal laws, rules, and regulations including but not limited to all state
and federal non-discrimination laws,policies, rules, and regulations.
d. Dispute Resolution.Any and all suits or actions to enforce, interpret or seek damages with
respect to any provision of, or the performance or non-performance of, this Agreement
may be brought in the General Court of Justice of North Carolina sitting in Orange County,
North Carolina. Non-binding arbitration may not be initiated by either Party.
e. Entire Agreement. This Agreement and all Exhibits represents the entire and integrated
agreement between the County and the Provider and supersedes all prior negotiations,
representations or agreements, either written or oral. This Agreement may be amended

only by written instrument signed by both parties. Modifications may be evidenced by
facsimile signatures.
f. Waiver. The payment of any sums by the County under this Agreement or the failure of
either party to enforce any provision of this Agreement is not a waiver of the provisions
or of the right of such party thereafter to enforce that or any other provision of this
Agreement.
g. Severability. If any provision of this Agreement is held as a matter of law to be
unenforceable, the remainder of this Agreement shall be valid and binding upon the
Parties.
h. Non-Appropriation. Provider acknowledges that County is a governmental entity, and the
validity of this Agreement is based upon the availability of public funding under the
authority of its statutory mandate.
i. Signatures. This Agreement together with any amendments or modifications may be
executed electronically. All electronic signatures affixed hereto evidence the consent of
the Parties to utilize electronic signatures and the intent of the Parties to comply with
Article 11 A and Article 40 of North Carolina General Statute Chapter 66.
j. Notices. Any notice required by this Agreement shall be in writing and delivered by
certified or registered mail, return receipt requested to the following:
