Home My WebLink AboutOTHER-2025-014- Contract Amendment with Farragut Systems, Inc. for Land Records Computer Assisted Mass appraisal NORTH CAROLINA Attachment 2 CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT ("Amendment") is made and entered into this 7"' day of March 2025 by and between ORANGE COUNTY (hereinafter referred to as "County") and Farragut Systems , Inc . , having offices at 2775 Meridian Parkway, Durham , NC 27713 (hereinafter referred to as "Provider") . WITNESSETH : THAT WHEREAS , the County and Provider entered into a contract dated February 23 , 2023 , (hereinafter the "Original Agreement") , for the provision of services for Land Records Computer Assisted Mass Appraisal (LR CAMA) software system ; and WHEREAS , the County and Provider desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below; and WHEREAS , the parties acknowledge that delays have been experienced in the performance of services under the Original Agreement, and the parties desire to take corrective action to address such delays ; and WHERAS , the parties agree that the attached Addendum , titled Orange County CAMA Project Proposed Addendum , constitutes an amendment to the Original Agreement and is hereby incorporated by reference into this Amendment; and WHEREAS , the parties further agree that the additional services outlined in the Addendum are intended to cure the delay issues experienced by the project and facilitate the timely completion of all outstanding work. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows : 1 . In order to ensure the completion of the Services identified in the term of the Original Agreement, the end date for all Services shall be amended to reflect a completion date of March 31 , 2026 . 2 . Exhibit I to the Original Agreement is amended by adding the following tasks and services to the Services to be provided by the Consultant, as outlined in the attached Orange County CAMA Project Proposed Addendum . 3 . Article 5 . Compensation, Section a. Compensation for Basic Services , is amended to reflect a maximum payable nomo -exceed amount of Five Hundred Forty-Nine Thousand Four Hundred Fifty-Three Dollars ($ 549 ,453 . 00) . 4 . The Addendum attached hereto shall be considered an amendment to the Original Agreement, and its terms shall be binding upon the parties . The additional services provided in the Addendum are expressly agreed upon as remedial actions to address prior delays and ensure the successful and timely completion of the project. 5 . Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original Agreement and the terms of this Amendment, this Amendment shall control . Onsite visits to Extract Data Total Estimated Cost: $5868 The objective shall be working sessions with Eric Taylor and Bhagwan Singh ( Farragut) with Project Managers Hardik Patel and Stephanie Gavilan - O ' Neal and /or Ann Marie Lee ( Farragut) . The goal is to have data delivered within 3 business days .
