WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. The Project implementation shall take place between July 1, 2024 and June 30, 2025. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 14, 2025. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 Docusign Envelope ID: 29D07BFE-C479-466C-8F7C-D1E51121B1FE 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. Yes Organization Description Founded in 1958, Estes Hills Elementary School is one of the oldest schools in the Chapel Hill-Carrboro City Schools district. Estes Hills is a neighborhood school in the truest sense, as many students from the surrounding homes walk or bike to school every day. In the current academic year (2023-24), Estes Hills Elementary serves 359 children from pre-kindergarten through fifth grade. The school has 19 traditional classrooms (including one pre-K) plus one behavior support class, and offers programs in Exceptional Education, Gifted Education, Head Start preschool, and English as a Second Language. Our student body is evenly divided along gender lines (49% Male / 51% Female) and has a diverse racial composition: W hite (57%), Black (11%), Hispanic (11%), Asian (8%), and Multi-racial (12%). Estes Hills has 20 traditional classroom teachers; 100% are fully licensed. W e have a diverse staff which is 60% W hite, 29% Black, 6% Hispanic, and 5% Asian; in terms of gender, the staff is 84% Female and 16% Male. Our school offers art and music instruction in accordance with the North Carolina Standard Course of Study for elementary school students, with a full-time professional in each “specials” discipline: Art, Music, French, and Physical Education (which incorporates dance). These teachers supplement classroom time with extracurricular events, including in 2023- 24: participating in the district-wide Visions Art Show; a “Hispanic Heritage Celebration” evening event (complemented by a Latin jazz quartet performance provided for students during the school day via the Cultural Arts program); a French poetry declamation; and a 4th grade field trip to the NC Symphony Orchestra in Raleigh. The arts are alive and well at Estes Hills, but these efforts largely depend on parent donations and volunteer hours, in the absence of funding. The mission of the Estes Hills PTA is to serve the whole community of the school - the students, teachers, staff and families - by providing necessary resources to support the highest quality educational environment possible. The PTA is comprised of parent volunteers (Executive Board is 100% Female; 87.5% W hite, 12.5% Black) and seeks to promote the cultural arts in education by bringing in professional artists to perform at our school. W e spent the $2,000 grant on artist fees but did not spend our entire budgeted amount of $4,300, due to some substitutions in performances (due to artist constraints) that ended up being less expensive. Thus, our total costs were $1,062.50 lower than expected. Extra funds were put back into other PTA programs for students. In 2023-24 (current year) we received an Orange County Arts grant for $2,000 and budgeted an additional $4,300 for a Cultural Enrichment Program (we increased this amount in Fall 2023 since our last grant proposal). W e spent the $2,000 grant on artist fees, and then spent the entire budgeted amount of $4,300, plus a $50 overrun, for a total of $6,350 for the program. W e increased the budget in the fall, and still ran a bit over budget, because The Beast’s listed rate of $1,500 increased to $1,875 after we completed our budgeting. As shown in the 2024-25 budget, we have budgeted $3,300 for next year’s Cultural Enrichment Program and are requesting $3,000 from the Orange County Arts Commission (estimated program costs are $6,250, with a $50 buffer in the budget). If we do not receive the grant, we will have to eliminate a performance or take money out of another PTA program. W e are increasing our grant request and decreasing our PTA budget contribution to the program because there are many other demands on the budget, and this is one of our most expensive programs. W e hope we will be granted a higher amount from the Orange County Arts Commission to help us provide the same level of arts programming as in past years. A specific program or project Project/Program Summary The PTA funds all cultural arts performances at Estes Hills Elementary School and assists the school in selecting, advertising, and organizing the performances, as well as overseeing logistics during the events. Our school principal and the PTA are committed to offering a full and rich cultural arts program, and we were able to provide 8 performances by 4 artists this past school year. Thanks to the assistance of the Orange County Arts Commission, we supported local artists of multiple cultures and ethnicities, further enhancing the educational experience for our students. This year we hosted a hip-hop group that presented a history of African- American music; two small theater groups, one who presented the story of the first U.S. female astronaut, and the other the classic tale of The Lion, the W itch, and the W ardrobe, and a Latin-inspired jazz quartet. W e had the best feedback from students and faculty of any recent years. If we are awarded a grant this year, we will use it to fund a portion of the artists’ fees for 7 performances during the 2024-25 school year, including: 99 Brass Band ($1,875), StoryUp aerial theater ($1,875), Pline Mounzeo’s African music ($1,500), and Matt Sandbank’s Shadow Factor ($1,000). The 99 Brass Band will perform one show due to the higher cost of the performance (with 7 musicians). The other three groups will provide 2 shows in one day, for preK-2 and 3-5 grades; costs given are the total amount for each performer, for a total of $6,250. At Estes Hills, 29% of our students participate in the Free and Reduced Lunch Program and may not have time and transportation outside of school. The Cultural Enrichment Program would not exist at Estes Hills without the PTA’s funding and support. Over the past few years, income to our PTA and thus the Cultural Enrichment Program budget has decreased. This has been due in part to a decrease in the sustaining funds historically provided by the PTA Thrift Shops, and a decline in state funding for education, which has resulted in greater demands on the PTA’s budget (e.g., providing assistance to teachers and specials programs for supplies and equipment). Artists’ costs have also risen; 8 performances costed us $3,500 in 2016-17, whereas this year we spent $6,350. As a result, we have increased our performing arts budget which takes PTA funds from other programs. W e made the decision that performing arts is a priority; however, we are reliant on the grant funds to achieve the full budget, and to provide our students with cultural opportunities that they otherwise might not experience. Cirruculum and Enrichment Estes Hills Elementary School follows North Carolina Essential Standards for Art Education. Via the PTA cultural arts program, we supplement the curriculum with a deliberate mix of music, dance, and theater. The goal of the K-5 music curriculum is music literacy (particularly singing, percussion, and recorders), response, and cultural context. W ith the PTA cultural arts program, we ensure that half of the performances are multi-cultural, often African and/or Latin in origin, to match the demographics of the school. This year we plan to bring in an African-American New Orleans jazz group and a Congolese traditional musician, both with active student participation. Similarly, the school arts curriculum emphasizes the elements of art, community, and culture. Our performance schedule attempts to highlight the visual arts by hosting two unique theater groups this year: aerial theater and shadow puppetry. The goal is for students to see the concepts they learn about in music and art class in a live performance, and better appreciate the talent of the artists in their community. Docusign Envelope ID: 29D07BFE-C479-466C-8F7C-D1E51121B1FE Artist Description W e worked with the Durham Arts Council Creative Arts in Public School (CAPS) program to secure our artists the past two years, and we are delighted to work with them again. W e chose a diverse mix of performances including dance, music, and theater, and focusing on themes including visual arts, folklore, poetry, and multi-cultural experiences. Performance descriptions for the 2024-25 school year are as follows (total cost $6,250): The 99 Brass Band: Music from the Birthplace of Jazz (1 show for $1,875) stArt of Cool (SOC) is a program that provides quality music education for students interested in learning more about music performance and fundamentals of Jazz, Latin Jazz, other popular styles of music. SOC features the 99 Brass Band, an exploration in American music history from its deep southern roots to present day musical influences. Schools cannot go wrong with this high-energy and interactive offering of hip-hop, spirituals, and soul music classics. Presented by professional career musicians and educators with over 20 years of experience, they integrate social studies, geography, and math with a New Orleans-style musical experience. StoryUp!: Aerial Aesop’s (2 shows for $1,875) W hat happens when a librarian and a school teacher run away to join the circus? Acrobatic acts, spine tingling stories, and gravity defying feats of literacy! Combining their years of experience as aerialists, teachers and storytellers, StoryUp! brings a unique spin on literacy and circus to schools, libraries, and festivals. Join StoryUp! as they use the ground, air, and all the space in-between as they retell three classic Aesop’s fables using aerial silks. Students will delight as these storytellers climb, spin, and flip in this interactive and gravity-defying performance. Pline Mounzeo: BouNzenza (2 shows for $1,500) At age 18, Mounzeo started playing music. His interest in his country’s traditional rhythm with the Ngoma drum developed quickly, and he began to share his talent all over Congo and then share the melodies of his country around the world. This high energy music and dance performance introduces students to the music and culture of the Congo. The performance explores the history, music, dance, and diverse people of the Congo and the connection to the music of New Orleans and Congo Square. Students and teachers alike will learn simple dance moves and rhythms that will leave them clapping, stomping, and dancing for the rest of the day! Matt Sandbank’s Shadow Factory: A W ild Goose Chase! (2 shows for $1,000) Matt Sandbank has toured nationally with his shadow puppetry programs since 2009. As a graduate of the University of North Carolina at Asheville’s creative writing program and a former middle school teacher, Matt brings his love of literature and his experience as a teacher to each of his performances. A W ild Goose Chase comprises a series of interactive vignettes and verses that illustrate key poetic devices–such as rhythm, imagery, metaphor, simile, alliteration, onomatopoeia, and narrative–for elementary school audiences. Yes For each multicultural artist you intend to hire, please list their name, race, and how much you plan to pay them. 99 Brass Band: African-American, $1,875 Pline Mounzeo: African, $1,500 StoryUp aerial dance: Not multi-cultural but women-owned, $1,875 How will the project/program be publicized and promoted to reach intended participants? Estes Hills parents and students will be contacted with dates and performance descriptions via a hard copy flyer at the beginning of the school year and again at the beginning of the spring semester. They will be reminded of the performances in periodic electronic newsletters from the school and PTA. How will you evaluate the success of the program? W e are again working with the Durham Arts Council which was excellent in directing us to high-quality programming. To evaluate the program, the PTA will collect verbal feedback from teachers and school administrators, and from students through parents and teachers, as we have traditionally done. Additionally, for the past two years we distributed an online survey to teachers and staff to collect more formal feedback. W e had a disappointing response rate this year, with only 3 surveys completed, and all gave all four groups a 5/5 with no additional comments. This was not particularly helpful, and to improve our response rate next year, we intend to send the survey out immediately after the final performance, instead of waiting until the end of the school year. Anecdotally, the PTA was told by the principal and many teachers that this was our best year yet. Much of this praise was directed at The Beast, which was an incredibly engaging and popular show, and we plan to bring them back in another year. The other three groups also received positive feedback, and the mix of types of performances (theater/music/dance) and the multi-cultural elements were appreciated.
