WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient Human Kindness Foundation three thousand three hundred dollars 3,300.00 Docusign Envelope ID: 16E66793-3E26-4E39-A35F-F0AC9D3BF45C 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2024 and June 30, 2025. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 14, 2025. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. Arts Council, a division of the Department of Natural and Cultural Resources.” B.The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.org/events. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 Docusign Envelope ID: 16E66793-3E26-4E39-A35F-F0AC9D3BF45C 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Our work is designed specifically for and with justice-involved individuals and justice- impacted audiences. Spiritual growth often happens in our darkest moments. Human Kindness Foundation gives people experiencing incarceration simple tools to deepen spiritual practices and promote wellbeing. The people we work with have taught us that freedom, peace and beauty are present even in the darkest places. W e believe unconditional love and unquestioning inclusion can help people become the best version of themselves. Relationships are the heart of our work. W e build relationships with the wide network of people affected by the criminal legal system, particularly those who are currently or have previously experienced incarceration and their families and prison and jail staff and volunteers. ------------ The Orange County Community Remembrance Coalition formed organically in the summer of 2018, in response to the opening of the National Memorial for Peace and Justice by the Equal Justice Initiative in Montgomery AL. A group of friends and colleagues in Orange County, NC, convened a meeting to talk about the pressing need to recognize the sufferings and sacrifices of our foremothers and forefathers in ways that would respect them and their descendants, as well as the affected communities, past and present. W e are a coalition community-based organizations and concerned individuals that have civil rights, equity and justice as part of their mission or vision. The mission of the Coalition is to recognize the victims of racial terror lynching in Orange County, named and unknown. Our work is to disrupt and overcome the detrimental systems and mindsets that have plagued America for generations, and to help usher forth a future of humanity, equity and justice for all of us. OCCRC goals are to carry out a set of undertakings in partnership with EJI, namely: -Soils collection research and events pertaining to the location of the lynchings of the five known victims in Orange County -Essay contests for Orange County public high school students on topics related to racial terror -Installation of historical markers to honor victims of lynching, -Installation in Orange County of a duplicate of the memorial located at the National Memorial for Peace and Justice. Programs cover the stories of advocates for justice, fighters for voting rights, and life for everyday African Americans. W orking with historians, journalists, researchers, and family history and genealogy specialists, OCCRC seeks to create a solid history of each instance of racial terror lynching – what is known about the individuals involved, both victims and perpetrators, their families and descendants, their homesteads, churches and cemeteries, and the likely locations of the lynchings. Currently, OCCRC is co-lead by: Dr. Freddie Parker, Rep. Renee Price, Sally Freeman, and Judge Hathaway Pendergrass. How many Orange County residents does the organization serve? A specific program or project Docusign Envelope ID: 16E66793-3E26-4E39-A35F-F0AC9D3BF45C Project/Program Summary The "Power of the Vote" project is intended to commemorate, through the arts, a landmark in American history, the Voting Rights Act of 1965. W e will bring together a cross-section of the community to remember and acknowledge the women and men who struggled and sacrificed their lives, to achieve the right of African Americans to exercise their right to vote. W e also want to engage our youth in interpreting the meaning and significance of the VRA 1965 for today and their future. Three groups of high school students from the northern, central and southern parts of Orange County will have an opportunity to learn insights about the fight for democracy from OCCRC Co-Chairs and their respective adult group leaders, serving as administrators. W e then will charge them to design and create digital collages or posters, two per group, based on their perceptions and perspectives, as well as corresponding t-shirts or buttons (swag). The collages or posters will be printed on 3 ft by 4 ft PolyAir boards at A Better Image Printing, and the buttons or t-shirts will be printed at Ad Spice. In May or June 2025, OCCRC will host a program where the students will exhibit and explain their collages and additional artwork. Two graduate students, or "artivists," will perform their original spoken word compositions. W e also will have an interpretive dance performance guided by Rashii Purefoy. Because music has been integral to the freedom and justice struggle, Samuel Obie will perform original and classic pieces on keyboard. The primary goals of the proposed "Power of the Vote" program are: To help our young people, who soon will be eligible voters, to learn, comprehend and appreciate their heritage by means of their own critical thinking and artistic expression, while working in community. To bring awareness of the racial terror lynching and other forms of intimidation and terror that people of color, particularly African Americans, have encountered in their demand for freedom and justice, including the right to vote. To promote the dismantling of racism and other artificial constructs that attempt to divide our society, and to communicate these efforts through various creative media. To compliment and augment the work of OCCRC--i.e., soils collections, historical marker installations, films screenings--of exploring and elucidating more truths of the history of Orange County. To acknowledge and celebrate our rich legacy through multicultural and intergenerational creative strategies. Audience Description The proposed project is intended to be multicultural and intergenerational. For the high school student participation, we want to attract 21 or so individuals, and anticipate that 2/3 will be BIPOC youth, and 1/3 will be white. The NCCU graduate students will be . Of the co-chairs, serving as consultants, two are Black/African American and two are white American. The music performer and dance performer(s) are Black/African American. The finale event in the spring of 2025 will be free and open to the community, and we want to draw from Orange County and the surrounding counties. As in the past, OCCRC will anticipate a diverse cultural composition in the audience, yet with a much greater representation of our youth. The Passmore Center has a 200 person capacity and we hope to fill the Great Hall. In addition, we want to contract with a local photographer so that we may upload images of the finale event on the OCCRC website, thereby reaching an even broader audience, for a longer period of time. Passmore Center 103 Meadowlands Drive Hillsborough, NC 27278 The artist performances and exhibitions will take place inside this facility, which has a stage, exhibit areas, and space for audience seating. Free parking is available on site. The Passmore Center is a County facility primarily used by the Department on Aging for its programs and classes. It therefore is ADA compliant. As for audio, we will contract with Lynn McGee and Scott Moore for rental and use of their sound system, and their technical assistance. The individual youth groups will design their work and otherwise prepare for the finale event at their respective community centers or gathering places. Consultants will come to them. W e selected him because of his first-hand experience and familiarity with the voting rights movement and the music that inspired it. He will be performing the "music of the movement." Anthony Patterson is a graduate student at North Carolina Central University, and was chosen by his professor, Dr. Freddie Parker. Kayla Beckett is a graduate student at North Carolina Agricultural & Technical State University, and was chosen by her professor, Dr. Freddie Parker. Rashii Purefoy of Chapel Hill has been teaching interpretive and African dance for decades. She first started teaching the Ebone Soul Strutters in the 1970s as a recreational youth dance group for children of color. Since then, she has nurtured multiple generations of Black Chapel Hill by teaching dance as a source of pride and expression Three groups of teenagers from three areas of the county will engage in artistic expression regarding the power of the vote. They are: 1) NAACP Youth Council, under the direction of Lorie Clark. The YC serves youth in the Chapel Hill Carrboro Branch of the NAACP. Most of the youth are African American, Latino/an and/or Asian Americans. 2) Carolina Friends School High School Group. The Carolina Friends School actively strives to be a community of staff, students, and families of diverse backgrounds. Most households using the center are African American and live in the rural parts of the county. Trevor Holman is a renowned and award-winning African American photographer or "visual storyteller" from Chapel Hill, now living in Orange County, who will be taking photographs at the finale event. W e selected Trevor because of his ability to capture the moment. W e will be posting his photographs online, on the OCCRC website, so that many more people have the opportunity to see the work of our youth and experience some aspect of the event for days and years to come. W e will submit our event description to Orange County, Hillsborough, Carrboro, Chapel Hill and Mebane communications teams, as well as the Communications Officers of our two school districts. To compliment the press releases and public service announcements, we will ask to be featured or interviewed on W HUP, W CHL and W COM. Finally, we would like to send hard copy invitations by mail to selected individuals and groups, such as family members of the teenagers participating in the project, local elected officials, teachers and community leaders. How will you evaluate the success of the program? The success of the program will be determined by our ability to implement and finalize the project with full participation of high school youth, graduate students, young adult performers and support personnel. W e will consider our project a success when we achieve: -fifteen to eighteen high school students engaged in the project, completing the “assignment” and able to express what they have learned -two graduate students performing spoken word demonstrating their comprehension of “the power of the vote” -a dance performance that is choreographed to be relevant to the voting rights movement -music renditions on keyboard that resonate with the past, for the present -heightened awareness of the work of Chapel Hill Carrboro NAACP Youth Council, Carolina Friends School, and Cedar Grove Neighborhood Association -a well-attended finale event.
