WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. The Project implementation shall take place between July 1, 2024 and June 30, 2025. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 14, 2025. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 Docusign Envelope ID: 5641B9CB-273D-4785-AA6D-57F778AAA9EF 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. If such mediation fails either party may initiate litigation to resolve the dispute. Prism welcomes young people from all backgrounds, with a focus on those who currently lack representation in the design professions. Our young creatives are equipped with the tools needed to shape their built environment through architecture, art, and community action. The mission of Prism Design Lab is to inspire youth to imagine the beauty they want to see in the world and to provide a platform to project their vision and voice to the broader community. To achieve this mission Prism Design Lab provides under-resourced, young women and people of color, between ages 6-19 who reside in Orange and Durham counties, NC, with high-quality art and architecture instruction, and meaningful design experiences. As an emerging non-profit organization, Prism is operated by a volunteer Board of Directors (BOD), which reflects our commitment to diversity at the leadership level. The BOD consists of seven members, six of whom are women and four of whom are African American. Four of the members of the BOD identify as LGBQTIA. Prism’s Executive Director, who is a woman, has held a volunteer position and will receive a stipend beginning in July, 2024. Though Prism is primarily a volunteer-based organization, we contract with professionals to facilitate our programming with youth. All design professionals that Prism partners with are BIPOC and/or women. Prism takes pride in paying our artists, architects, and facilitators a wage that is 3-5 times the living wage in NC. Prism has been awarded (3) consecutive 12-month-long fellowships from AmeriCorp VISTA, which commenced in June 2024. In 2023, across seven programs in public elementary, middle, and high schools in Chapel Hill Carrboro City schools, we engaged 1,060 participants. See description below. REI’s two-day workshop is designed to develop the capacity of participants to better understand racism in its institutional and structural forms. Moving away from a focus on personal bigotry and bias, this workshop presents a historical, cultural, and structural analysis of racism. W ith shared language and a clearer understanding of how institutions and systems are producing unjust and inequitable outcomes, participants should leave the training better equipped to begin to work for change. Five out of seven of Prism’s BOD have undergone DEI training. One Board member was the co-lead of a yearlong DEI training for teachers. Another Board member is a DEI consultant for a private U.S. corporation. As Prism has continued to grow, we have remained a primarily volunteer organization, conserving funds for programming and contracting outside facilitators. In 2024, we have budgeted a stipend for our Executive Director. This additional operating cost has reduced the amount of surplus, while still maintaining a conservative approach to ongoing expenses. The draft budget for 2025 reflects an increase in ongoing operating costs and a smaller surplus than previous years. If the current or next year budget represents a 30% or more change from the year prior, please explain why. Prism's 2024 Operating budget represents a greater than 30% change from 2023 due to the immense growth we have experienced in our first eighteen months of programming. The response to our programming within the community has been highly positive and is reflected in both the increase in fundraising and the increase in expenses for programming. As Prism's capacity for fundraising and for programming grows, we are planning for this relatively high percentage of change for the next three years. W orkshops Program in Orange County will introduce 5th-grade students to the field of architectural design through an imaginative and fun experience. By exposing students to architecture at an early age, the program helps them understand the opportunities available in this field. Each workshop is designed to be engaging, educational, and hands-on, ensuring that students gain a comprehensive introduction to architecture. Each workshop includes the following elements: 1. Presentation by a Design Professional - Overview of Architecture and Design: A professional architect or artist will facilitate a presentation on what architecture entails and its importance in shaping our community. - Architectural Tools: The presentation will cover some of the essential tools and techniques used by architects in their work. 2. Discussion and Idea Generation: Students will participate in a group discussion to share their thoughts and ideas about architecture and design. This interactive session encourages students to think creatively and collaboratively. 3. Hands-on Design Activity - Building Structures with Legos: Students will engage in a hands-on activity where they build their own structures using Lego bricks. This activity promotes creativity and spatial thinking. - W riting Prompts: Alongside the building activity, students will respond to writing prompts that encourage them to articulate their design ideas. - AI-Generated Renderings: Prism staff will combine pictures of the students' Lego creations and writing prompts to render images of their creations via an AI generator. These pictures will be shared with the class, providing a unique visual representation of the students' designs. This expansion allows more individuals, particularly those in under-resourced and rural communities, to benefit from the valuable skills and knowledge imparted during the workshops. The demographics in OCS elementary schools varies from school to school. The percentage of BIPOC students ranges from 30% to 69%, with an average of 52%. The percentage of students who identify their gender as female ranges from from 45% to 50%, with an average of 48%. To reiterate, Prism welcomes young people from all backgrounds, with a focus on those who currently lack representation in the design professions. According to the American Institute of Architects 2023 Demographics Report, only 25% of licensed architects are women. Licensed architects who are BIPOC make up only 14% of licensed architects. To promote an increase in diversity of the architecture profession, Prism's efforts include reaching these underrepresented populations. All participants in our programming outside of public schools are young women and/or BIPOC youth. Additionally, Prism offers programming within public schools in order to ensure accessibility to our unique arts programming. This expansion of our successful 'W hat is Architecture?' Program into OCS allows us to reach rural populations who may not otherwise have access to this type of arts education. These schools are: Central Elementary Efland Cheeks Elementary Grady Brown Elementary Hillsborough Elementary New Hope Elementary Pathways Elementary River Park Elementary The 'W hat is Architecture?' Program has had a high rate of success in its initial year in CHCCS elementary and middle schools. After experiencing the workshops, teachers and staff requested the replication of the workshops in additional classrooms and schoolwide STEAM events. In all, Prism offered the workshops to 20 unique classrooms of students between 4th-8th grades during the 2023-'24 school year. The program has been implemented in a variety of class types and sizes and has included ECS students as well as students with language barriers. Prism staff engaged the teachers and support staff of these students to ensure that both the presentation and building activity would be accessible to all participants. Artist Description Prism will engage local architects, designers and artists to facilitate the 'W hat is Architecture?' workshops. Since we began programming in 2023, we have engaged the following professionals in our programs, all of whom are BIPOC and/or women. W orkshops, engaging with students on their level to foster an understanding of the architecture profession and how it impacts the community. Additionally, Prism will work with NC NOMA (North Carolina chapter of National Organization of Minority Architects) to engage local architects and designers in the workshops. Yes For each multicultural artist you intend to hire, please list their name, race, and how much you plan to pay them. Each 'W hat Is Architecture?' W orkshop will be facilitated by a design professional with assistance from Prism staff. The design professional will be an artist, architect, or architectural designer and will be a woman and/or BIPOC. The design professional will be compensated $300 per school visit. How will the project/program be publicized and promoted to reach intended participants? Prism will engage directly with OCS teachers and staff to plan the programming to take place during the 2024-’25 school year. Student coordinators at each school will assist with coordinating with the student's teachers and academic schedules. Not only does working within the public school system allow for accessibility for youth in Orange County, it also allows for the time and resources during the planning period to be directed into the program itself instead of the promotion typically required to reach intended participants. Promotion of the program typically happens after each workshop via direct digital marketing and social media. W orkshop Program, we have established a robust evaluation process. Feedback Collection: - Teacher Feedback: After each workshop, Prism collects detailed feedback from the school's teachers who attend the workshops as observers. Teachers provide insights into student engagement, understanding, and overall workshop effectiveness. - Student Feedback: Students complete brief surveys or reflection sheets to share their thoughts on the workshop activities, what they learned, and their interest in architecture as a potential career path. Evaluation Metrics: - Engagement Levels: Assessing student participation and enthusiasm during discussions and hands-on activities. - Creativity and Critical Thinking: Evaluating the originality and thoughtfulness of the students' Lego creations and written responses to prompts. - Teacher Observations: Gathering qualitative data from teachers on the relevance and effectiveness of the workshop content in relation to the students' curriculum and learning objectives. Continuous Improvement: - Analyzing Data: Prism analyzes the collected feedback to identify strengths and areas for improvement. Trends and patterns are examined to understand the overall impact of the program. - Adjustments and Enhancements: Based on the evaluation results, Prism makes necessary adjustments to the workshop format, content, and delivery to better meet the needs of students and educators.
