WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient MYCO (Mallarme Youth Chamber Orchestra) three thousand seven hundred fifty dollars 3,750.00 Docusign Envelope ID: F72C8FCD-001E-42EF-9838-C92A0ECDE2DA 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2024 and June 30, 2025. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 14, 2025. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 Docusign Envelope ID: F72C8FCD-001E-42EF-9838-C92A0ECDE2DA 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. D.Signatures. This Agreement together with any amendments or modifications may be executed electronically. Music-making with MYCO cultivates creativity, empathy, collaboration, discipline, artistry, and most vitally, a love of music — skills and attributes that will serve our participants throughout their lives. MYCO is committed to being a welcoming, inclusive, and safe community for students and families of all races, genders, cultures, religions and circumstances. During the school year, MYCO offers a program on Sunday afternoons at UNC-CH for intermediate and advanced musicians between the ages of 10 and 18. MYCO also offers an intensive summer workshop program hosted at UNC-CH for one week in June. MYCO students enjoy a positive, challenging environment with ambitious performance standards. Students are regularly coached by high caliber professional musicians from UNC-Chapel Hill, Duke and beyond, and also have frequent opportunities to work with artists from nationally recognized chamber music groups such as the Juilliard Quartet, The Sebastians, A Far Cry and Horszowski Trio. Performance is at the heart of what we are about at MYCO, and creating meaningful and dynamic performance experiences for our students is always a particular focus. In addition to regular student concerts in Moeser Auditorium at UNC-CH, MYCO has recently brought student groups to perform at: NC Symphony’s Ovation Series; Chapel Hill's Community Dinner; Carol W oods' concert series, FRANK Gallery, The Cedars, and various other venues throughout Chapel Hill. In May 2024, one of MYCO’s groups, the Passera Quartet, was selected as one of ten semi-finalist groups at the National Fischoff Chamber Music Competition in South Bend, Indiana. The Passera Quartet also won first prize and audience prize at the 2024 U of SC Chamber Music Day Competition and was a semi-finalist at the Coltman Chamber Music Competition in Austin, Texas. MYCO has a small part-time staff: Co-Artistic Directors Mimi Solomon and Nicholas DiEugenio as well as registrar Caroline Polito. Regular chamber music coaches for MYCO include professional musicians from the Triangle area Clara Yang, Teddy Robie, and Jonathan Bagg, as well as the Co- Artistic Directors. Guest coaches this year included distinguished chamber musicians and pedagogues Mari Sato and Raman Ramakrishnan. MYCO's Board of Directors includes arts leaders within the community, parents of MYCO alumni, diverse alumni representatives, and ex-officio artistic advisors. The estimated cost for these updates is around $6000. MYCO also plans to use the surplus to offer small raises so that all MYCO employees continue to receive competitive, living wages/salaries for the work they are providing. The MYCO registrar's salary will increase from $20/hour to $25/hour. Coaches will also receive a small raise from their current hourly rate of $85/hour. MYCO has begun receiving a yearly donation of $10,000 in honor of Tara Gugnani, and this donation has changed our financial picture in the past year. Tara Gugnani (MYCO participant 2018-2022) loved MYCO: the camaraderie; the friendships; the shared music-making; the inspiration from playing and rehearsing alongside older students, alumni, faculty and guest artists. She passed away very suddenly at age 14 in 2022 and the yearly donation in her honor is earmarked for two specific purposes each year: 1. The Annual Chamber Music Residency in honor of Tara Gugnani. Each fall or spring (once each year), this Chamber Music residency brings a string quartet or chamber ensemble to MYCO. The residency will include a masterclass; a concert for MYCO students and their families; and a side- by-side performance alongside the students in chamber orchestra. This past spring, The Sebastians, a NYC-based dynamic and vital musical ensemble specializing in music of the baroque and classical eras came for the residency. For the spring of 2025, the residency will be bringing three musicians from A Far Cry, a Grammy-nominated, Boston-based chamber orchestra to MYCO in May, 2025. 2. The Annual Kindness Award in honor of Tara Gugnani is meant to inspire the entire MYCO community to "choose kindness as their go-to emotion, as Tara did." Each year, one student will receive a Kindness Award in recognition of their kindness, thoughtfulness and good citizenship at MYCO. This award enables the student to participate in MYCO with a scholarship for the coming academic year. This past year, Amelia Kelley (violist, just completed senior year at ECCHS) and Ken Mori (violin/viola, resident of Chapel Hill who just completed junior year at the Carolina Friends School) received the Kindness Award in honor of Tara Gugnani. A specific program or project Project/Program Summary A conductor-less ensemble project in which students collaborate with multicultural professional musicians and work with a living, female composer. This concert features Chapel Hill-based, Pulitzer-prize winning composer Jennifer Higdon as well as the chamber music of composers traditionally underrepresented in classical music performance. The project and concert will take place on December 20-22, 2024 in Hill Hall at UNC-CH, and the final concert in Moeser Auditorium at UNC is free and open to the general public. *It should be noted that MYCO is not affiliated with UNC, and must rent spaces and facilities for all its activities.* MYCO's students will come together for an intensive, conductor-less chamber orchestra project led by MYCO faculty and/or guest artists. During the project, faculty as well as MYCO alumni will play and rehearse alongside MYCO students in preparation for a Sunday afternoon performance. The project brings MYCO's youngest students together alongside older, more experienced students, MYCO alumni, and MYCO faculty, creating a wonderful opportunity for multi-layered mentorship and experiential learning throughout the project. This project offers MYCO students the chance to work with a famous, living composer within their own community. MYCO's students will also perform chamber music by composers typically underrepresented in classical music performance on this concert. Programming within the past year has included works by composers such as Daniel Bernard Roumain (Klap Ur Handz); Hawa Kassa Mady Diabaté (Tegere Tulon); Kenji Bunch (Hard W inter/Holler & Stamp), Rhiannon Giddens (At the Purchaser's Option, and Charlton Singleton (Testimony). MYCO has been a 501(c) organization since 2008. 2- Concert Audience Moeser Auditorium in Hill Hall at UNC Chapel Hill seats 430 people. Community members from Orange County and beyond attend MYCO concerts, particularly since MYCO is the only performing arts organization in the Triangle area to offer unconducted chamber orchestra performances! The MYCO concerts offer a unique opportunity for local residents to hear live performances of works by living composers like Jennifer Higdon alongside those of other diverse artists like MYCO alumni Quenton Blache, Daniel Bernard Roumain, Kenji Bunch, and more. The concert also offers a chance for MYCO's multicultural student population to connect with community members from different cultural, ethnic and religious backgrounds. The rehearsals will take place in Hill Hall 107 and Moeser Auditorium. The building and space are accessible to those with physical and mental disabilities. Concert location: The concert will take place in Moeser Auditorium at UNC-Chapel Hill. The building and hall were renovated in 2017 and include accommodations to allow access to those with physical and mental disabilities. There is parking directly outside the entrance to the building for those with disabilities. Artist Description MYCO works with a symbiotic combination of local and visiting artists, many of whom are multicultural. Artists are chosen for their level of musicianship, their ability to teach and work with diverse student populations, and their openness to collaboration and teamwork. The following artists listed are examples of past and current MYCO faculty artists. MYCO students work with all of these artists, and these artists also collaborate with one another both within the state of North Carolina but also nationally and, in some cases, internationally. 1- Clara Yang, cellist (local artist) Past positions include cello faculty at the Colburn School’s Community School of Performing Arts in Los Angeles, the Lucy Moses School at Kaufman Center, the Preparatory Center for Music at Brooklyn College, the Mozart Academy at John Jay College, and the Preparatory Studies in Music at Queens College in New York, as well as Rhode Island Philharmonic Music School and Providence College in Rhode Island. Dr. Yang’s former students have won top prizes at numerous competitions such as Enkor International Music Competition, CalASTA String Competition, Great Composers Competition, Los Angeles Violoncello Society Competition, Satori String Competition, and have been accepted into top institutions such as The Juilliard School, Jacobs School of Music at Indiana University and Northwestern’s Bienen School of Music. 2- Mari Sato, violinist (visiting artist) Former member of the Cavani String Quartet, currently substitute violinist with The Cleveland Orchestra. 3- Timothy Holley, cellist (local artist) Faculty member at NC Central. He has participated in recent Gateways Music Festivals for Black Classical Musicians at the Eastman School of Music, Rochester, New York (2011, 2013, 2015, and 2017) and the VIDEMUS@25 Festival at the University of North Carolina at Chapel Hill (2012). 4- Jonathan Bagg, violist (local artist) Ciompi Quartet, Duke University. 5- Grace Anderson, cellist (local artist) Has performed as a soloist and chamber musician throughout United States and Europe, appearing at Alice Tully Hall of Lincoln Center, W eill Recital Hall at Carnegie Hall, Aspen Music Festival, Caramoor Festival, Docusign Envelope ID: F72C8FCD-001E-42EF-9838-C92A0ECDE2DA Los Angeles County Museum of Art, and Miami’s Lincoln Theater. 6- Mimi Solomon, pianist (local artist) MYCO co-AD, faculty at UNC-CH, past member of Trio La Loingtaine, France. 7- Raman Ramakrishan, cellist (local artist) Bard College, ex-Horszowski Trio, Daedalus Quartet. 8- Dorothy Ro, violinist (visiting artist) Verona Quartet, Oberlin Conservatory. 9- Nicholas DiEugenio, violinist (local artist) MYCO co-AD, UNC-CH, member of New-York based ensemble The Sebastians. The project will be promoted on MYCO's website and social media (Instagram, X and TikTok) accounts, as well as through MYCO's mailing list, which reaches over 700 musicians in the Orange County area. The project concert will also be promoted on MYCO's website, social media and mailing list. Additionally, the concert will be listed on CVNC and Chapelboro, and MYCO will advertise the concert on local radio stations. How will you evaluate the success of the program? MYCO sends surveys to its participants and their families after each project. The surveys ask project participants to rate, on a scale of 1 to 5, their 1) overall experience, 2) musical experience, 3) chamber music coaching experience, 4) chamber orchestra experience, 5) special activity experience, 6) anything you wish would be different, 7) level of accessibility, 8) multicultural relevance, 9) any suggestiosn or comments. In addition to the participant experience survey feedback, the Artistic Directors present an activities report to the Board of Directors thrice annually. The Board evaluates the ability of the Artistic Directors to execute their proposed artistic plans, artistic vision, and community involvement. This particular project will receive its own discrete survey in order for it to be evaluated independently of the overall MYCO experience.
