BACKGROUND: Fire and EMS agencies within Orange County rely on a conventional radio system for paging to alert them and their personnel of emergency calls. The system predates Orange County's migration of its public safety radio communications to the statewide VIPER system and provides for cost efficient paging especially for volunteer departments that may not be able to afford VIPER radios for all personnel. The current system is decades old and well beyond its useful life. This replacement was initially anticipated as one component of the $32 million VIPER tower replacement project scheduled in FY 2027-28. However, recent issues with system coverage, degraded reception, and equipment failure necessitate expedited replacement of this system. Emergency Services staff reviewed and selected a proposal from Motorola Solutions, Inc. using North Carolina State Term Contract 725G for a conventional VHF two site simulcast system to replace the existing conventional paging infrastructure. The proposed solution is estimated to improve paging coverage throughout the County and be more servicable over the life of the equipment. Additionally, the proposal provides for ongoing maintenance of the system infrastructure. The total cost of the required hardware, installation services, and Year 1 maintenance is $494,300. These costs can be covered by available funds in the Orange County Bidirectional 2 Antenna (BDA) upgrade project as that project is projected to be completed significantly under budget. The proposed Budget Amendment #3-A amends the following project ordinances, reallocating funds already in the County Capital Fund. This amendment reallocates existing project funding to fund the replacement radio system infrastructure for Fire and EMS paging. The replacement radio infrastructure will ensure the fire and EMS agencies within the County have a reliable means of receiving pages for emergency calls. 3 RECOMMENDATION(S): The Manager recommends that the Board approve the purchase of the replacement paging system infrastructure, authorize the Chair to sign the contract, authorize the County Manager to execute any renewals, amendments, extensions and other associated legal documents related to the agreement as necessary, and approve Budget Amendment #3-A. The tasks described herein will be performed by Motorola, its subcontractors,and Orange County, NC(the Customer)to implement the 5 site VHF single channel paging system described in the System Description. It describes the actual work involved in installation, identifies the installation standards to be followed,and clarifies the responsibilities for both Motorola and the Customer during the project implementation. Specifically,this SOW provides: • A summary of the phases and tasks to be completed within the project lifecycle. • A list of the deliverables associated with the project. • A description of the responsibilities for both Motorola and the Customer. • The qualifications conditions taken into consideration during the development of this project. This SOW provides the most current understanding of the work required by both parties to ensure a successful project implementation. Should any of the sites change from this design, a revision to the SOW and associated pricing will be required in the form of a change order. It is understood that this SOW is a working document, and that it will be revised as needed to incorporate any changes associated with contract negotiations,Contract Design Review(CDR), and any other change orders that may occur during the execution of the project. 1 .2 GENERAL RESPONSIBILITIES Motorola has based the system design on information provided by Orange County,NC and an analysis of their system requirements. Should the below responsibilities be deemed incorrect or not agreeable to, a revised proposal with the necessary changes and adjusted costs may be required. Changes to the equipment or scope of the project after contract may require a change order. • All work is to be performed during normal work hours,Monday through Friday 8:00 a.m. to 5:00 p.m.,excluding Motorola and Customer observed holidays. • There is sufficient space,utilities and HVAC available to install the new equipment. • The existing backup power(UPS,generator)is capable of supporting the new equipment. • The existing site grounding meets R56 standards. • The installation of the paging at Chatham Mountain, Eno Mountain, and the Orange County Primary 911 Center will not require any special equipment such as a crane,helicopter,or invasive mounting structures. • Orange County,NC will obtain any MOUs or lease agreements necessary to install the proposed equipment. Orange County Responsibilities: • Assign a Project Manager,as the single point of contact responsible for Customer-signed approvals. • Assign other resources necessary to ensure completion of project tasks for which the Customer is responsible. Completion Criteria: • Motorola internal processes are set up for project management. • Both Motorola and the Orange County will assign all required resources. • Project kickoff meeting is scheduled. 1.3.3 Project Kickoff Motorola Responsibilities: • Conduct a project kickoff meeting during the Contract Design Review(CDR)phase of the project. • Ensure key project team participants attend the meeting. • Introduce all project participants attending the meeting. • Review the roles of the project participants to identify communication flows and decision-making authority between project participants. • Review the overall project scope and objectives with the Customer. • Review the resource requirements with the Customer. • Review preliminary implementation timing with the Customer to address upcoming milestones and/or events. • Review the teams' interactions(Motorola and the Customer),meetings,reports,milestone acceptance, and the Customer's participation in particular phases. • Motorola will complete the project as efficiently as possible,in the interest of all parties. These documents form the basis of the system,which Motorola will manufacture,assemble, ship, and install. • Prepare equipment layout plans for shipment to the field. Orange County Responsibilities: • The Customer's key project team participants attend the meeting. • Make timely decisions,according to the implementation tasks. • Frequency Licensing and Interference: — As mandated by FCC,the Customer, as the licensee,has the ultimate responsibility for providing all required radio licensing or licensing modifications for the system prior to system shipment. This responsibility includes paying for FCC licensing and frequency coordination fees. — Provide the FCC"call sign"station identifier for each site prior to system shipment. Completion Criteria: • Complete Design Documentation,which may include updated system description,equipment list, system drawings, or other documents applicable to the project. • Incorporate any deviations from the proposed system into the contract documents accordingly. • The system design is"frozen"in preparation for subsequent project phases such as Order Processing and Manufacturing. • A Change Order is executed in accordance with all material changes resulting from the Design Review to the contract. 1.4.2 Design Approval (Milestone) • The Customer executes a Design Approval milestone document. 1 .5 ORDER PROCESSING 1.5.1 Process Equipment List Motorola Responsibilities: • Validate Equipment List by checking for valid model numbers,versions,compatible options to main equipment, and delivery data. • Enter order into Motorola's Customer Order Fulfillment(COF)system. Ship Views are the mailing labels that carry complete equipment shipping information,which direct the timing,method of shipment,and ship path for ultimate destination receipt. • Create equipment orders. • Reconcile the equipment list(s)to the Contract. • Procure third-party equipment if applicable. Orange County Responsibilities: • Approve shipping location(s). • Complete and provide Tax Certificate information verifying tax status of shipping location. Completion Criteria: • Verify that the Equipment List contains the correct model numbers,version,options,and delivery data. • Trial validation completed. • Bridge the equipment order to the manufacturing facility. 1 .6 MANUFACTURING AND SHIPMENT 1.6.1 Manufacture Motorola Fixed Network Equipment Motorola Responsibilities: • Manufacture the Fixed Network Equipment(FNE)necessary for the system based on equipment order. Orange County Responsibilities: • None. Completion Criteria: • FNE shipped to the field. 1.6.2 Manufacture Non-Motorola Equipment Motorola Responsibilities: • Procure non-Motorola equipment necessary for the system based on equipment order. Orange County Responsibilities: • None. Completion Criteria: • Ship non-Motorola manufactured equipment to the field. 1.6.3 Ship Equipment to Field Motorola Responsibilities: • Pack system for shipment to final destination. • Arrange for shipment to final destination. Completion Criteria: • Equipment ready for shipment to final destination. 1.6.4 Ship Acceptance (Milestone) • All equipment shipped to the field. 1 .7 INSTALL FIXED NETWORK EQUIPMENT Motorola Responsibilities: • Motorola will be responsible for the installation of all fixed equipment contained in the equipment list and outlined in the System Description based upon the agreed to floor plans, at the sites where the physical facility improvement is complete and the site is ready for installation. All equipment will be properly secured to the floor and installed in a neat and professional manner,employing a standard of workmanship consistent with its own R-56 installation standards and in compliance with applicable National Electrical Code(NEC), EIA,Federal Aviation Administration(FAA), and FCC standards and regulations/ • For installation of the fixed equipment at the various sites,Motorola will furnish all cables for power,audio,control,and radio transmission to connect the Motorola supplied equipment to the power panels or receptacles and the audio/control line connection point. • During field installation of the equipment,any required changes to the installation will be noted and assembled with the final `as-built' documentation of the system. Orange County Responsibilities: • Provide secure storage for the Motorola-provided equipment, at a location central to the sites. Motorola coordinates the receipt of the equipment with the Customer's designated contact,and inventory all equipment. • Provide access to the sites,as necessary. Completion Criteria: • Fixed Network Equipment installation completed and ready for optimization. 1.7.1 Fixed Network Equipment Installation Complete • All fixed network equipment installed and accepted by the Customer. 1.7.2 System Installation Acceptance (Milestone) • All equipment installations are completed and accepted by the Customer. Orange County Responsibilities: • Provide access/escort to the sites. Completion Criteria: • System FNE optimization is complete. 1.8.2 Link Verification Motorola Responsibilities: • Perform test to verify site link performance,prior to the interconnection of the Motorola-supplied equipment to the link equipment. Orange County Responsibilities: • Make available the required links which meet the specifications supplied by Motorola at the CDR. 1.8.3 Completion Criteria: • Link verification successfully completed. 1.8.4 Optimization Complete • System optimization is completed.Motorola and the Customer agree that the equipment is ready for acceptance testing. 1.8.5 Perform R56 Installation Audit Motorola Responsibilities: • Perform R56 site-installation quality audits,verifying proper physical installation and operational configurations. Orange County Responsibilities: • Provide access/escort to the sites. • Witness tests if desired Completion Criteria: • All R56 audits completed successfully. 1.8.6 Perform Equipment Testing Motorola Responsibilities: • Test individual components of the system to verify compliance to the equipment specifications. • Repeat any failed test(s)once Motorola(or the Customer)has completed the corrective action(s). • Prepare documentation of component tests to be delivered as part of the final documentation package. Orange County Responsibilities: • Witness tests if desired. Completion Criteria: • Successful completion of equipment testing. 1.8.7 Perform Functional Testing Motorola Responsibilities: • Verify the operational functionality and features of the individual subsystems and the system supplied by Motorola, as contracted. • If any major task as contractually described fails,repeat that particular task after Motorola determines that corrective action has been taken. • Document all issues that arise during the acceptance tests. • Document the results of the acceptance tests and present to the Customer for review. • Resolve any minor task failures before Final System Acceptance. Orange County Responsibilities: • Witness the functional testing. Completion Criteria: • Successful completion of the functional testing. • Customer approval of the functional testing. 1.8.8 System Acceptance Test Procedures (Milestone) • Customer approves the completion of all the required tests. Orange County Responsibilities: • Attend cutover meetings and approve the cutover plan. • Notify the user group(s)affected by the cutover(date and time). • Conduct a roll call of all users working during the cutover,in an organized and methodical manner. The new analog solution is comprised of one GRV8000 operating as the Analog Comparator for each channel. — GRV 8000 PRODUCT HIGHLIGHTS: ♦ Interfaces directly with existing analog TRC consoles ♦ Supports Analog Simulcast over IP subsite links ♦ Supports Analog Voting over IP sub site links • The NC VIPER System Microwave Radio system is desired to serve as the transport providing connectivity between the Prime site and RF sub sites. • The RF site equipment will consist of Motorola GTR8000 radio equipment. The GTR8000 is designed so that many upgrades,migrations and conversions can be completed with only software installations. This allows for new features to be added as well as providing an easy migration from conventional operation to P25 FDMA or TDMA trunking operation. • The TRAK 9100 Simulcast Site Reference(SSR) are used in this simulcast subsystem configuration. The SSR supplies a highly accurate time and frequency reference signal to the comparator and the simulcast base stations. The comparator uses the time reference to compute transmission launch times. The simulcast base station uses the time reference to execute the transmission launch times and uses the frequency reference to generate the data transmission clock as well as a highly stable carrier frequency. The Prime site TRAK 9100 frequency reference device used includes redundant GPS receivers and antennas,redundant DC power supplies, and a back-up oscillator. The role of a failed module will be assumed by the back-up module. In the event of a loss of GPS sync (due to weather, snow, etc),the back-up oscillator will continue to maintain simulcast parameters for at least 14 days before any noticeable audio degradation starts to occur. Full alarming is provided to monitor the TRAK frequency reference so there will be ample time to initiate repairs. • New COL54160P RFI antennas will be installed at each RF site. The RFI antenna is a high performance low PIM Omni-directional antenna that offers high gain,excellent bandwidth and high reliability.New 7/8"LDF transmission line will be supplied as part of the new antenna system for each site. One GRV8000 comparator will be installed to support the consolidated EMS and Fire VHF RF channel in the simulcast system. The comparator can also act as a voter for the simulcast system selecting the best receiver signal for broadcast to the field. Therefore,they may at sometimes inadvertently disrupt ASTRO 25 networks such as the one proposed to Orange County. Motorola Solutions will test anti- virus, operating system and other software patches to check their compatibility with ASTRO 25. Once tested,Motorola Solutions will post the updates to a secured extranet website and send an email notification to Orange County. If there are any recommended configuration changes,warnings or workarounds,Motorola Solutions will provide detailed documentation along with the updates on the website. When tested updates have been posted, Orange County will need to download and install them. 4.1.4 On-site Infrastructure Response Motorola Solutions will provide repair service from trained and qualified technicians. Once dispatched,technicians will travel to Orange County's ASTRO 25 network location to diagnose issues and restore functionality. These technicians will run diagnostics on hardware to identify defective components,and repair or replace them as appropriate. Infrastructure Response times are based on a given issue's impact on overall system function. Any additional travel and expenses shall be subject to a change order and,in accordance with State Contract 725G,reimbursement Travel times and service levels are governed by local geography. The Addendum and NC State Contract 725G takes precedence over all other conflicting terms and conditions of the Agreement. 1. Confidentiality: As per the terms set out in the North Carolina State Contract 725G. All terms of this agreement and the North Carolina State Contract are subject to North Carolina public records law, as set out in Chapter 132 of the North Carolina General Statutes. 2. Revision to Section 15.1 Governing Law: This Agreement is governed by the laws of North Carolina without regard to the conflict of laws rules,provisions or statutes of any jurisdiction. Motorola and Customer each represent that each party shall comply with all applicable federal, state, and local laws. The contract value of$494,300.00 will be billed with the following payment terms: • 25% of the Contract Price due upon completion of the customer design review (CDR) • 60%of the Contract Price due upon shipment of equipment and receipt by Orange County • 10%of the Contract Price due upon installation of equipment; and • 5% of the Contract Price due upon final acceptance. Non Appropriation: Provider acknowledges that County is a governmental entity,and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of County's obligations under this Agreement,the Customer shall immediately notify Motorola of such occurrence and this Agreement shall terminate on the last day of the fiscal year for which the appropriation was made without penalty or expense to the Customer of any kind whatsoever, except to the extent Motorola has delivered Equipment or performed Services prior to the last day of the fiscal year for which the appropriation was made, Customer shall be liable for such Equipment or Services.Notwithstanding the above,the County will pay the Provider for all conforming services rendered, and equipment or parts provided,up to the date of termination. 5.
