SUBJECT: Contract Amendment for Extension with Tradebe Environmental Services, LLC

PURPOSE: To approve and authorize the County Manager to sign a contract amendment with
Tradebe Environmental Services, LLC for the disposal of Household hazardous waste materials
for an additional two (2) years.
BACKGROUND: Following the issuance of a Request for Proposals (RFP) in 2019, Orange
County entered into a five-year contract with Tradebe Environmental Services, LLC for the
disposal of Household Hazardous Waste materials. The original contract expires on June 30,
2024. In accordance with the RFP, the contract provides for the possibility of two (2) additional
two-year extensions. This request is to utilize the first of the two (2) remaining two-year
extensions.
FINANCIAL IMPACT: The financial impact will include the costs of Household Hazardous Waste
disposal and labor costs for two chemists, contractually set not to exceed $250,000 per year, for
a total of$500,000. Funds are included in the Manager's Recommended 2024-25 Budget for this
contract extension.
SOCIAL JUSTICE IMPACT: There are no Orange County Social Justice Goals associated with
this item.
ENVIRONMENTAL IMPACT: The following Orange County Environmental Responsibility Goal
impact is associated with this item:
• ENERGY EFFICIENCY AND WASTE REDUCTION
Initiate policies and programs that: 1) conserve energy; 2) reduce resource consumption;
3) increase the use of recycled and renewable resources; and 4) minimize waste stream
impacts on the environment.
RECOMMENDATION(S): The Manager recommends that the Board approve and authorize the
Manager to sign the contract amendment with Tradebe Environmental Services, LLC to extend
the contract.

CONTRACT AMENDMENT
ORANGE COUNTY
THIS CONTRACT AMENDMENT ("Amendment") is made and entered into this 21 day of May 2024 by and between
ORANGE COUNTY (hereinafter referred to as "County") and Tradebe Environmental Services, LLC, (hereinafter
referred to as"Provider").
WITNESSETH:
THAT WHEREAS, the County and Provider entered into a contract dated July 1, 2019, (hereinafter the "Original
Agreement"), for the provision of services for the disposal of Household Hazardous materials; and
WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and
conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to
amend the Original Agreement as follows:
1. Section 4a is amended to reflect a term of July 1,2024,to June 30, 2026.
2. Section 5 is amended to reflect a maximum payable not-to-exceed amount of$250,000 per year.
3. Except for the changes made herein,the Original Agreement shall remain in full force and effect to the extent
it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original
Agreement and the terms of this Amendment,this Amendment shall control.
