PURPOSE: To receive information regarding the County's management services agreement with
the Piedmont Food Processing Center (PFPC), the state of the shared kitchen spaces, and the
food business incubator services.
BACKGROUND: At its October 3, 2023 Business Meeting, the Orange County Board of
Commissioners approved a one-year contract renewal with the Piedmont Food Processing Center
to continue managing a Shared Use Kitchen Incubator in the County facility located at 500 Valley
Forge Road, Hillsborough, NC. In 2011, Orange County was one of four county government
partners that helped to establish the Piedmont Food and Agriculture Processing Center. The
Center has changed names (now Piedmont Food Processing Center), staff and leadership, and
scope of services in the past 13 years. The County owns and maintains the facility in which the
Piedmont Food Processing Center (PFPC), a North Carolina nonprofit corporation, operates
shared kitchen spaces and provides food business incubator services.
The County entered into the first management services agreement with PFPC in 2021. The
management services agreement approved in October 2023 did not modify any of the provisions
of the prior agreement. In follow-up to concerns raised by the Board of Commissioners regarding
the management structure, business classification, operations, benefits to Orange County
residents and other topics, County Cooperative Extension Director Jonathon Smith and
Community & Rural Development Extension Agent Mike Ortosky have since met regularly with
PFPC leadership to address ongoing concerns and to identify steps that can be taken to improve
operations and accountability between the nonprofit corporation PFPC and Orange County.
A presentation will be provided at the meeting with:

1. Clarification on the business classification of Piedmont Food Processing Center
2. Survey results from other Shared Incubator Kitchens operating in North Carolina
3. Suggestions for highlighting and enhancing Orange County-specific impacts
4. A proposal for instituting a future facility management contract that strengthens this public-
private partnership and includes measurable goals as well as expected outcomes that
benefit County farms and food businesses.
Jonathon Smith, Mike Ortosky, Eric Hallman (PFPC Executive Director), Sue Ellsworth (PFPC
Manager), and James Watts (PFPC Board Chair) will be present at the meeting to provide
information.
FINANCIAL IMPACT: Under the current agreement, the County is responsible for building and
property maintenance as well as capital improvements as defined in the agreement. A copy of
the current facility asset list identifying the County's equipment ownership and PFPC's property
are provided as attachments. The County's Asset Management Services Department manages
all relevant building and equipment needs using the same processes for other County assets.
PFPC is allowed occasional use of the County's language translation services at no charge
provided that such services are available. Other financial impacts are defined in the agreement
and include the following language: "PFPC shall receive no monetary compensation for services
provided pursuant to this Agreement. Full compensation and consideration to PFPC for its
services shall consist of PFPC's access to and use of the Facility and Capital Equipment."
SOCIAL JUSTICE IMPACT: There is no Orange County Social Justice Goal associated with this
item.
ENVIRONMENTAL IMPACT: There is no Orange County Environmental Responsibility Goal
impact associated with this item.
RECOMMENDATION(S): The Manager recommends that the Board:
1) Receive information on the Piedmont Food Processing Center; and
2) Consider providing feedback on recommendations regarding a future management
services agreement.

Organizational Timeline
Jun-2010 Piedmont Food &Agricultural Processing Center(PFAP) launches with a four county
Memorandum of Understanding (Alamance, Durham, Chatham, and Orange).
Oct-2011 Facility officially opened in Hillsborough with $1.1 M in grants and private funding.
Orange County contributes the abandoned Orange Enterprises building and provides
fiscal oversight.All counties agree to provide emergency funding if needed.This was
never executed.
Jul-2012 Piedmont Food &Agricultural Processing Center is incorporated.
Jan-2013 PFAP enters into a five-year lease agreement with Orange County. Management is
separated from the County.
Aug-2014 Organization is granted 501(c)3 tax exempt status by the IRS.
Nov-2015 IRS revokes non-profit status. Cause: no IRS returns were filed for PFAP in the tax
years 2012-13, 2013-14, or 2014-15).
Dec-2015 Eric Hallman installed as new Executive Director.
• Retains local CPA to assist in reinstating non-profit status.
• Discovers that the original non-profit application incorrectly identified PFAP as a
foundation.
• This error meant there was no way to reinstate the original non-profit status..
Jan-2018 Given the original organizational errors and the unfavorable status with state and
federal tax authorities, management decides to reorganize. Piedmont Food &
Agricultural Processing Center(PFAP) is dissolved and Piedmont Food Processing
Center(PFPC) is created as a North Carolina nonprofit corporation.
Mar-2018 PFPC submits a new application for IRS 501(c)3 tax exempt status.
Apr-2018 IRS Examiner explains it is unlikely that PFPC will be granted tax exempt status for the
following reasons:
• Does not serve a charitable class-the services are open to anyone
• Does not serve in a depressed economic area
• Does not rely on grants and donations, but is self-sustaining.
Based on this conversation, PFPC withdraws its 501(c)3 application.
May-2018 PFPC continues to operate as a NC non-profit. The organization files an annual
corporate tax return and has no plans to request tax exempt status with the IRS. See
NC Secretary of State document on non-profits.
Nov-2021 With the original 2018 lease agreement expired,the Orange County Manager's office
proposes that PFPC enter into a management services contract modeled after the
Sportsplex.
Oct-2020 BOCC approves two-year management services contract with Piedmont Food
Processing Center, Inc.
Oct-2023 BOCC approves a one-year management services agreement with PFPC.
