HomeMy WebLinkAbout2024-101-E-IT Dept-HLP-Software maintenance and licensing for Chameleon applicationRevised 04/23 NORTH CAROLINA CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 29th day of January 2024 by and between ORANGE COUNTY (hereinafter referred to as “County”) and HLP, Inc. (hereinafter referred to as “Provider”). WITNESSETH: THAT WHEREAS, the County and Provider entered into a contract dated July 20, 2022 (hereinafter the “Original Agreement”), for the provision of services for software maintenance and technical support for Chameleon software and WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. Exhibit A to the Original Agreement is amended by striking the changes noted in the amendment dated June 13, 2023 AND inserting the following tasks and services to the Services to be provided by the Consultant: Chameleon services and maintenance for the period of August 1, 2023- July 31, 2025 as described in attached Chameleon quotes # 6500 and 6506. The total number of licenses for the period of 8/1/2023 – 7/31/2024 is 18 and the total number of licenses for the period of 8/1/24 to 7/31/25 is unlimited. 2. Article 5, Section (a) is amended to reflect a maximum payable not-to-exceed amount of fifty-five thousand six hundred and eighty dollars ($14,400 original contract + $21,120 first amendment - $21,120 this amendment + $17,280 (8/1/23 – 7/31/24) + $24,000 (8/1/24 – 7/31/25). 3. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original Agreement and the terms of this Amendment, this Amendment shall control.
