DEPARTMENT: Solid Waste ATTACHMENT(S): INFORMATION CONTACT: Contract Amendment Robert Williams, 919-918-4904 PURPOSE: To approve and authorize the County Manager to sign a contract amendment with New River Tire Recycling, Inc. for the loading, transport, and recycling/disposal of scrap tires. BACKGROUND: Following the issuance of a Request for Proposals (RFP) in 2017, Orange County entered into a five-year contract with New River Tire Recycling, Inc. for the recycling of scrap tires. The original contract expired on April 30, 2022, and was extended for an additional two-year term that expires on April 30, 2024. In accordance with the RFP, the contract provides for one additional three-year extension through June 30, 2027. FINANCIAL IMPACT: The financial impact will include the costs of recycling tires, contractually set not to exceed $250,000 per year, for a total of $750,000 over the three-year contract period. SOCIAL JUSTICE IMPACT: There are no Orange County Social Justice Goals associated with this item. ENVIRONMENTAL IMPACT: The following Orange County Environmental Responsibility Goal impact is associated with this item: • ENERGY EFFICIENCY AND WASTE REDUCTION Initiate policies and programs that: 1) conserve energy; 2) reduce resource consumption; 3) increase the use of recycled and renewable resources; and 4) minimize waste stream impacts on the environment. RECOMMENDATION(S): The Manager recommends that the Board approve and authorize the Manager to sign the contract amendment with New River Tire Recycling, Inc. extending the contract. 2 NORTH CAROLINA CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT ("Amendment") is made and entered into this 1 day of May 2024 by and between ORANGE COUNTY (hereinafter referred to as "County") and New River Tire Recycling, LLC (hereinafter referred to as "Provider"). WITNESSETH: THAT WHEREAS, the County and Provider entered into a contract dated May 1, 2017, as amended on May 1, 2022 (hereinafter the"Original Agreement"), for the provision of services for the recycling of scrap tires; and WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. Section 4a is amended to reflect a term of May 1,2024, to June 30,2027. 2. Section 5 is amended to reflect a maximum payable not-to-exceed amount of$250,000 per year. 3. Except for the changes made herein,the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original Agreement and the terms of this Amendment,this Amendment shall control.
