COMMISSION 2023-24
GRANT AGREEMENT
THIS AGREEMENT, entered into this 29 day of September, 2023, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts
Commission") and ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive
the annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration
and under the conditions hereinafter set forth, agree as follows:
1.Approved Grant Project. Grant funds are provided under this Agreement for the project
(“Project”) described in the Grant Recipient’s Grant Application, attached hereto and
incorporated herein as Exhibit A.
2.Grant Award. Grant funds in an amount not to exceed ($ )
have been awarded by the Arts Commission to the Grant Recipient for the approved
Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash
from the Grant Recipient’s funds not derived from either Orange County appropriations or
the North Carolina Arts Council, as outlined in the attached Exhibit A.
3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4.Responsibilities of the Grant Recipient

A.Implementation. The Project implementation shall take place between July 1,
2023 and June 30, 2024. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B.Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient’s request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission’s decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C.Non–assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D.Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 15, 2024. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5.Responsibilities of the Arts Commission
A.Payment. The Arts Commission shall release the grant funds in the amount of
$ to the Grant Recipient.
6.Publicity
A.Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i.County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: “This program is supported by the
Orange County Arts Commission.”
ii.North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: “This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources.”
B.The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8.Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9.Termination
A.In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission may immediately terminate this Agreement:
(i)Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii)Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii)Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B.In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County’s or the Arts Commission’s
remedies in law or in equity.
10.Miscellaneous.
A.Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B.Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D.Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Description
SKJAJA’s mission is to level the playing field so that all youth grades K-12
have access to extracurricular opportunities that ignite their sparks and
allow them to grow into the best versions of themselves. W e believe that
every child has the right to explore their passions and discover who they
are in thew world, regardless of financial or life circumstances. 100% of the
children we serve live in Orange County and come from low-income
households. 92% of students in our program identify as People of Color,
and over 50% of our students are from immigrant and refugee communities.
SKJAJA serves nearly 2,000 children annually.
SKJAJA fulfills its mission through 3 core programs: 1) Scholarships for
marginalized youth to participate in extracurricular activities, after school
programs and summer camps, many of which have an arts focus; 2) PLAY
it Forward, a partnership with Chapel Hill-Carrboro City Schools in which
we collect unused high-quality instruments from community members and
refurbish them for school distribution to youth who wish to participate in
orchestra or band programs but experience financial barriers in doing so;
and our newest and perhaps most successful program, In-School Arts Field
Trips, a school-based program created in 2021-22 to infuse joy into the
school day through live performances and the arts.
Since 2008, SKJAJA has partnered with local arts and youth serving
organizations, social service organizations, educators, social workers, and
public school district administrators and staff to bring arts and other
enrichment experiences to over 5,000 children in Orange County. Over
90% of our programming and scholarships are arts focused. SKJAJA is
fueled by collaborative partnerships that create webs of support for our
students and help us understand a fuller life context of the communities and
families we serve. Our Board of Directors is comprised of a diverse mix of
community and business leaders with lived experiences relating to the
families with whom we partner. SKJAJA’s Board Chair and 20% of the
Board identifies as LGBTQ+ and 40% as Black and Hispanic. 50% identify
as women, and one member is a SKJAJA parent.
SKJAJA's signature In-School Field Trip program was created in 2021-22
at the request of school leaders aiming to infuse more JOY into their
communities during the school day. For the last 2 years, SKJAJA has
partnered with 7 Title 1 schools to curate 15 shows for over 3,250
students. To build school-wide connection and community, each program
reflects the school’s values and culture, includes every student and grade
level, and exposes students to some of the best children’s performers and
artists in the country – many of whom are local. Bringing the experience to
schools in this way has resulted in high-quality, culturally responsive arts
experiences for students, with minimal lift from teachers and staff. 90% of
teachers and staff surveyed reported their experience and the positive
impact on students as excellent. 100% of teachers surveyed said they
would like to partner with SKJAJA on an In-School Field Trip again next
year.

SKJAJA is a small but mighty local organization historically fueled by a
diverse group of committed volunteers. Dedicated to learning and growing
individually and as a team, 5 members of SKJAJA’s Board of Directors
attended a DEIA training hosted by the Orange County Arts Commission in
Spring of this year, with gratitude for OCAC’s shared equity commitments
and the opportunity to learn alongside our peers. 90% of SKJAJA’s Board
has participated in DEI training outside of SKJAJA. 50% of our Board
identifies as BIPOC, and/or has worked in primarily BIPOC youth spaces
for 75+ years collectively. Two of our Board members are long-time public
school music educators who center the elevation of marginalized students
in their professions and life’s work.
In 2020, SKJAJA was grateful to benefit from an angel donor who made a
significant contribution to capacity building for the organization. The funds
were leveraged to hire SKJAJA’s first professional Executive Director in
fall 2021. Karen Kalafatas brings 20+ years of arts and non-profit
management to the role, including extensive arts and DEI advocacy
experience. In 2020, Karen co-founded Family Music Forward (FMF), a
collective dedicated to creating safe and inclusive spaces in children’s
media industry. FMF is best known for its successful advocacy work with
the Recording Academy which resulted in a dismantling and restructuring of
racially biased voting practices for the Grammy Awards. Karen’s DEIA
training deepened when she taught performing arts at an elementary school
serving primarily BIPOC youth in the 2010s. She continues to learn and
lead in DEIA principles as part of her personal equity journey.
The pandemic was a time of change and re-setting for the organization.
Over the last two years, with a strong ED-Board partnership, the
organization has doubled its budget, and tripled its core programming. It
also created In-School Arts Field Trips with an equity lens to create
meaningful and culturally relevant arts experiences for marginalized youth,
for which we are applying for funds today. Nearly all of the artists engaged
in this program identify as BIPOC to reflect our school communities,
children and families. The SKJAJA Board is currently engaged in a multi-
year strategic plan to grow this program, which centers dignity and a deep
commitment to honoring and elevating the families we serve. To this end,
continued DEI training and learning will undoubtedly be a continued priority
for the organization.

Deficit/Surplus In FY20, SKJAJA was grateful to benefit from an angel donor who made a
significant contribution to capacity building for the organization. The funds
were leveraged to hire SKJAJA’s first professional Executive Director in
fall 2021. The deficit shown on the FY23 budget reflects the intentional
spending against this investment – using Board-approved, moderate
drawdown from reserves – as we continue to grow the organization. Based
on last year’s revenue growth of 40% over previous years and FY23’s
projected similar growth rate, we anticipate the deficit to stabilize by FY24
with remaining reserves of ~$50,000.

Summary
SKJAJA respectfully requests $3,000 to support our In-School Arts Field
Trips in the 2023-24 school year. Last year, the program grew from 3 to 4
schools in CHCCS. This year, we plan to expand the program across the
county to more rural areas, where schools have less access to high-quality
arts experiences. Projected program expenses in 2023-24 are $19,500 for
12 performances, including artist fees, staffing and marketing.
The most unique aspects of the In-School Arts Field Trip program are the
curation process and quality of artists we book. Each show is curated
closely with school staff. W e provide a "performer menu" that reflect their
values and culture, and book based on their top choices.
Our performers are among the best children's artists in the country. This is
intentional; we aim to provide once-in-a-lifetime, transformational arts
experiences for kids who otherwise don't have access to them. To date,
we have hosted local favorite Paperhand Puppet intervention; Latin
Grammy Award W inners 123 Andrés and Mister G; Grammy nominated
FYÜTCH; Grammy nominated Uncle Devin; and NC's own Teli Shabu and
The Magic of African Drumming. Our Chamber partnership allows us to
provide hotel accommodations at reduced costs to out-of-town artists. This
year, the Arts Center of Carrboro allowed us access to their theater for a
performance with Phoenix Academy High School, with some of CHCCS's
most vulnerable youth. Going off campus felt important as 85% of Phoenix
students had never had a live theater experience.

Project Goals 1) Partner with 6-8 Title 1 Schools in Orange County to provide high-
quality, culturally relevant performances for students who otherwise would
not have access to them.
2) Identify 3-4 new elementary schools beyond CHCCS footprint
(Hillsborough, Mebane) with minimum 40% free and reduced lunch and
where PTA resources are limited.
3) Deepen and explore partnerships with other arts organizations to expand
programming to more students where possible (Arts Center, Eno Mill,
Carolina Theater etc)
2) Outcome goals:
85% or more of teachers/staff will report the program had a positive impact
on their students and school community
85% or more of students surveyed will report the program had a positive
impact on them, and that it was culturally relevant
70% or more of students will report being interested in learning more about
arts or cultural content in performance
Audience Description W e partner with schools in Orange County to bring culturally relevant
performances to students who have limited access and exposure to high
quality arts experiences. In 2022-23, our audience of ~1,500 students
included an estimated 40% marginalized and low-income youth. All of the
schools with whom we partner are Title 1, with over 30% of students
qualifying for free and reduced lunch.
In its inaugural 2 years, the SKJAJA In School Arts Field Trip program
reached over 2,500 elementary students and 35 high school students in
CHCCS. In 2023-24 we plan to expand the program to more rural areas of
Orange County, and aim to partner with schools with free and reduced
lunch populations of 40% or higher.
Location Description W e partner with public schools in Orange County. W e anticipate providing
performances in 4 schools in CHCCS again next year, and at least 2 Title 1
elementary schools in other parts of the county. W e aim to go where the
need it highest.
Artist Description In 2023-24, SKJAJA will continue to hire local artists and partner with Triple
W hammy Agency, to book national artists. Triple W hammy is a DEI-
centered agency committed to ensuring equitable representation in
children's media. They represent some of the nation and globe's top family
music makers, including the roster of All 1 Tribe, the first ever all Black
children's album featuring local artists Pierce Freelon and Rissi Palmer to
name a few.
Because shows are curated per school, exact artists are TBD, but
performer options include: Grammy winning Alphabet Rockers; local artists
Pierce Freelon, Shana Tucker, Paperhand Puppet Intervention and Teli

Nearly 100% of our artists will be multi-cultural. W e believe in equity and
investing in artists, and pay them their requested fee, which depends upon
the artist/group but ranges between $1750 and $2750 for 2 assembly style
shows.
How will the
project/program be
publicized and
promoted to reach
intended
participants?
SKJAJA enjoys strong relationships with Orange County and CHCCS
school districts and schools. W e will begin exploring 2023-24 partners this
summer.
Our "backpack flyers" program means every child goes home with a flyer
about the performance to share with their families. W e elevate all of our
program partners on these flyers, and publicize SKJAJA's scholarship
program, which provides important enrichment activity resources to
children who wish to pursue arts education outside of school (music or art
lessons etc).
How will you
evaluate the success
of the program?
W e send surveys following each performance to teachers and staff at each
school. The response rate is very high.
W e will do this again next year, and will also create scaffolded versions for
student feedback! (W e did overhear a Kindergartener say to ehr teacher, "I
can't wait to tell my mom about this!" as she danced to Mister G.)
