WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient Footnotes Tap Ensemble one thousand eight hundred dollars $1,800.00 DocuSign Envelope ID: EF1143BC-A16C-4CBC-9A67-8394E5952E55 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2023 and June 30, 2024. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 15, 2024. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: EF1143BC-A16C-4CBC-9A67-8394E5952E55 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Yes Nature of Organization Arts Organization Organization Description Founded in 2002, Footnotes Tap Ensemble is a 501(c)(3) nonprofit organization whose activities are guided by the mission to promote, preserve, and perform the American art form of tap dance through ensemble concerts, community performances, and tap workshops. The Footnotes mission is given life by our 6-person board and the 14- member company who bring to the stage a breadth of dance experiences, backgrounds, and styles, from Broadway and classical influences to rhythm tap and improvisation. Lead by Artistic Director Blair Bresson, Footnotes embraces the diversity within the company to perform and teach a varied repertoire ranging from classic, historical choreography created by well- known hoofers such as Cholly Atkins, Bill “Bojangles” Robinson, Eddie Brown, Honi Coles, and Buster Brown to works commissioned by Footnotes from contemporary tappers, including Lane Alexander, Elizabeth Burke, Michelle Dorrance, Acia Gray, Josh Hilberman, Gene Medler, DocuSign Envelope ID: EF1143BC-A16C-4CBC-9A67-8394E5952E55 Robert Perera, Melissa Tannús, and Dorothy W asserman. All Footnotes performances are infused with tap history, both through keeping historical choreography alive and by sharing insights about tap origins and past masters with the audience. In Footnotes’ 21-year history, the company has produced as many as 15 community performances each year and reached hundreds of arts patrons of all ages through cost-free or low-cost performances, including annual traditions such as the Carolina Inn holiday show and CenterFest in downtown Durham. In addition, the company frequently performs for groups who would not otherwise be able to attend in-person programs—including residents of retirement communities, long-term care facilities, and hospitals —as a free service or for a small stipend. In recent years, Footnotes has enjoyed performing regularly at Carol W oods Retirement Community, Holiday Durham Regent, Carolina Meadows, SECU Family House, Ronald McDonald House of Chapel Hill, and UNC Children’s Hospital. In 2022, Footnotes celebrated the Ensemble’s 20th anniversary by self- producing an evening-length show at The ArtsCenter in Carrboro. The sold- out performance advanced the ensemble’s work to preserve, promote, and perform high-caliber tap, bringing both the legacy and the innovation in the field to the community. Footnotes was accompanied by the Alex Upton Quartet with guest appearances by ensemble alumni; co-founders and current board members, Robin Vail and Mimi Benjamin; and special guest artists Elizabeth Burke and Luke Hickey of Dorrance Dance in New York City. The concert was made possible by sponsorships, in-kind donations, individual donors, and company fundraising efforts. Footnotes frequently collaborates with local musicians and other dance companies and has shared the stage with the North Carolina Youth Tap Ensemble, OM Grown Dancers, African American Dance Ensemble, ChoreoCollective, and NickW alk Dance Project. Footnotes has performed with Béla Fleck and the Flecktones at The Carolina Theatre and has collaborated to produce full-length concerts accompanied by locally recognized musicians including Peter Lamb & the W olves, the Alex Upton Quartet, banjoist Jeff Donovan, and the Adam Price Group. W ith a high level of engagement in the artistic, musical, and dance communities, Footnotes plays a vital role in North Carolina's tap ecosystem. The deficit in 2022 had two drivers. First, we gave a donation to the North Carolina Youth Tap Ensemble (NCYTE, which is a 501(c)(3) organization) for $1000 to provide financial assistance for the installation of a new tap floor. Footnotes Tap Ensemble utilizes the same studio space for rehearsals as NCYTE at the Ballet School of Chapel Hill, which graciously allows us to use this space free of charge. The second driver was due to an investment that we made in company costuming. Footnotes had not purchased new costumes for more than five years and there was a need to refresh our costuming. W e will continue to use these costumes, with a few smaller replacements and additions for new members, for the next 3-5 years. A specific program or project Project/Program Summary W e are requesting funding to support three related initiatives: (1) commissioning an experienced and well-respected professional tap dancer to choreograph a new piece and teach it to Footnotes, (2) producing a community performance that includes the new material and features live music, and (3) inviting the choreographer to perform as a guest artist at the community performance. For the first element, we have identified several potential artists from whom we have not previously commissioned choreography and who are well known and established in the field of tap. W e would use the grant funding to pay for the artist’s work in developing the piece and time in teaching the choreography to Footnotes. The community performance would be held in Q2 of 2024 and feature the Footnotes company performing historical and contemporary tap pieces, including the newly commissioned work. The performance would be open to the community at a modest ticket price to cover the cost of venue rental and other incidentals not covered by grant funding. The ArtsCenter in Carrboro, NC, has expressed interest in hosting this performance. W e are requesting funding to pay musicians for the live accompaniment and to pay the guest artist for his or her performance in the program. Other costs associated with the program, such as travel-related expenses, rehearsal space rental, performance space rental, photography/videography, marketing, etc, would come from private support (in-kind, personal, and corporate donations), performance ticket revenue, and company fundraising efforts. DocuSign Envelope ID: EF1143BC-A16C-4CBC-9A67-8394E5952E55 Project Start Date (no earlier than July 1, 2023) September 1, 2023 Project End Date (no later than June 30, 2024) June 30, 2024 Project Goals This project will allow us to achieve several goals that align with the Footnotes mission to promote, preserve, and perform the American art form of tap dance through ensemble concerts, community performances, and tap workshops. First, the project will bring the work of a contemporary tapper to the local community. Although the tap community in Orange County is vibrant and rich in talent, there are limited opportunities in any given year for the general public to engage with high-caliber performers at minimal cost. Second, the project will expand the Footnotes repertoire. Having a large and diverse repertoire allows Footnotes to bring unique performances to the residential audiences that we visit multiple times per year, including retirement communities, long-term care facilities, and hospitals. These residents greatly appreciate the thought and care that we put into making each show a one-of-a-kind event. Third, the project will support the dance and local music communities. The dance community is supported both through the engagement of professional tap dancer in the capacity of choreographer, teacher, and performer as well as by bringing a tap-centric performance to Orange County. The music community is supported by the involvement of local musicians in the performance, which offers an opportunity for the musicians to bring their music to a potential new audience as well as fostering the connection between the local dance and music communities. W e anticipate that the audience for this performance will be similar in composition to that of our 20th anniversary show held in September 2022. That sold-out performance had an attendance of approximately 300 spectators and included patrons of all ages, from toddlers to senior citizens. Although no formal assessment was performed, we estimate that the racial and cultural composition of the audience was consistent with the demographics of Orange County, which as per the US Census Bureau is 69% non-Hispanic W hite, 12% Black or African American, 9% Hispanic or Latino, and 8% Asian, with the remaining percentage accounted for by other or multiple racial/ethnic designations. There is also a secondary audience for the choreography developed in conjunction with this project, which includes residential groups for whom we provide on-site performances. This group comprises residents of retirement communities, long-term care facilities, and hospitals who would otherwise be precluded from or have difficulty attending a performance at a standard community venue due to lack of mobility, infirmity, or health risk. The retirement community and long-term care facility audiences are predominantly elderly and frequently have medical conditions and/or physical, sensory, or cognitive disabilities. Footnotes has a long history of performing for these groups multiple times per year. DocuSign Envelope ID: EF1143BC-A16C-4CBC-9A67-8394E5952E55 Location Description The project involves two locations: the dance studio where the choreography will be taught and the site of the community performance. Studio space is necessary for this project, as we will require 2 sequential days for the guest choreographer to teach the piece to the Footnotes dancers. This exceeds our standard studio usage agreement with the Ballet School of Chapel Hill (our home studio) and, therefore, requires a separate studio reservation. W e have received approval from the co-owners of Davis Dance Company to secure studio space at their facility in Durham, NC (please see the letter of support provided as part of this application). Davis Dance Company is a newly opened, women-owned business that focuses on developing and training young dancers. Davis Dance Company also offers classes tailored to individuals with developmental disabilities (Limelight classes) and, as such, the studio has accessibility accommodations. W e propose holding the community performance at The ArtsCenter in Carrboro, NC. This location was selected because we have a previous relationship with the venue and held our highly successful 20th anniversary performance at The ArtsCenter in September 2022. W ith the success and large audience draw of that performance, the ArtsCenter expressed interest in future collaborations. W e have shared information regarding our proposed performance with the ArtsCenter and have confirmed their interest in hosting our event. By the time of the proposed community performance, the new location for the ArtsCenter will be open. The relocated and redesigned ArtsCenter increases its accessibility to those with physical or mental disabilities. The single-story building features accessible entryways and bathroom facilities and a ramp to the stage in the performance space for greater accessibility to those with mobility aids. W e have also developed contingency options for performance locations should they be necessary, including the Carolina Performing Arts CURRENT ArtSpace (located in Chapel Hill) and Carrboro High School, the latter of which recently hosted “The Greatest Tap Show Ever!” in conjunction with the 2023 North Carolina Rhythm Tap Festival. The CURRENT ArtSpace offers accessible seating options and zero barrier entry. Consistent with NC educational facility requirements, accessibility at Carrboro High School meets ADA requirements. Artist Description FOOTNOTES COMPANY The community performance will primarily feature the Footnotes Tap Ensemble, with special performance from the guest artist/choreographer. Since its founding in 2002, Footnotes has called Orange County home, rehearsing at the Ballet School of Chapel Hill and performing at multiple venues in and around the county. GUEST ARTIST/CHOREOGRAPHER W e have identified several tap dancers who align with our selection criteria of: being well known and influential in the field of tap, capable of bringing a unique style and voice to their choreography that is not already DocuSign Envelope ID: EF1143BC-A16C-4CBC-9A67-8394E5952E55 represented in our choreography, and having an interest in making tap dance accessible to the general public. Our proposed guest artist/choreographer options include: --Michael J. Love, MFA (www.dancermlove.com) W e have selected Michael as a potential guest artist/choreographer because of his integration of the cultural past of tap dance and how it influences the future. Michael’s academic interests also add to our mission of promoting, preserving, and performing tap dance. --Luke Hickey (https://lukehickey.myportfolio.com/projects) Luke Hickey brings a hometown experience to our artist selections, having been part of the North Carolina Youth Tap Ensemble and matriculated through Carrboro High School. Luke represents a young, fresh, and contemporary view of tap dance. --Chris Broughton (https://www.stepsnyc.com/faculty/bio/Christopher- Broughton/) Chris Broughton is an instructor, performer, and choreographer who has traveled extensively as part of national and international tours. His varied experiences and versatility make him an attractive candidate for guest artist/choreographer. --Sydney Burtis (https://www.broadwaydancecenter.com/faculty/sydney- burtis) Sydney Burtis is a young and upcoming performer who has founded her own dance company and is dedicated to tap choreography and instruction. Sydney’s energy and focus on communication through dance have the potential to create impactful and enduring choreography for Footnotes. --Starinah “Star” Dixon (https://www.maddrhythms.com/company- members/star-dixon) As the assistant director, choreographer, and original principal dancer of M.A.D.D. rhythms, Star is a highly sought after teacher and performer. Her experiences in rhythm tap dovetail seamlessly with the driving force of Footnotes tap. MUSICIAN/BANDLEADER For musical accompaniment at the community performance, our top choice is the jazz clarinetist Adam Price (www.adampricemusic.com) and his eponymous group of musicians that includes a pianist, double bass player, and drummer. Adam has a special interest in the synergy between jazz musicians and tap dancers, having lead classes and workshops on how these two groups can best work together. Footnotes has previously worked with Adam, most recently at FlushFest held in June 2023 in Hillsborough, NC. Are you hiring multicultural artists with the requested funds from this grant? Several of our guest artist/choreographer options are multicultural, including Michael J Love (Black/African American), Chris Broughton (Black/African American), and Starinah "Star" Dixon (Black/African American). W e have allocated $2600 for payment to the guest artist/choreographer. The Adam Price Group artist composition varies. Our most recent collaboration included drummer Theous Jones who is Black/African American. W e have allocated $1650 total for the Adam Price Group. How will the project/program be publicized and promoted to reach intended participants? W e plan to follow a similar advertising and promotion plan to what we used for our highly successful 20th anniversary show held in September 2022 at the ArtsCenter in Carrboro, which included: --Promotional postcards sent to approximately 400 addresses on our mailing list; --Listing on our company website (footnotestapensemble.org) and promotion on our social media platforms (Instagram, Facebook) as well as mentions in local tap- and dance-related Facebook groups; --Advertising and marketing opportunities provided by the venue such as listing on the venue’s website under upcoming events and postings on the venue’s social media; --Inclusion in studio newsletters and email lists and distribution of physical flyers and postcards through our home dance studio (Ballet School of Chapel Hill) as well as dance studios affiliated with Footnotes dancers (several dancers are also teachers or studio owners); --Distribution of physical flyers and postcards around local businesses and universities and posting of sign boards in Chapel Hill, Carrboro, Durham, Cary, and Raleigh; --Direct email promotion within our alumni and friends/family network; and --Mentions in social media by the guest artist/choreographer and musicians, with advertisement and promotion through their personal networks of artists and patrons DocuSign Envelope ID: EF1143BC-A16C-4CBC-9A67-8394E5952E55 How will you evaluate the success of the program? Success of the program will be measured in terms of achievement of the program goals. Goal #1: Bring the work of a contemporary tapper to the local community. The metric of success for this first goal is attendance at the community performance. This goal will be achieved if the performance sells 75% or more of the seating capacity or reaches an audience of 200+ (depending on the size of the performance venue). To better understand our reach, we would like to include an audience survey to learn more about audience demographics and best practice advertising and promotion channels. Goal #2: Expand the Footnotes repertoire. This goal will be measured by the proportion of the company who have learned the new choreography and are capable of teaching what they have learned to future Footnotes dancers. W e will also gauge audience response to the new piece. Goal #3: Support the dance and local music communities. Success of this goal will be determined by the involvement of non-Footnotes dancers and local musicians in the performance and as audience members. The audience survey would include questions to ascertain the number and types of dancers and musicians who have come to see the performance and whether audience members have learned about the performance through local dance and music channels (studios, social media, local interest groups, etc).
