COMMISSION 2023-24
GRANT AGREEMENT
THIS AGREEMENT, entered into this 29 day of September, 2023, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts
Commission") and ("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the annual Grants Program to provide
economic opportunities to Orange County artists and non-profit organizations coordinating arts
projects benefiting the citizens of Orange County.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the
Department of Natural and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive
the annual Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration
and under the conditions hereinafter set forth, agree as follows:
1.Approved Grant Project. Grant funds are provided under this Agreement for the project
(“Project”) described in the Grant Recipient’s Grant Application, attached hereto and
incorporated herein as Exhibit A.
2.Grant Award. Grant funds in an amount not to exceed ($ )
have been awarded by the Arts Commission to the Grant Recipient for the approved
Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash
from the Grant Recipient’s funds not derived from either Orange County appropriations or
the North Carolina Arts Council, as outlined in the attached Exhibit A.
3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots
Program funding to the Arts Commission. Final decisions on Grassroots Program funds
to the North Carolina Arts Council are subject to approval by the North Carolina General
Assembly.
4.Responsibilities of the Grant Recipient

A.Implementation. The Project implementation shall take place between July 1,
2023 and June 30, 2024. The Project shall be implemented in the manner
described in Exhibit A. Time is of the essence in the implementation of the
Project.
B.Modifications to project. Grant Recipient shall present major changes to the
original proposal, including but not limited to changes in design, implementation
schedule and increase in Project budget by more than 10%, in writing to the Arts
Commission for approval. Arts Commission shall approve or disapprove Grant
Recipient’s request for modifications within seven (7) days of receipt thereof.
Consent to project modifications shall not be unreasonably withheld. Arts
Commission’s decisions shall be in writing. In the event the Arts Commission
fails to approve or disapprove the requested modifications within the time stated
herein, the modifications shall be deemed approved.
C.Non–assignment. The grant cannot be assigned or transferred to a different project
or artist without prior written approval of the Arts Commission.
D.Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding
taxes or other debts of any nature. The grants shall be utilized solely for the
purpose described in the attached Exhibit A.
F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
on July 15, 2024. The Final Report shall be in the format required by the North
Carolina Arts Council. Failure to submit the Final Report or late submission of
the Final Report, for any reason, shall be grounds for denial and/or cancellation of
grant funds for the Project and future grant proposals.
5.Responsibilities of the Arts Commission
A.Payment. The Arts Commission shall release the grant funds in the amount of
$ to the Grant Recipient.
6.Publicity
A.Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i.County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: “This program is supported by the
Orange County Arts Commission.”
ii.North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: “This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources.”
B.The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8.Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees for the duration of the art work's
installation.
9.Termination
A.In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission may immediately terminate this Agreement:
(i)Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii)Nonperformance, incomplete service or performance, or failure to
satisfactorily perform any part of the Project or to comply with any
provision of this Agreement, as determined by the Arts Commission in its
sole discretion.

(iii)Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B.In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) from written notice
of default or allow the grant recipient the opportunity to cure the default. This
clause shall not be interpreted to limit the County’s or the Arts Commission’s
remedies in law or in equity.
10.Miscellaneous.
A.Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B.Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81. By executing this
Agreement Grant Recipient affirms they are and shall remain in compliance with
Article 2 of Chapter 64 of the North Carolina General Statutes. In determining
the basic services to be provided, should any documents be referenced in or
attached to this Agreement, the terms herein shall have priority in any conflict
between the terms of referenced documents and the terms of this Agreement.
C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D.Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Organization
Description
The McDougle Elementary School PTA (MES PTA) provides a link between
school, home, and the wider community. W e work together to organize
events and raise funds to support children’s learning and to make the
environment for our students the best it can be. Our mission statement is to
"make every child's potential a reality by engaging and empowering families
and communities to advocate for all children."
The MES PTA board consists of 19 members. The executive committee
includes the president, vice president, vice president 2, vice president 3,
secretary, and treasurer. All parents, caregivers, teachers, and members
of the MES community are invited to join the PTA. The PTA serves the
entire student body which consists of 518 students, 268 who are male and
250 who are female. The demographics of the student body are as follows:
1 American Indian or Native Alaskan, 25 Asian, 82 Black or African
American, 284 W hite, 88 Hispanic/Latino, 38 multi racial.
The MES PTA supports the arts programs at our school in many ways,
including but not limited to:
1) Sponsoring the annual 4th grade face jugs project,
2) Sponsoring (with generous support from the OCAC) the annual 5th grade
poetry residence program,
3) Organizing and funding the annual PTA Reflections contest in which
students are encouraged to submit art in one of the following six categories
to enter a national competition: literature, visual arts, music composition,
photography, dance choreography, and film production,
4) Sponsoring and funding assemblies for the student body, including this
past year's assembly featuring the "Number Drummer" who combines visual
arts and math through drumming,
5) Organizing our school's after school choir club,
6) Putting on a winter market featuring the sale of goods from local artists,
7) Inviting multiple performance artists, such as a Native American dance
troupe, to our school for multi-cultural night, and
8) W e are currently in the planning phase of installing a mural on the
exterior wall of our gymnasium.

Individual board members have received Diversity, Equity, and Inclusion
training. In previous years, the MES PTA has sponsored DEI
training and events for its members and the McDougle Elementary School
Community, such as by bringing in guest speakers from https://www.weare-
nc.org/, as well as coordinating with the McDougle Elementary School staff
and administration to offer anti-racism training to MES parents and
guardians.
During the 2022-2023 school year, MES brought in speaker Dr. Brittany
Murray, a professor at Davidson College, to discuss her research on
school racial inequality and how parent organizations at schools can help
or hinder academic progress of racial minorities.

Deficit/Surplus In FY 2020-2021, the MES PTA had a budget surplus of approximately
$2,000, as a result of covid precautions limiting PTA programming.
Additionally, CHCCS was completely virtual as a district until the last weeks
of Spring 2021, when parents could opt into a hybrid model. For FY 2021-
2022, the MES PTA has a small projected budget deficit as a result of
applying the prior year's surplus to that year's programming and events to
assist in the transition to fully in-person learning for the majority of MES
students. For FY 2022-2023, the MES PTA is projecting a small budget
surplus to allow for the flexibility to adjust for anticipated inflation costs
during that time frame. There are several projects that are still waiting to be
funded as the year ends and we do not anticipate carrying forward much of
a surplus into next year. As you will note on our FY 2023-24 Budget, we
have a significant projected Deficit. This is simply due to it being a work in
process type document with many decisions yet to be made over the
summer by our incoming Board after having a chance to meet with our
school leaders and laying out more firm plans for projects in the coming
year.

Summary
1) Fourth graders will be creating clay face jugs with the guidance of our
school's art teacher, Alice Zincone, and local potter, Jason Abide. Students
will learn the origin of face jugs, which have a rich history involved in
African and slave culture in NC. The class will read the book "Dave the
Potter" about a slave in South Carolina who was an extremely talented
potter. They will watch videos featuring Jim McDowell, a Black potter in NC,
work. (https://blackpotter.com/jims-story/) After learning about face jugs,
each student will create their own, which will be glazed and fired in our
school's kiln.
2) W e have once again asked Mr. Phillip Shabazz to lead his poetry
residency to work with our fifth grade students. For multiple years, Mr.
Shabazz has been getting MES students excited about creative writing,
encouraging them to be empowered by their own words and expression. He
is one of the most loved and appreciated residents who has established
lasting relationships with MES teachers, staff, and students. Each fifth
grade student will write a poem. Mr. Shabazz will work with each student to
help them improve their poems and feel confident sharing them with their
classmates.
3) W e are requesting funding for 3 "Number Drummer" assemblies,
separating groups into grades K-1, 2-3, and 4-5. Number Drummer Live is
a one-of-a-kind interactive production where the entire audience
experiences drumming through addition, multiplication, money, fractions,
probability, ratios, algebra and more. Math is taught through beat, rhythm,
timbre, dynamics, tempo, and form.

Project Goals The goal of the PTA Cultural Arts Program at MES is to expose our
students to a wide range of artistic expression throughout their elementary
school years. MES students benefit from the shared experience of a
diverse cultural arts program. W e know that many MES students have very
few opportunities to participate in cultural arts programs outside of school
due to socioeconomic realities and other family considerations. The
pandemic also limited in-person access to cultural arts experiences. The
PTA Cultural Arts Program provides a common context for students to
understand and celebrate each other’s differences, expand their knowledge
about the world, and make meaningful connections between the arts and
the lessons they are learning in the classroom.
1) W ith the fourth grade face jugs project, our students will create beautiful
and practical art while at the same time connecting to what life might have
been like for slaves.
2) Mr. Shabazz's poetry program is as an integral part of our fifth graders’
curriculum. His work responds to the needs of all MES 5th-grade students.
It provides a strong multidisciplinary linkage to the school’s curriculum (arts
education, language arts, social studies and positive behavior) as well as
ongoing discussions of race, ethnicity, and culture both inside the
classroom and in communities outside of school.
3) Our Number Drummer programming goals are to instill an appreciation
for and interest in performance arts, specifically music, and to demonstrate
how math and the arts are ever present and connected in the world around
us.

Cirruculum and
Enrichment
The MES PTA Cultural Arts Program supplements the school’s arts
education curriculum. Every year, artists and programs are carefully
selected to match the themes and curricula being explored in the grade-
level classrooms. Teachers integrate the program into their classroom
experiences using the provided instructional materials both before and after
the program to enable deeper connections and extended engagement with
the ideas being presented. These connections most often take place on a
grade-wide scale, with teachers of the same grade using the same lesson
and specials teachers providing further reinforcement during classes such
as art, music, and library.
The fourth grade face jug project combines art and the North Carolina
fourth grade curriculum's focus on the history of the state. Face jugs were
common among slaves in North Carolina in the mid-1800s. This project
brings NC history to life for our students.
Mr. Shabazz designed his writing workshop activities to align with Common
Core standards. During the residency, the students will not only be
provided with poetry packets, but will also write and present original poetry,
and support and celebrate each other’s achievements within this nurturing
setting. Mr. Shabazz has repeatedly received praise for his contributions to
arts education as his workshops blend imagination, experience, and an
upbeat sensitivity.
The Number Drummer performance ties in directly to the NC Common Core
standards. See the attachment for the Number Drummer in the artist
resume section to see all of the tie-ins to curriculum.

Audience Description The audience for the face jugs will be approximately 91 fourth grade
students who represent a wide range of ethnic and socioeconomic
backgrounds. Below is our estimated breakdown of audience numbers and
demographics (based on the rising 4th grade class):

The audience for the poetry workshop will be made up of approximately 80
fifth grade students who represent the following demographics (based on
the rising 5th grade class):

The audience for the Number Drummer performance will be the entire
school, which currently has a population of 518, 35% who receive free or
reduced lunch. Based on the 2022-2023 school year, the demographics
are as follows:

Asian - 25 (4.8%)

Location Description The face jugs project will take place in the art class of MES. The poetry
residency will take place in the 5th grade classrooms. The Number
Drummer performances will take place in the school gym. As the students
will be in a familiar setting, they will already have all required
accommodations (based on their specific IEPs and 504s) in place at the
time of each event.

Artist Description Our art teacher, Ms. Zincone, has identified Jason Abide as a talented
potter to serve as an artist-in-residence to lead the fourth grade face jug
project. Mr. Abide currently lives in Carrboro and is a ceramics teacher
through the ArtsCenter in Carrboro. He creates functional pottery,
sculptural ceramic art, and tile mosaics. See his website for samples of his

The MES PTA Cultural Arts Committee collaborated with school
administrators, teachers, and MES PTA colleagues and identified that the
poetry residency with Mr. Shabazz for our 5 grade students will continue to
benefit our school community. Mr. Shabazz's work is engaging, and his
methods succeed in showing students how to use poetry as a tool of
learning and communication. His teaching style is fun and direct, and at
MES, we all believe this cultural program will have the highest impact to our
students.
The MES PTA has chosen the Number Drummer, Mr. Tony Kryzalka, to
lead the Number Drummer Part 2: Breaking Beat program for our school in
the 2023-2024 school year. W e heard about this program through word of
mouth as we learned that the OCAC provided a grant to Carrboro
Elementary in 2018 for this performance. In the 2022-2023 school year,
the MES PTA sponsored the Number Drummer Part 1 assembly, and it
received rave reviews from both teachers and students. Mr. Kryzalka has
worked in music and education for 20 years and has devoted his career to
making music and math accessible and fun for all students. You can learn

publicized and
promoted to reach
intended
participants?
The residency programs will be publicized and promoted within the fourth
and fifth grade classrooms and with the parents of these students. Parents
will have the opportunity to see the face jugs on display in the library.
Additionally the PTA will post pictures of the jugs on their website. The MES
PTA has also started posting poems from the residency on its website, as
well as emailing out selected poems written during the residency, so that
more students and families can appreciate the creativity of the participants.
The Number Drummer event and information regarding our artist
residencies will be included in the "W eekly Blast" newsletter from our
school principal as well as in the MES President Newsletter. Our
communications chair will provide photos of each event on our PTA's social
media channels.

How will you
evaluate the success
of the program?
To evaluate the 4th grade face jug program, our art teacher, Ms. Zincone,
will communicate with the 4th grade teachers and Mr. Abide to observe the
4th graders while they are working on their face jugs. Observations will be
used to shape future programming.
To evaluate the 5th grade poetry program, the PTA Cultural Arts Program
Coordinator will communicate with the teachers and Mr. Shabazz to take
attendance and observe the audience response during the week of work.
By the end of the week, every student will present their poetry work to the
class showcasing their effort. Selected poems will be shared (with student
and parental approval) with the MES community on the PTA website. W e
also request feedback from faculty and staff after the week. The MES PTA
takes all feedback and observations into consideration when planning and
presenting subsequent residencies.
To evaluate the Number Drummer assembly, a brief survey will be sent to
teachers to gather their feedback and shape cultural and arts programming
for future years.
