WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. The Project implementation shall take place between July 1, 2023 and June 30, 2024. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 15, 2024. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: 0C261A48-D79C-4528-A50D-5F8F988DC33B 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. If such mediation fails either party may initiate litigation to resolve the dispute. Estes Hills is a neighborhood school in the truest sense, as many students from the surrounding homes walk or bike to school every day. In the current academic year (2022-23), Estes Hills Elementary serves 353 children from pre-kindergarten through fifth grade. The school has 20 traditional classrooms (including one pre-K) plus one behavior support class, and offers programs in Exceptional Education, Gifted Education, Head Start preschool, and English as a Second Language. Our student body is evenly divided along gender lines (50% Male / 50% Female) and has a diverse racial composition: W hite (54%), Black (15%), Hispanic (11%), Asian (8%), and Multi-racial (12%). Estes Hills has 21 traditional classroom teachers; 100% are fully licensed. W e have a diverse staff which is 68% W hite, 24% Black, 5% Hispanic, 1% Asian, and 1% Pacific Islander; in terms of gender, the staff is 65% Female and 35% Male. Our school offers art and music instruction in accordance with the North Carolina Standard Course of Study for elementary school students, with a full-time professional in each “specials” discipline: Art, Music, French, and Physical Education (which incorporates dance). These teachers supplement classroom time with extracurricular events, including in 2022-23: participating in the district-wide Visions Art Show; a “Specials Showcase” night featuring activities for families in art, music, French, and physical education; a school-wide “music composer of the month” program; a French café and poetry declamation; and a 4th grade field trip to the NC Symphony Orchestra in Raleigh. W e continue to ramp up extracurricular events post-COVID. The arts are alive and well at Estes Hills, but these efforts largely depend on parent donations and volunteer hours, in the absence of funding. The mission of the Estes Hills PTA is to serve the whole community of the school - the students, teachers, staff and families - by providing necessary resources to support the highest quality educational environment possible. The PTA is comprised of parent volunteers (Executive Board is 83% Female / 17% Male; 100% W hite) and seeks to promote the cultural arts in education by bringing in professional artists to perform at our school. In 2022-23 (current year) we received an Orange County Arts grant for $2,000 and budgeted an additional $4,300 for a Cultural Enrichment Program. W e spent the $2,000 grant on artist fees, but did not spend our entire budgeted amount of $4,300. This was due to three things: (1) we conservatively budgeted $6,300 for a projected total program of $6,055 for any changes in prices of shows; (2) Donna W ashington’s listed rate ($1,500) was more than what she charged us ($1,125); and (3) Carlotta Santana (projected to cost $1,875, our most expensive show) was unable to perform due to scheduling issues, and instead we contracted Takiri Folclor Latino to provide a similar Latina dance experience, but her rate was only $1,187.50. Thus, our total costs were $1,062.50 lower than expected. Had we known this at the beginning of the school year, we may have tried to schedule an additional show, but Carlotta Santana canceled late in the school year. Extra funds are put back into other PTA programs for students. As shown in the 2023-24 budget, we have budgeted $3,975 for next year’s Cultural Enrichment Program and are requesting $2,000 from the Orange County Arts Commission. Our school principal and the PTA were committed to offering a full and rich cultural arts program this school year after 2 years without this programming due to COVID restrictions, and we were able to provide 8 performances by 4 artists. Thanks to the assistance of the Orange County Arts Commission, we supported local artists of multiple cultures and ethnicities, further enhancing the educational experience for our students. This year we hosted a Black storyteller, an African musician, a small theater company, and a Latina dancer; our students and faculty loved the performances. If we are awarded a grant this year, we will use it to fund a portion of the artists’ fees for 8 performances during the 2023-24 school year, including: The Beast: A History of African-American Music from Spirituals to Hip Hop ($1,500), Curious Theatre Collective: Sally’s Ride ($1,875), StArt of Cool: The Brevan Hampden Group ($1,600), and Vault Theatre: The Girl W ho Swallowed a Cactus ($1,000). Each performer will provide 2 shows in one day, for K-2 and 3-5 grades; costs given are the total amount for 2 shows for each performer, for a total of $5,975. Project Start Date (no earlier than July 1, 2023) August 1, 2023 Project End Date (no later than June 30, 2024) June 30, 2024 Project Goals Our goal as the PTA is to provide necessary resources to support the highest quality educational environment possible, including exposure to the performing arts, particularly for our economically disadvantaged students who may not have the opportunity to participate in extracurricular arts events. At Estes Hills, 32% of our students participate in the Free and Reduced Lunch Program and may not have time and transportation outside of school. The Cultural Enrichment Program would not exist at Estes Hills without the PTA’s funding and support. Over the past few years, income to our PTA and thus the Cultural Enrichment Program budget has decreased. This has been due in part to a decrease in the sustaining funds historically provided by the PTA Thrift Shops, and a decline in state funding for education, which has resulted in greater demands on the PTA’s budget. Artists’ costs have also risen; 8 performances costed us $3,500 in 2016-17, whereas this year we spent $5,000. As a result, we have increased our performing arts budget which takes PTA funds from other programs. W e made the decision that performing arts is a priority; however, we are reliant on the grant funds to achieve the full budget, and to provide our students with cultural opportunities that they otherwise might not experience. W e chose a diverse mix of performances including storytelling, music, and theater, and focusing on themes including women’s stories, environmental issues, and African and Latin culture. Performance descriptions for the 2023-24 school year are as follows (total cost $5,975): The Beast: Sankofa- History of African-American Music from Spirituals to Hip Hop (2 shows, K-2 and 3-5, for $1,500) Straight outta Durham, the cultural and entrepreneurial nexus of a new South, The Beast is a home-grown artistic force, mixing tap-dancers, puppeteers, and spoken word artists into its repertoire. In this educational show, The Beast will weave the story of African-American music into an interactive performance. This will perform original songs, as well as standards from the spiritual, jazz and Hip-Hop canon. Students will participate by engaging in call-and-response, improvisation and more. Curious Theatre Collective: Sally’s Ride- To Space and Beyond! (2 shows, K-2 and 3-5, for $1,875) Curious Theatre Collective tells the stories of remarkable women through original theater programming, inspiring young audiences to follow their curiosity, persevere through challenges, and believe in the power of their imagination. Sally Ride will take audiences on the rid of their lives in this dynamic performance about space exploration! Through music, audience participation, and narrative, this performance will ignite excitement for science, while having loads of fun. Students will learn that by venturing into space, we improve life on earth by advances in environmental sustainability, medicine, and technology. StArt of Cool: The Brevan Hampden Group (2 shows, K-2 and 3-5, for $1,600) StArt of Cool is a music program that provides education for students interested in learning more about the performance and fundamentals of various styles of music. The Brevan Hampden Group is a multinational Latin ensemble, founded by their leader, percussionist Brevan Hampden in 2012. Members of the band come from many walks of life and areas of the world, including Puerto Rico, Nicaragua, Venezuela, the United States of America, and more. Look for sounds including Salsa, Merengue, Cumbia, Rumba, Bomba, Plena, and Bolero. Vault Theatre: The Girl W ho Swallowed a Cactus, by Eric Coble (2 shows, K-2 and 3-5, for $1,000) Vault Theatre is dedicated to unlocking the imagination through comprehensive and innovative programming. In this production, school is out for the summer, the weather is hot and the boredom is heavy, but 8- year-old Sheila and her pack of pals aren’t going to let the summer heat wear them down. It’s a whirlwind adventure about how we affect the environment and the animals with whom we share the planet, and how we take on the mission of saving the world from ourselves. The Beast: Black, $1,500 Curious Theatre Collective: All-women group including women of color, $1,875 The Brevan Hampden Group: Hispanic, $1,600 Vault Theatre: All-women group including women of color, $1,000 How will the project/program be publicized and promoted to reach intended participants? Estes Hills parents and students will be contacted with dates and performance descriptions via a hard copy flyer at the beginning of the school year and again at the beginning of the spring semester, and will be reminded of the performances in periodic electronic newsletters from the school. How will you evaluate the success of the program? W e are again working with the Durham Arts Council which was excellent in directing us to high-quality programming. To evaluate the program, the PTA will collect verbal feedback from teachers and school administrators, and from students through parents and teachers, as we have traditionally done. Additionally, after the 2022-23 performances concluded, we distributed an online survey to teachers and staff to collect more formal feedback. This was our first survey and number of responses was low (12) but generous and helpful in the feedback provided. Two shows (Bright Star Theatre and Diali Cisshoko) received a 4 or 5 out of 5 in terms of quality. Two shows (Donna W ashington and Takiri Folclor) received one 3, and otherwise 4 or 5 out of 5. Feedback included: • “They talked about each performance days after it.” • “Each performance represented our school culture.” • “The kids had a great time at all the events.” • “The performers were very knowledgeable of what they were explaining to kids.” • “Real time- not a video, local, and a focus on culture.” • “Student involvement, humor.” • “They have an interactive aspect in which students are also involved.” • “Keep them coming. They are great exposure to the arts for our students.” The only comments for improvement involved breaking down the group sizes and having 3 shows instead of 2, but that would mean increasing costs by 50%.
