HomeMy WebLinkAbout2023-310-E-IT Dept-Tyler Technologies-Licenses and technical support for Energov application 1 AMENDMENT This amendment (“Amendment”) is effective as of the date of signature of the last party to sign as indicated below (“Amendment Effective Date”), by and between Tyler Technologies, Inc. with offices at One Tyler Drive, Yarmouth, Maine 04096 (“Tyler”) and Orange County, North Carolina, with offices at 131 West Margaret Lane, Suite 300, Hillsborough, North Carolina 27278 (“Client”). WHEREAS, Tyler and Client are parties to an agreement dated February 16, 2016 (“Agreement”); and WHEREAS, the Tyler Software listed in the Investment Summary attached hereto as Exhibit 1 was licensed to Client previously under the Agreement; and WHEREAS, Tyler and Client desire to amend the terms of the Agreement as provided herein. NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Tyler and Client agree as follows: 1. Tyler shall provide maintenance and annual services to Client, as specified in the Agreement and Tyler’s then-current support call process, during the period July 1, 2023 – June 30, 2024. 2. Client shall remit to Tyler maintenance and annual fees in the amount set forth in the Investment Summary attached hereto as Exhibit 1. Tyler reserves the right to suspend Client access to maintenance and annual services in the event Client fails to pay undisputed maintenance and annual fees within thirty (30) days of the payment due date. 3. Maintenance and annual services will renew automatically for additional one (1) year terms at Tyler’s then-current maintenance and annual fees unless terminated in writing by either party at least fifteen (15) days prior to the end of the then-current term. 4. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement. 5. Except as expressly indicated in this Amendment, all other terms and conditions of the Agreement shall remain in full force and effect. Tyler resources will configure and test basic Enterprise Licensing & Permitting functionality including global settings, and preliminary user roles. Enterprise Permitting & Licensing powered by EnerGov Advanced Automation Bundle includes Intelligent Objects, Intelligent Automation Agent, Georules and Workflow Designer. eReviews enables electronic review and markup of submitted plans and other documentation by client personnel. eReviews requires Bluebeam Studio Prime, at an estimated yearly subscription cost of $3,000/100 users to be purchased separately by Client. iG Workforce - iG Inspect and iG Enforce provide a mobile solution for field personnel to capture inspection and code data remotely. Tyler will assist to connect iG Apps to the Enterprise Permitting & Licensing powered by EnerGov suite, and support testing. These applications are available on iOS. The client is responsible for ensuring the app(s) are downloaded and kept up to date on client utilized hardware. This investment summary is being used solely for invoice consolidation purposes and to replace old naming conventions with modern branding. Line items included represent software/recurring services already purchased by Orange County. Maintenance and new invoice line items effective 7/1/23, and future renewals will occur annually thereafter.
