ORANGE COUNTY GOVERNMENT
TRANSPORTATION SERVICES DEPARTMENT
MEMORANDUM OF UNDERSTANDING
This memorandum of Understanding is entered into this 20, Day of June 2023, by and
between the Orange County Criminal Justice Resource Department (CJRD) and
Transportation Services (OCTS) (referred to collectively as the “Parties”).
WHEREAS, OCTS and CJRD are departments or agencies of Orange County, North
Carolina and are ineligible to enter into binding contractual relationships with one another;
and
WHEREAS, the parties desire to enter into this Memorandum of Understanding in order
to establish the mutually agreed upon conditions upon with OCTS will provide certain
services for CJRD in connection with their grant funded program; and
WHEREAS, the OCTS is mandated to provide public transit services to the county
residents.
NOW, THEREFORE, the parties to this Memorandum hereby agree as follows:
1. OCTS will provide Orange County court-involved, indigent residents same day
Mobility-on-Demand public transit service to and from criminal legal system
facilities at the request of CJRD.
2. CJRD will reimburse OCTS for provided service at a rate of $5 per one -way trip
and will not be charged for cancellations or no -shows. Children twelve (12) years
and younger will ride fare free.
3. Specific parameters of the program include:
a. Program initiates with a $200 two month budget, resulting in 40 one-way
trips, increasing at CJRD discretion.
b. CJRD and OCTS will track all reservations.
c. OCTS tracks MOD through CJRD designated account.
d. OCTS will bill CJRD monthly by the 10th day of the subsequent month.
e. CJRD will pay OCTS monthly by the last day of the subsequent month.
4. OCTS agrees that continuation of and/or renewal of this Memorandum based on
the following:
a. Public transit service for approved clients to and from criminal legal system
facilities within Orange County.

b. Program service area can extend maximum 10 miles outside Cou nty limit.
This extends as far as Research Triangle Park (east), Pittsboro (south),
Burlington (west), Roxboro (north).
c. Provide service on same day basis, advance reservations are preferred.
d. OCTS agrees to use Fare Revenue as the billing codes on request to CJRD
for reimbursement.
e. OCTS agrees to only submit reimbursement requests for approved and
provided trips, not children 12 and under, no-shows or cancellations.
f. CJRD agrees to receive all client calls regarding scheduling and submit to
OCTS for reservation, including any changes.
g. OCTS agrees to meet on-time performance standards such as no more
than 5% of trips may be late for client pick-up or drop-off to his or her
destination, per month.
h. OCTS agrees to report all no-shows or cancellation on a monthly basis to
CJRD by email.
i. OCTS agrees to report all client complaints, including date, nature and what
steps were taken to resolve the complaint.
j. OCTS agrees to participate in program, fiscal and administrative monitoring
and or audits, making records and staff time available to Federal, State and
County staff, including monitoring of records to ensure all requirements are
met.
k. OCTS agrees to take necessary steps for corrective action, as negotiated
within a corrective action plan, for any items find to be out of compliance
with Federal, State and County laws, regulations, standards and/or terms
of this Memorandum.
l. OCTS provides this service through the County approved Transit Plan and
Annual Work Program
m. OCTS will ensure that all vehicles providing transit service shall have at
least the minimum level of liability insurance appropriate for the type of
vehicle as defined by Article 7 Rule R2-36 of North Carolina Utility
Commission;
n. OCTS will ensure all drivers shall be at least 18 years of age and work with
Orange County Human Services to ensure:
i. They have valid driver license,

ii. criminal background checks through North Carolina Law Enforcement
or NCIC prior to employment and every three years thereafter;
iii. Drug and alcohol testing program that meets the Federal Transit
Administration guidelines paid by OCTS
o. OCTS will ensure all vehicles used in the fulfillment of services under this
Memorandum have a valid state registration and inspection.
p. This Memorandum shall be effective at CJRD discretion.
q. OCTS will maintain quarterly reports of the program and reevaluate any
improvements to it in coordination with CJRD.
r. The Memorandum contains the entire understanding of the parties and shall
not be altered, amended or modified, except in writing executed by the
Directors of both departments.
s. Signatures. This Memorandum together with any amendments or
modifications bay be executed electronically. All electronic signatures
affixed hereto evidence the consent of the parties to utilize electronic
signature and the intent of the parties to comply with Article 11A and Article
40 of North Carolina General Statutes Chapter 66.
t. Notices. Any notice required by this Memorandum shall be in writing
delivered to:

27278
IN WITNESS WHEREOF, the parties hereto have caused this Memorandum to be
