PURPOSE: To consider appointments to the Chapel Hill Orange County Visitors Bureau
Advisory Board.
BACKGROUND: The Chapel Hill Orange County Visitors Bureau Advisory Board is charged
with developing and coordinating visitor services in Orange County. It also implements
marketing programs that will enhance the economic activity and quality of life in the community.
The Board of County Commissioners appoints all 17 members, with representation from specific
entities and fields.

As the Public Affairs and Outreach Coordinator of both a hemp farm and a wedding venue, in addition to

As Chair of the Chapel Hill/Orange County Visitors Bureau Board of Directors, I am pleased to forward
the nomination of Karen DeHart to represent the North Carolina High School Athletics Association on
the Visitors Bureau Board.
The North Carolina High School Athletic Association is the governing organization of high school athletics
in North Carolina, United States. The association maintains the official rule books and governs the
officiating standards across the state.
The Association is one of just a few state associations located in Orange County and Karen brings
significant knowledge of high school sports tournaments and their schedules in Orange County. As a
resident, Karen has raised children in our school system and is active in several civic agencies and we are
pleased to have Karen join us in our work to promote Orange County.

I am co-owner of my family's farm in Orange County, a bicentennial farm with a longstanding
commitment to community outreach and agritourism. With a background in public relations and
community engagement, I facilitate and oversee the farm's agritourism endeavours and am
committed to helping our farm continue to enrich Orange County's populace connections to rural
life, by making our farm a welcoming place to share with the public as an event and wedding
venue, as well as an interactive hemp farm.
Reasons for wanting to serve on this board:
I am keen to serve on the board as a way of furthering community outreach between our farm
and our wider community, and to ensure the rural areas of our county are included and all their
best qualities capitalised upon.
Contribution to the diversity of viewpoints on this board:
My background in farming brings with it a viewpoint from a rural community that differs from
other areas and sectors such as towns and hospitality or corporate sectors. Additionally, having
UK citizenship and having lived in the UK for 13 years, and working in the public relations sector
there, I believe I can help facilitate community engagement with our rural areas in ways that are
effective and inclusive.

Reasons for wanting to serve on this board:
I have a deep-rooted love for Chapel Hill ever since I attended college at UNC-Chapel Hill. The
growth and changes that have happened within the Town of Chapel Hill since I last served on
the Board have been widespread and I welcome the opportunity to gain insight and offer
suggestion relative to ongoing events, tourism, etc. in the Chapel Hill and the bordering
communities of Carrboro and Hillsborough.

It is important to have various viewpoints considering local issues. Diverse viewpoints makes a

Reasons for wanting to serve on this board:
Tourism more and more will be a driver of the local economy in Orange County. I have the
experience to contribute to this effort and a well established relationship with Visitor Bureau staff
and a familiarity with their operations. As a kid growing up in Raleigh long ago, Hillsboro (as it
was spelled back then) and Chapel Hill were our primary day trip destinations. My mother s
family has lived in Orange County most of the 268 years the country has existed. Good
knowledge of Orange County history including peer reviewed work on antebellum agricultural
history and the end of the Civil War here and familiarity with historical architecture resources.

I have a strong perspective and experience in event and cultural tourism and on using the arts
and history as tourism drivers. I have considerable experience on working on tourism driving
activities and organizations in other areas. I have a life time association with rural Orange
County and an urban upbringing and am the rare individual who has lived in both southern and
quite northern Orange County.

I have worked in the arts since March 1983, serving as director of The ArtsCenter in Carrboro,
Appalshop in Whitesburg, KY, and founding executive director of both the International
Bluegrass Music Association and Folk Alliance International. I spent ten years working full time
for MerleFest in marketing and sponsorship. I currently host music programs on WCOM, where I
am also board secretary, and WHUP. I formerly hosted a local arts talk show on WCHL. I have
supervised non-profit radio stations, an archival repository, theatre programs, and documentary
film producers and budgets up $3,000,000. 1 have nearly 50 years experience serving on non-
profit board and government commissions. I served three years on the Carrboro Arts
Commission.
Reasons for wanting to serve on this board:
I am deeply committed to the arts and to Orange County. The arts have been my life and
continue to be as one of the world s leading promoters of music to folk radio and as an artist
manager. Yet I have reached the giving back stage of my career.
Contribution to the diversity of viewpoints on this board:
I bring the perspective of more than 40 years working in diverse aspects of the cultural industries
including roots, bluegrass, and Americana music, theatre, visual, documentary film, and TV. I
know both the non-profit and for profit arts worlds and have worldwide connections in the folk
arts. I have a life time association with rural Orange County and an urban upbringing and am the
rare individual who has lived in both southern and quite northern Orange County.

Although the arts commission normally cannot fund the Public Gallery of Carrboro, on whose
board I shall serve until 12/31/2021, PGC did receive an emergency NCCares grant in
December 2020.

Orange Unified Transportation Board
Background, education and experience relevant to this board:
I served on the OUTboard for six years including one year as chair.
Reasons for wanting to serve on this board:
To serve the community, represent the perspective of northern Orange and Little River
Township. I am personally concerned about unplanned, unchecked growth rather than well
managed development and preservation. Transportation planning involves expensive decisions
years in the future with consequences lasting decades after that. It involves often brutal
prioritization to help the BOCC and County staff guide the county s future through complex
issues with implications far beyond bikes, buses, and roads. The OUTboard are a key venue for
citizens shaping the future of our county.
Contribution to the diversity of viewpoints on this board:
I am the rare person with deep Orange County roots and memories going back more than 60
years, who has lived in Chapel Hill, Carrboro, White Cross, and a home owner up north in Little
River Township since 2016.

Ethics Guidelines for Orange County Advisory Boards and Commissions
I agree by my signature below that, if appointed, I pledge to comply with the following ethics
guidelines for advisory boards and commissions as adopted by the Orange County Board of
Commissioners.
• Conflict of Interest
1. During advisory board meetings, a member shall immediately disclose any potential
conflict of interest and request to be excused from voting when he or she has a conflict of
interest.
2. During appeal proceedings, the applicant has the right to question the interest of any
voting member. The advisory board chair should consult with the County Attorney or
staff attorney on any potential conflict of interest in appeal matters.
3. In determining from existing facts and circumstances whether a conflict of interest exists
the determining party shall consider the facts and circumstances as would an ordinary
and reasonable person exercising prudence, discretion, intelligence, and due care.
• Gifts
1. An advisory board member shall not directly or indirectly ask, accept, demand, exact,
solicit, seek, assign, receive, or agree to receive any gift or honorarium for the advisory
board member, or for another person, in return for being influenced in the discharge of
the advisory board member's official responsibilities.
2. This section shall not apply to gifts or awards authorized by Orange County Policies,
Resolutions, or Ordinances.
• Code of Ethics
1. Advisory board members should act with integrity and with independence from improper
influence as they exercise the functions of their offices. Characteristics and behaviors
that are consistent with this standard are:
1. Adhering firmly to a code of sound values.
2. Behaving consistently and with respect towards everyone with whom they interact.
3. Exhibiting trustworthiness.
4. Living as if they are on duty as appointed officials regardless of where they are or
what they are doing.
5. Using their best independent judgment to pursue the common good as they see it,
presenting their opinions to all in a reasonable, forthright, consistent manner.
6. Remaining incorruptible, self-governing, and not subject to improper influence, while
at the same time being able to consider the opinions and ideas of others.
7. Disclosing contacts and information about issues that they receive outside of public
meetings, and refraining from seeking or receiving information about quasi-judicial
matters outside of the quasi-judicial proceedings themselves.
8. Treating other advisory boards and advisory board members and the public with
respect, and honoring the opinions of others even when they disagree.
9. Being careful not to reach conclusions on issues until all sides have been heard.
10. Showing respect for their appointed office and not behaving in ways that reflect
badly on the office, the advisory board, Orange County, or the Orange County
Board of Commissioners.
11. Recognizing that they are part of a larger group and acting accordingly.

12. Recognizing that individual board members are not generally allowed to act on
behalf of the board, but may only do so if the board specifically so authorizes, and
that the board must take official action as a body.
13. Being faithful in the performance of the duties of their offices.
14. Acting as especially responsible residents whom others can trust and respect.
15. Faithfully attending and preparing for meetings.
16. Carefully analyzing all credible information that is properly submitted to them, and
when applicable, being mindful of the need not to engage in communications
outside the meeting in quasi-judicial matters.
17. Being willing to bear their fair share of the board's workload.
18. To the extent appropriate, they should be willing to put the board's interests ahead
of their own and shall avoid the appearance of a conflict of interest and shall, under
no circumstances, use their position on any board for personal gain or profit.
2. Members of the Planning Board, Board of Adjustment, Economic Development
Commission, and Board of Equalization and Review shall upon initial appointment, and
prior to December 31 annually thereafter, disclose:
1. Any interest he or she or his or her spouse or domestic partner has in real property
situated in whole or in part in Orange County and the general description of that
property.
2. Any legal, equitable, beneficial or contractual interest he or she or his or her spouse
or domestic partner has in any business, firm or corporation, which is currently
doing business with Orange County pursuant to contracts awarded by Orange
County, or which is attempting, or has attempted in the past calendar year, to
secure the award of a bid from Orange County or the approval of any Board or
Agency of Orange County.
3. Failure to file a disclosure statement setting out the above required information shall
result in immediate removal of the member from the applicable board.
