WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient Ackland Art Museum three thousand dollars $3,000.00 DocuSign Envelope ID: 0D2AFD45-3C8E-43B8-8720-60054E1F7869 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2022 and June 30, 2023. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 10, 2023. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: 0D2AFD45-3C8E-43B8-8720-60054E1F7869 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Yes Nature of Organization Arts Organization Organization Description The Ackland Art Museum is the Univ ersity of North Carolina at Chapel Hill’s local museum with a global outlook. Since our founding in 1958, the Ackland has been one of North Carolina’s most important cultural resources, serv ing roughly 55,000 v isitors annually. Our location and programs bridge campus and community, and we are always free, open, and accessible to all. W e prov ide experiences that spark insight into ourselv es, each other, and the world. Our mission is the art of understanding. The Museum’s permanent collection consists of more than 20,000 works of art, featuring North Carolina’s premier collections of Asian art and works of art on paper, as well as significant collections of DocuSign Envelope ID: 0D2AFD45-3C8E-43B8-8720-60054E1F7869 European masterworks, twentieth-century and contemporary art, and North Carolina pottery. In addition to permanent collection galleries, the Ackland organizes four major special exhibitions a year. The Ackland is a v ital teaching resource that puts the art of understanding at the heart of what we do. In 2018, 22,000 of the Ackland’s annual v isitors came to the Museum to participate in a range of educational and public programs for univ ersity, K-12, and community audiences. In addition to the Ackland’s exhibition and education programs, the Museum works to acquire, research, publish, and preserv e the works of art in our collection. The Ackland also has a growing membership community, and offers informal learning opportunities through an ongoing and robust public program schedule for members and non- members alike. The Ackland not only encourages close looking, but also activ e participation. The combination of our v ersatile collection, accessible interpretation materials, and v ariety of programs allow us to offer engaging experiences for all our v isitors. In recognition of our commitment to being accessible to all, the Ackland permanently re-opened ART& in September 2018. A dedicated museum space for students and community to connect with each other, create, and experience art, ART& hosts artists’ talks, performances, art-making classes, and much more. In addition to serv ing as a v ibrant community and program space, ART& features site-specific commissions by contemporary artists. Ackland Director Katie Ziglar joined the Museum in July 2016, and leads a staff of 21 full-time Museum employees and one part-time employee in four departments, including administration, curatorial, external affairs, and academic programs. The Ackland’s National Adv isory Board (NAB) consists of 26 members and supports the adv ancement of the Museum and its mission. NAB members work closely with the Director and staff to enhance all aspects of Ackland’s programing including but not limited to: enriching and caring for its collections; creating and presenting original research and exhibitions; educating students and the public; expanding the Museum’s national and international profile and strengthening the financial footing of the Ackland. In this way, we ensure that we are prepared to meet our commitments in such situations as delays in receiv ing inv estment income payments, reductions in state funding, and market downturns that affect endowment performance or donation rev enue. In addition, our cash reserv es include funds that are earmarked for specific purposes; such funds sometimes accumulate until we hav e staff capacity to manage such programs. The Ackland Art Museum will show positiv e net assets to begin fiscal year 2023 (FY23). This surplus is restricted funds that includes cash reserv es from prev ious years, the temporary reclassification of some acquisition funds for operations, and multiyear projects funded by restricted endowment funds. Ackland leadership will carefully monitor expenses throughout FY23. As cash assets from prev ious years are used, the Ackland recognizes that expenses for FY23 and future years will need to bring rev enue and expenses into balance. A specific program or project Project/Program Summary The Ackland Art Museum would like to enliv en Ackland F.A.M. (Families at the Museum) program with the addition of quarterly guest artists from the community and a new mobile F.A.M. Cart. Ackland F.A.M. is a month-long program with self-guided and guided family activ ities that relate to the art on v iew at the Ackland, occurring most months of the year at the Museum. Each month’s F.A.M. kicks off with a Sunday afternoon program that includes liv e activ ities in the galleries like story time, art-making, and interactiv e workshops. During this ev ent, families can also explore the Museum using self-guided activ ities like scav enger hunts and Family Activ ity Kits, as well as links to online resources. The self-guided activ ities remain av ailable for families v isiting on their own throughout the month, something that has been v ery popular during COVID, as families seek lower-density ev ents and access to materials that they can use at home. The purpose of Ackland F.A.M. is to make v isits to the Ackland fun and engaging for v isitors with young children (target age: preschool to middle school age kids and their caregiv ers). W ith support of the OCAC Grassroots grant, the Ackland would hire guest community artists for an art-making demo related to four of our Ackland F.A.M.s. W e would also purchase a F.A.M. Cart to hold our themed Family Activ ity Kits, additional themed hand-outs like art scav enger hunts, and gallery safe drawing/writing tools. The Cart would make these materials more v isible and more easily accessible throughout the month following the kick-off ev ents. W ith support from OCAC the Ackland would hire four local artists for workshops/demonstration at Sunday-afternoon Ackland F.A.M. ev ents each quarter. Artists working in different media will be chosen to align with exhibition-based F.A.M. themes, tying their work to the other activ ities and demonstrating that their work is part of lineage of artmaking, enliv ening the art on v iew in Museum galleries. The four exhibitions and artist pairings will be “Drawn to Life: Master Drawings from the Age of Rembrandt in the Peck Collection” (draftsperson), “Houseguests: American Art from the Art Bridges Collection Loan Partnership” (painter), “Good Object/Bad Object” (sculptor), and “Unsettled Things: Art from an African American South” (fiber artist). A new F.A.M. Cart would be a dedicated, highly v isible location for our self-guided F.A.M. activ ities, including Family Activ ity Kits with art- inspired crafts; art-based scav enger hunts; and basic drawing/writing supplies. Currently these materials are placed on tables in the lobby, but when the Museum is used for another ev ent or program, they need to be taken out of the lobby. W ith a mov eable F.A.M. Cart, we could relocate the materials to another gallery and keep them av ailable. This would allow all v isitors access to the materials whenev er the Museum is open (or ev en closed for a priv ate ev ent!). Audience Description The intended audience for Enliv ening Ackland F.A.M. is local families that include children in the preschool to middle school age range. Ackland staff estimates roughly 200 families per month would take adv antage of Ackland F.A.M. programming (the number of Family Activ ity Kits currently picked up each month). The Ackland does not ask for demographic information for program participants, but since the target audience is local Chapel Hill and Carrboro families, we assume the audience would hav e similar demographics to those of the surrounding towns. The artist workshops/demonstrations would take place in the Museum, on the Museum’s Terrace, or in the Museum’s courtyard. The F.A.M. Cart would be located in the Museum galleries during all open hours. The materials on the cart would be a mix of in- Museum and take-home supplies. The Family Activ ity Kits are designed to be used in the Museum galleries OR taken away to families’ homes. The scav enger hunts are designed to be used at the Museum, as are the drawing and writing supplies av ailable on the F.A.M. Cart. The Museum is accessible to v isitors with mobility disabilities, adhering to all ADA requirements, as is the Museum’s Terrace gallery outdoors. W e also offer campstools to v isitors to sit as needed throughout the galleries. For programs with speakers, like these F.A.M. ev ents with guest artists, the Museum has assistiv e listening dev ices for hearing impaired v isitors. Ackland staff will promote Ackland F.A.M. on the Museum website, ackland.org, in both the general and member email newsletters, and on social media. All public programs are also adv ertised as part of the Ackland’s ov erall exhibition marketing efforts, which include poster distribution throughout the Triangle and postcards (sent v ia mail for Ackland supporters and handed out at community ev ents and the Museum). Furthermore, the Ackland has a pending application with the North Carolina Arts Council for program adv ertising, of which Ackland F.A.M. would be a focus. If the application is successful, it would fund a week-long radio package on W UNC to adv ertise F.A.M., a newsletter sponsorship for IndyW eek coinciding with F.A.M., and digital ads on indyweek.com related to F.A.M. How will you evaluate the success of the program? Ackland staff will ev aluate success by measuring quantitativ e data related to Ackland F.A.M., including how many Family Activ ity Kits and scav enger hunts are picked up each month, how many people attend during the monthly kick-offs, and how many people access online resources related to F.A.M. Ackland program staff will also conduct post-v isit surv eys with participating families for qualitativ e data and feedback.
