WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient ESTES HILLS ELEMENTARY PTA two thousand dollars $2,000.00 DocuSign Envelope ID: D8EED1F8-7850-4F19-8AEC-27A73E4A9C10 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2022 and June 30, 2023. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 10, 2023. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. Arts Council, a division of the Department of Natural and Cultural Resources.” B.The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.org/events. In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. 7.Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: D8EED1F8-7850-4F19-8AEC-27A73E4A9C10 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Estes Hills is a neighborhood school in the truest sense, as many students from the surrounding homes walk or bike to school ev ery day. In the current academic year (2021-22), Estes Hills Elementary serv es 366 children from kindergarten through fifth grade. The school has 21 traditional classrooms and one behav ior support class, and offers programs in Exceptional Education, Gifted Education, Head Start preschool, and English as a Second Language. Our student body is ev enly div ided along gender lines (50% Male / 50% Female) and has a div erse racial composition: W hite (54%), Hispanic (14%), Black (14%), Asian (10%), and Multi-racial (8%). Estes Hills has 23 traditional classroom teachers; 100% are fully licensed. W e hav e a div erse staff which is 26% Black, 66% W hite, 5% Hispanic, and 3% Multi-racial; in terms of gender, the staff is 14% Male, 69% Female, and 2% Non-binary. Our school offers Art and Music instruction in accordance with the North Carolina Standard Course of Study for elementary school students, with a full-time professional in each “specials” discipline: Art, Music, French, and Physical Education (which incorporates dance). These teachers supplement classroom time with extracurricular ev ents, including in 2021-22 a v irtual art exhibit, a v irtual v isit from NC Central Univ ersity’s Vocal Jazz Ensemble, and a 4th grade field trip to the NC Symphony Orchestra in Raleigh. Prior to COVID, we had sev eral choral and recorder performances by students per year, “family art nights” where students could help paint decorations for school ev ents such as the Book Fair, a French café in which all students ordered in French and sampled French foods, and a French poetry declamation; we hope to bring many of these activ ities back in future years. The arts are aliv e and well at Estes Hills, but these efforts largely depend on parent donations and v olunteer hours, in the absence of funding. The mission of the Estes Hills PTA is to serv e the whole community of the school - the students, teachers, staff and families - by prov iding necessary resources to support the highest quality educational env ironment possible. The PTA is comprised of parent v olunteers (Executiv e Board is 83% Female / 17% Male; 83% W hite / 17% Black) and seeks to promote the cultural arts in education by bringing in professional artists to perform at our school. These performances both educate and inspire the students to undertake their own artistic pursuits. In 2020-21 we budgeted $4,000 and projected a $1,000 grant, but due to COVID we did not apply for the Orange County Arts grant nor did we end up hav ing a Cultural Enrichment Program (funds went to other PTA programs). In 2021-22 (current year) we did not apply for or receiv e an Orange County Arts grant and did not budget for a Cultural Enrichment Program. As shown in the 2022-23 budget, we hav e budgeted $4,055 for next year’s Cultural Enrichment Program and are requesting $2,000 from the Orange County Arts Commission. Estes Hills Elementary School staff ov ersees logistics during the ev ents. Our school principal and the PTA feel strongly that we want to offer a full and rich performing arts program next year after 2 years without this programming due to COVID restrictions. If awarded, we will use the grant to fund a portion of the artists’ fees for 8 performances during the 2022-23 school year: Diali Cissokho: African Beat- A Musical History ($1,000), Donna W ashington’s Storytelling ($1,500), Carlotta Santana Spanish Dance Company: Fiesta Flamenca Demonstration and Lecture ($1,875), and Bright Star Touring Theatre Performances ($1,680). Each performer will prov ide 2 shows in one day, for K-2 and 3-5 grades; costs giv en are the total amount for 2 shows for each performer, for a total of $6,055. Project Start Date (no earlier than July 1, 2022) August 1, 2022 Project End Date (no later than June 30, 2023) Jun 30, 2023 Project Goals Our goal as the PTA is to prov ide necessary resources to support the highest quality educational env ironment possible, including exposure to the performing arts, particularly for our economically disadv antaged students who may not hav e the opportunity to participate in extracurricular arts ev ents. The Cultural Enrichment Program would not exist at Estes Hills without the PTA’s funding and support. Ov er the past few years, income to our PTA and thus the Cultural Enrichment Program budget has decreased. This has been due in part to a decrease in the sustaining funds historically prov ided by the PTA Thrift Shops, and a decline in state funding for education, which has resulted in greater demands on the PTA’s budget. Artists’ costs hav e also risen; 8 performances costed us $4,500 in 2016-17, whereas next year it will cost $6,055. As a result, we hav e increased our performing arts budget which takes PTA funds from other programs. W e made the decision that performing arts is a priority; howev er, we are reliant on the grant funds to achiev e the full budget, and to prov ide our students with cultural opportunities that they otherwise might not experience. Audience Description Our intended audience is the entire Estes Hills Elementary student body, kindergarten through fifth grade, for a total of 366 students. Our student body is ev enly div ided along gender lines (50% Male / 50% Female) and has a div erse racial composition: W hite (54%), Hispanic (14%), Black (14%), Asian (10%), and Multi-racial (8%). At Estes Hills, 30% of students participate in the Free and Reduced Lunch Program. For space considerations and dev elopmental reasons, we div ide the audience into two age groups consisting of the younger students (kindergarten through 2nd grade) and the older students (3rd grade through 5th grade). The gymnasium is accessible by wheelchair. Artist Description W e are working with The Durham Arts Council Creativ e Arts in Public School (CAPS) program to secure our artists this year. W e chose a div erse mix of multicultural performances including storytelling, music, theater, and dance. Performance descriptions for the 2022-23 school year are as follows (total cost $6,055): Diali Cissokho: African Beat – A Musical History (2 shows, K-2 and 3- 5, for $1,000) Students will explore the griot tradition (aural history) of W est Africa in this participatory performance. Singing call-and-response, clapping rhythms, drumming, and dancing, students will experience a v ariety of instruments, languages, and musical traditions during this unique cultural experience! Donna W ashington: Customized Storytelling Performance (2 shows, K-2 and 3-5, for $1,500) Donna W ashington is a published author, storyteller and a multiple award-winning spoken word recording artist. Her amazing v ocal pyrotechnics make her stories come aliv e for audiences from 4 to 104. She presents multicultural folklore, personal narrativ es, and literary stories. Donna has been featured at thousands of schools, libraries, theaters, festiv als, and v enues around the world. Her school shows are grade specific and targeted to students based on their age, cognitiv e, & emotional dev elopment. Donna customizes each storytelling performance with a selection of stories appropriate for the age of the audience. Carlotta Santana Spanish Dance Company: Fiesta Flamenca Demonstration and Lecture (2 shows, K-2 and 3-5, for $1,875) Hailed as “The Keeper of Flamenco” by Dance Magazine and honored by the King and Gov ernment of Spain with La Cruz de la Orden al Mérito Civ il for “all the years of passion, excellence and dedication to the flamenco art,” Carlota Santana is an internationally renowned flamenco artist and educator. Students will experience a professional performance with dancers and musicians and will learn the history of flamenco, the instruments inv olv ed, and the importance of the artists’ teamwork. All ages can’t resist dancing along during this high-energy performance! Bright Star Touring Theatre Performances (2 shows, K-2 and 3-5, for $1,680) Bright Star Touring Theatre is a national touring theatre company based in Ashev ille, NC. Their mission is simple: to challenge, engage, and delight audiences all ov er the world. From 2,000 seat theatres ov erlooking Manhattan’s skyline, to school cafeterias and libraries, no audience is too large or small. They hav e ov er 70 different shows in rotation cov ering topics like Black History, Social Studies, Classic Literature, Health and W ellness, Holidays, STEM, Div ersity and Inclusion, Bully Prev ention, Cyber Safety and Social-Emotional Learning. The PTA will select age- appropriate performances for students in the fall of 2022. Are you hiring multicultural artists with the requested funds from this grant? Estes Hills parents and students will be contacted with dates and performance descriptions v ia a hard copy flyer (an example is attached to this application) at the beginning of the school year and will be reminded of the performances in periodic school electronic newsletters. How will you evaluate the success of the program? W e are working with the Durham Arts Council for the first time but are confident that we will be directed to high-quality programming. To ev aluate the program, the PTA will collect v erbal feedback from teachers and school administrators, and from students through parents and teachers, as we hav e traditionally done. Additionally, after the 2022-23 performances conclude, we will for the first time distribute an online surv ey to teachers and staff to collect more formal feedback.
