WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient MCDOUGAL ELEMENTARY PARENT TEACHER ASSOCIATION eight hundred dollars $800.00 DocuSign Envelope ID: F87A8A83-5191-4D22-BCB0-5954909D7955 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2022 and June 30, 2023. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 10, 2023. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: F87A8A83-5191-4D22-BCB0-5954909D7955 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Additionally, CHCCS was completely v irtual as a district until the last weeks of Spring 2021, when parents could opt into a hybrid model. A specific program or project Project/Program Summary The MES PTA Board and members, together with our principal and teachers, hav e once again asked Mr. Shabazz to lead his poetry residency to work with our fifth grade students. For multiple years Mr. Shabazz has been getting MES students excited about creativ e writing, encouraging them to be empowered by their own words and expression. He is one of the most lov ed and appreciated residents who has established lasting relationships with MES teachers, staff, and students. Currently, Mr. Shabazz is scheduled to teach the residency in person; howev er, if necessary, Mr. Shabazz could again lead the residency v irtually. Due to a rise in cov id cases in the school env ironment, for the final few weeks of the 2021-2022 school year. masking once again was required for all McDougle Elementary School staff, students, and v isitors. Thankfully, Mr. Shabazz was able to present his poetry workshop in-person while case numbers were low. Howev er, due to the potential for additional cov id wav es, the ability for Mr. Shabazz to present his workshop v irtually, if needed, was considered. In the 2020-2021 school year, Mr. Shabazz conducted his residency v irtually, and was able to foster a creativ e and inclusiv e space for all participants. Project Start Date (no earlier than July 1, 2022) May 1, 2023 DocuSign Envelope ID: F87A8A83-5191-4D22-BCB0-5954909D7955 Project End Date (no later than June 30, 2023) May 5, 2023 Project Goals The goal of the PTA Cultural Arts Program at McDougle Elementary School (MES) has always been to expose the entire student population to a wide range of artistic expression throughout their elementary school years. MES students benefit greatly from the shared experience of a div erse cultural arts program. Additionally, we know that many MES students hav e v ery few opportunities to participate in cultural arts programs outside of school, due to socioeconomic realities and other family considerations. The continuing Cov id pandemic has limited in-person access to cultural arts experiences. The PTA Cultural Arts Program prov ides a common context for students to understand and celebrate each other’s differences, expand their knowledge about the world, and make meaningful connections between the arts and the lessons they are learning in the classroom. It is unknown if the 2022-2023 school year will hav e guidelines restricting large, indoor schoolwide gatherings. Consequently, for the upcoming academic year, the MES PTA Board worked collaborativ ely with the MES administration and teachers, and inv ited the poet Mr. Shabazz back to MES to work with our 5th-graders. Mr. Shabazz's poetry program has intentionally been included as an integral part of the students’ curriculum. His work responds to the needs of all MES 5th-grade students. Mr. Shabazz’s work prov ides a strong multidisciplinary linkage to the school’s curriculum (arts education, language arts, social studies and positiv e behav ior) as well as ongoing discussions of race, ethnicity, and culture both inside the classroom and in our students’ communities outside of the school building. Ev ery year, artists and programs are carefully selected to match the themes and curricula being explored in the grade-lev el classrooms. Teachers integrate the program into their classroom experiences using the prov ided instructional materials both before and after the program to enable deeper connections and extended engagement with the ideas being presented. These connections most often take place on a grade-wide scale, with teachers of the same grade using the same lesson and specials teachers prov iding further reinforcement during classes such as art, music, and library. Mr. Shabazz’s poetry residency will again become part of the curriculum for our 5th grade students in the 2022-2023 school year. Mr. Shabazz’s creativ e writing workshop "Liv ing W ords" has been taught at ov er 400 schools, conferences, and community centers. Mr. Shabazz designed his writing workshop activ ities to align with Common Core standards. During the residency, the students will not only be prov ided with poetry packets, but will also write and present original poetry, and support and celebrate each other’s achiev ements within this nurturing setting. Mr. Shabazz has repeatedly receiv ed praise for his contributions to arts education as his workshops blend imagination, experience, and an upbeat sensitiv ity. Audience Description The audience will be made up of approximately 83 fifth grade students who represent a wide range of ethnic and socioeconomic backgrounds. Below is our estimated breakdown of audience numbers and demographics (based on the rising 5th grade class): Female - 47 (56%) Male - 36 (44%) African-American - 13 (15.66%) Asian/Asian American - 5(6.02%) Caucasian - 49 (59.04%) Hispanic/ Latino - 11 (13.25%) Other (Multiracial) - 5 (6.02%) In the 2021-2022 school year, CHCCS prov ided free lunch to all students. W ithout this program, based on data from prev ious academic years, approximately 33% of students would qualify for the Free and Reduced Lunch Program. Location Description The poetry residency will take place in the 5th grade classrooms. As the students will be in a familiar setting, they will already hav e all required accommodations (based on their specific IEPs and 504s) in place at the time of the ev ent. DocuSign Envelope ID: F87A8A83-5191-4D22-BCB0-5954909D7955 Artist Description The MES PTA Cultural Arts Committee collaborated with school administrators, teachers, and MES PTA colleagues and identified that the poetry residency with Mr. Shabazz for our 5 grade students will continue to benefit our school community, as well as prov ide the flexibility for any new restrictions or limitations that may arise as a result of future cov id wav es. Mr. Shabazz's work is engaging and easily adjustable to a v irtual env ironment if necessary. His methods succeed in showing students how to use poetry as a tool of learning and communication. His teaching style is fun and direct, and at MES, we all believ e this cultural program will hav e the highest impact to our students. Mr. Phillip Shabazz, Black, $1,600. How will the project/program be publicized and promoted to reach intended participants? The program will be publicized and promoted within the fifth grade classrooms and with the parents of fifth graders. The MES PTA has also started posting poems from the residency on its website, as well as emailing out selected poems written during the residency, so that more students and families can appreciate the creativ ity of the participants. How will you evaluate the success of the program? To ev aluate this program, the PTA Cultural Arts Program Coordinator will communicate with the teachers and Mr. Shabazz to take attendance and observ e the audience response during the week of work. By the end of the week, ev ery student will present their poetry work to the class showcasing their effort. Selected poems will be shared (with student and parental approv al) with the MES community on the PTA website. W e also request feedback from faculty and staff after the week. The MES PTA takes all feedback and observ ations into consideration when planning and presenting subsequent residencies.
