WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient Franklin Street Arts Collective dba FRANK Gallery five thousand five hundred dollars $5,500.00 DocuSign Envelope ID: C323C9C3-F573-4399-A120-2A0A7E277E09 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2022 and June 30, 2023. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 10, 2023. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: C323C9C3-F573-4399-A120-2A0A7E277E09 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. D.Signatures. This Agreement together with any amendments or modifications may be executed electronically. Yes Nature of Organization Arts Organization DocuSign Envelope ID: C323C9C3-F573-4399-A120-2A0A7E277E09 Organization Description Franklin Street Arts Collectiv e dba FRANK Gallery, a 501(c)(3) non- profit organization, is also a contemporary fine arts gallery with a mission to feature work by local artists and to enrich our community through exhibitions, ev ents and arts education. The organization comprises 24 member artists, a Board of Directors, one paid full time employee, gallery manager Natalie Knox as well as one part-time bookkeeper, Sarah Moessinger. FRANK displays and sells the work of more than 100 mostly local artists and its members support the Gallery’s financial v iability through membership dues and fund raising ev ents. W e also put on and run an annual fundraising ev ent. Ov er the past twelv e years the Gallery has presented both v isual and performing arts free to the public. Pre COVID in 2019 more than 8,100 people v isited the gallery and an additional 3,150 attended ev ents there. Approximately 70% of those v isitors were local, 15% were from Durham and 10% were from Raleigh and the greater Triangle. Attendees were culturally div erse as were the participating artists. Throughout COVID we hav e continued to maintain our presence in our community by prov iding online resources, hybrid and in-person ev ents all of which hav e been well receiv ed and attended. During the last two years our walk-in v isitors hav e diminished significantly due to COVID as well as Univ ersity Place’s redev elopment program. W e hav e been preparing for the extensiv e construction in the mall by being conserv ativ e with our finances and hav e plans to address the diminishing foot traffic by continuing to maintain our online presence, dev eloping targeted marketing strategies and creating engaging in- person ev ents. W e are also always av ailable to meet clients and v isitors by appointment to accommodate v arying degrees of comfort lev els. Our outreach activ ities nev er ceased during COVID and hav e grown. W e hav e restarted our free educational series, Coffee with FRANK, continued our artist talks and opening receptions for our annual schedule of six major exhibits and hav e continued to operate our v ery activ e Karen Youth Art Group. This ten year long educational enrichment project prov ides Karen ( Burmese) refugee students with artistic skills, self confidence and coping abilities. During 2020, the group met outside and thereafter inside the gallery once v accinations were introduced. Our continued support of this underserv ed community has resulted in our older students proceeding to community college and univ ersity and ev entually becoming activ e members of our community. Our most recent initiated Mentorship Program/ partnership with Boomerang has enhanced their "Bounce Back” initiativ e resulting in the recent production of a 35 foot mural at Boomerang spearheaded by FRANK artists (images attached). FRANK artists will participate in Boomerang’s Summer STEAM Program and we are crafting another longer term program/ partnership for the fall and beyond. Our member artists are teaching in many retirement communities including Carol W oods, The Cedars, Galloway Ridge and the Forest at Duke prov iding our community’s older residents with artistic stimulation and contact with the gallery and its v arious activ ities. If not, please explain any barriers that have prevented you from receiving this training. To date the gallery has not undergone any formal training in this field, though our artists, board, and employees, giv en our mission, exhibition and programming scheduling are constantly in dialogue about adhering to div ersity, equality and inclusion standards and are currently seeking an appropriate consultancy/course to help us meet those standards. Our outreach coordinator recently attended the NC Arts Day presentation by DEI consultant Aisha Adams which was helpful in guiding our quest for training assistance in this realm. Specifically, we are conscious of the need to hav e a div erse artist membership. In 2021, artist Theresa Pastoriza-Tan, of Ecuadorian and Puerto Rican origin, was juried in as an artist member and she is taking the lead in curating our January 2023 Latinx exhibition with associated ev ents. The committee for this exhibition comprises 7 FRANK artists and our Board chair and the planning process for all those concerned is an education in the issues surrounding DEI. Our last Emerging Artist Awardee was Charlie Dupee who represents both the African American and LGBTQ community while many of our exhibitions hav e included div erse artists from a wide range of cultures including Rah Bunnaj, an artist of color and printmaker. In January 2022, FRANK had an exhibition of NC Nativ e American artists which was curated by member artist Luna Lee Ray and FRANK Board member, Danny Bell from the Lumbee tribe. This exhibit showcased the artwork of six Nativ e American artists from different tribes from across North Carolina. W e also hosted a flute performance by Nativ e American Ryan Dial-Stanely as part of programming for the exhibit. Currently, FRANK’s partnership with Boomerang allows it to work with an organization spearheaded by a dynamic African American director, Tov a Hairston, which serv es a wide range of culturally and ethnically div erse students. Our Karen Youth Art Group has worked with ov er sixty fiv e Karen ( Burmese) refugee students ov er the years in our one-on-one educational enrichment program and has dealt with students’ issues of racism and Asian hate incidents. FRANK’s organizational structure does not hav e an Executiv e Director in name but our gallery manager, Natalie Knox, is part Mexican and is the face of the gallery to the community. She also has a major v oice in the Gallery’s day to day and long term operations. W e are continuing to make our Board and membership more ethnically div erse but are careful not to succumb to tokenism. Our gallery, as noted, shows the work of 100 local artists. The goal of our “inv ited artists” policy is to div ersify the pool of artists represented in our gallery and to introduce the public to more and new regional talent. The gallery prides itself on the quality and thoughtfulness of its exhibits and artists and is the only organization of its kind in Chapel Hill. W e are fully aware of our responsibility to showcase the pool of culturally and racially div erse artists in Orange County. W e hav e benefited from COVID grants and Federal “Stimulus” initiativ es during the pandemic but since February 2022 we hav e been starting to use our reserv es to meet ov erheads because of COVID’s trajectory and the redev elopment of Univ ersity Place which, as stated, has reduced our daily foot traffic. 2021 was a stellar year for sales which has made us ineligible to apply for Stage 2 Stimulus business funds which we could really benefit from as 2022 proceeds. W e are continuously dev eloping new marketing initiativ es in an attempt to reach out to untapped markets and customers. Our major fundraising ev ent of the year, the "Off the W all Gala", will be on October 8, 2022. Each year the ev ent is v ery important in helping us maintain our reserv es. in 2020 and 2021 we adjusted the ev ent to a completely v irtual format. This year's gala is slated to be done hybrid and we are hoping for continued community support. Our member artists are obligated to donate two works of art to the ev ent and many other local artists v oluntarily participate, totaling 70+ pieces of art offered. In June 2022, our financial loss for the year is currently at $8,000 with a deficit in sales of $24,000. Because of last year’s stellar sales we reduced our member artist commissions from 30% to 25% and were able to maintain member artists’ annual dues of $600 which we would like to keep at that rate. Inv ited artists pay 50% commission. The NC Arts Council has predicted that it will take 2-5 years for the arts to recov er in North Carolina. COVID v ariants, mall construction, the financial market’s v olatility and the Ukraine crisis are also affecting consumer confidence and sales. Our rent of $1608/ month includes HVAC/trash and water charges by Univ ersity Place. W e also pay Univ ersity Place Management 6% of our monthly net sales. FRANK shows the work of 24 member artists and also the work of a wide range of local and regional artists including painters, ceramicists, jewelers, photographers, textile artists and artists working in wood and mixed media. W e use the Gallery as a teaching v enue for our Karen Youth Art Group and as an educational resource for our community as stated in our mission statement. As noted, we are starting to hav e in person ev ents again such as our Coffee with FRANK talks, featured artist talks and exhibition receptions all serv ing to make demands on our utilities and operating costs and on the time of our gallery manager and artists. W e hav e retained our annual six show schedule throughout COVID and are continually maintaining our dynamic online and social media presence to accompany our physical space. W e are the only nonprofit, fine arts gallery in Chapel Hill and our community outreach mission has led us to collaborate, ov er the years, with a broad spectrum of arts and community minded organizations. Until March 2020 in addition to our main Univ ersity Place gallery, we also ran the annex Michael and Laura Brader-Araje Community Gallery, also in Univ ersity Place, which gav e us an ideal space for teaching and partnering with many non-profit collaborators in an attempt to fulfill part of our mission. In the Community Gallery we showed work by a broad spectrum of local non-profit organizations including; the Chapel Hill- Carrboro PTA “Reflections” exhibition, Arts for Life, a program for pediatric patients and their families, "W omen Speak" a W omen’s International Day exhibit, an exhibit of work from the Karen Youth Art Group along with that of culturally div erse students from UNC Chapel Hill’s Art Department, many exhibitions of the Orange County Artists Guild- and sev eral more. Though we no longer hav e the Community Gallery which closed in April 2020 because of mall redev elopment, our main commitment is keeping FRANK a high quality arts gallery supporting more than 100 local artists, partnering with and supporting local community initiativ es such as Boomerang, maintaining our Karen Youth Art Group and reaching out to our local community through gallery based ev ents and exhibitions. Our goals for our youth initiativ es such as the Karen and Boomerang groups is to expose them to the wonders of the v isual arts and to equip them with real skills and v isions that schools and home cannot equate. This is in line with the NC Arts Council’s Comprehensiv e Arts Education model. Though the pandemic shut us down from March-June 2020 we quickly got back into the gallery maintaining our exhibit schedule, online programming, promotions, and outreach programming in order to fulfill our important mission to our community. W e are applying for operational support to help us meet our current ov erhead expenses which will enable us to fulfill our organizational goals and ensure that FRANK continues to stage high quality contemporary art exhibitions and community relev ant programming at its current purpose built v enue. Furthermore, FRANK’s ability to surv iv e the height of the COVID pandemic bodes well for its resolv e to weather the nation’s current economic v olatility. The continued support of our membership and the public all indicate that FRANK is an artistic force which the Chapel Hill/ Carrboro, Orange County and greater Triangle need. W e are grateful to the Orange County Arts Commission for all its past support through stimulus and COVID grants and we are hopeful that if our application for a Grassroots Grant is successful that it will allow us to continue growing and fulfill our mission without depleting our financial reserv es since we are currently facing many unknowns with the redev elopment of Univ ersity Place. W e are constantly ev aluating whether our goals are being met through monthly membership discussions and board meetings. W e ev aluate our success as a fine arts gallery not only by sales but also by the sustained interest from non-member local professional artists in showing in the space and by the continuing support of our art collectiv e’s membership. In addition, our Gallery curator and membership plan and monitor all exhibitions and the quality of work being shown at the Gallery. All members hav e to be juried in (including the Emerging Artist Program candidate) by a committee of members. W e ev aluate out ability to enrich the community through exhibitions, ev ents and arts education by attendance both in person and online and by the public’s engagement with the Gallery’s art works and its donations to our non-profit activ ities. In the case of the Karen Youth Art Group, we ev aluate that art enrichment program and the dev elopment of our youth group’s progress by our students’ ability to engage in further and higher education. Since its inception, the Program has supported more than sixty fiv e young Karen’s through v isual arts education and general educational support. Our oldest student, Lah Htoo Boh, recently graduated from UNC Greensboro with a BFA in Fine and Digital Arts while Ree Ree W ei, after graduating from Guilford College, was recently appointed Executiv e Director of Transplanting Traditions Community (Karen) Farm. In addition, Joey Ay recently graduated from UNC Chapel Hill and Kwah Poe graduated from Fire Academy and is now employed by the Chapel Hill Fire Department. Our current group has some students in community college who will be entering the medical field and one who will be transferring to UNC Chapel Hill to study studio arts. Giv en COVID and the loss of the Community Gallery we are reestablishing activ e partnerships with Kidzu Children’s Museum and dev eloping a new relationship with Boomerang’s youth support program. Our ultimate goal is to stay in business and that goal can only be achiev ed by keeping our programming and operations sustainable. Our current efforts to grow our marketing and community outreach strategies through exciting community exhibitions such as our January 2023 Latinx exhibition will need to be constantly ev aluated as we proceed by both our membership and Board. FRANK promotes and publicizes the work of our gallery through a v ariety of means, mostly using av ailable free promotional platforms and social media. Our website is continuously updated to increase v iewership through our artist pages, online shop, and v ideos. W ith the onset of COVID we dev eloped a greater presence on social media through Instagram posts, reels, and v ideos as well as paid social media boosts. Giv en the current redev elopment of Univ ersity Place we are now hav ing to inv est more of our funds in marketing strategies and are dev eloping a comprehensiv e marketing plan. W e also hav e a presence in print and online media including the Indy, Orange County Arts Commission, the Daily Tarheel, Chapel Hill Magazine and W CHL Radio. After 12 years in operation we hav e dev eloped scores of partnerships with local community non- profit organizations. For each of our six shows per year we send out at least 850 show cards, together with eblasts to ov er 3,500 constituents. W e are also back to in person ev ents and opening receptions all of which require extensiv e and continuous promotional efforts. Our monthly series, Coffee with FRANK, has the primary goal of dev eloping and increasing "new' constituents, either new to area or new to art, through exposure to the basics of art collecting, information about different art media, and artist demonstrations. Coffee with FRANK is free and we offer coffee and donuts to our guests. W e hav e also restarted in person opening receptions and monthly artists talks.. W e hav e recently had readings, singing and musicale performances all of which hav e been free to attendees. W e are cognizant that all ev ents are done in a safe and responsible manner adhering to local and state COVID mandates. W e also hav e an activ e partnership with a local real estate company which uses our artists’ work in their house stagings. In return, this agency includes artist information in all its v entures and on social media. The gallery has been activ e in trying to stay on top of marketing techniques as well as ev ent ideas in order to grow our business and increase foot traffic. Although we hav e many local guest artists who are eager to exhibit in our gallery, we hav e sev eral artists, mostly ceramicists and jewelers, who during the past 6 months hav e decided to pull their art from our gallery because of lack of sales. Furthermore, they hav e been successful in selling their work through their own studios, mostly online, without hav ing to pay the 50% commission fee that FRANK requires of sales by its non member artists. In order to redress this issue we hav e been extending our reach to new small works artists and are dev eloping a marketing plan for "featured shop artists," giv ing artists with small works, mostly ceramicists and jewelers, more exposure and obv ious presence in our gallery's physical small works (shop) space. Our online SHOP emanated from the spring 2020 COVID lockdown and is prov ing to be a success, though it requires a lot of time and effort to maintain. W e also hav e each of our exhibitions online and this hybrid arrangement has sustained customer support and interest throughout the pandemic. It has also generated out of state interest and sales. Since the onset of COVID we hav e also applied for all the possible local state and Federal stimulus grants and hav e been successful in that regard. This includes two PPP loans (with their associated forgiv eness) which helped support the salary of our gallery manager. W e also operate a “by appointment” system which has allowed those customers needing a safe space during COVID to v isit the gallery and purchase art works. Giv en that many new people are mov ing into the area FRANK’s marketing plan will include strategies to bring new arriv als to our gallery. Through our “Coffee with FRANK” monthly talks we are helping potential customers dev elop their art collections and are exploring the possibility of a gallery art hanging serv ice to assist customers with their art hanging needs. Our biggest fundraiser, our annual “Off the W all Gala”, generates close to $30,000. This in turn makes it possible for us to employ a gallery manager giv en the large and div erse inv entory carried by FRANK. Prior to 2021 our gallery manager was also in charge of all the bookkeeping but we hav e since hired a part-time bookkeeper to free up time for our gallery manager to work on sales and marketing initiativ es. Our gallery manager works alongside our bookkeeper to ensure accounts accuracy. As stated before we are facing many obstacles with COVID, v olatility of the economy, and most of all uncertainty surrounding our long term stay at Univ ersity Place mall. According to the most recent mall redev elopment plans that hav e been released to the public our space, as we know it, will be gone in 2-4 years which means that our conserv ativ e spending, our quest to protect our reserv es and ability to be awarded grants are critical in helping maintain and sustain our long term community presence and operations. Going forward, we hav e established a strategic dev elopment committee comprising board and artist members to help dev elop a proposal to Univ ersity Place mall regarding our future as a v ibrant artists collectiv e in the community.
