WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the annual Grants Program to provide economic opportunities to Orange County artists and non-profit organizations coordinating arts projects benefiting the citizens of Orange County. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with funds from the Grassroots Arts Program of the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the annual Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds are provided under this Agreement for the project (“Project”) described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. The Recipient shall be required to match funds at least dollar-for-dollar with cash from the Grant Recipient’s funds not derived from either Orange County appropriations or the North Carolina Arts Council, as outlined in the attached Exhibit A. 3.Contingency. This grant is contingent on North Carolina Arts Council Grassroots Program funding to the Arts Commission. Final decisions on Grassroots Program funds to the North Carolina Arts Council are subject to approval by the North Carolina General Assembly. 4.Responsibilities of the Grant Recipient Institute of Art Therapy dba Art Therapy Institute eight thousand dollars $8,000.00 DocuSign Envelope ID: 40D2FB7D-C998-4FDC-9F70-09BAD1598B33 2 Revised August 2022 A.Implementation. The Project implementation shall take place between July 1, 2022 and June 30, 2023. The Project shall be implemented in the manner described in Exhibit A. Time is of the essence in the implementation of the Project. B.Modifications to project. Grant Recipient shall present major changes to the original proposal, including but not limited to changes in design, implementation schedule and increase in Project budget by more than 10%, in writing to the Arts Commission for approval. Arts Commission shall approve or disapprove Grant Recipient’s request for modifications within seven (7) days of receipt thereof. Consent to project modifications shall not be unreasonably withheld. Arts Commission’s decisions shall be in writing. In the event the Arts Commission fails to approve or disapprove the requested modifications within the time stated herein, the modifications shall be deemed approved. C.Non–assignment. The grant cannot be assigned or transferred to a different project or artist without prior written approval of the Arts Commission. D.Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. E.Use of Funds. Grant Recipient shall not use the grant funds to repay outstanding taxes or other debts of any nature. The grants shall be utilized solely for the purpose described in the attached Exhibit A. F.Final Report. Grant Recipient shall submit to the Arts Commission a Final Report on July 10, 2023. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8.Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees for the duration of the art work's installation. 9.Termination A.In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i)Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii)Nonperformance, incomplete service or performance, or failure to satisfactorily perform any part of the Project or to comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. 4 DocuSign Envelope ID: 40D2FB7D-C998-4FDC-9F70-09BAD1598B33 4 Revised August 2022 (iii)Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B.In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10.Miscellaneous. A.Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B.Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement the Grant Recipient certifies that they has not been identified, and has not utilized the services of any agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C.Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Yes Nature of Organization Arts Organization Organization Description The mission of the Art Therapy Institute (ATI) is to adv ance the well- being and mental health of div erse communities through accessible, strengths-based, culturally-responsiv e art therapy, education, and research. ATI's staff consists of fiv e salaried clinicians and eight contract clinicians. Additionally, two part time administrativ e assistants support ATI’s daily operations. ATI’s Board currently has nine members, three of whom are women of color. In total, ATI serv es approximately 450 children and adults each year. During the school year, ATI clinicians prov ide art therapy serv ices to more than 120 children (K-12) with intellectual and physical disabilities in Orange County. This past year, ATI also started EC Art Therapy groups at Voyager Academy in Durham, serv ing 14 middle and high school students. Through group therapy, EC children dev elop creativ e expression, interact with peers and learn social skills, and gain a sense of mastery through the creativ e process. ATI also works with adults liv ing with intellectual and dev elopmental disorders. ATI clinicians use art-making to help these clients identify and accept their emotions; increase their ability to communicate in a group atmosphere; and dev elop a sense of assurance that positiv ely impacts their educational and v ocational pursuits. ATI’s Newcomers Program serv es more than 300 refugee and immigrant children and adults from more than 30 countries worldwide. Through this program, newcomers are prov ided accessible, art-based mental health serv ices across the Triangle and Triad regions of North Carolina. In addition to serv ing newcomer children in the school systems, ATI also offers art therapy to adults through the Carrboro Community Health Center, monthly women’s groups and through groups offered by Church W orld Serv ices in Durham. Newcomers present with a unique set of mental health concerns. Beyond the potential - and probable - trauma experienced before and during migration to the United States, newcomers also contend with difficulties experienced post-arriv al, including language and cultural barriers, financial concerns, ongoing legal battles, homesickness, ethnic discrimination, and other barriers to housing, employment, and education. ATI’s Newcomers Program helps clients express and process this complex trauma, build confidence lev els, learn social skills, and acquire acculturation practices. ATI’s Arts and Peer Support Group serv es div erse adults liv ing with a range of sev ere and persistent mental illnesses. Using the expressiv e arts, group members learn to celebrate themselv es as artists and integral community members rather than as stigmatized people. ATI does not charge a fee for participants to attend this weekly program, helping under-resourced community members since 2011. ATI also serv es as a co-located mental health agency in the Chapel Hill Carrboro City Schools, allowing us to serv e students not reached by our other programs. This spring, ATI was approached by the Orange County Schools to be a co-located mental health agency within their school system as well, affording ATI the opportunity to reach more youth in Orange County. In 2019, the Art Therapy Institute (ATI) conducted an internal confidential surv ey with its staff and Board to better understand the organization’s div ersity, a first step towards our goal of dev eloping a Board that reflects the communities we serv e. The results showed that staff represents six cultural and racial backgrounds along with a strong religious div ersity. ATI also has staff (15%) that identify as other than heterosexual. ATI continues to striv e for div ersity but not just for the sake of div ersity. Our goal is to dev elop long term div ersity practices. In the spring of 2021, ATI hired I Follow the Leader, a Durham based consulting firm specializing in DEI strategy. In June of 2021, the staff and board participated in a DEI training with I Follow the Leader. In the fall of 2021, I Follow the Leader staff consulted with ATI, examining our forward facing documents with a DEI lens. In the summer of 2022, ATI is planning on v etting other DEI experts with the plan of div ersifying the v oices in our DEI conv ersations. ATI plans on making conv ersations around the topics of DEI a yearly part of our work as an agency, supporting our goal of creating long term div ersity practices. ATI continues to work on growing its Board, with a focus on div ersity and better representing our client base. W hile our current budget draft shows a profit, we hav e not yet added in the cost of additional salaries. Once those are added in, we will probably be predicting a loss for the year. Hiring new employees is costly for mental health agencies because it takes 4-6 months for new employees to be credentialed with the insurance agencies. Currently ATI has three offices: Two offices, located at Carr Mill Mall in Carrboro and the Eno Arts Mill in Hillsborough, are used for clinical work. In these offices, ATI therapists see indiv idual clients and run groups. ATI also uses the Carr Mill Space to prov ide clinical superv ision to staff and interns, and to host monthly, community-wide art exhibits featuring our clients and area artists. Additionally, the Carr Mill Office is where all of the organization's confidential clinical files are safely stored. The third office space, also in Carrboro, is located at YouthW orx, a youth-serv ing nonprofit collaborativ e powered by CommunityW orx and Youth Forward, which builds capacity for Triangle organizations through collaboration. At Youthworx, ATI shares office space with one other nonprofit, Refugee Community Partnership. This office space is used for administrativ e work and for staff meetings which do not inv olv e discussions with confidential content. Combined, the rent on these three spaces is $2073.00 per month. Any grant money receiv ed from the Orange County Arts Commission will be used to support rent on our two Carrboro offices. Organizational Goals ATI organizational goals include the following: 1) to prov ide clinical art therapy serv ices to div erse populations at no or low cost; 2) to prov ide training to the general public about the benefits of arts- based therapy; 3) to superv ise students and new clinicians entering the field; 4) to conduct ethical and culturally-congruent research practices; 5) to adv ocate for the arts, mental health, and art therapy within North Carolina and beyond; 6) to prov ide opportunities for div erse community members to display and v iew artwork at free, community-wide art shows; and 7) to build bridges between div erse communities through the healing power of the arts. Financial support towards rent will allow the Art Therapy Institute to allocate more money to the programs serv ing the community, helping ATI to reach goals and expand its reach. At the end of each academic school year, ATI's current clients are asked complete ev aluations which ask them to ev aluate how ATI performs as an prov ider of art therapy as well as to reflect on their progress in therapy ov er the course of the year. W hile researching the effectiv eness of ATI and art therapy, the primary goal is to incorporate participatory research (PR) practices. The PR model of research ev aluates and empowers participants to engage in research that highlights their v oices and improv es their experiences in the programs. Participants are acknowledged as experts in their own needs and renegotiates the traditional power differential between ‘researcher’ and the ‘researched.’ ATI also conducts annual rev iews with all staff members who are directed to complete self-ev aluations which help acknowledge improv ements they can make as well as improv ements ATI as an organization can make. ATI affords staff members the opportunity to reflect on their strengths and celebrate their accomplishments. Following workshops held by ATI, participants are asked to complete ev aluations that rate the workshop and prov ide feedback on the series as a whole and how it could be improv ed. All of these ev aluations help to inform ATI about the effectiv eness of the organization and how well the organizational goals are being met. Additionally, ev ery fall, the ATI board of directors meets to rev iew our mission, v ision and v alues as well as explore the growth of the organization and whether we are meeting our goals set forth the prev ious year. ATI is currently in a period of growth so these annual retreats are particularly important touchstones for ATI. Finally, as ATI continues to grow, ATI plans to expand its reach and serv e ev en more people in a wider community in North Carolina, continuing to further reach our goals. The Art Therapy Institute (ATI) uses a v ariety of marketing tools to promote its programs and ev ents. ATI’s website, www.ncati.org, describes current programs, lists upcoming workshops, shares information about the staff and board, promotes current fundraising activ ities and other relev ant communications. In addition, all social media platforms can be reached through the website. ATI has a strong presence on Facebook (https://www.facebook.com/ArtTherapyInstituteNC/) and Instagram (https://www.instagram.com/atiofnc/). On Facebook and Instagram, ATI promotes upcoming ev ents and workshops; shares relev ant and timely information about the fields of art therapy and expressiv e arts therapy; and adv ances the general world of mental health through carefully curated articles and news items. In addition, ATI shares the successes of its programs by posting client artwork. (All postings are HIPAA compliant and clients hav e giv en permission for their art to be shared.) Last year, ATI began using an online v irtual gallery platform called Kunstmatrix.com. During COVID, in-person art shows hav e not possible so ATI decided to offer online art shows. Our inaugural online art show, themed around the HeART in art, attracted artists from around the world. At the opening, ATI had artists from at least 5 time zones. Each month, ATI emails an electronic newsletter to our email list of approximately 2000 people. These newsletters inform supporters about the work ATI is doing and promote upcoming ev ents and workshops. Each year, ATI sends out a printed impact report to its donors. The impact report serv es as an opportunity to celebrate the prev ious year’s successes and promote future plans for the organization. Donors get to see how their financial support is helping ATI and hopefully are inspired to giv e again. W hen ATI has special ev ents such as its signature fundraiser, "I Heart Art," other types of marketing strategies are employed. Postcards are mailed to hundreds of supporters, posters are placed around Chapel Hill and Carrboro and PSAs are played on 97.9 The Hill. ATI also has “swag” which is brought to these ev ents to sell including beer pints, t-shirts and stickers, all with the ATI logo. Monthly art shows and workshops, adv ertised v ia v arious news outlets and online community calendars, offer ongoing exposure to ATI’s work. ATI also hosts smaller, community-based fundraisers at local breweries and restaurants. These fundraisers not only help promote ATI and its programs but also help to support the businesses where they are held. ATI's receiv es the majority of its rev enue through earned income by billing insurance, Medicaid and priv ate pay clients for the serv ices rendered. ATI also applies for and receiv es grants each year from local municipalities and foundations which support nonprofits like the Art Therapy Institute. This past fiscal year, ATI receiv ed funding from the Towns of Chapel Hill and Carrboro, Orange County Human Serv ices, Orange County Economic Dev elopment, Triangle Community Foundation and InfUUsions. Other ways ATI generates income to further support its programs and help with operational costs include soliciting indiv idual and corporate organizations for donations as well as by hosting sev eral fundraisers each year. ATI's annual signature fundraising ev ent, "I Heart Art," includes a silent auction, featuring original works of art from local artists and donations from local businesses. This year ATI was not able to host “I Heart Art” due to COVID but we hope to hold it in person in the near future, perhaps with an online auction component. Throughout the year, smaller fundraisers are held at local businesses such as breweries and restaurants. These fundraisers help driv e business to the v enues while also raising awareness about the work that ATI does. At the end of the calendar year, ATI creates a short fundraising v ideo highlighting ATI’s work and accomplishments which is distributed through email and social media to current and potential donors. Additionally, ATI hosts a workshop series of educational programs, offering continuing education credits. Fees from the workshops series in recent years raised significantly more money than in prev ious years partly because COVID forced the series to be mov ed online. By mov ing the workshops online, people from all ov er the world were able to join. Due to COVID, ATI added an additional fundraiser called $10K in May. ATI’s goal each year is to raise $10,000 in May, highlighting that May is Mental Health Awareness Month. Throughout the month, ATI shares information about art therapy, ATI programs and the art created by ATI clients though social media and email blasts.
