10.There are no actions, whether voluntary or otherwise, pending against
Tenant under the bankruptcy, reorganization, arrangement, moratorium or similar laws of
any state, or of the United States or any other jurisdiction, and Tenant has no present
intention to initiate any such proceedings.
11.Tenant has not assigned the Lease or sublet the Leased Premises, or any
interest in the Leased Premises.
12.Tenant has not engaged in and does not intend to engage in any activity that
would violate any law, rule or regulation (including any environmental law) pertaining to
the Leased Premises or the Property.
13.The undersigned has all requisite power and authority and has been duly
authorized to execute and deliver this Estoppel Certificate on behalf of Tenant.
14.This Certificate shall inure to the benefit of Landlord and Purchaser, and
each of their respective successors and assigns.
IN WITNESS WHEREOF, Tenant has duly executed and delivered this Estoppel
Certificate to Landlord to be effective as of the __ day of ______ , 2022.
