HomeMy WebLinkAbout2022-284-E-AMS-Atlas Engineering-Whitted Roof Complex Construction Administration ServicesRevised 06/21 NORTH CAROLINA CONTRACT AMENDMENT ORANGE COUNTY THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 11th day of July, 2022 by and between ORANGE COUNTY (hereinafter referred to as “County”) and Atlas Engineering, Inc., (hereinafter referred to as “Provider”). WITNESSETH: THAT WHEREAS, the County and Provider entered into a contract dated November 25, 2021, (hereinafter the “Original Agreement”), for the provision of services for Whitted Complex Roof Design for replacement; and WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to amend the Original Agreement as follows: 1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended to reflect an end date by which all Services shall be completed of June 30, 2023. 2. Exhibit A to the Original Agreement is amended by adding the following tasks and services to the Services to be provided by the Consultant: Roof Replacement Construction Administration Services 3. Article 5, Section “a” is amended to reflect a maximum payable not-to-exceed amount of Sixty-Three Thousand Dollars ($63,000.00). 4. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original Agreement and the terms of this Amendment, this Amendment shall control. This proposal includes our understanding of the project information, proposed scope of services, fee for professional services, and proposed schedule. Project Information Our understanding of the project is based on a pre-proposal meeting with you to discuss the project. The Orange County Whitted Building A and B is located at 300 West Tryon Street, in Hillsborough, North Carolina. Building A was built in 1922 with an addition constructed in 1936. Building B is joined to Building A by a Connector Building. The building is in the historic district and the design will have to be reviewed with the Historic Society representatives. The total roof area for all 3 buildings is approximately 25,500 square feet and consists of a modified bitumen membrane with rigid insulation on a wood deck. The parapet walls currently have standing seam copper coping that will be replaced as part of the project. The county desires to have the roof replacement designed this fiscal year with construction occurring in 2023. The access to the roof of Building A and Building B are through drop ceilings where an extension ladder needs to be used to access the permanent ladder above the ceiling tile. The county wants to include installing 2 new ladders and roof hatches to access the roof as part of the project. The existing openings would be covered. Proposed Scope of Services The following is our proposed scope of services for bidding assistance and construction administration phases: Bidding and Contract Award 1. Provide an Advertisement for Bids for public advertisement. If publicly advertised, Advertisement for Bids will be sent to public electronic plan rooms and newspaper(s) (if requested by the Owner). Public advertising costs will be paid by the Owner directly to the newspaper or through reimbursement to Atlas if preferred by the Owner. 2. Distribute Bid Document sets to known, qualified, or interested Bidders and maintain a document distribution list. 3. Schedule and attend an on-site Pre-Bid Meeting for prospective bidders and issue Pre-Bid Meeting Minutes to attendees. 4. Respond to technical questions during the bid process, review requests for substitutions, and issue addenda as necessary. 5. Attend the bid opening and receive copies of the bids for review. Assist the Owner in review of bids received and make recommendations to the Owner for award of the work. A certified bid tabulation will be provided as a part of the recommendation package. 6. Assist Owner with Construction Contract execution process if requested. Aid in obtaining required insurance, bond, or other administrative items from the Contractor to allow for timely execution of the contracts. Construction and Post Construction Phase 7. Schedule and attend an on-site Pre-Construction/Kick-Off Meeting prior to the start of work and provide meeting minutes. Review proposed substitutions and/or changes from specifications and drawings proposed by the Contractor. 8. Review contractor’s technical, product, and administrative submittals to confirm conformance with the technical specifications and drawings. Return submittals to the Contractor with approvals or direction on additional action. 9. Perform periodic visits to the site during construction to observe work in-progress (once per week minimum) and provide site visit reports with color photographs of work in progress and color-coded key plans.  Site visits reports will discuss work in progress, observations made, and corrective actions needed. Some of the site visit inspections will be coordinated with the Contractor to allow for observation of representative installations and milestone events. Some inspections will not be coordinated in advance with the Contractor to allow for observation of standard work practices. Atlas anticipates approximately thirteen (13) designer site visits during construction and our proposed fee is based on this duration. Site visits will be coordinated with the Owner’s representative  If the project duration extends significantly due to failure of the Contractor to complete the work in a timely manner, or if a significant number of additional site visits become necessary due to quality issues/concerns with the installation by the Contractor, Atlas will communicate promptly with the Owner to determine whether additional services may be warranted. Billing for additional services would not occur without advance discussion and approval by the Owner. 10. Schedule and attend an on-site progress meeting every two weeks during active construction. The purpose of the meeting is to review construction progress, address any technical questions or concerns, and coordinate as required with the Owner/Building Contact. Progress meetings will be performed in conjunction with the Designer’s periodic visits to observe construction in order to maintain maximum cost efficiency for the Owner. 11. Perform standard general construction administration coordination and correspondence with the Contractor and Owner during construction including, but not limited to, review of the contractor’s project schedule, evaluation of requested modifications to the design, communication and resolution of building or site technical and administrative issues, certification of payment applications, and evaluation/preparation of field or change orders pertaining to contract sum or time. 12. Perform a Pre-Final (Substantial Completion) Inspection and develop a punchlist of items that are incomplete or require repair. Schedule and perform a Final Completion Inspection to confirm the completion of punchlist work. 13. Post Construction Phase: Obtain required closeout documentation from the Contractor including Warranties, Release of Liens, Consent of Surety, Subcontractor and Supplier Contact Lists, As-Built Drawings, etc. and include them in a Final Report for issue to the Owner. Hardcopy and electronic copies of the Final Report and As-Built-Drawings will be provided. Fee for Professional Services Based on our experience with similar projects, we are proposing the following lump sum engineering fee for the above proposed scope of design, bidding and construction administration services: Bidding and Contract: $ 3,150 Construction Administration: $ 31,500 Post Construction: $ 3,150 Total Engineering Fee: $ 37,800 Additional site visits will be billed at $1,200/visit and will require written Owner approval prior to visit.
