Consulting Services – Time & Materials
Description of Consulting Services: SAS will provide Consulting Services directed towards demonstrating
the value SAS can provide for analytic insights into child placement and permanency. Utilizing customer data
SAS will provide the deliverables below:
SAS will provide the following Deliverables:
• A readiness session and project kickoff
• At least two (2) analytic iterations and feedback sessions, as mutually agreed upon between the
parties
• A final presentation containing results regarding child placement and permanency, along with
proposed next steps
Assumptions:
• During pre-kickoff planning and preparation, the parties will identify and mutually agree upon the data
SAS will use, including reviewing and prioritizing potential factors and data sources. SAS will use the
agreed upon data as part of the kickoff activities.
o The parties agree that the provided data should be of sufficient quality to deliver results that
reflect business scenarios and should be provided as-is or with minimal cleansing efforts.
o Data may include multiple data tables with mutually agreed upon specifications and
requirements, including number of tables and field.
o Data will be provided to SAS as comma-separated value (CSV) file(s) or SAS datasets.
o Up to 3 years of historical actuals data is ideal for best results.
• SAS will prepare a SAS environment for use in support of the Sevices. Customer agrees that will not
send SAS personally identifiable information (PII) or regulated data.
• SAS will deliver results as a presentation and/or screen sharing.
• Customer will not have access to a SAS System or Software.
• Customer must use all the hours within sixteen weeks of contract signature.
Customer Responsibilities
• Customer will identify one or more individuals for each of the following roles who will be available
throughout the estimated eight (8) Services window: Stakeholder, Coordinator, Business Lead, Data
Steward. The roles are described in more detail below:
o Stakeholder is a corporate sponsor for this initiative and the ultimate decisionmaker for next
steps and success.
o Coordinator is the primary point of contact for SAS, this person helps to coordinate any
dependencies and ensure availability of key resources.
o Business Lead provides and explains key business drivers and expectations related to the
scope of Services.

o Data Steward facilitates the receipt of data by SAS and can support any questions related to
the data provided.
Hourly Rate: $262.00
Customer Budget: $85,000
Customer has elected to pre-pay the Consulting Services Fee. SAS will send monthly statements to document
the draw-down of hours based on hours of Consulting Services actually performed by SAS. The Consulting
Services Fee may only be used toward labor for Consulting Services under this Order Form. Except as
otherwise set forth in the Agreement, pre-paid Consulting Services Fees are nonrefundable and must be used
within twelve (12) months from acceptance of this Order Form.

This Order Form is governed by and incorporates the following documents. All documents are listed in order of
precedence, and are collectively referred to as the “Agreement”:

ADDENDUM TO SAS ORDER FORM, CONSULTING SERVICES ADDENDUM, AND
OPERATING AGREEMENT
This Addendum modifies the SAS Order Form, Consulting Services Addendum, and Universal
Terms between SAS Institute, Inc. (“SAS” or “Provider”) and Orange County, a local political
subdivision of the State of North Carolina (“County” or “Customer”) This Addendum takes precedence
over all other conflicting terms and conditions of the Agreement. This Addendum modifies the attached
Agreement. This Addendum is attached to the Agreement and is hereby incorporated by reference into
that Agreement as if had been set out therein.
1. Addition to Universal Terms Section 13. Confidentiality: To the extent permitted by the North
Carolina Public Records laws, set forth at Chapter 132 of the North Carolina General Statutes, the
terms of this Agreement and any Confidential Information shall be treated by both SAS and
Customer as confidential and may not be disclosed or shown to a third party without the prior
written consent of the other. Should SAS fail to consent to disclosure pursuant to a legitimate
records request under the North Carolina public records laws, SAS agrees to indemnify and hold
harmless County and its officers, employees, and agents from all costs, damages, and expenses
incurred in connection with refusing to disclose the records.
2. Revision to Universal Terms Section 16.1 Governing Law: This Agreement is governed by the
laws of North Carolina without regard to the conflict of laws rules, provisions or statutes of any
jurisdiction. SAS and Customer each represent that each party shall comply with all applicable
federal, state, and local laws. Provider shall at all times remain in compliance with all applicable
local, state, and federal laws, rules, and regulations including but not limited to all state and
federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-
Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated
herein by reference and may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php). Any violation
of this requirement is a breach of the Agreement and County may terminate this Agreement
without further obligation on the part of the County. This paragraph is not intended to limit, and
does not limit, the definition of breach to discrimination. By executing this Agreement, Provider
affirms that Provider is and shall remain in compliance with Article 2 of Chapter 64 of the North
Carolina General Statutes. By executing this Agreement, Provider certifies that Provider has not
been identified, and, to the best of its knowledge, has not utilized the services of any agent or
subcontractor, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing
this Agreement Provider certifies that Provider has not been identified, and, to the best of its
knowledge, has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.81.

3. Revision to Universal Terms Section 16.2 Arbitration: If either party fails to comply with the
terms of this Agreement, the other party shall be entitled to seek all remedies available at law or
in equity, and in connection therewith both parties acknowledge that such breach may cause the
other party immediate and irreparable injury for which remedies at law are inadequate. To the
extent permitted by applicable law, if SAS fails to comply with the terms of this Agreement,
SAS’s entire liability arising from or in connection with the Services and/or any software or
firmware provided in connection therewith shall be limited to the amounts paid by Customer
hereunder.
4. Agreement Amount. The maximum amount payable under this Agreement for Consulting
Services, time and materials is Eighty-Five Thousand Dollars ($85,000). This amount shall not be
exceeded without duly executed written amendment to this Agreement.
5. Non Appropriation: Provider acknowledges that County is a governmental entity, and the validity
of this Agreement is based upon the availability of public funding under the authority of its
statutory mandate. In the event that public funds are unavailable and not appropriated for the
performance of County’s obligations under this Agreement, then this Agreement shall
automatically expire without penalty to the County immediately upon written notice to Provider
of the unavailability and non-appropriation of public funds.
6. Signatures: This Agreement together with any amendments or modifications may be executed
electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply
with Article 11A and Article 40 of the North Carolina General Statutes Chapter 66.
