BACKGROUND: The Economic Development Advisory Board works cohesively with the County's Economic Development staff and other economic development partners to position Orange County as a competitive location for business opportunities. The Board of County Commissioners appoints all ten (10) members, with representation from various fields. SOCIAL JUSTICE IMPACT: The following Orange County Social Justice Goal is applicable to this item: • GOAL: ENABLE FULL CIVIC PARTICIPATION Ensure that Orange County residents are able to engage government through voting and volunteering by eliminating disparities in participation and barriers to participation. 2 ENVIRONMENTAL IMPACT: There is no Orange County Environmental Responsibility Goal impact associated with this item. RECOMMENDATION(S): The Manager recommends that the Board discuss appointments to the Economic Development Advisory Board. 3 ORANGE COUNTY ECONOMIC DEVELOPMENT NORTH CAROLINA March 17, 2022 To: Orange County Board of Commissioners Cc: Bonnie Hammersley, Orange County Manager Travis Myren, Orange County Deputy Manager Tara May, Deputy Clerk to the Board From: Steve Brantley Director, Orange County Economic Development Department Subject: Request to Reappoint 2 Economic Development Advisory Board Members, with Terms Expiring on 6/30/22,to a New Term To the Orange County Board of Commissioners, On behalf of the Economic Development Advisory Board's Chair, John Morris, Vice Chair Sharon Hill, and the 8 current Advisory Board members, I ask the Board of Commissioners to reappoint 2 current members,with current terms expiring on 6/30/22,to a new term on the Economic Development Advisory Board (1) Reappoint Kristen Smith Young to the advisory board's one designated position for the "UNC Chapel Hill"university sector. (She is employed as UNC's Director of Community Relations, with the Department of University Communications. Kristen currently contributes to the advisory board as experienced members of the Small Business Grant program's subcommittee to help manage that important financial resource to our small businesses.). 4 (2) Reappoint Tom Proctor to the advisory board's designated "core business sector". (He is the owner/operator of The Vacuum Cleaner Hospital retail store in Chapel Hill. Tom is an experienced small business owner who participated in 2020's special COVID economic recovery small business grant program, and served for several years on the Small Business Loan program which has also aided many small businesses). This requested action follows the Economic Development Advisory Board members' unanimous vote on March 8th to endorse the requested reappointment of Kristen Young and Tom Porter to another term. The requested action is intended to help accomplish the Board of Commissioners' economic and social justice goals, as follows: • Strengthen the economic development advisory board as Orange County continues its' long-term economic recovery out of the COVID pandemic, • Maintains the current diversity of the advisory board's current composition regarding the participation of women and minority membership. With the requested term reappointments, along with the BOCC's March 10th decision to move forward to fill 2 current vacancies, Economic Development's 10-person advisory board would have 6 women members and 4 minority members. • Utilize the diverse range of economic development experience that all members bring to the County, with respect to the advisory board's composition among a range of key business sectors (agriculture, hospitality, nonprofit, UNC university, and core business), as required by the Economic Development Advisory Board's stated Guidelines. During advisory board meetings, a member shall immediately disclose any potential conflict of interest and request to be excused from voting when he or she has a conflict of interest. 2. During appeal proceedings, the applicant has the right to question the interest of any voting member. The advisory board chair should consult with the County Attorney or staff attorney on any potential conflict of interest in appeal matters. 3. In determining from existing facts and circumstances whether a conflict of interest exists the determining party shall consider the facts and circumstances as would an ordinary and reasonable person exercising prudence, discretion, intelligence, and due care. • Gifts 1. An advisory board member shall not directly or indirectly ask, accept, demand, exact, solicit, seek, assign, receive, or agree to receive any gift or honorarium for the advisory board member, or for another person, in return for being influenced in the discharge of the advisory board member's official responsibilities. 2. This section shall not apply to gifts or awards authorized by Orange County Policies, Resolutions, or Ordinances. • Code of Ethics 1. Advisory board members should act with integrity and with independence from improper influence as they exercise the functions of their offices. Characteristics and behaviors that are consistent with this standard are: 1. Adhering firmly to a code of sound values. 2. Behaving consistently and with respect towards everyone with whom they interact. 3. Exhibiting trustworthiness. 4. Living as if they are on duty as appointed officials regardless of where they are or what they are doing. 5. Using their best independent judgment to pursue the common good as they see it, presenting their opinions to all in a reasonable, forthright, consistent manner. 6. Remaining incorruptible, self-governing, and not subject to improper influence, while at the same time being able to consider the opinions and ideas of others. 7.
