PURPOSE: To consider appointments to the Economic Development Advisory Board.
BACKGROUND: The Economic Development Advisory Board works cohesively with the
County's Economic Development staff and other economic development partners to position
Orange County as a competitive location for business opportunities.
The Board of County Commissioners appoints all ten (10) members, with representation from
various fields.

Subject: Request to Reappoint 2 Economic Development Advisory Board Members, with
Terms Expiring on 6/30/22,to a New Term
To the Orange County Board of Commissioners,
On behalf of the Economic Development Advisory Board's Chair, John Morris, Vice Chair
Sharon Hill, and the 8 current Advisory Board members, I ask the Board of Commissioners to
reappoint 2 current members,with current terms expiring on 6/30/22,to a new term on the
Economic Development Advisory Board
(1) Reappoint Kristen Smith Young to the advisory board's one designated position for the
"UNC Chapel Hill"university sector. (She is employed as UNC's Director of
Community Relations, with the Department of University Communications. Kristen
currently contributes to the advisory board as experienced members of the Small
Business Grant program's subcommittee to help manage that important financial resource
to our small businesses.).

(2) Reappoint Tom Proctor to the advisory board's designated "core business sector". (He is
the owner/operator of The Vacuum Cleaner Hospital retail store in Chapel Hill. Tom is
an experienced small business owner who participated in 2020's special COVID
economic recovery small business grant program, and served for several years on the
Small Business Loan program which has also aided many small businesses).
This requested action follows the Economic Development Advisory Board members'
unanimous vote on March 8th to endorse the requested reappointment of Kristen Young and Tom
Porter to another term.
The requested action is intended to help accomplish the Board of Commissioners' economic
and social justice goals, as follows:
• Strengthen the economic development advisory board as Orange County continues its'
long-term economic recovery out of the COVID pandemic,
• Maintains the current diversity of the advisory board's current composition regarding the
participation of women and minority membership. With the requested term
reappointments, along with the BOCC's March 10th decision to move forward to fill 2
current vacancies, Economic Development's 10-person advisory board would have 6
women members and 4 minority members.
• Utilize the diverse range of economic development experience that all members bring to
the County, with respect to the advisory board's composition among a range of key
business sectors (agriculture, hospitality, nonprofit, UNC university, and core business),
as required by the Economic Development Advisory Board's stated Guidelines.

as an advocate for economic development. This is one of the most important issues the county
is facing and I bring experience and a perspective as a resident, someone who has worked for
and with small business, and now as an employee of the county s largest employer.
Reasons for wanting to serve on this board:
It is important for the University to be a part of the county s economic development efforts and I
can serve a particularly valuable role to help county staff and volunteers connect with different
people across the University. Again, this is one of the most important issues for the county.

Ethics Guidelines for Orange County Advisory Boards and Commissions
I agree by my signature below that, if appointed, I pledge to comply with the following ethics
guidelines for advisory boards and commissions as adopted by the Orange County Board of
Commissioners.
• Conflict of Interest
1. During advisory board meetings, a member shall immediately disclose any potential
conflict of interest and request to be excused from voting when he or she has a conflict of
interest.
2. During appeal proceedings, the applicant has the right to question the interest of any
voting member. The advisory board chair should consult with the County Attorney or
staff attorney on any potential conflict of interest in appeal matters.
3. In determining from existing facts and circumstances whether a conflict of interest exists
the determining party shall consider the facts and circumstances as would an ordinary
and reasonable person exercising prudence, discretion, intelligence, and due care.
• Gifts
1. An advisory board member shall not directly or indirectly ask, accept, demand, exact,
solicit, seek, assign, receive, or agree to receive any gift or honorarium for the advisory
board member, or for another person, in return for being influenced in the discharge of
the advisory board member's official responsibilities.
2. This section shall not apply to gifts or awards authorized by Orange County Policies,
Resolutions, or Ordinances.
• Code of Ethics
1. Advisory board members should act with integrity and with independence from improper
influence as they exercise the functions of their offices. Characteristics and behaviors
that are consistent with this standard are:
1. Adhering firmly to a code of sound values.
2. Behaving consistently and with respect towards everyone with whom they interact.
3. Exhibiting trustworthiness.
4. Living as if they are on duty as appointed officials regardless of where they are or
what they are doing.
5. Using their best independent judgment to pursue the common good as they see it,
presenting their opinions to all in a reasonable, forthright, consistent manner.
6. Remaining incorruptible, self-governing, and not subject to improper influence, while
at the same time being able to consider the opinions and ideas of others.
7. Disclosing contacts and information about issues that they receive outside of public
meetings, and refraining from seeking or receiving information about quasi-judicial

matters outside of the quasi-judicial proceedings themselves.
8. Treating other advisory boards and advisory board members and the public with
respect, and honoring the opinions of others even when they disagree.
9. Being careful not to reach conclusions on issues until all sides have been heard.
10. Showing respect for their appointed office and not behaving in ways that reflect
badly on the office, the advisory board, Orange County, or the Orange County
Board of Commissioners.
11. Recognizing that they are part of a larger group and acting accordingly.
12. Recognizing that individual board members are not generally allowed to act on
behalf of the board, but may only do so if the board specifically so authorizes, and
that the board must take official action as a body.
13. Being faithful in the performance of the duties of their offices.
14. Acting as especially responsible residents whom others can trust and respect.
15. Faithfully attending and preparing for meetings.
16. Carefully analyzing all credible information that is properly submitted to them, and
when applicable, being mindful of the need not to engage in communications
outside the meeting in quasi-judicial matters.
17. Being willing to bear their fair share of the board's workload.
18. To the extent appropriate, they should be willing to put the board's interests ahead
of their own and shall avoid the appearance of a conflict of interest and shall, under
no circumstances, use their position on any board for personal gain or profit.
2. Members of the Planning Board, Board of Adjustment, Economic Development
Commission, and Board of Equalization and Review shall upon initial appointment, and
prior to December 31 annually thereafter, disclose:
1. Any interest he or she or his or her spouse or domestic partner has in real property
situated in whole or in part in Orange County and the general description of that
property.
2. Any legal, equitable, beneficial or contractual interest he or she or his or her spouse
or domestic partner has in any business, firm or corporation, which is currently
doing business with Orange County pursuant to contracts awarded by Orange
County, or which is attempting, or has attempted in the past calendar year, to
secure the award of a bid from Orange County or the approval of any Board or
Agency of Orange County.
3. Failure to file a disclosure statement setting out the above required information shall
result in immediate removal of the member from the applicable board.

Background, education and experience relevant to this board:
As a Business student at the Kenan-Flagler School of Business, the focus of my education is
grounded in economic development. I am taking courses revealing the financial institutions and
economic factors that make up the vast community of business in Orange County. My business
education will enable me to work cohesively with the Countys€TMs Economic Development staff
and faithfully execute the mission of the Economic Development Advisory Board. I have served
in local government as a member of the Onslow County Juvenile Crime Prevention Council
where I collaborated with community stakeholders to improve youth diversion programs for
delinquents and child offenders. I have also served as Chairman of the Jacksonville City Youth
Council where I oversaw operations of the city-wide council. We provided professional and
leadership development to teenagers and served as the official youth voice of the city. Also, for
three years, I advocated youth representation in state government in meetings with NC Senate
Majority Leader Harry Brown, State Representative Phil Shepard, NC Secretary of
Administration Michelle Sanders, and NC Lieutenant Governor Dan Forest. I developed close
connections with staffers in the NC General Assembly and in Governor Coopers€TMS
Administration. In addition, I served as a Governors€TMS Page, able to interact with instrumental
staff in Coopers€TMs administration and further strengthen bonds la€TMve formed throughout
North Carolina state government. As Executive Director of the Institute for Effective Change, I
met with Congressmen across the state including Mark Meadows, David Rouzer, the Late
Walter B. Jones, and G.K. Butterfield. Additionally, I was recognized by Governor Cooper as an
outstanding volunteer and steward of community in 2018. 1 am equipped and excited to serve

Reasons for wanting to serve on this board:
I am passionate about serving the community I reside in. I have resided in Nigeria, Canada, and
North Carolina and have seen the structure of local government on various scales. I5€TMve
witnessed the self-serving cynicism of some city management, but I5€TMve also interacted with
dutiful local policymakers who always put the communitys€TMs needs before their own. I wish to
emulate the latter, on the Economic Development Advisory Board. As a black male, I provide a
diverse perspective on the issues facing Orange County and can contribute to the economic
growth of this beautiful town. All in All, I want to serve this County!

Background, education and experience relevant to this board:
My time on the Affordable Housing Advisory Board (AHAB) has shown me how little I know
about the issues facing Orange County. My urban planning coursework at UNC, my Real Estate
novels, and my financial work in New York have not equipped me to better serve the citizens of
Orange County. All the accolades, awards, and certifications that fill my resume dons€TMt qualify
me to serve on the Orange County Housing Authority(OCHA). Its€TMS the 4-hour due diligence I
undertook to understand the Housing Choice Voucher program, the 90 minutes I spent perusing
through Orange County eviction data, and my$30 devotion to Uber to &from AHAB meetings is
what makes me qualified to serve on OCHA. My drive to learn as much as I can and apply this
knowledge to further the interests of the underprivileged of Orange County is the only
experience that is truly relevant to this board.
Reasons for wanting to serve on this board:
There is only one reason I want to serve on this board: to foster Effective Change. I have
enjoyed my time on the Affordable Housing Advisory Board but I want to have a more direct,
effective impact on the implementation and execution of housing policy in Orange County. The
Orange County Housing Authority(OCHA) enables me to do so. By overseeing the charge of
providing decent, safe, and sanitary housing for low- and moderate-income families, OCHA will
allow me to foster tangible effective change in our community. The closer I am able to be to the
people who are affected by these inequities, the more impact I believe I am able to have.
Contribution to the diversity of viewpoints on this board:
As an 18-year-old student born in North Carolina, raised in Nigeria and Canada, and spent my
most recent years back North Carolina, I have seen firsthand the tremendous impact policy
execution has on peoples€TMs lives. Whether it was the crippling greed-filled sanctions of
Nigerian sponsored oil or the negligence of community leaders in Eastern North Carolina or the
impertinent opposition in Canadian provinces, the ground-level implementation of policy is where
genuine change occurs. Having this global perspective as a black man in America enables me
to contribute a contrarian, objectivist, and empathetic viewpoint to the diversity of the Orange
County Housing Authority.
