Terms and Conditions 1) Services.The University of North Carolina at Chapel Hill("University")offers a wide range of services, including custom population estimates and projections at the state,regional,or local level;mapping and spatial analysis;and workshops and training through Carolina Demography("Facility").Client has instructed University to undertake the specific services described above(the"Services").In consideration of Client's payment to the Facility in accordance with the terms stated herein,the Facility shall perform the Services. 2) Reports.Facility shall provide Client with deliverables as described in Exhibit A.Client recognizes that the results of the Services which do not disclose Confidential Information provided hereunder may be deemed publishable by University,and that the University employees engaged in the Services shall be free to publish these results,consistent with the obligations imposed in Section 3 of this Agreement. 3) Confidentiality.Any confidential or proprietary information disclosed by Client to University("Confidential Information")shall be disclosed in writing and designated as confidential and/or proprietary,or if disclosed orally, shall be confirmed in writing and designated confidential and/or proprietary within thirty(30)days of such disclosure. University shall use the Confidential Information only for the purpose of this Agreement and further agrees that it will not disclose orpublish such Confidential Information except that the foregoing restrictions shall not apply to: (a)Confidential Information which is or becomes publicly known through no breach of this agreement by University; (b)Confidential Information learned from a third party entitled to disclose such information; (c)Confidential Information already known to or developed by University prior to receipt hereunder,or information independently developed at any time by University personnel not privy to the Confidential Information, as shown by University's written records;or(d)Confidential Information required to be disclosed by operation of law(including, but not limited to,the North Carolina Public Records Act)or court order.The obligation of confidentiality imposed by this Section shall expire three(3)years following the expiration or termination of this Agreement.University will use a reasonable degree of care to prevent the inadvertent,accidental,unauthorized,or mistaken disclosure or use by its employees of Confidential Information. For avoidance of doubt,data,information,results,materials,or products of the Services shall be considered Confidential Information for the purposes of this Agreement. DocuSign Envelope ID:BOB92AD3-82E9-4802-986F-D4BA45DDF1D3 4) Intellectual Property.It is not anticipated that intellectual property will arise in University's performance ofthe Services.However,in the event of an invention by at least one employee of University the intellectual property shall be owned as follows:a)Inventions which involve the use of,composition of,or improvement to Client-provided materials or information,or a derivative, analogue thereof shall belong to Client; and b)Inventions which cover a scientific or analytical measurement process,technique,procedure,medium,device or other process which is not unique to characterizing,testing, or fabricating Client's proprietary materials or does not derive from Client-provided materials or Client's Confidential Information shall be owned by University. 5) Publicity.Neither party will use the name of the other party in any publicity,advertising,or news release without the prior written approval of the authorized representative of the other party.Notwithstanding the above, University reserves the right to disseminate the analysis or parts thereof resulting from Services provided under this Agreement in a public forum,such as its blog, and to publish the working relationship between Client and University for the provision of the Services related to this Agreement. 6) Termination.Either party may terminate this Agreement upon thirty days prior written notice to the other party.All reasonable costs and non-cancelable obligations incurred by University at the time of said termination shall be reimbursed by Client.At the request of Client,all unused Client-provided materials at the time of termination shall either be returned to Client or destroyed by University at the Client's expense. 7) Independent Contractor.In the performance of the Services,University shall be deemed to be and shall be an independent contractor. 8) No Warranties and Indemnity.University makes no warranties,express or implied,regarding the quality ofproduct produced under this Agreement.University shall use its reasonable efforts to perform the Services.University does not warrant or guarantee any results from a given project. University shall not be liable for Client's use of the report or other information provided by University. To the extent permitted by law,Client shall indemnify and hold harmless University against any claims and costs(including attorney's fees) arising out of Client's commercial sale or distribution of products orprocesses developed under this Agreement. 9) Export Control.University will not accept export-controlled materials or technical information under this Agreement. Client hereby represents and warrants that materials and technical information provided to University do not require any license from the U.S.government before being exported. 10)Hazardous Materials.All materials provided by Client must be accompanied by the appropriate environmental and safety information for those materials as required by law. 11)Governing Law.This Agreement and the duties,responsibilities,obligations and rights of respective parties hereunder shall be governed by the laws of the State of North Carolina.By executing this Agreement University affirms that University and any subcontractors of University are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. By executing this Agreement University certifies that University has not been identified, and has not utilized the services of any agent or subcontractor identified,on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this Agreement University certifies that University has not been identified,and has not utilized the services of any agent or subcontractor identified,on the list created by the State Treasurer pursuant to G.S. 147-86.81. 12)Entire Agreement.This Agreement,together with the attached Exhibit A,contains the entire agreement between the parties respecting the subject matter and supersedes or cancels all previous negotiations, agreements,commitments and writings between the parties on the subject of this Agreement.Should processing of this Agreement require issuance of a purchase order or other contractual document,all terms and conditions of said document are hereby deleted in entirety.This Agreement may not be amended in any manner except by an instrument in writing signed by the duly authorized representatives of each of the parties hereto. 13)Non-Discrimination. Each party shall at all times remain in compliance with all applicable local, state,and federal laws,rules, and regulations including but not limited to all state and federal non-discrimination laws,policies,rules,and regulations,including applicable non-discrimination and living wage policies.Non- 14)Appropriation.University acknowledges that Client is a governmental entity and the validity of this Agreement is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable or not appropriated for the performance of Client's obligations under this Agreement, then this Agreement shall automatically expire immediately upon written notice to University of the unavailability or non- appropriation of public funds.It is expressly agreed that Client shall not activate this non-appropriation provision for its convenience or to circumvent the requirements of this Agreement. In the event of a change in the Client's statutory authority,mandate,or mandated functions,by state or federal legislative or regulatory action,which adversely affects Client's authority to continue its obligations under this Agreement,then this Agreement shall automatically terminate upon written notice to University of such limitation or change in Client's legal authority. 14)Signatures.This Agreement together with any amendments or modifications may be executed electronically.All electronic signatures affixed hereto evidence the consent of the Parties to utilize electronic signatures and the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. Purpose of the Project The purpose of the project described in this agreement is for Carolina Demography to provide data to the Orange County Department of Social Services in support of its work to measure racial equity in the County. 2. Duration of the Project The duration of the agreement is April 1,2022 to July 31, 2022. 3. Description of the Project Carolina Demography will create a databook (Excel file) to be used as source material for the Orange County Department of Social Services ("the Department.") The databook will be used to supplement items already available to the Department of Social Services as indicated in the table below. The databook will contain the items listed under"Key Deliverables," below. Carolina Demography will also produce a one-page summary highlighting significant items. 4. Roles and Responsibilities Carolina Demography will deliver the items described below ("Key Deliverables") and perform work in accordance with the schedule a described below ("Milestone Dates".) Carolina Demography reserves the right to approve any use of its logo. The Department will approve this Scope of Work and the Service Agreement of which it is a part by the date indicated below. The Department will also designate an individual to work with Carolina Demography, who will: • Review data sources, indicators, and reporting. • Review proposed data tables and other deliverables, and review and approve final deliverables in accordance with the milestone dates listed in the schedule below. • Request changes to deliverables utilizing the input process established by Carolina Demography. • Permit Carolina Demography to use materials compiled for this project in blogs and other informational purposes. • Provide additional information and definitions as requested by Carolina Demography, 5. Key Deliverables The main deliverable will be a databook containing data tables broken down by race and ethnicity for each indicator, documentation on definitions, and a report summarizing the data and providing explanations where appropriate. The databook will include all items listed in Appendix A. Carolina Demography will investigate the availability of items in Appendix B and will provide the data as available. Carolina Demography will ensure that the databook is organized to facilitate access by clients. Carolina Demography will review databook contents for significant data points and trends of note and will highlight significant data items and trends. Throughout the project, Carolina Demography will be available to the client contact to answer questions DocuSign Envelope ID:BOB92AD3-82E9-4802-986F-D4BA45DDF1 D3 regarding data, assist with appropriate interpretations of the data and to suggest the best charts and/or other graphics to convey data and information 6. Milestone Dates: If the service agreement is approved ty the clients by April 1, 2022, Carolina Demography will deliver work by the following dates: • April 15, 2022: Identify all data.sources and clarify indicator questions with the Department • April 30,2022: Provide a layout of databook for Department approval or change request by May 7, 2022. • May 30, 2022: Preliminary databook complete • June 15,2022: Provide a written report to the Department with topline items of interest. • June 30, 2022: Provide final databook. including updates available from ACS (US Census Bureau American Communities Survey.) Note: the final delivery date may be dependent on release of 2020 American Community Survey data by the Census Bureau. If the release is delayed or the data are unrepresentative due to COVID related problems, Carolina Demography will deliver the updated workbook using 2019 data. 7. Cost of the Project In compensation for services provided,the client will pay Carolina Demography$6,400. Carolina Demography will provide invoices for payment of half of this amount ($3,200) on signing and will invoice for the other half at completion of all deliverables. 8. Modification of this Agreement This agreement can be modified only by a written amendment signed by all parties.
