PURPOSE: To renew the agreement between the Health Department and the UNC Dental
School for the services of a Dental Director,
BACKGROUND: The Board of Commissioners authorized the Health Department to move
forward with recruitment of a full-time dentist in the spring of 2003. The Department recruited a
dentist who, after accepting the position, backed out prior to actually starting with the County,
The Department is currently in the second round of recruitment, this time nationally. Since
there has not been a dentist hired full-time, Dr. Eugene Sandler has continued to provide
direction and oversight to the dental program, The following agreement is the same as the one
that was in force for all of the previous years of the County's operation with the Department of
Dental Ecology of the UNC School of Dentistry. The School of Dentistry has provided this
service since the inception of the Dental Program 23 years ago and has agreed to continue
providing this service until the Health Department secures afull-time dentist. The Dental
Director provides clinical oversight and consultation to health department staff and to the variety
of dental attendings, residents, and students that provide actual clinical services to the program.
The Dental Director develops dental policies and consults with the Health Director as requested.
It is anticipated that the Health Department will need these services through the end of the fiscal
year.
The agreement is for $10,000 annually and has not increased,
FINANCIAL IMPACT: The agreement is for $10,000 for the fiscal year 2003-2004 and will be
paid from the lapsed salary funds that were reallocated to the dentist position,
RECOMMENDATION(S): The Manager recommends that the Board approve the agreement
and authorize the Chair to sign pending county attorney review.

SCHOOL, OF DENTISTRY
FOR ITS
DEPARTMENT OF DL•NTAL ECOLOGY
AND
ORANGE. COUNTY HEALTFI DEPARTMENT
THIS AGREEMENT, made and entered into this the Is` day of July, 200.3, by and between The
University of North Carolina at Chapel, School of Dentistry, for its Department of Dental
Ecology; and The Orange County LIealth Department hereinafter referred to as "The Health
Department".
WITNESSETH
WHEREAS, The Health Department desires the services of one faculty to direct the
Dental Service of the Orange County Health Department for the academic year 2003-2004;
WHEREAS, The Health Department desires to reimburse The School of Dentistry for the
faculty's time commitment;
NOW, THEREFORE, in consideration of the premises and of the following mutual
promises, covenants, and conditions, The School of Dentistry and The Health Department agree
as follows:
1, The Health Department will reimburse The School of Dentistry at the close of each
quarter for '/n of $10,000,
2, The School of Dentistry will provide the services of one faculty to The Health
Department for the purpose of directing the dental program in the Health Department.
3. School of Dentistry will bill The Health Department $2,500 at the close of each
quarter for the salary/fringe of one faculty

4. The person whose services are to be provided pursuant to the Agreement is, for
all purposes an employee of The University of North Carolina School of Dentistry
5 While the School of Dentistry faculty is on rotation at the Orange County Health
Department, professional liability insurance coverage will be provided by the School of Dentistry
with coverage of'at least $1 million, per incident, $3 million per year,
6. This Agreement shall run for a period of one year, from the 1~` day of July 2003
to the 30°i day of .Tune 2004, and shall be renewable thereafter..
7. This Agreement or its renewals may be terminated at any time without penalty by
either party provided that written notice of such termination is furnished to the other party at least
90 days prior to termination. In the event of such termination any payment due shall be prorated
to the date of termination.
8. In compliance with 42 U.S.C. 1395x (v)(1)(1) and implementing regulations, The
School of Dentishy and The Health Department agree, until the expiration of four year after the
services are furnished under this contract, to allow the Secretary of the Department of Health and
Human Services and the Comptroller General access to this contract and to the books, documents
and records of The School of Dentistry and The Health Department necessary to verify the nature
and extent of this contract. The School of Dentistry and The Health Department further agree
that if any of the duties of this contract are carried out by a subcontractor of The School of
Dentistry or The Health Department such subcontract shall contain a clause to the effect that,
until the expiration of four years after the services are furnished under such subcontract, the
Secretary of the Department of Health and Human services and the Comptroller General shall
have access to such subcontract and to the books, documents and records of the subcontractor
necessary to verify the nature and extent of the costs of such subcontract.

9. The Health Department and The University of North Carolina hereby agree with
The School of Dentistry that, in its educational and/or employment practices and HIPPA
regulations The Health Department will comply with such non-discrimination laws as may be
applicable to it in the performance of this Agreement,
10. The Agreement contains the entire understanding of the parties and shall not be
altered, amended or modified, except by an agreement in writing executed by the duly authorized
official of both parties.
The laws of North Carolina shall govern the validity and interpretation of the provisions, terms
and conditions of this Agreement,
IN WITNESS WHEREOF, the parties have hereunto signed this Agreement in their official
capacities on the day and year listed below.
