PURPOSE: To review and approve proposed revisions to the by-laws of the Orange County
Human Services Transportation Advisory Board.
BACKGROUND: Orange County is required to have a Transportation Services Board (TSB) by
the North Carclina Department of Transportation (NCDOT) and Federal Transportation
Administration (FTA) in order to receive grant fianding for community transportation, The
Human Services Transportation Advisory Board by-laws have not been revised since March 9,
1992. Over the years, several issues have occurred including: (1) the Board size proved too
large for effective participation, especially with the inclusion of alternates, and (2) same of the
permanent agency appointments were deemed to be less crucial, while other agencies such as
Triangle Transit Authority (TTA) and Emergency Management Services (EMS) were deemed
important to include,
The existing Human Services Transportation Services Advisory Board membership reviewed the
current by-laws on May 23, 2000 and recommended the following changes: (1) Re-name the
board to "Transportation Services Board" to better reflect its broader concern with overall public
and not just human service centered transportation; (2) eliminate the designation of alternates;
and (3) expand opportunity for community representation, The current membership also
determined that the revised board structure would enhance the process for reviewing and
updating the Community Transportation Improvement Plan (CTIP) that is currently underway.
An advisory board for transportation services, as consistent with NCDOT and FTA
requirements, was always intended and designed to be an operational board with
responsibilities for reviewing and making recommendations on the direct delivery of transit
services, The North Carolina Department of Transportation requires the local advisory board to
provide input on the annual Community Transportation Program (CTP) grant application, far
example. The Orange Public Transportation (OPT) grant request for FY 2003-2004 is
$196,528, and the grant application must he approved by the local advisory board prior to the
presentation to the BOCC far its approval on November 18, 2003, The grant application is due
to NCDOT by November 21, 2003,
The local advisory board for OPT operations is not seen as a substitute for the "Orange County
Transportation Planning Steering Committee" that has been discussed informally. A steering
committee of that nature would have a much larger planning scope concentrating on all aspects
of transportation including roads, environmental impacts, area transit, bike-ways, and
relationship to economic and population growth, An Orange County Transportation Planning
Steering Committee would likely he formed and facilitated through the Orange County Planning
Department, and the Committee membership would probably include representatives from the
administrative and/or advisory board level of OPT.
FINANCIAL IMPACT: There is no financial impact associated with the proposed changes,
RECOMMENDATION(S): The Manager recommends that the Board review and approve the
proposed by-laws revisions.

OPERATIONAL BY-LAWS
ARTICLE I-NAME
The name of the board established by the Orange County Commissioners is the Orange
County ~ Transportation Adwisery Services Board (TSS).
ARTICLE II-POWERS AND DUTIES
The Transportation t~dviser~ Services Board shall be responsible for the following
duties:
(1) Serve as a liaison between the residents of Orange County and the County
Government concerning transportation service issues.

(3) Recommend policy to the Boazd of County Commissioners, particularly with
respect to a comprehensive, coordinated, cost effective approach to the delivery
of transportation services for human services agencies.
(4) Work to stimulate and promote needed transportation services and programs for
Orange County residents.
(5) Assist public and voluntary agencies in providing transportation services to their
clients.

ARTICLE III -COMPOSITION
Number and Qualifications of Members
The Orange County Transportation Adviser3~Services Board is composed of

(b) Five members, residents of Orange County, shall be chosen at large by the
Orange County Board of Commissioners with priority given to those in rural areas
and and/or experience in the following fields: private transit operation,
transportation, business, faith and disability communities, child care providers and
health care providers.
(c) Two liaison members shall be chosen by the Board of County Commissioners.
One of these members may be a County Commissioner and the other may be from
the County Manager's office.
2. Terms and Replacement of Members
Members of the Transportation ~4dv}ser-y Services Board shall serve twe-year
three year terms, but no more than two consecutive three year temps.
3. Vacancies
All vacancies on the Transportation Advisers Services Board shall be filled by

The person appointed shall serve for the unexpired portion of the term,
4, Attendance
Any member of the Board who misses more than three meetings in any twelve
month period shall lose his/her status as a member of the Board and shall be
replaced by the Orange County Board of Commissioners .,~~-~ ~A ~er~y

member shall be considered approved absences and shall not affect the member's
status. Following the second absence, the secretary will notify the member in
writing of the attendance policy.

Representatives of the following four organizations shall be designated by
the Director or Executive Director of these organizations. These are non-
voting representatives who are not required to be residents of Orange
County:
(1) Chapel Hill Transit
(2) Durham Technical Community College
(3) Employment Security Commission
(4) Triangle Transit Authority (TTA)
ARTICLE N -REGULAR MEETINGS
1. Dates and Locations

according to a schedule decided at the first meeting of each year, to be held in
February. All meetings will be conducted with a maximum time limit of two (2)
hours unless extended by a majority vote of those present. Location of
meetings and specific times will be established by the Transportation A~iser-~y
Services Board.

A majority of the voting members of the Board then in office shall constitute a
quorum for the transaction of business for any meeting of the Board.
ARTICLE V -OFFICERS
1. Number and Title
The principal officers of the Board shall be a chairperson, vice-chairperson and
secretary. The office of secretary will be held by the Director of the Orange
County Depaztment on Aging or another appointee of the County Manager.
2. Election
The chairperson and vice-chairperson shall be elected by the Board for a term of
one year at its first meeting in the County fiscal yeaz or until his/her successor
shall be duly elected and qualified,
3. Vacancies
Any vacancy in any office elected by the Transportation Services Board TSB
Beard maybe filled by the Board for the unexpired portion of the term.
4. Chairperson
The chairperson shall preside at all meetings of the Board and shall represent the
Board in approved activities on its behalf.
5. Vice-Chairperson
Irr the absence of the Chairperson, the Vice-Chairperson shall perform the duties
of the Chairperson.
6. Secretarv
The Director of the Department on Aging or' another appointee of the ~Sl~
County Manager as Secretary shall:
(a) record and keep a file of the minutes of the board meetings,
(b) see that all notices of meetings are duly given and,
(c) in general perform all duties incident to the office of secretary,
ARTICLE VI -COMMITTEES
The Board may designate one or more Committees as it shall determine, Persons other
than Board members may be nanled to committees, but they may not serve as
chairperson,
ARTICLE VII -RULES OF ORDER
At all meetings of the Board and of such committees as maybe established by it,
pazliamentazy procedure shall be governed by the latest edition of Roberts Rules of
Order, and as modified by the rules of the Board.
ARTICLE VIII -AMENDMENTS
These by-laws maybe adopted, amended or repealed by the affirmative votes of a
majority of the Boazd members in office at any regular or special meeting of the Board,
but only if the written notice of such meeting shall have contained a copy or' an accurate
summary and explanation of the proposed by-laws amendment, alteration, or repeal as the
case maybe. The written notice of the proposed by-law change must be mailed at least 7
days prior to the meeting. Amended by-laws shall then be submitted to the Orange
County Board of Commissioners for final approval.

Heading: Change name from Human Service Transportation Advisory Board
(Transportation Services Board) to reflect all services provided by a rural public transit
service. To assist with the forming of a larger transportation board that will focus on all
aspects of transportation within Orange County.
Article I-Name: Remove Human Services from Transportation Advisory Board and
change name to Transportation Services Board.
Article II-Powers and Duties: #2. Emphasize the role of the Transportation Services
Board is to provide advice to the public transit service.
Article II-Powers and Duties: #6, Change the name of the Development plan to reflect
the NCDOT Community Transportation Improvement Plan (CTIP).

Article III-Composition/#1.Number and Qualifications: Change the composition ofthe
Transportation Services Board with no alternates., The voting members do not have to be
residents of Orange County. The intent is to drop agencies or members that have
reduced interest in transportation over a period of years and to include agencies that have
an active involvement in transportation. Ten members will be the Director or Executive
Director or designee appointed by the Board of County Commissioners from the
following agencies:
(1) Orange County Planning Department
(2) Economic Development Commission
(:3) Emergency Medical Services
(4) O.P.C. Mental Health
(5) Orange County Department on Aging
(G) Orange Cowrty Department of Social Services
(7) Orange County Heahh Department

Five members who are residents of Orange Comity shall be chosen at large by the Orange
County Board of Commissioners with priority given to those in rural areas and
experienced in the following fields: Private transit operation, Business, Faith and

The two remaining liaison members shall be chosen by the Board of County
Commissioners. One of these members may be a County Commissioner and the other
maybe from the County Manager's office.
