SECOND CONTRACT AMENDMENT
ORANGE COUNTY
THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 29th day of October, 2021 by and
between ORANGE COUNTY (hereinafter referred to as “County”) and Orange Congregations in Mission (hereinafter
referred to as “Provider”).
WITNESSETH:
THAT WHEREAS, the County and Provider entered into an Outside Agency Funds Performance Agreement dated July 1,
2021, (hereinafter the “Original Agreement”); and
WHEREAS, the County and Provider entered into a Contract Amendment to the Original Agreement dated October 7, 2021
(hereinafter, the “First Contract Amendment”); and
WHEREAS, the name of Provider’s authorized signatory was misspelled on the First Contract Amendment; and
WHEREAS, the Parties desire this Second Contract Amendment supersede and nullify the First Contract Amendment; and
WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and
conditions of the Original Agreement not inconsistent with the terms and conditions set forth below.
NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to
nullify the First Contract Amendment and amend the Original Agreement as follows:
1. The title of the Original Agreement is revised as follows: Outside Agency Funds Performance Agreement.
2. The second sentence of Paragraph 8(d) is revised as follows: The County’s living wage is $15.40 per hour.
3. Paragraphs 8(k) through 8(s) are hereby struck from the Original Agreement.
4. The first line of the footer to the Original Agreement is revised as follows: Orange County Outside Agency
Funds Performance Agreement.
5. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent
it is not inconsistent with this Amendment. In the event there is a conflict between the terms of the Original
Agreement and the terms of this Amendment, this Amendment shall control. This Amendment shall supersede
and nullify the First Contract Amendment.
IN TESTIMONY WHEREOF, this Amendment has been executed by the parties hereto, as of the date first above
written.
