ORANGE COUNTY ARTS COMMISSION
2020-21 RESTART THE ARTS GRANT AGREEMENT
THIS AGREEMENT, entered into this 6th day of October, 2021, by and between Orange
County ("County"), by and through the Orange County Arts Commission ("Arts
Commission") and
BASEMENT Art Space ("Grant Recipient").
WHEREAS, the County established the Arts Commission as a countywide
arts agency that ensures the growth of local arts experiences by providing funding
and support for diverse high quality programs and projects; and,
WHEREAS, the Arts Commission administers the Restart the Arts Grant
Program to provide economic relief to Orange County arts organizations
impacted by the COVID-19 pandemic; and,
WHEREAS, the Restart the Arts Grants Program is supported by Arts
Commission with American Rescue Plan Act funds; and,
WHEREAS, the COVID-19 pandemic has disproportionately impacted the
arts and entertainment industry, stopping nearly all direct spending by nonprofit
arts organizations and their patrons in our local economy, a loss estimated to be
more than $130M; and
WHEREAS, the Orange County Arts Commission and Orange County
Board of Commissioners wish address both economic and societal chal lenges
faced by our community in the wake of the current, prolonged shutdown of the arts
industry; and,
WHEREAS, the American Rescue Plan Act provides that funds may be
used to respond to the public health emergency or its negative economic impacts,
including assistance to households, small businesses, and nonprofits, or aid to
impacted industries such as tourism, travel, and hospitality; and,
WHEREAS, the Restart the Arts Grant Program aligns with the funding
priorities identified in the American Rescue Plan (ARP), including:
Assist Orange County households by putting our artists back to work.
There are approximately 4,000 creative workers in Orange County. This
program will support employment of our creative workforce through
nonprofit support and expanded programs.
Help our small businesses by restoring arts audiences. Arts patrons spend
$36.7M each year in our small businesses when attending arts events, ten

times more than sports patrons. Nonprofit support will restore and
increase these audiences.
Help our arts and cultural nonprofit organizations through funding. There
are approximately 170 arts and cultural organizations in Orange County
whose services range from arts education to art therapy to preservation
of cultural landmarks.
Aid impacted industries such as tourism, travel and hospitality. Prior to
the pandemic, an estimated 1.9M people attended nonprofit arts events
in Orange County annually, with 54% of attendees being non-Orange
County residents. Restart the Arts will restore and grow these audiences
through the creation of new programs and events; and,
WHEREAS, the Grant Recipient was selected by the Arts Commission
to receive the Restart the Arts Grant through the procedures duly adopted by the
Arts Commission; and,
WHEREAS, both parties wish to promote and maintain the integrity and
clarity of the Grant Recipient's ideas and statements and delineate the Grant
Recipient’s obligations to the County.
NOW, THEREFORE, the County and the Grant Recipient, for the
consideration and under the conditions hereinafter set forth, agree as follows:
1. Approved Grant Project. Grant funds ae provided under this Agreement
for Operations and Programmatic Support described in the Grant
Recipient’s Grant Application, attached hereto and incorporated herein
as Exhibit A.
2. Grant Award. Grant funds in an amount not to exceed one thousand
dollars ($1,000.00) have been awarded by the Arts Commission to the
Grant Recipient for the approved Project.
3. Contingency. This grant is contingent on American Rescue Plan Act
funding to Orange County. Final decisions on funds are subject to rules
promulgated by the US Treasury.
4. Responsibilities of the Grant Recipient
A. Implementation. These grant funds are to be used by June 30, 2022. Grantees shall
be required to submit documentation of expenses in final report. Grantees have to
submit documentation of expenses incurred in order to receive funds. If Grantees
do not submit proper documentation, they will not be eligible for reimbursement
under the Agreement.
B. Non–assignment. The grant cannot be assigned or transferred to a different
organization without prior written approval of the Arts Commission.

C. Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
D. Use of Funds. The grants shall be utilized solely for the purpose described in
the attached Exhibit A
E. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
the date of which shall be provided by the Arts Commission Director. The Final
Report shall be in the format acceptable to the Arts Commission. Failure to submit
the Final Report or late submission of the Final Report, for any reason, shall be
grounds for denial and/or cancellation of grant funds for the Project and future grant
proposals.
5. Responsibilities of the Arts Commission
A. Payment. The Arts Commission shall release the grant funds in the amount of
$ 1,000.00 to the Grant Recipient.
6. Publicity
A. Acknowledgement. Credit must be given to the Orange County Arts Commission
in brochures, news releases, programs, and all other printed and online
publications. Copies of such printed materials must accompany the evaluation
report. Official Orange County Arts Commission logos may be downloaded at
www.artsorange.org/grantee-resources and may not be altered in any way. When
no printed information is used, verbal credit shall be given.
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events . In addition, the Grant Recipient must add a
link to www.artsorange.org (Orange County Arts Commission logo preferred) to
their main webpage. Logos can be found at

7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and their officers and employees from any and all claims or actual
injury, damage or loss to a person, or real or personal property that results from or is in
any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that they are not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to

obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain their own worker's compensation insurance
for themselves and their employees.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission or County may immediately terminate this
Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily comply with any provision of this Agreement, as determined
by the County in its sole discretion.
(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) days from written
notice of default or allow the grant recipient the opportunity to cure the default.
This clause shall not be interpreted to limit the County’s or the Arts
Commission’s remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing

this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list created
by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement
Grant Recipient affirms they are and shall remain in compliance with Article 2 of
Chapter 64 of the North Carolina General Statutes. In determining the basic
services to be provided, should any documents be referenced in or attached to
this Agreement, the terms herein shall have priority in any conflict between the
terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be
initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

purpose of your
group.
Addressing the need for exhibition v enues, BASEMENT (since July
2019) is an unincorporated artist-run project space in a Chapel Hill
residence that supports experimental and critical art practices to
foster connections between artists and communities. Through a
collaborativ e model with rotating and shared curatorial, preparator,
and administrativ e responsibilities, BASEMENT’s fiv e artist-curators
select artists with Southern ties for the caliber of their work, and
relev ance to the theme of the proposed exhibition.
A v ital part of BASEMENT’s mission is to showcase indiv iduals with
Southern roots whose v oices are underrepresented in traditional art
v enues. W e prioritize and uplift the work and v oices of BIPOC artists
as well as artists whose work is experimental and not v iable in a
traditional commercial setting. W e interface with the public through
exhibitions, in-person programming, and online ev ents reaching
national, regional, and local audiences.
BASEMENT has no commercial interests and, although professional
artists, we do not exhibit our own work in this space. Our goal is to
bring rigorously selected artists to Chapel Hill to spur critical dialogue
within the Triangle community. W e v iew our support as an important
ongoing inv estment in building relationships with critical art
practitioners from, and for, our local and regional Southern
community.

pre-pandemic core
arts-related
programming or
offerings.
BASEMENT had been in existence for less than a year when the
COVID-19 pandemic shut-downs arriv ed in the Spring of 2020. Our
first and only pre-pandemic public ev ent was an in-person group
exhibition, “Breathing W ithout A Body,” which ran from Nov ember
2019 to January 2020. This show featured local artists Saba Taj (NC),
Stephen Hayes (NC), and collaborators Max Symuleski (NY/NC) and
Sinan Goknur (Turkey/NC). Through collectiv e research and studio
v isits, BASEMENT curators rigorously selected these artists who
employed v arious methods and media, including collage, drawing,
sculpture, and v ideo. Each artist’s practice uniquely considered the
past, present, and future through an exhumation of the body within
distinct social and historical landscapes. W hile speculating on the
contradictions and continued v iolence of racism and economic
dev elopment in the name of capital, together their works asserted a
space of both resistance and resilience.
BASEMENT aided the selected artists in all stages of installing the
exhibition including transporting artwork and prov iding indiv idualized
installation support. Before the show, we turned BASEMENT into
pristine gallery condition by building, repairing, and painting walls,
and customizing lighting. W e acquired necessary equipment, such
as v ideo projectors, and built a projection screen. Through our
efforts, we showcased the artists’ works and also prov ided a clean
space that allowed them to document their work and thereby build
their portfolios for future opportunities.
To celebrate “Breathing W ithout A Body,” BASEMENT hosted an
opening reception, docent walk-throughs, weekend v iewing days,
and a closing reception that included a moderated panel discussion.
The months-long process of planning and mounting this show
helped us strengthen and expand our collaborativ e, organizational,
and curatorial skills, and to initiate dialogues with exceptional artists
in the area.
“Breathing W ithout A Body” generated an enthusiastic response
from artists and our community. Ov er 50 people, including artists and
guests from throughout the Triangle attended our opening in
Nov ember 2019. Ov er twenty-fiv e guests attended the closing
reception and artists’ panel discussion in January 2020.

cov erage from INDY W eekly, and later, from The Daily Tar Heel and
the OCAC Newsletter.

impact of your
organization on the
Orange County
community in a
typical year.
BASEMENT has only been in existence since July 2019 and the
physical space was closed due to COVID from March 2020-August
2021. Although we hav e not had a “typical year,” our first and only
pre-pandemic in-person exhibition,“Breathing W ithout a Body,” was
receiv ed enthusiastically by the arts community of Orange County
and beyond. “Breathing W ithout a Body” (11/2019 - 01/2020) included
works by local artists Stephen Hayes, Saba Taj, and Max Simuleski &
Sinan Goknur. The opening and closing ev ents drew large audiences
from the Triangle and receiv ed positiv e cov erage from Indy W eekly,

The Daily Tar Heel, and the OCAC Newsletter. BASEMENT was a
welcome addition to the increasingly expanding and thriv ing
population of artist-run spaces in Orange County.
It should be mentioned that since BASEMENT is in a priv ate house,
for the safety of its residents its address is not freely publicized. The
space is only open for ev ents that are announced on social media
and on our website. Anyone who is interested in attending ev ents
can easily subscribe to our mailing list through our website. The
residence owner’s liability insurance cov ers only inv ited guests, so
we extend our inv itation only through our mailing list for this reason;
in our emails we include all the pertinent information, including our
address. At present, we hav e almost 300 subscribers, many of them
from Orange County. Despite, or perhaps due to these
circumstances, BASEMENT prov ides a uniquely safe and intimate
space that giv es artists the freedom to experiment with their works
and ideas, and to share them with a sympathetic and committed
audience.
Our current exhibition, “Loose Footing,” with artists Peat Szilagzi,
Kate Robinson, and Felicity Palma opened on August 14 with
stringent COVID-19 precautions in place. As expected because of the
pandemic, the opening reception did not attract as many v isitors as
our first show. W e continue to open the show to v isitors by
appointment, and will hav e open v iewing hours in the coming
months. So far the show and v enue has attracted positiv e reactions
for both the quality of the works and their interaction with the singular
space.
Our proposed 2022 exhibition,“Portal Prayers and Pipedream
Prov isions,” will bring together three artists who reside outside NC.
The exhibition, opening reception, and closing ev ents will be open to
the public although specific v iewing conditions will depend on the
state of the pandemic.
As the pandemic restrictions ebb, BASEMENT plans to continue its
current in-person programming as well as open its space to a greater
v ariety and number of ev ents. Of note, are experimental film
screenings, art performances, and pop-up exhibitions inv olv ing local
artists including UNC-Chapel art students. Interv ening BASEMENT
programs will draw from the local and v isiting artists. Our goal is to
prov ide a safe, professional, and welcoming space with which to
engage with Orange County artists and audiences and thereby
promote and showcase the depth of talent existing within our
community as well as in the wider Southern region.

intended use of a
Restart the Arts
Grant, if awarded.
If awarded a Restart the Arts Grant, BASEMENT will prov ide stipends
to our fiv e artist-curators (Jonh Blanco, Sarah Elizabeth Cornejo,
Laura Little, Chieko Murasugi, and Hồng- An Trương), augment the
trav el stipend of exhibiting artist Lily Reev es, and hire a local
photographer to document our Spring 2022 in-person show.
Since its founding BASEMENT members hav e worked as v olunteers

to produce in-person and v irtual programs. W e hav e also contributed
personal funds to cov er BASEMENT expenses towards our goal of
promoting and supporting exceptional artists to culturally enrich our
local and regional communities.The artist-curators’ numerous
responsibilities---beyond curation and ev ent planning--- include bi-
monthly team meetings and studio v isits with prospectiv e artists. To
publicize our programs we perform ongoing tasks such as formatting
and editing BASEMENT’s website, designing promotional materials,
and constructing social media announcements and newsletters. W e
perform all physical labors to mount our in-person exhibitions
including, but not limited to: wall repair, painting, building walls,
platforms, and projection screens, lighting, electronic equipment
setup, and local artwork transportation. Additionally, BASEMENT
members perform administrativ e duties, document exhibitions, and
write contracts and grant applications.
W e are grateful to hav e receiv ed two OCAC Artist Project Grants. In
addition to underwriting costs of materials and equipment, the grants
prov ided stipends to our digital residents and exhibiting artists. W e
believ e in financially supporting the professional artists who exhibit
on our platforms, a goal made urgent during the pandemic when
many artists lost income sources such as teaching positions and
exhibition opportunities.
Our recently awarded 2021-22 Artist Project Grant enables us to
continue our 2021-22 planned projects including Studio Snacks,
Digital Residences, a collaboration with LEVEL Retreat, and an in-
person group exhibition for Spring 2022. For the Restart the Arts
grant, we request stipends for our BASEMENT team of $600 each
($3000 total), equalling a monthly stipend of $50. This is an
opportunity to acknowledge the curators for the considerable time,
effort, and personal funds donated to further our goal of showcasing
to our community the breadth, div ersity, and excellence of artists
with ties to the South.
W e also request $600 to prov ide additional trav el assistance to neon
artist Lily Reev es (showing in our Spring 2022 exhibition). Prior to the
pandemic, Reev es liv ed and worked in Birmingham, Alabama,
roughly 540 miles from Chapel Hill. BASEMENT allotted her $250 to
fully cov er Reev es’ transportation and installation costs. Due to the
pandemic, Reev es closed her gallery and relocated to Arizona (2150
miles from Chapel Hill) to be closer to a support system for neon-
artists. Although at this increased distance we can no longer cov er
her entire artwork transportations costs, BASEMENT hopes to
contribute half the cost.
Lastly, we request $400 to hire a local photographer to document in-
person exhibitions. Today, most artwork and exhibitions are seen
digitally. Not only a tool for archiv al and promotional purposes, but
professional documentation assists artists in receiv ing grants,
residencies, and professional opportunities. Our request benefits
BASEMENT archiv es, the exhibiting artists’ portfolios, and supports a
professional photographer within our community.

measures taken by
your organization to
mitigate the spread
of COVID-19.
BASEMENT continues to make significant and considerable efforts to
protect the health of curators, artists, and members of the
community. As a response to the pandemic BASEMENT’s second in-
person group exhibition, “Loose Footing,“ was postponed from the
Spring of 2020 to August 2021. The exhibition is currently on v iew by
appointment until December 2021, as well as during scheduled open
hours.
For the safety of our three exhibiting artists, we extended the
installation period to allow them to install their work indiv idually in
BASEMENT. Two of the participating artists spent a week in LEVEL’s
pandemic-safe residence while creating site-specific installations in
BASEMENT. This new collaboration with LEVEL Retreat was
conceiv ed in response to the pandemic but also serv ed to build
further connections between v isiting and local artists. All artists,
including BASEMENT team members who helped with space
preparation and installation, wore masks and practiced social
distancing while indoors. All curators and exhibiting artists were fully
v accinated against COVID-19.
BASEMENT and LEVEL Retreat hosted sev eral intimate outdoor
social ev ents to introduce the v isiting artists to local art
professionals; all ev ents were intentionally small and held outdoors.
The opening reception for “Loose Footing” occurred on August 14th
with stringent COVID precautions. Masks were required for entry into
BASEMENT, and only four v isitors were allowed inside the gallery at a
time. Refreshments were serv ed outdoors on the driv eway.
From February 2020 to June 2021 BASEMENT was closed to the
public. In March 2020, BASEMENT mov ed all programming to the
v irtual domain utilizing platforms such as Zoom, Instagram, and our
website. As of now, BASEMENT has conducted 28 v irtual meetings,
10 v irtual studio v isits, and six online ev ents. Our Digital Residency
program allowed artists to take ov er our Instagram account for three
weeks. Artists were selected after studio v isits with BASEMENT
curators and worked with the curators to organize a closing ev ent of
their choosing. Prev ious ev ents hav e included a ghost-inhabited-
sculpture-story told by sculptor Raul De Lara (TX/NYC), a zine
collaboration with a poet and photographer Aaron Turner (AK), and
an interactiv e v irtual performance led by interdisciplinary artist Marta
Rodriguez Maleck (LA). Digital residents receiv ed a small stipend for
their participation.
Our newest program, “Studio Snacks,” consists of 30-minute v irtual
studio v isits v ia Zoom with local North Carolina artists. Depending on
the artist’s preference, the v isits can be spaces to informally critique,
share work with community members, receiv e feedback priv ately with
basement curators or publicly connect with the broader community.
W e plan to host “Studio Snacks” bi-monthly. Through these efforts,
we expanded our Instagram followers to number ov er one thousand.

The BASEMENT team will continue to hold meetings v ia zoom until
our v ulnerable members feel that it is safe to meet again in person.
W e will also continue to practice stringent public health precautions
to prev ent the spread of COVID-19 in the v ital interest of our
community’s public health.
