HomeMy WebLinkAbout2021-615-E-Arts Commission-The ArtsCenter-Restart the Arts September 2021 v0.1 ORANGE COUNTY ARTS COMMISSION 2020-21 RESTART THE ARTS GRANT AGREEMENT THIS AGREEMENT, entered into this 6th day of October, 2021, by and between Orange County ("County"), by and through the Orange County Arts Commission ("Arts Commission") and The ArtsCenter ("Grant Recipient"). WHEREAS, the County established the Arts Commission as a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects; and, WHEREAS, the Arts Commission administers the Restart the Arts Grant Program to provide economic relief to Orange County arts organizations impacted by the COVID-19 pandemic; and, WHEREAS, the Restart the Arts Grants Program is supported by Arts Commission with American Rescue Plan Act funds; and, WHEREAS, the COVID-19 pandemic has disproportionately impacted the arts and entertainment industry, stopping nearly all direct spending by nonprofit arts organizations and their patrons in our local economy, a loss estimated to be more than $130M; and WHEREAS, the Orange County Arts Commission and Orange County Board of Commissioners wish address both economic and societal chal lenges faced by our community in the wake of the current, prolonged shutdown of the arts industry; and, WHEREAS, the American Rescue Plan Act provides that funds may be used to respond to the public health emergency or its negative economic impacts, including assistance to households, small businesses, and nonprofits, or aid to impacted industries such as tourism, travel, and hospitality; and, WHEREAS, the Restart the Arts Grant Program aligns with the funding priorities identified in the American Rescue Plan (ARP), including:  Assist Orange County households by putting our artists back to work. There are approximately 4,000 creative workers in Orange County. This program will support employment of our creative workforce through nonprofit support and expanded programs.  Help our small businesses by restoring arts audiences. Arts patrons spend $36.7M each year in our small businesses when attending arts events, ten DocuSign Envelope ID: 86DFF302-0F1D-453E-9078-02BDC6F3549C September 2021 v0.1 times more than sports patrons. Nonprofit support will restore and increase these audiences.  Help our arts and cultural nonprofit organizations through funding. There are approximately 170 arts and cultural organizations in Orange County whose services range from arts education to art therapy to preservation of cultural landmarks.  Aid impacted industries such as tourism, travel and hospitality. Prior to the pandemic, an estimated 1.9M people attended nonprofit arts events in Orange County annually, with 54% of attendees being non-Orange County residents. Restart the Arts will restore and grow these audiences through the creation of new programs and events; and, WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the Restart the Arts Grant through the procedures duly adopted by the Arts Commission; and, WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County. NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds ae provided under this Agreement for Operations and Programmatic Support described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed ten thousand dollars ($10,000.00 ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. 3. Contingency. This grant is contingent on American Rescue Plan Act funding to Orange County. Final decisions on funds are subject to rules promulgated by the US Treasury. 4. Responsibilities of the Grant Recipient A. Implementation. These grant funds are to be used by June 30, 2022. Grantees shall be required to submit documentation of expenses in final report. Grantees have to submit documentation of expenses incurred in order to receive funds. If Grantees do not submit proper documentation, they will not be eligible for reimbursement under the Agreement. B. Non–assignment. The grant cannot be assigned or transferred to a different organization without prior written approval of the Arts Commission. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. D. Use of Funds. The grants shall be utilized solely for the purpose described in the attached Exhibit A E. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report the date of which shall be provided by the Arts Commission Director. The Final Report shall be in the format acceptable to the Arts Commission. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $ 10,000.00 to the Grant Recipient. 6. Publicity A. Acknowledgement. Credit must be given to the Orange County Arts Commission in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. When no printed information is used, verbal credit shall be given. B. The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.org/events . In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that they are not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to DocuSign Envelope ID: 86DFF302-0F1D-453E-9078-02BDC6F3549C September 2021 v0.1 obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain their own worker's compensation insurance for themselves and their employees. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission or County may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily comply with any provision of this Agreement, as determined by the County in its sole discretion. (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) days from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By executing this Agreement Grant Recipient affirms they are and shall remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Should either party initiate litigation to settle any dispute involving the terms of this Agreement such litigation shall be initiated in the General Court of Justice of North Carolina seated in Orange County, North Carolina. D. Signatures. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. Yes NARRATIVE n/a W hat is the mission of your organization? The ArtsCenter exists in order to educate and inspire artistic creativ ity and to enrich the liv es of people of all ages. Provide a brief description of your pre-pandemic core arts-related programming or offerings. Nearly one half of TAC patrons are youth, making the Youth Programming particularly important to our work. 25% of the youth in our programs come from households that are at or below federal pov erty lev el. TAC’s Artist in Residence program prov ides culturally competent arts experiences to ov er 2,800 students in classrooms across Orange County at no cost to families. Many of these students and their families face financial barriers and would otherwise, not hav e access to the arts. Through TAC’s partnership with the Orange County School district, we prov ide a 5-day in-classroom residency and a school field trip for a liv e performance to students at all four Title 1 Elementary Schools (New Hope, Central, Efland-Cheeks and Grady Brown Elementary Schools). Hav ing run for 40 years, ArtsCamp is one of TAC’s oldest programs. W ith ov er 160 arts education classes ov er 11 weeks, the program consists of week-long summer camp sessions for students entering grades K-12. All camps are taught by professional teaching artists from the Triangle area. Afterschool Arts Immersion (AAI) prov ides arts enrichment and social emotional support during afterschool hours for youth in grades K-5. Through two-week artist in residencies, students explore a v ariety of artistic styles, infusing elements of their academic curriculum with exploration of cultural div ersity, important social DocuSign Envelope ID: 86DFF302-0F1D-453E-9078-02BDC6F3549C justice issues, and the dev elopment of social skills through working in peer groups. W ith a commitment to div ersity, equity, inclusion, and ensuring all learners can explore their creativ e capacity through access to transformativ e arts experiences, scholarships are offered to students from low-income households for both the ArtsCamp and Afterschool Arts Immersion programs. TAC’s partnership with the Family Success Alliance prov ides four weeks of summer arts programs teaching children interpersonal skills and preparing them for a classroom setting.  Many these children are coming from immigrant families and hav e nev er sat in a classroom before.  They take morning classes teaching them the alphabet and numbers and we prov ide afternoon classes using art to engage with their teachers in a setting where they can activ ely participate in the learning process. These youth are taught to use creativ e problem solv ing, building confidence to set them up for success in a traditional classroom. Ov er 70% of the students are not nativ e English speakers and 99% are non-white. TAC’s year round ArtSchool is the largest resource in Orange County for learners of all ages to explore their creativ e capacity, offering instruction in v arious art forms from ceramics to digital arts to improv . All learners regardless of age, skill or schedule can access the ArtSchool with classes offered at v ariety of times, prices,and formats. The ArtsCenter’s performance spaces present performers such as internationally famous k.d. lang and Dav id Lindley as well as locally famous songwriters like Rissi Palmer, a BIPOC country music singer residing in Durham, in an intimate engaging theater space. Orange County residents lov e to share who they saw and more importantly, who they discov ered on our stage. Most importantly, our stages continue to prov ide entertainment for ev eryone. Please explain the impact of your organization on the Orange County community in a typical year. Our programming in 2019 had an economic impact of $4.3M (according to the Americans for the Arts prosperity calculator). This breaks down into 127 full-time jobs and $2.6 M in household income generated through expenditures made by The ArtsCenter and our audiences. The ArtsCenter is not only the largest arts organization in Orange County, prov iding 100,000 arts experiences to NC residents each year but also the largest employer of Orange County artists. In 2019 • we hired 155 artists as teaching artists, performers & instructors • W e offered 236 ArtSchool classes • W e hosted 133 performances • W e offered 32K in scholarships • W e hosted 125 ArtsCamp family share ev ents • W e serv ed 1300 students in our Orange County Title One Partner schools. • In total we engaged 103K people through The ArtsCenter’s classes, exhibits, ev ents & classroom experiences. Despite COVID-19, we continue to meet the needs of our community, offering art experiences in a safe but impactful way. For ArtsCamp 2021 we • Offered 166 camps, almost 40 more than 2019 • Offered in-person, online and hybrid options so that families can participate at their comfort lev el. • Increased our offerings in camps focused on STEAM (science, technology, engineering, art, and mathematics) such as o “Stop Motion Animation” o “Puppetry” o “Play Production” o “If it Flies” o “Artful Scientists” o “Little Builders” W e are thrilled that with the support of the Orange County Art Commission and despite CV-19 constraints, for the 2020-21 school year, TAC was able to prov ide v irtual fiv e-day residencies in 12 grade lev el classrooms, and v irtual school shows for all 28 grade lev el classrooms at our four Title 1 school partners in Orange County Schools. In choosing both the residencies as well as school shows, a significant effort was made to ensure that themes of div ersity, equity, accessibility, and inclusion were incorporated into the programs. These programs helped these students process their own feelings and learn the importance of embracing our differences, striv ing to learn from one another to become more empathetic. This learned skill impacts their daily liv es as well as our greater community. Children with strong empathy are less likely to bully or show signs of aggression. In our society's efforts to end racism, empathy becomes our most powerful tool. Through piv oting, we successfully kept our ArtSchool programs and our performances activ e through streaming and small in-person gatherings. W ith online classes and streamed performances, we reached patrons near and far. Our instructors are now all trained in and offering online instruction. W e are finding our reach growing across the globe as local residents as well as patrons outside of North Carolina are taking adv antage of these online options. Throughout the pandemic, we committed to bringing art experiences to the residents of Orange County. W e deliv ered art kits to kids in need. W e offered online art classes to artists of all ages. As our community sheltered in place and grappled with the social unrest that gripped our nation, we were acutely aware of the important role that the arts play in our society. The arts help us frame our history and are a sounding box for change. In this spirit, during the spring of 2020 with the generous support of OCAC, we launched a new Public Art Initiativ e and commissioned muralist Jermaine Powell (JP) to create a mural. JP and The ArtsCenter gathered feedback from ov er 300 residents to find out what Carrboro means to them. The resulting mural celebrated our connection to one another and exclaimed, “W e are Community”. W ith this grant we will further our commitment to connect our community and empower our youth. W e will employee the creativ e class and giv e creativ ity a v oice. As we restart our programs, we will fulfill the requirements to become a certified Orange County Liv ing W age Employer. W e will pay all employees and artists at least $15.40/hour. W e hav e restarted our AfterSchool Arts Immersion program and hired 3 new staff members to support this program. W e hav e also contracted artists for the two-week residencies which occur as part of this program. This program is offering a total of 8 different residencies, 4 minicamps, and 4 artists that will be featured this fall for AAI. The cost per month for the three assistants and the artist in residencies is approximately $6K. W e hav e scheduled in-person performances for this fall and in anticipation of this, are bring back box office staff. W ith three part- time employees in this role, we are anticipating their payroll cost per month totally around $4K. W e hav e contracted performers and partnered with local theater companies to offer them a home for their productions. Other performers are renting our space (and are solely responsible for their ticket sales). In September, we hav e 16 new ArtSchool classes scheduled. If all classes run at capacity, the total in artists' fees will be $16K. For our Artist in Residence Program, in 2021-2022 we will return to offering 24 residencies as opposed to the 12 we offered in 2020-2021. The estimated costs of these residencies are $26K in total. The School Shows, which most likely will take place at the schools with students masked (as opposed to v irtual) are estimated at $15K. W ith this slow and deliberated roll out of expanded programing, we are incurring new costs from payroll, artists fees, cleaning serv ices and marketing. W e will use the Restart the Arts Grant, if awarded, to pay for these new costs associated with restarting our programs. The rev enues generated by these programs will pay for the wage increases going forward, making this plan sustainable. W ith the initial onset of COVID-19, we closed our building. Howev er, as our knowledge of the v irus and how it is spread expanded, we offered some programming with safety protocols in place. To meet the needs of families in our community on whom CV-19 has had the most significant impact, in Summer 2020 we ran a scaled- back in-person Summer ArtsCamp program for 440 children ov er a 9- week period. Upon arriv al, the campers’ and the staff members’ temperatures were taken and hand sanitizer was prov ided. All campers and staff wore masks and socially distanced. The camps hosted in the larger studio spaces held a maximum of 8 campers per session. Our smaller rooms accommodated 5 campers. This year, as the spread was less prolific, we increase our numbers and allowed 10-12 campers in our larger spaces and increased our offerings. Howev er, we continued to require temperature checks and masks. Both for last summer and this, if a camper was exhibiting any signs of illness, we asked that they be tested before returning to camp. For both 2020 and 2021, to the best of our knowledge, we had no camper test positiv e. Since the local schools were operating remotely for the 2020-2021 school year, our Afterschool Arts Immersion was cancelled. Howev er, with the return to in-person learning for the 2021-2022 school year, we are running this program again but with smaller numbers, about a 30% reduction in students. W ith this program, we are also requiring temperature checks and masks. W ith the shutdown, we ended our in-person performances and began streaming productions. For example, with the support of OCAC, OCCRC and Free Spirit Freedom, TAC presented HAUNTED by playwright and actor Sonny Kelly in which Kelly takes on the v oices of historians, ancestors, elders, youths, politicians, pundits, and poets, as he traces the roots and routes of modern day anti-Black v iolence in America. For ArtSchool, we offered mostly online classes to keep our patrons safe. Patrons zoomed in for Improv classes, writing classes and drawing. W e hav e a few types of classes, such as painting and jewelry making where in-person with social distancing is possible. Ceramic artists are allowed to fire and glaze work they created at home. W e expanded our cleaning serv ices and inv ested in PPE. W e inv ested in Zoom and hav e hosted most of our board and staff meeting online. In June we hosted our first in-person board meeting as well as staff meeting. Howev er, we, as a staff, still regularly schedule online meetings as opposed to meeting in-person. To encourage marginalized populations to get COVID v accinations, we forged a new partnership with Day One Relief, a NC-Triangle-based non-profit organization which was founded to serv e under-resourced and marginalized communities affected by hurricanes and other disasters. The ArtsCenter inv ited North Carolina-based artists to design a COVID-19 Vaccine poster to prov ide v accination information in frontline communities in North Carolina. The goal was to create poster designs that would speak to populations that hav e been hesitant to receiv e v accinations.
