HomeMy WebLinkAbout2021-613-E-Arts Commission-Franklin Street Arts Collective (DBA FRANK Gallery)-Restart the Arts September 2021 v0.1 ORANGE COUNTY ARTS COMMISSION 2020-21 RESTART THE ARTS GRANT AGREEMENT THIS AGREEMENT, entered into this 6th day of October, 2021, by and between Orange County ("County"), by and through the Orange County Arts Commission ("Arts Commission") and Franklin Street Arts Collective (DBA FRANK Gallery) ("Grant Recipient"). WHEREAS, the County established the Arts Commission as a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects; and, WHEREAS, the Arts Commission administers the Restart the Arts Grant Program to provide economic relief to Orange County arts organizations impacted by the COVID-19 pandemic; and, WHEREAS, the Restart the Arts Grants Program is supported by Arts Commission with American Rescue Plan Act funds; and, WHEREAS, the COVID-19 pandemic has disproportionately impacted the arts and entertainment industry, stopping nearly all direct spending by nonprofit arts organizations and their patrons in our local economy, a loss estimated to be more than $130M; and WHEREAS, the Orange County Arts Commission and Orange County Board of Commissioners wish address both economic and societal chal lenges faced by our community in the wake of the current, prolonged shutdown of the arts industry; and, WHEREAS, the American Rescue Plan Act provides that funds may be used to respond to the public health emergency or its negative economic impacts, including assistance to households, small businesses, and nonprofits, or aid to impacted industries such as tourism, travel, and hospitality; and, WHEREAS, the Restart the Arts Grant Program aligns with the funding priorities identified in the American Rescue Plan (ARP), including:  Assist Orange County households by putting our artists back to work. There are approximately 4,000 creative workers in Orange County. This program will support employment of our creative workforce through nonprofit support and expanded programs.  Help our small businesses by restoring arts audiences. Arts patrons spend $36.7M each year in our small businesses when attending arts events, ten DocuSign Envelope ID: 0BAB6BC4-2F5C-4DEE-9934-F018F0E57AEC September 2021 v0.1 times more than sports patrons. Nonprofit support will restore and increase these audiences.  Help our arts and cultural nonprofit organizations through funding. There are approximately 170 arts and cultural organizations in Orange County whose services range from arts education to art therapy to preservation of cultural landmarks.  Aid impacted industries such as tourism, travel and hospitality. Prior to the pandemic, an estimated 1.9M people attended nonprofit arts events in Orange County annually, with 54% of attendees being non-Orange County residents. Restart the Arts will restore and grow these audiences through the creation of new programs and events; and, WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the Restart the Arts Grant through the procedures duly adopted by the Arts Commission; and, WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County. NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1. Approved Grant Project. Grant funds ae provided under this Agreement for Operations and Programmatic Support described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2. Grant Award. Grant funds in an amount not to exceed five thousand dollars ($5,000.00 ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. 3. Contingency. This grant is contingent on American Rescue Plan Act funding to Orange County. Final decisions on funds are subject to rules promulgated by the US Treasury. 4. Responsibilities of the Grant Recipient A. Implementation. These grant funds are to be used by June 30, 2022. Grantees shall be required to submit documentation of expenses in final report. Grantees have to submit documentation of expenses incurred in order to receive funds. If Grantees do not submit proper documentation, they will not be eligible for reimbursement under the Agreement. B. Non–assignment. The grant cannot be assigned or transferred to a different organization without prior written approval of the Arts Commission. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. D. Use of Funds. The grants shall be utilized solely for the purpose described in the attached Exhibit A E. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report the date of which shall be provided by the Arts Commission Director. The Final Report shall be in the format acceptable to the Arts Commission. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5. Responsibilities of the Arts Commission A. Payment. The Arts Commission shall release the grant funds in the amount of $ 5,000.00 to the Grant Recipient. 6. Publicity A. Acknowledgement. Credit must be given to the Orange County Arts Commission in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. When no printed information is used, verbal credit shall be given. B. The Grant Recipient must enter all events, exhibits, and performances open to the public and related to this grant award on the Orange County Arts Commission website at www.artsorange.org/events . In addition, the Grant Recipient must add a link to www.artsorange.org (Orange County Arts Commission logo preferred) to their main webpage. Logos can be found at https://artsorange.org/ocacgrants/grantee-resources/logo-usage-credit-lines/ 7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that they are not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to DocuSign Envelope ID: 0BAB6BC4-2F5C-4DEE-9934-F018F0E57AEC September 2021 v0.1 obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain their own worker's compensation insurance for themselves and their employees. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission or County may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily comply with any provision of this Agreement, as determined by the County in its sole discretion. (iii) Failure to adhere to the terms of applicable county, state or federal laws, regulations, or stated public policy. B. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) days from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. In determining the basic services to be provided, should any documents be referenced in or attached to this Agreement, the terms herein shall have priority in any conflict between the terms of referenced documents and the terms of this Agreement. C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes shall be resolved by nonbinding mediation. If such mediation fails either party may initiate litigation to resolve the dispute. Should either party initiate litigation to settle any dispute involving the terms of this Agreement such litigation shall be initiated in the General Court of Justice of North Carolina seated in Orange County, North Carolina. D. Signatures. This Agreement together with any amendments or modifications may be executed electronically. All electronic signatures affixed hereto evidence the intent of the Parties to comply with Article 11A and Article 40 of North Carolina General Statute Chapter 66. Yes NARRATIVE n/a W hat is the mission of your organization? FRANK Gallery’s mission is to enrich the community through exhibitions, arts related ev ents and arts education. Until April 2020 FRANK fulfilled its community outreach obligations through exhibitions, receptions, artist talks, readings, demonstrations and workshops, the Coffee & Donuts monthly coffee klatch series, the annual CLICK! Photography Festiv al, by prov iding support for its non-profit partners at its Univ ersity Place Community Gallery and fully supporting its Karen Youth Art Group. W hen COVID-19 restrictions were enacted, FRANK readapted to the new reality by dev eloping hybrid programming to engage the community and fulfill its mission. FRANK went online with its annual fund raiser, v irtual galleries for its current exhibit openings and for community ev ents, Zoom receptions for its continuing exhibition schedule, a v irtual online shop, and artist talks augmented with arts related materials contributed by v arious community members. Since its inception in 2010 FRANK audiences hav e been racially, economically and ethnically div erse. Programming has addressed Caucasian, African American, Hispanic, Asian and Nativ e American audiences. People of v arious ages, ethnic backgrounds and religions exhibited art, participated in programs and attended ev ents. All FRANK ev ents except fund raisers were free and open to the public. The FRANK Univ ersity Place Community Gallery hosted numerous exhibitions mounted by non-profit partners including Chapel Hill- Carrboro’s PTA "Reflections" exhibition for all local schools; Arts for Life, an art program for Duke Hospital patients and their families; W omen’s International W eekend with poetry, artwork and writings; a joint exhibition of the FRANK Karen Youth Art Group and students from the UNC Chapel Hill’s Art Department; a prev iew exhibition for the Orange County Artists Guild Studio Tour followed by an OCAG holiday show. Unfortunately, the Community Gallery was lost to redev elopment in May 2020. (FRANK is currently exploring other cost-effectiv e v enues to enable it to continue to exhibit community artwork.) Since 2012 FRANK members hav e successfully led the Karen Youth (Burmese refugees) Art Group helping the youth dev elop arts and language skills. This year the program saw its first Karen student graduate from Guilford College. Another will graduate from the UNC Greensboro BFA program in 2022. This student currently has a one man show in a downtown Greensboro gallery. In 2019, as part of the CLICK! National Photography Festiv al, FRANK mounted an educational exhibit of work by professional photographers and their students with 20 associated workshops. FRANK’s monthly Coffee & Donuts program prov ided a v enue for local artists to discuss their work and demonstrate their techniques to the community in a relaxed coffee shop atmosphere at the Gallery. The Gallery continued to offer a slate of art classes including iPhone photography, plein air drawing and painting, partnering with organizations such as the Triangle Land Conserv ancy and sev eral local retirement communities. FRANK has also partnered with many area groups to bring art to the underserv ed members of the community: the NC Autism Society, Art Therapy Institute, Brushes with Life, Institute for Dev elopmental Disabilities, Chapel Hill Parks and Recreation's Adapted Recreation and Inclusion Program, Kidzu Children's Museum, UNC Lineberger Comprehensiv e Cancer Center, UNC Hospital Expressiv e Arts Programs, NCMA, Nasher and Ackland Art Museums, Chapel Hill and Carrboro libraries; Elon Univ ersity, UNC-CHn and UNC-Greensboro. FRANK has been a v ital part of the Orange County arts community for more than elev en years. Ev ery year the Gallery stages six major exhibitions that attract thousands of Orange County v iewers. In 2019, FRANK welcomed more than 8,100 v isitors. An additional 3,150 attended ev ents. Sev enty percent of attendees were from the Chapel Hill/Carrboro area. FRANK presents the work of 25 local artist- members and more than 100 area guest artists. Before the forced closure of its Community Gallery in April 2020 FRANK operated its additional Univ ersity Place Gallery space for the use of Orange County art groups to present their members' work to the public. The Gallery was closed in 2020 due to the landlord's redev elopment plans. W hile in operation, the Gallery was the only large space in Orange County where art groups could present a substantial body of their work to the community. FRANK introduced an Emerging Artist Program in 2017 to help young artists enter the professional world. In this program members mentor the young artists who work and exhibit in the Gallery for one year. In 2019 Charlie Dupee, who represented both the African American and LGBQT communities, participated in the Emerging Artist program. He is currently a fine arts graduate student at UNC-CH and continues to show his work at FRANK. A Youth Mentorship Program, based on the Karen Youth Art Group's model, is scheduled to launch in the fall of 2021. In this new program, fifteen FRANK artists will mentor fifty young people from the local Boomerang project for underserv ed youth who show exceptional promise in the v isual arts. The Gallery continually striv es to include Orange County’s ov erlooked people and communities in both its membership and in its exhibitions. Please explain your intended use of a Restart the Arts Grant, if awarded. FRANK is requesting $9,000 to restart and expand its programming efforts in the coming year. Funding would be used to prov ide programs for the local community, particularly its underserv ed populations. •. $1,500 would support the Karen (refugee) Youth Art Group, i.e. $500 to cov er art supplies for the students for one year, $750 for educational enrichment such as museum and gallery v isits, art books and books to support their language enrichment experiences, college v isits and $250 for transportation expenses. •. $1,000 would be used for the future arts related Mentorship Program for fifty underserv ed youths from grades 8-12 to cov er the cost of arts supplies, educational enrichment programs and transportation fees. •. In January 2022 FRANK is staging an exhibition of art by Nativ e American artists and $750 in funding would help defray the expenses of those artists participating in that exhibition, including v isual artists, poets, musicians and dancers. •. $1,500 would allow the popular monthly Coffee & Donuts program to continue for another year. This funding would support the ev ent and prov ide guest artists with a modest honorarium to help cov er their expenses. •. $750 dollars is needed to support FRANK's participation in the October 2021 CLICK! National Photography Festiv al. The Gallery created the FRANK:inFocus Photo Festiv al 8 years ago to promote DocuSign Envelope ID: 0BAB6BC4-2F5C-4DEE-9934-F018F0E57AEC community through the arts, using photography as the medium for educational programs. Since then, the festiv al has expanded into the CLICK! National Photography Festiv al. This year, FRANK:inFocus will host a series of collaborativ e ev ents culminating in an exhibition at the Gallery. FRANK will partner with the North Carolina Museum of Art and the North Carolina Botanical Gardens to conduct a series of outdoor photography workshops with the resulting professionally prepared student work shown in the Gallery. Depending on the status of COVID-19, the students will either share their work in distanced in- person discussions or online groups. Funding is needed for printing, including ink, paper and mats and promotional materials for the exhibition. • $2,000 would be used for additional technical support for online v irtual programming necessitated by the unpredictable COVID-19 trajectory. W ith the loss of its Community Gallery in May 2020 and with repeated COVID-19 interference in its programming schedule, FRANK members began exploring hybrid means of fulfilling the Gallery's mission of bringing the arts to the Orange County community. FRANK members learned to shoot and edit v ideos with iMov ie using their personal iPhones and computers. One Board member used his own high-end technical equipment to present the Gallery's big fundraiser ev ent as well as bimonthly exhibition openings v ia Zoom. Members employed the use of v arious free web- based platforms to deliv er the programming to its audiences. Howev er, with the continuing presence of COVID-19 in North Carolina, additional technical support is needed to deliv er programming that all members of the community can safely access from their homes. •. $500 of the requested funding will be used for targeted marketing to keep the community apprised of online ev ents. •. $1,000 is requested for operational support for all programming. W hen FRANK was forced to close in March 2020 it immediately turned to online resources. Exhibits, openings, artist presentations, a retail shop and the annual fundraiser went online. A "v irtual" web page was established as a platform for community members to present original poetry, blogs, readings and musical performances to engage the audience. In June 2020 the gallery reopened with reduced hours and a by-appointment system. Face masks and hand sanitizer were positioned throughout the gallery for v isitor use. Social distancing was encouraged. Younger members worked longer shifts in the gallery to reliev e older members who were more v ulnerable to the v irus. Throughout the COVID-19 pandemic FRANK members hav e continued to meet with the Karen Youth Art Group, all wearing masks, but classes were held outside until Nov ember 2020. Until recently the Karen youths were all participating in distance learning and thus the FRANK Program became a lifeline for this underserv ed, v ulnerable group giv en the absence of on-site classes and school support. FRANK also assisted its Karen students in exploring, applying and transitioning to higher education giv en the absence of school counseling. Recently the Program has been instrumental in ensuring that students and their families get v accinated against COVID-19. W ith the current threat of the Delta Variant and in compliance with the recent Orange County mandate, all v isitors and artists are required to wear masks in the gallery and social distancing is once again encouraged. An in-person reception was held on August 20, 2021, the first community ev ent at FRANK since January 2020. Face masks and social distancing were required, and no food or drink was serv ed at the ev ent. Most Gallery business such as Board and Membership meetings hav e been conducted on Zoom and giv en the uncharted trajectory of COVID-19, members are now incorporating a Plan B into their programming that would enable all ev ents to be held online instead of in-person, hence the need for funding for additional technical support.
