WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the NC CARES for Arts to provide economic relief to Orange County arts organizations impacted by the COVID-19 pandemic. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with CARES Act funds from the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the NC CARES for Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds ae provided under this Agreement for Operations Support described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. 3.Contingency. This grant is contingent on North Carolina Arts Council NC CARES for Arts funding to the Arts Commission. Implementation. T hese grant funds are to be used to reimburse eligible expenses that were incurred between March 1, 2020 through December 31, 2020. Grantees have to submit documentation of expenses incurred prior to November, 2020 in order to receive funds. If applicable, Grantee will also need to submit documentation for approved eligible expenses taking place between November 1 – December 31, 2020. If Grantees do not submit proper documentation, they will not be eligible for reimbursement under the Agreement. B. Non–assignment. The grant cannot be assigned or transferred to a different organization without prior written approval of the Arts Commission. C. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. D. Use of Funds. The grants shall be utilized solely for the purpose described in the attached Exhibit A. (debts ARE an allowable expense per the state guidelines). E. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report the date of which shall be provided by the Arts Commission Director.. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) d ays? from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. Since 1994, Music Maker Relief Foundation has worked to preserve traditional Southern roots music by directly supporting and presenting the artists who make it, ensuring their voices will not be silenced by poverty and time. Music Maker identifies and serves artists who are vital links in our musical heritage, and whose music communicates part of an important story, seeking to sustain their legacies beyond their lives so that their cultural knowledge and artistic gifts will remain available to generations to come. Music Maker concentrates on the musical traditions of the South, including blues, gospel, string band, and Native American traditions. We strive to bring diverse audiences together to celebrate our shared cultural heritage in order to improve their sense of self, community, and serve as a catalyst for social progress. Music Maker Relief Foundation, a NC-based organization for our entire 26 years, works to sustain traditional music by supporting the musicians who make it and by increasing appreciation and awareness of NC's musical heritage. Our programs keep the musical culture of our state vital and thriving in NC and beyond. Music Maker’s Partner Artists are senior roots musicians practicing the vibrant genres of blues, gospel, folk, and Native American music. We focus our efforts on these artists because there is real danger that their cultural contributions will be lost to our society if they are not supported and documented now. Music Maker emphasizes long-term relationships and individualized plans that meet musicians’ specific needs and abilities—this includes everything from social services to booking performances. Since its founding, Music Maker has made over 13,000 financial grants to 500+ artists, and helped its partners secure more than 8,000 engagements. The Sustenance Program provides essential services to senior musicians living in chronic poverty and in crisis. Monthly stipends help our Partner Artists afford their basic needs, such as food, medicine, and utility bills. Music Maker also provides one-time emergency grants to assist with unexpected expenses, such as house repair after a natural disaster or in-home care after a major surgery. The Performance Program documents traditional musicians and expands their professional horizons. Music Maker develops musicians' repertoires, provides instruments, and assists artists in developing promotional materials. The Performance Program also builds audiences for traditional music, presenting artists at venues across NC, the US, and abroad. In 2018/19, Music Maker presented 591 artist performances at 143 events worldwide. This booking and tour support makes it possible for aging artists to share their talents and the musical traditions of our state with audiences around the world. Music Maker presented 305 artist performances at 80 events in NC in 2019, including the fifth annual Freight Train Blues Series in Carrboro, Music Maker 25 with Duke Performances in Durham, the NC Roots Music Series in Charlotte, and A Day of Remembrance in Hillsborough. These free, educational, accessible concerts featured traditional musicians and reach a wide variety of NC residents. The majority of events we present musicians at nationally and abroad also feature North Carolina performers. Our performances and exhibits reached 501,000 people in fiscal year 2018/19. The Education Program makes NC musical heritage accessible to current and future generations through public exhibitions, youth engagement, and archival preservation. MMRF maintains a strong presence across NC through youth outreach to the constituents of Girls Rock NC, Orange County schools, Mecklenburg County libraries, and more. Our efforts to document these traditions are also preserved in recordings and photographs at the Southern Folklife Collection at UNC Chapel Hill. As we work with an especially vulnerable population, our top priority is keeping our Partner Artists safe. Since March, staff members have been able to work remotely or in segmented areas of our office. Time that would be spent on planning live events is now devoted to implementing virtual programming and providing additional relief services to artists. From Mar 1–Sep 30, 2019 Music Maker paid 73 artists for performances and made Sustenance grants to 52 artists. Eight Artists overlapped, so in total we made payments to 117 artists during this period in 2019. From Mar 1–Sep 30, 2020 Music Maker paid 21 artists for (virtual) performances and made Sustenance grants to 84 artists. Three artists overlapped, so in total we made payments to 102 artists during this period in 2020. Our performance income from talent fees and performance grants has decreased from $143,475 in 2019 to $24,945 in 2020. We have increased artist grants 56% from $73,099 to $114,161. This additional funding has come from private contributions. In order to successfully pivot to virtual programming, Music Maker contracted Nick Loss-Eaton and Charles Reece. Mr. Loss-Eaton has been a music publicist since 2005, and has worked with Music Maker on several successful press campaigns. We enlisted his services to boost our social media and web presence to ensure that our new virtual programming would reach as many people as possible. Mr. Reece, co-founder of The Bitter Southerner, has been providing Music Maker with his editorial and marketing expertise. The Music Maker team has worked hard to transition our public programming to virtual offerings. This includes a virtual exhibition of "Hanging Tree Guitars," funded in part by the NEA, which premiered in August 2020 and is booked through 2021. A robust digital collection, livestream panel discussions, and a new website offer broad context for Vines’ work and the environment in which it is made. Music Maker also successfully transitioned many of its music series to livestream events that are safe for both the performers and the viewers. This helps our partners build an online presence, earn much-needed income, and continue to share their music with the world. It also helps Music Maker bring in new audiences that otherwise may never have the chance to experience our programming. Music Maker has five new albums in the works, to be released over the next year. Over 70% of our supporters reported that their preferred format to listen to recorded music is a CD (vs. digital downloads or a streaming service). By helping our Partner Artists release new music, we can provide our supporters with the content they love and bring our musicians more income. Our most notable arts programming for Orange County residents includes the annual Freight Train Blues Series, Picnic in the Park, and A Day of Remembrance. Freight Train Blues, which typically takes place at Carrboro Town Commons, was broadcasted on Facebook, YouTube, and WCHL 97.9FM in the spring and summer of 2020. For six years running, this free series has celebrated the life and legacy of Piedmont blues legend Elizabeth “Libba” Cotten, born in 1893 in Carrboro, NC. Music Maker has also had the honor of participating in the annual Picnic in the Park in downtown Hillsborough for the past 5 years. Music Maker, along with the Northern Orange Branch of NAACP and the Alliance for Historic Hillsborough, presented A Day of Remembrance in May 2019 to honor the enslaved men women in Margaret Lane Cemetery who built our town. Prior to the pandemic, we intended to reprise this event annually or every other year. The program featured a talk by historian Vera Cecelski and performances by local gospel artists The Kings of Harmony and The Branchettes. The event culminated with a community procession through the Riverwalk to Margaret Lane Cemetery where handmade flowers were “planted” in honor of the enslaved men and women buried there. Additional programming leading up to the event included flower- making sessions with Orange County Schools students and a public flower-making event at the Earth Evening celebration at the Farmers Market Pavilion. Our impact can also be seen in our work with John Dee Holeman. Born in Orange County in 1929, Mr. Holeman is one of Music Maker’s most renowned and respected artists. Music Maker has released four albums, booked countless performances, and provided emergency assistance when Mr. Holeman needed to relocate. In 2019, at the age of 90, Mr. Holeman released his latest album, "Last Pair of Shoes."
