WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of local arts experiences by providing funding and support for diverse high quality programs and projects. WHEREAS, the Arts Commission administers the NC CARES for Arts to provide economic relief to Orange County arts organizations impacted by the COVID-19 pandemic. WHEREAS, the annual Arts Grants Program is supported by Arts Commission with CARES Act funds from the North Carolina Arts Council, a division of the Department of Natural and Cultural Resources, a state agency. WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the NC CARES for Arts Grant through the procedures duly adopted by the Arts Commission; and WHEREAS, both parties wish to promote and maintain the integrity and clarity of the Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the County; NOW, THEREFORE, the County and the Grant Recipient, for the consideration and under the conditions hereinafter set forth, agree as follows: 1.Approved Grant Project. Grant funds ae provided under this Agreement for Operations Support described in the Grant Recipient’s Grant Application, attached hereto and incorporated herein as Exhibit A. 2.Grant Award. Grant funds in an amount not to exceed ($ ) have been awarded by the Arts Commission to the Grant Recipient for the approved Project. 3.Contingency. This grant is contingent on North Carolina Arts Council NC CARES for Arts funding to the Arts Commission. Implementation. T hese grant funds are to be used to reimburse eligible expenses that were incurred between March 1, 2020 through December 31, 2020. Grantees have to submit documentation of expenses incurred prior to November, 2020 in order to receive funds. If applicable, Grantee will also need to submit documentation for approved eligible expenses taking place between November 1 – December 31, 2020. If Grantees do not submit proper documentation, they will not be eligible for reimbursement under the Agreement. B. Non–assignment. The grant cannot be assigned or transferred to a different organization without prior written approval of the Arts Commission. C. Records. Grant Recipient must maintain records and other evidence pertaining to costs incurred and revenues acquired during the Project implementation. Grant Recipient shall maintain financial records pertaining to the Project for three (3) years from the date of this Agreement, in case of audit. D. Use of Funds. The grants shall be utilized solely for the purpose described in the attached Exhibit A. (debts ARE an allowable expense per the state guidelines). E. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report the date of which shall be provided by the Arts Commission Director.. The Final Report shall be in the format required by the North Carolina Arts Council. Failure to submit the Final Report or late submission of the Final Report, for any reason, shall be grounds for denial and/or cancellation of grant funds for the Project and future grant proposals. 5.Responsibilities of the Arts Commission A.Payment. The Arts Commission shall release the grant funds in the amount of $ to the Grant Recipient. 6.Publicity A.Acknowledgement. Credit must be given to the Orange County Arts Commission and/or the North Carolina Arts Council using the proper logo(s) and credit line in brochures, news releases, programs, and all other printed and online publications. Copies of such printed materials must accompany the evaluation report. Official Orange County Arts Commission and North Carolina Arts Council logos may be downloaded at www.artsorange.org/grantee-resources and may not be altered in any way. The Grant Recipient agrees to indemnify and hold harmless the County, the Arts Commission and the North Carolina Arts Council and their officers and employees from any and all claims or actual injury, damage or loss to a person, or real or personal property that results from or is in any way connected to the use of the grant funds. 8. Independent Contractor. The Grant Recipient is an independent contractor and not an employee, agent or other representative of the County and/or the Arts Commission. Nothing contained in this Agreement shall be construed to create the relationship of principal and agent, or employer and employee, between Grant Recipient and Arts Commission or Orange County Government. Grant Recipient understands and agrees that he/she is not authorized to incur any expenses or any liability whatsoever on behalf of the County or the Arts Commission and has no authority, expressed or implied, to obligate or make representations on behalf of the County or the Arts Commission. In addition, Grant Recipient agrees to maintain his or her own worker's compensation insurance for himself/herself and his or her employees. 9. Termination A. In the event of any of the circumstances set forth below (hereinafter referred to as “default”), the Arts Commission may immediately terminate this Agreement: (i) Any fraudulent representation in any verification required to obtain payment under this Agreement or other dishonesty on a material matter relating to the performance of services under this Agreement. (ii) Nonperformance, incomplete service or performance, or failure to satisfactorily comply with any provision of this Agreement, as determined by the Arts Commission in its sole discretion. In the event of default by the Grant Recipient, the Arts Commission has the discretion to elect to terminate this Agreement, in whole or in part and/or require the Grant Recipient to repay the grant funds within seven (7) d ays? from written notice of default or allow the grant recipient the opportunity to cure the default. This clause shall not be interpreted to limit the County’s or the Arts Commission’s remedies in law or in equity. 10. Miscellaneous. A. Entire Agreement. This Agreement and the attachments contain the final and entire understanding of the parties with respect to the subject matter of this Agreement. All modifications and amendments to this Agreement shall be in writing. This Agreement shall be binding upon the parties, their heirs, successors and assigns. B. Governing Law. Governing Law and Priority: Both parties agree that this Agreement shall be governed by the laws of the State of North Carolina and Orange County. Grant Recipient shall at all times remain in compliance with all applicable local, state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy (each policy is incorporated herein by reference and may be viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a breach of this Agreement and Arts Commission may immediately terminate this Agreement without further obligation on the part of the Arts Commission. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. The Hillsborough Artists Cooperativ e is not a for-profit business, but this grant form requires that we either select that category or apply as an IRS recognized non-profit. In legal jargon, we are an unincorporated association of artists with an EIN. W e separately pay rent for our studios upstairs at 102 W . King Street in downtown Hillsborough. W ithin that upstairs space is a square room with a skylight that has been used for community activ ities and artist gatherings and exhibits since 1992, attracting a great v ariety of artists and art lov ers since that time. W e hav e no employees. Of the artists in our group, some are retired from other professions and some still work other jobs. W e are applying as a group that has created and maintained a unique art v enue in a great location. W e are seeking a grant only to reimburse the rent we hav e paid during the pandemic. Provide a brief description of your pre-pandemic core arts-related The Hillsborough Artists Cooperativ e was founded in 1992 with a mission to support artists and prov ide a v enue for exhibits and community interaction. By the late 1990s, co-op artists Jennifer Miller, Jayne Bomberg and gallery owner Jacquelin Liggins (Braddigins, DocuSign Envelope ID: 9817B4A2-1328-4ADD-8A8E-BC5D68851AA4 programming or offerings. later becoming a co-op member), working with the town’s arts council v olunteers, created the monthly "Last Fridays" downtown arts celebration and art walk, as well as the Festiv al of the Autumn Moon under the guidance of Janet Ledbetter and her roster of international musicians, thus bringing div ersity and tourists to town. Continuing that commitment to community engagement, the Hillsborough Artists Cooperativ e/Skylight Gallery has sponsored hundreds of local and guest artists of all ages, with ethnic div ersity, creativ e freedom, and without judgment based on established reputation. Award-winning teacher, filmmaker and co-op member Andrea DeGette since 1999 has featured art by children and photography by high school students. The co-op also has hosted multiple community forums on topics such as 9/11 and global warming, and poetry salons, and showings of v ideos such as “Equal Means Equal.” Many exhibits are non-commercial, for example the co-op participated in "The W alls W e Build," a regional effort led by Donn Young; has hosted a series of political installations by Hunter Lev insohn; mounted Jacquelin Liggins’ photographs of local African- Americans ov er ninety years old (“90+); and inv ited Pakistani- American Kulsum Tasnif to exhibit her “Journey to the Good Life” mixed media paintings about refugees which caused one v isitor, a local writer, to burst into loud sobs. Group exhibits such as “Inalienable,” featuring a plastic bubble with a tea party inside (Shiangtai Tuan and guests), elicited interaction with v isitors, who were offered masks to wear and take home (painted paper plates with elastic). Other co-op studio artists and guest artists create and sell fine arts and crafts to appreciativ e locals and tourists, plus teach traditional methods of drawing, painting, darkroom photography and film- making. Since its beginning, the co-op's annual open studio tours, monthly art walks and special ev ents hav e brought new art lov ers and thinkers to town. Additional open hours were added more recently: In 2017 Jacquelin Liggins’ studio welcomed Roberta W allace and then “Repo Nan” Kuney (denim artist) and the trio began opening studios and the Skylight Gallery on weekend afternoons. They created signs, set up planters, painted the downstairs door red, and made the co-op ev en more enticing to an ev er-growing number of art lov ers. By March 2020 when Cov id 19 hit, there were 10 rent-paying co-op members, an activ e and div erse exhibition schedule with group shows and guest artists, and three members keeping the gallery and their studios open on weekends. Despite the shutdown, most of the co-op artists hav e stayed, paid rent, ev en as their use of the facility has been restricted. Describe the specific steps your organization took to comply with Executive Order 117. Artists in the Cooperativ e operate indiv idually and pay rent on their studios separately to the landlord (Antonia’s Restaurant), but share management of the Skylight Gallery through consensus. Some members work in their studios while others set their work up and display to v isitors there. Sev eral writers share one studio with artist Jennifer Miller. All members stayed home when instructed to do so by the state, and sev eral members hav e cautiously used their space on a limited basis with masks and sanitizers once the "stay at home" order was lifted. Skylight Gallery artists hav e suspended their shows in hopes of another chance next year, except Andrea DeGette's photography student show, in August, titled" Unfinished," was hung and attended by appointments, and documented. Guest artist Hunter Lev insohn mounted a large solo exhibit in the gallery room in September with v isitors by appointment and a v irtual show and v ideo on her web site. Co-op members and friends keep up a Facebook page, a website, and an Instagram following, and indiv idual members hav e their own social media activ ity and websites, and there hav e been some v irtual group shows through those outlets. But the co-op as a group has not been able to use their space or inv ite others to it, except in v ery limited ways, since March. The Hillsborough Artists Cooperativ e is seeking grant funds to reimburse members for their rent payments during this period of hardship. Between group exhibits, open studios, participation in the art walk and regular openings on weekend afternoons, the co-op reaches a regional population as well as town and county residents. Roberta W allace noted that approximately 250 v isitors a month came to the weekend afternoon openings, many of them families with children. Last Friday group exhibits in the Skylight Gallery and solo artists' openings crowd size v aried depending on publicity, the artists' work and reputation, weather, competing ev ents, but often an opening drew 50 to 100 v isitors or more. The co-op supports town ev ents by opening during "Ladies Night Out," "Sundays in Hillsborough" and the Holiday Parade. Co-op members hosting the ev ents are generous with their time and explanations about the exhibits. The co-op has cultiv ated a spirit of collaboration, innov ation and engagement. “They are the most welcoming, accepting and non- judgmental group I hav e ev er had the pleasure of being part of,” noted Kulsum Tasnif. “My exhibit about the refugee struggle, Journey to The Good Life, shown in May of 2017 was met with positiv ity and compassion. W ords cannot describe how grateful I am for this community of artists.” Asked about the importance of their exhibition in early 2020, daughter and father Annalyce and Hughes Grogan wrote, “It was incredibly meaningful to gather our entire community of family, friends and coworkers together to celebrate many years of hard work on our shared passion: photography. The exhibit's success inspired both of us to pursue other shows, with Hughes currently showing pieces at his local library and Annalyce increasing her local photography gigs.” (Another impact: dozens of the Grogans’ out of town guests ate together at a downtown restaurant, boosting the town’s economy.) Each year, co-op ev ents draw in more people as art participants. W orkshops, such as Jacquelin Liggins' Nov ember 2019 collage ev ent, supplied a creativ e path forward through introduction of materials and techniques. That workshop coincided with a collage group inv itational exhibit at the Skylight Gallery which included an interactiv e component. Easels and materials were set up so that v isitors could work on collages. Pop-up exhibits and open hangings hav e inv olv ed the public. In one exhibit, v isitors could knit or crochet and hang their work on the walls, and another exhibit inv ited v isitors to draw on the gallery walls with chalk. In the past decades the co-op has tried many different approaches but the philosophy consistently remains one of encouragement and inclusiv eness.
