ORANGE COUNTY ARTS COMMISSION
2020-21 NC CARES GRANT AGREEMENT
THIS AGREEMENT, entered into this day of , 2020, by and between
Orange County ("County"), by and through the Orange County Arts Commission ("Arts
Commis s ion " ) an d Community Chorus Project
("Grant Recipient").
WHEREAS, the Arts Commission is a countywide arts agency that ensures the growth of
local arts experiences by providing funding and support for diverse high quality programs and
projects.
WHEREAS, the Arts Commission administers the NC CARES for Arts to provide
economic relief to Orange County arts organizations impacted by the COVID-19 pandemic.
WHEREAS, the annual Arts Grants Program is supported by Arts Commission with
CARES Act funds from the North Carolina Arts Council, a division of the Department of Natural
and Cultural Resources, a state agency.
WHEREAS, the Grant Recipient was selected by the Arts Commission to receive the
NC CARES for Arts Grant through the procedures duly adopted by the Arts Commission; and
WHEREAS, both parties wish to promote and maintain the integrity and clarity of the
Grant Recipient's ideas and statements and delineate the Grant Recipient’s obligations to the
County;
NOW, THEREFORE, the County and the Grant Recipient, for the consideration and
under the conditions hereinafter set forth, agree as follows:
1.Approved Grant Project. Grant funds ae provided under this Agreement for Operations
Support described in the Grant Recipient’s Grant Application, attached hereto and
incorporated herein as Exhibit A.
2.Grant Award. Grant funds in an amount not to exceed
($ ) have been awarded by the Arts Commission to the Grant Recipient for the
approved Project.
3.Contingency. This grant is contingent on North Carolina Arts Council NC CARES for
Arts funding to the Arts Commission. Final decisions on funds to the North Carolina
Arts Council are subject to approval by the North Carolina General Assembly.
4.Responsibilities of the Grant Recipient

A. Implementation. T hese grant funds are to be used to reimburse eligible expenses
that were incurred between March 1, 2020 through December 31, 2020. Grantees
have to submit documentation of expenses incurred prior to November, 2020 in
order to receive funds. If applicable, Grantee will also need to submit
documentation for approved eligible expenses taking place between November 1 –
December 31, 2020. If Grantees do not submit proper documentation, they will not
be eligible for reimbursement under the Agreement.
B. Non–assignment. The grant cannot be assigned or transferred to a different
organization without prior written approval of the Arts Commission.
C. Records. Grant Recipient must maintain records and other evidence pertaining to
costs incurred and revenues acquired during the Project implementation. Grant
Recipient shall maintain financial records pertaining to the Project for three (3)
years from the date of this Agreement, in case of audit.
D. Use of Funds. The grants shall be utilized solely for the purpose described in
the attached Exhibit A. (debts ARE an allowable expense per the state guidelines).
E. Final Report. Grant Recipient shall submit to the Arts Commission a Final Report
the date of which shall be provided by the Arts Commission Director.. The Final
Report shall be in the format required by the North Carolina Arts Council. Failure
to submit the Final Report or late submission of the Final Report, for any reason,
shall be grounds for denial and/or cancellation of grant funds for the Project and
future grant proposals.
5.Responsibilities of the Arts Commission
A.Payment. The Arts Commission shall release the grant funds in the amount of
$ to the Grant Recipient.
6.Publicity
A.Acknowledgement. Credit must be given to the Orange County Arts
Commission and/or the North Carolina Arts Council using the proper logo(s)
and credit line in brochures, news releases, programs, and all other printed and
online publications. Copies of such printed materials must accompany the
evaluation report. Official Orange County Arts Commission and North Carolina
Arts Council logos may be downloaded at www.artsorange.org/grantee-resources
and may not be altered in any way. When no printed information is used, verbal

credit shall be given. In addition, all print and promotional material must include
the following credit line and logo(s) (check all that apply):
i. County Funds Only. Orange County Arts Commission logo required.
Credit line required for audio projects: “This program is supported by the
Orange County Arts Commission.”
ii. North Carolina Arts Council Funding. The Orange County Arts
Commission and the North Carolina Arts Council logos are required. Credit
line: “This program is supported by the N.C. Arts Council, a division of the
Department of Natural and Cultural Resources.”
B. The Grant Recipient must enter all events, exhibits, and performances open to the
public and related to this grant award on the Orange County Arts Commission
website at www.artsorange.org/events. In addition, the Grant Recipient must
add a link to www.artsorange.org (Orange County Arts Commission logo
preferred) to their main webpage.
7. Indemnity. The Grant Recipient agrees to indemnify and hold harmless the County, the
Arts Commission and the North Carolina Arts Council and their officers and employees
from any and all claims or actual injury, damage or loss to a person, or real or personal
property that results from or is in any way connected to the use of the grant funds.
8. Independent Contractor. The Grant Recipient is an independent contractor and not an
employee, agent or other representative of the County and/or the Arts Commission.
Nothing contained in this Agreement shall be construed to create the relationship of
principal and agent, or employer and employee, between Grant Recipient and Arts
Commission or Orange County Government. Grant Recipient understands and agrees
that he/she is not authorized to incur any expenses or any liability whatsoever on behalf
of the County or the Arts Commission and has no authority, expressed or implied, to
obligate or make representations on behalf of the County or the Arts Commission. In
addition, Grant Recipient agrees to maintain his or her own worker's compensation
insurance for himself/herself and his or her employees.
9. Termination
A. In the event of any of the circumstances set forth below (hereinafter referred to as
“default”), the Arts Commission may immediately terminate this Agreement:
(i) Any fraudulent representation in any verification required to obtain
payment under this Agreement or other dishonesty on a material matter
relating to the performance of services under this Agreement.
(ii) Nonperformance, incomplete service or performance, or failure to
satisfactorily comply with any provision of this Agreement, as determined
by the Arts Commission in its sole discretion.

(iii) Failure to adhere to the terms of applicable county, state or federal laws,
regulations, or stated public policy.
B. In the event of default by the Grant Recipient, the Arts Commission has the
discretion to elect to terminate this Agreement, in whole or in part and/or require
the Grant Recipient to repay the grant funds within seven (7) d ays? from written
notice of default or allow the grant recipient the opportunity to cure the default.
This clause shall not be interpreted to limit the County’s or the Arts
Commission’s remedies in law or in equity.
10. Miscellaneous.
A. Entire Agreement. This Agreement and the attachments contain the final and
entire understanding of the parties with respect to the subject matter of this
Agreement. All modifications and amendments to this Agreement shall be in
writing. This Agreement shall be binding upon the parties, their heirs, successors
and assigns.
B. Governing Law. Governing Law and Priority: Both parties agree that this
Agreement shall be governed by the laws of the State of North Carolina and
Orange County. Grant Recipient shall at all times remain in compliance with all
applicable local, state, and federal laws, rules, and regulations including but not
limited to all state and federal anti-discrimination laws, policies, rules, and
regulations and the Orange County Non-Discrimination Policy and Orange
County Living Wage Policy (each policy is incorporated herein by reference and
may be viewed at
http://www.orangecountync.gov/departments/purchasing_division/contracts.php.).
Any violation of this requirement is a breach of this Agreement and Arts
Commission may immediately terminate this Agreement without further
obligation on the part of the Arts Commission. This paragraph is not intended to
limit and does not limit the definition of breach to discrimination. By executing
this Agreement the Grant Recipient certifies that they has not been identified, and
has not utilized the services of any agent or subcontractor identified, on the list
created by the State Treasurer pursuant to G.S. 147-86.58. By executing this
Agreement the Grant Recipient certifies that they has not been identified, and has
not utilized the services of any agent or subcontractor identified, on the list created
by the State Treasurer pursuant to G.S. 147-86.81. By executing this Agreement
Grant Recipient affirms they are and shall remain in compliance with Article 2 of
Chapter 64 of the North Carolina General Statutes. In determining the basic
services to be provided, should any documents be referenced in or attached to
this Agreement, the terms herein shall have priority in any conflict between the
terms of referenced documents and the terms of this Agreement.
C. Dispute Resolution: Neither party may initiate binding arbitration. Any disputes
shall be resolved by nonbinding mediation. If such mediation fails either party
may initiate litigation to resolve the dispute. Should either party initiate litigation
to settle any dispute involving the terms of this Agreement such litigation shall be

initiated in the General Court of Justice of North Carolina seated in Orange
County, North Carolina.
D. Signatures. This Agreement together with any amendments or modifications may
be executed electronically. All electronic signatures affixed hereto evidence the
intent of the Parties to comply with Article 11A and Article 40 of North Carolina
General Statute Chapter 66.
IN WITNESS WHEREOF, the Orange County and the Grant Recipient have signed this Grant
Agreement, effective on the last date this Agreement is signed by both parties as indicated by the
dates set forth under signatures below.

Community Chorus Project (CCP) is a mission-driv en arts
organization whose purpose is to build community through music,
specifically singing. Singing is the most accessible branch of the
performing arts and requires no special equipment—we all own our
own instruments! Participating in a chorus is a community building
activ ity that enables people to blend their v oices with others,
increase their confidence, and work as a team. Music prov es time
and time again that it is able to cross cultural boundaries and bridge
social div ides. It is truly the univ ersal language: a language of
inclusiv ity, connection, and joy.
Founded in 2011, CCP’s programs offer educational opportunities of
the highest quality for middle and high school-age students—as well
as programs for adults—to come together and sing. Our adult
program is called PopUp Chorus and welcomes anyone to
participate, regardless of skill or experience. Our youth programs,
run in affiliation with the Department of Music at UNC-Chapel Hill, offer
our young students an immersiv e experience to help them build
skills as singers.
W e harness the power of music to create inclusiv e, div erse
community where music-making can be the domain of all, not just a
certain few.

Community Chorus Project (CCP) has been offering educational
opportunities to middle and high school-age students since our
inception in 2011. Dedicated to giv ing young people who lov e to sing
the opportunity to further their study of v oice and performance, CCP

offerings.
offers innov ativ e and inclusiv e music programming without parallel
in our area.
Programs are held in the Department of Music facilities at UNC-
Chapel Hill, so students are able to work and learn in professional
music spaces for which we pay a facility rental fee. Our affiliation with
the v oice faculty in the Department of Music has helped guide our
choice of teaching staff, as well as tap their expertise to shape
curricula.
For the past nine years, we hav e offered two immersiv e summer
programs at UNC: a two-week musical theater workshop with a focus
on v oice for students in grades 6-9, and a one-week recording
workshop that giv es students in grades 9-12 an opportunity to record
in a professional studio, perform at the Cat’s Cradle, learn to arrange
music, and so much more.
W hen CCP was founded, we pledged we would nev er turn a student
away who was unable to pay full or partial tuition, and in nine years of
programming, we nev er hav e. This is a cornerstone of our work and
we’re committed to including children who are often excluded due to
financial barriers. On av erage, between a fifth to a quarter of our
students attend on full or partial scholarship, and through intentional
outreach, we seek to achiev e racial div ersity.
The summer programs employ a regular team of univ ersity-based
v oice teachers, community-based chorus teachers, musicians,
studio engineers, filmmakers, choreographers, and administrativ e
assistants.

In addition to youth programming, CCP also runs PopUp Chorus,
which has been holding ev ents since 2014 in area v enues including
The ArtsCenter and Cat’s Cradle. This program is informal, relaxed
and fun, and attended mostly by adults. W e welcome ev eryone to
sing together, regardless of ability or experience. Music builds
community cohesion, and we use its power to the fullest extent with
this program.
At each PopUp Chorus ev ent, singers learn a song taught by our
conductor, Dr. Allan Friedman, and are accompanied by a full band
on stage. W e rehearse easy harmonies, and then make a v ideo with
participants, recording their v oices and filming them. Our motto is
“embracing imperfection,” and we mean it! Ev eryone is welcome to
participate, connect, and build community at PopUp Chorus. W e
hav e a loyal local following but also get people from out of state,
ev en ov erseas, to attend our ev ents.
In addition to our monthly public ev ents, we also lead priv ate ev ents.
W e hav e been twice hired by North Carolina Museum of Art, as well

as UNC and Duke, among other institutions. W e kick off celebrations,
open conv entions, and hav e been a central part of fundraisers for
organizations such as Ronald McDonald House’s recent annual gala
ev ent.
North Carolina’s
“stay at home” order

117) had a profound
impact on the arts
sector. Describe the
specific steps your
organization took to
comply with
Executive Order 117.
In light of the tragic “superspreader” ev ent that happened during a
choral rehearsal in W ashington State on 3/10, we came quickly to
understand how unsafe singing is during this pandemic and knew we
needed to cancel all programs: our two summer programs at UNC;
our four remaining spring season of PopUp Chorus ev ents at The
ArtsCenter in Carrboro; and two contracted priv ate-hire ev ents.
There was absolutely no way we could consider in-person programs
and ev ents and know that this is our reality until well into 2021. W e
receiv ed an OC Economic Dev elopment Emergency Small Business
Grant on May 6. Too late to redesign the youth programs, we chose
to start by focusing our energy on piv oting to an online model for
PopUp Chorus, with the hope that we could connect v irtually with the
singing community we sorely missed. W e hav e created a v irtual
PopUp Chorus model and dev eloped a new program called PopUp
Dance to offer weekly online dance experiences. W e hope to launch
both in Nov ember if we’re funded.
The OC grant allowed us to spend four months dev eloping a model
that teaches songs in Zoom and gets participants to sing together to
a backing track recorded by our musicians. Latency issues make it
impossible to record group singing online, so we take film footage
from the Zoom session to make a v ideo. W e then send participants
to our website where we giv e them instructional v ideos to help them
further practice their part and record themselv es singing using their
phone. Our audio engineer mixes their v oices together and our
filmmaker edits the footage into a finished v ideo.
This inv entiv e v irtual model is not a replacement for singing together
in person (something that will be needed ev en more post-pandemic)
but does allow participants to connect and enjoy a v ersion of PopUp
Chorus from the safety of their home. It is a placeholder until we can
be back together again. Our goal is to keep the organization going
until we can safely resume full activ ity, including our youth programs
at UNC.
Virtual PopUp Chorus has a higher ov erhead with less opportunity for
rev enue. W e hav e dev eloped PopUp Dance as a further way to
engage people that lends itself easily to Zoom. W e hope it will also be
an alternativ e income stream to help us nav igate these times.
Beyond paying contractors to dev elop and test the two v irtual
programs, we used OC grant funds to purchase equipment—we hav e
four remote studio locations from which we broadcast. W e had to
redesign our website to host instructional v ideos and accept
uploaded audio files, as well as hire an attorney to create terms and
conditions.

Piv oting to a v irtual model has taken time, dedication, and
determination—but it paid off: our test ev ents worked. W e’re ready to
launch, but we can’t do so without funding. W e’v e heard it from our
participants, and we know it ourselv es: people need the arts, and we
need this grant to help make that possible. W e are so close!

organization on the
Orange County
community in a
typical year.
Community Chorus Project’s programs hav e impact in a number of
ways in our county. PopUp Chorus brings well ov er a thousand
people to our ev ents at The ArtsCenter where our av erage
attendance per ev ent is 175. (W e hav e had up to 325 singers.) Not all
attendees liv e in Orange County, but the majority do.
The program has receiv ed accolades from artists ranging from Dav id
Bowie to Duran Duran, with press cov erage in state, local, and
national media (see our media page that includes a USA Today piece:
http://www.popupchorus.com/locations).
PopUp Chorus’ location is a selling point for the county! Realtors
hav e mentioned it in their articles about cultural opportunities in the
area, and the Chapel Hill Orange County Visitors Bureau e-newsletter,
Orange Slices, dev oted an entire issue to this unique program.
Community Chorus Project is also an employer. In a typical year, we
employ a team of teaching artists and other staff for our three weeks
of summer programs at UNC, which includes: eight chorus/v oice
teachers, four accompanists, one choreographer, one filmmaker, a
studio engineer, and program assistants. Teaching artists are paid
an av erage of $32 per hour and the total contracted summer fees
payable to teachers for 2018 was $12,708. Sev eral of these
contractors work in both programs and are employed twice.
(Independent contractor agreements are av ailable for v erification of
these fees.)
In addition to the summer youth programs, PopUp Chorus employs a
conductor, a four-piece band, a filmmaker, and an audio engineer for
monthly ev ents. Fees to this team v ary depending on if it is a priv ate
hire or public ev ent but av erage a total of $775 per occasion. W e
additionally employ a Chapel Hill-based graphic designer to do all of
our ev ent art, as well as an accountant for bookkeeping and tax
filings.
The heart of our impact, howev er, is with the people we serv e. In an
av erage summer (2018), we worked with 51 middle school students
(of whom 11 receiv ed full or partial scholarships) and 36 high school
singers (of whom 12 receiv ed full or partial scholarships).
W e know from feedback how much these programs mean to our
young students. They are seen and accepted for who they are, and
where they are musically. Admission is by audition for older students,
but younger students take part regardless of v ocal dev elopment. W e
are capped only by numbers and don’t turn young people away.
Students experience building confidence, knowledge, and v ocal skills
with like-minded peers, all of whom lov e the performing arts as much

as they do.
W e feel the impact we create when we receiv e comments like this
from a PopUp Chorus participant: “I lov e group singing. It’s a bubble
of optimism and joy.”
Feedback from this 2011 full scholarship student lets us know we are
shaping outcomes: “This program was AMAZING! I will nev er forget
the things I learned and the people I met. After this project, I feel like
a young professional!” This young man is now a professional actor
and singer. CCP played a role.

grant funds.
The representations made by the applicant in this Application are
material terms of the Agreement, as is compliance with the Grant
Program. The State may cancel this Agreement at any time upon
discov ery that any of the information set forth abov e is inaccurate,
that these terms hav e been v iolated, or any prov ision of the Grant
Program has been v iolated.
If funded, the applicant will prov ide documentation as ev idence for
future expenses. Documents such as receipts, bill/inv oices, monthly
financial statements, and payroll ledgers.
