HomeMy WebLinkAbout2020-593-E Planning-McGill Associates contract amendment 6 v0.2 082620 NORTH CAROLINA ORA NGE C OUNTY CONTRA CT AMENDMENT #6 THIS CONTRACT AMENDMENT ("Amendment") is made and entered into this 27th day of August 2020 by and between ORANGE COUNTY (hereinafter referred to as "County") and McGill Associates, (hereinafter referred to as "Provider"). W ITNESSETH: THAT W HEREAS, the County and Provider entered into a contract dated June 20, 2017 (internally designated as 2017-305-E) for the provision of services to the County (hereinafter the "Original Agreement"); and W HEREAS, the County and Provider subsequently modified the Original Agreement per Amendment 1, dated July 21, 2017 (internally designated as 2017-356-E), to add a “task 14” regarding an easement (Amendment #1); and, subsequently modified per Amendment 2, dated December 10, 2018 (internally designated as 2018-795-E) regarding fee allocation adjustments (Amendment #2); and, subsequently modified per Amendment 3, dated November 22, 2019 (internally designated as 2019-880-E) regarding additional services (Amendment #3); and, subsequently modified per Amendment 4, dated December 16, 2019 (internally designated as 2019-897-E) to extend the timeline of the Original Agreement to March 31, 2020 (Amendment #4); and, subsequently modified per Amendment 5, dated March 31, 2020 (internally designated as 2020-235-E) to further extend the timeli ne of the Original A greement to August 31,2020 (Amendment #5);and WHEREAS, the duration of services as set out in Section 4(a) was set to expire on December 31, 2018 in the Original Agreement and was revised to March 31, 2019 in Contract Amendment #3, subsequently revised to March 31, 2020 in Contract Amendment #4, and was further revised to August 31, 2020 in Contract Amendment #5; and, W HEREAS, the County and Provider desire to further modif y the Original Agreement as amended while k eepin g i n effec t a l l term s a n d conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. NOW THEREFORE, for and in consideration f o r the m utual covenants a n d agreements m a d e in the Original Agreement and herein, the parties agree to further amend the Original Agreement, as last modified by Contract Amendment 5, as follows: A. The duration of services set out in Section 4(a) be further revised to expire on October 31, 2020. B. Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent it is not inconsistent with this Amendment.
